Summary of Barter Proposal

• Established in 2001, Ormita has a market presence in 17 countries.

• Ormita works with media companies to exchange their “unsold or excess advertising space” in return for goods and services that they need.

• No joining fee, no fees to buy, no fees to sell, no monthly fees, no annual fees – no fees at all for media companies.

• Ormita works with customers in more than 1,382 industries – anywhere from machinery, medical and pharmaceutical through to clothing, education and children's products.

Some Benefits of Bartering

Get more cash referrals• Successful clients can be used as case studies to attract new

cash paying customers– Particularly international or ‘out of state’ clients which you would

not usually have as a standard cash paying customer

• Word of mouth referrals are the best form of signing new clients – If happy with your service, one barter customer may tell 5-10 of

their non-barter friends about your media, leading to more cash referrals)

Excess media space comes at a higher profit margin to you• Once your initial operating costs are covered every new sale

comes at a very low cost• Sometimes it is hard to attract new cash paying customers• People paying on barter are still offering something of value –

Hotel Travel Request Process

• Hotels and resorts are generally seasonal so Ormita works through a travel request process

• Our best available travel is located in USA (318 locations), Mexico (Nationwide – mostly large resorts), India (194 locations nationwide) and Turkey (nationwide).

• Smaller countries or locations are available but there is less variety of accommoation. As Ormita gets more customers in Europe this will change (Ormita has only launched its Europe operations in November 2011).

• For all hotel requests - you need to complete a travel request form at least 14 days in advance. We will then give a list of hotels for you which we can supply on barter to meet those specific dates and accommodation needs.

Why Do You Charge Me No Fees?

• We leverage media to acquire new customers who have products or services and are looking to explore new markets but have no cash to purchase advertising and/or have limited advertising budgets.

• We understand that most media can engage in direct barter without our help (and therefor without fees)

• We charge our customers who buy media a fee (average of 7% when they buy and nothing when they sell). This covers our cost to place media.

Will I Loose Cash Customers?

• No! Barter is only useful if it is extra (incremental) revenue. It should never replace existing cash income.

• You can choose who you want to sell to on barter. – You can take “brand approval” first – – e.g. certain brands or classes of products or services you

may choose not to sell to on barter– You may only want a certain “class” of customer or

customers from a certain region

• You can choose to work each deal on a case-by-case basis.

Is record keeping easy?

• You receive a monthly statement which shows all purchases and expenses

• Works similarly to an accounting ledger!

• In your accounting system you record barter sales and purchases as you would with cash– you set up a “barter” bank account– Expenses paid using barter dollars are debited from this

account– Sales made on barter are credited to this account

Are there tax issues?

• No more than there are with cash. Barter is not a tax avoidance scheme.

• Income tax is paid on profit

• If you spend all the barter income that you earn you have no barter profit (and therefore no income tax)

• Sales tax / GST / VAT must be paid according to your government regulations

What can I NOT get on barter?

• Gold, Platinum, Silver or other instantly cash convertible commodities

• Employee wages (although outsourced services are generally easy to get on barter)

• Government services

If something has a 30% profit margin or grater then we can probably find it for

you on barter.

The Process

1. You would sign an application form giving us permission to enter you in our database.

2. You would be put on a weekly email list of special barter offers (products and services) which may interest you.

3. We would advertise you to our customers.

4. If we find a customer interested in advertising we would contact you and provide you the details of the customer (remember, you do not have to accept a particular customer on barter – you can pick and choose what types of customers you want).

5. If a deal takes place your account would be credited and you can use those credits to buy goods and services you want from our network.

What if I Can Not Spend My Barter?1. Ormita has more than 221,000 outlets for spending

which change on a daily basis but barter is not accepted everywhere. It is not as easy to spend as cash.

2. Being a media company (and paying no fees) some of the easiest options are often: • Hotel and resort vouchers (even to give away as gifts to

friends)• Advertising (in other media outlets to promote your own

media)• Professional services

3. Typically, before earning barter credit, you should give us some idea of what you want to spend on in advance so we can start finding it for you.
