New York, in and for the First Department, from that part of the Order of the Supreme Court, New

York County, I.A.S. Part 3 (per Justice Eileen Bransten) dated April 27, 2010, and duly entered

with the Clerk of the Court on April 29, 2010: (1) denying Defendants’ motion to dismiss

Plaintiff’s first cause of action sounding in fraud as to Countrywide Home Loans, Inc.,

Countrywide Securities Corp. and Countrywide Financial Corp.; (2) denying Defendants’ motion

to dismiss Plaintiff’s fifth cause of action for breach of the implied covenant of good faith and fair

dealing as to Countrywide Home Loans, Inc. and Countrywide Home Loans Servicing, LP; and (3)

denying Defendants’ motion to dismiss Plaintiff’s seventh cause of action for successor and

vicarious liability as to Bank of America Corp.
