Transportation Program-Local funds to the County of Los Angeles towards the City's non-Federally reimbursable cost of the three bridge projects.

PURPOSE/JUSTIFICATION OF RECOMMENDED ACTION

The purpose of the recommended actions is to request the Board's approval of the Amendment to Agreement and Assignment 78017 that provides for the City of Compton to assign an additional $75,000 of its Federal Surface Transportation Program-Local (STP-L) funds to the County of Los Angeles towards the City's non-Federally reimbursable cost of the projects.

The Board previously adopted City-County Cooperative Agreement and Assignment 78017 on August 20, 2013. The agreement provided for the City to assign $1,504,000 of its Federal STP-L funds to the County for future road improvement projects. Due to operational needs, the City has reassessed its projects list and has requested the County to utilize these funds for the design and construction of Compton Boulevard over Compton Creek and Wilmington Avenue over Compton Creek Bridge Replacement projects within the City, and the repair of Alondra Boulevard Bridge over Los Angeles River project that is jurisdictionally shared between the City and the City of Paramount.

The Amendment to Agreement 78017 further provides for the City to assign an additional $75,000 of its available Federal STP-L funds to the County to finance the City's non-Federally reimbursable cost for the three bridge projects.

The Los Angeles County Metropolitan Transportation Authority (MTA) has established procedures that permit the transfer of Federal STP-L funds between public agencies. Approval of the cooperative agreement is required under these procedures. This transfer of funds is mutually beneficial to and in the general interest of the City and the County.

To prevent these funds from lapsing, the City will assign them to the County utilizing procedures established by the MTA. This County assistance to the City will ensure that available transportation funding is not lost from the Region, which is beneficial to the County. The County will accept this assignment as a credit towards the City's non-Federally reimbursable share of the costs for these three bridge projects.

Implementation of Strategic Plan GoalsThe County Strategic Plan directs the provision of Strategy III.3, Pursue Operational Effectiveness, Fiscal Responsibility, and Accountability. The recommended actions support ongoing efforts to manage and improve public infrastructure assets for motorists within the City and neighboring unincorporated areas.

FISCAL IMPACT/FINANCING

There will be no impact to the County General Fund.

The Compton Boulevard over Compton Creek and Wilmington Avenue over Compton Creek Bridge Replacement projects are entirely within the City. The Alondra Boulevard over Los Angeles River project is jurisdictionally shared between the City and the City of Paramount. The City of Paramount has financed its non-Federally reimbursable portion of the project cost per separate Agreement PW031814PAR that was executed between the City of Paramount and County on April 7, 2014.

The total project cost for the three bridges is estimated to be $12,888,000, with an estimated Federal reimbursement of $11,309,000, and the City's cost is estimated to be $1,579,000. In addition to the construction contract cost, the total project cost includes the cost of plans, specifications, consultant services, survey, materials testing, construction engineering, inspection, contract administration, change order contingency, contribution to the Contract Cities Liability Trust Fund, and other County services.

The City's non-Federally reimbursable share of the project cost will be financed by a $1,504,000 credit on account from previous Federal STP-L funds assignment per Agreement and Assignment 78017 and by assigning $75,000 additional Federal STP-L funds for a total of $1,579,000.

The necessary funds required for the preliminary engineering cost of these projects are included in the Second Supervisorial District's Transportation Improvement Program in the Road Fund Fiscal Years 2016-17 and 2017-18 budgets. Sufficient funds will be available in the Second Supervisorial District's Transportation Improvement Program in the Road Fund Fiscal Year 2018-19 Budget to finance the construction cost of the project.

Upon completion of the projects, the City will resume maintaining these bridges at City cost.

FACTS AND PROVISIONS/LEGAL REQUIREMENTS

The enclosed financial agreement has been approved as to form by County Counsel and executed by the City.

The Amendment to Agreement and Assignment 78017 provides for the City to apply the $1,504,000 credit that was previously adopted per Agreement 78017 and to assign an additional $75,000 Federal STP-L funds to the County as credit toward the City's non-Federally reimbursable cost for the design and construction of Compton Boulevard over Compton Creek and Wilmington Avenue over Compton Creek Bridge Replacement projects, and repair of Alondra Boulevard Bridge over Los Angeles River project. Approval of the agreement is required under the MTA procedures. Such an assignment shall be effective upon full execution of this financial agreement with no further action required by the City.

ENVIRONMENTAL DOCUMENTATION

In accordance with Section 15378(b)(5) of the California Environmental Quality Act Guidelines and Section 307.B(3) of the Environmental Reporting Procedures Guidelines adopted by your Board, execution of the Amendment to Agreement and Assignment 78017 to assign an additional $75,000 Federal STP-L funds to the County to prepare the plans, specifications, and cost estimates is an administrative activity that will not cause a physical change in the environment and, therefore, does not constitute a project and is not subject to the requirements of the California Environmental Quality Act. Appropriate environmental documents will be prepared when a project is developed under this Agreement and will be brought to your Board.

IMPACT ON CURRENT SERVICES (OR PROJECTS)

There is no adverse impact on current County services. At the conclusion of the project, the City will continue to maintain and operate the bridges at the City's expense.

AMENDMENT TO AGREEMENT AND ASSIGNMENT 78017

THIS AMENDMENT TO AGREEMENT AND ASSIGNMENT 78017, is made and

entered into by and between the CITY OF COMPTON, a municipal corporation in the

County of Los Angeles (hereinafter referred to as CITY), and the COUNTY OF LOS

ANGELES, a political subdivision of the State of California (hereinafter referred to asCOUNTY):

WITNESSETH

WHEREAS, CITY and COUNTY have heretofore executed CITY-COUNTY

Agreement and Assignment 78017, dated August 20, 2013 (hereinafter referred to asAGREEMENT AND ASSIGNMENT) for the assignment of One Million Five HundredFour Thousand and 00/100 Dollars ($1,504,000.00) of CITY'S Federal Surface

Transportation Program-Local (STP-L) funds to COUNTY as credit for future

cooperative projects to be designed and administered by COUNTY; and

WHEREAS, CITY and COUNTY propose to replace the Compton Boulevard over

Compton Creek and Wilmington Avenue over Compton Creek bridges within the CITYjurisdiction and perform one-time only preventive maintenance work on the Alondra

Boulevard over Los Angeles River bridge jurisdictionally shared between CITY and the

City of Paramount, which work on all bridges collectively is hereinafter referred to asPROJECT; and

WHEREAS, a separate agreement between the City of Paramount and COUNTY

is executed covering the portion of PROJECT within the City of Paramount's jurisdiction;

and

WHEREAS, PROJECT is within the shared geographical boundaries of CITY andthe City of Paramount; and

WHEREAS, PROJECT is of general interest to CITY, City of Paramount, and

COUNTY; and

WHEREAS, COUNTY is willing to perform or cause to be perFormed the

PRELIMINARY ENGINEERING, solicitation of construction bids and award of

construction contract, and CONTRACT ADMINISTRATION for PROJECT; and

WHEREAS, COUNTY is further willing to administer PROJECT under the

National Highway Performance Program and/or Surface Transportation Program; and

WHEREAS, COST OF PROJECT includes the costs of PRELIMINARY

ENGINEERING, COST OF CONSTRUCTION CONTRACT, and costs of

CONSTRUCTION ADMINISTRATION as more fully set forth herein; and

WHEREAS, COST OF PROJECT is currently estimated to be Twelve Million

Eight Hundred Eighty-eight Thousand and 00/100 Dollars ($12,888,000.00) with Federal

funding reimbursement estimated to be Eleven Million Three Hundred Nine Thousand

and 00/100 Dollars ($11,309,000.00); and

WHEREAS, CITY is willing to finance LOCAL SHARE OF COSTS, the

non-Federally reimbursable local agency portion of the COST OF PROJECT; and

WHEREAS, CITY is willing to finance LOCAL SHARE OF COSTS, currently

estimated to be One Million Five Hundred Seventy-nine Thousand and 00/100 Dollars

($1,579,000.00), by utilizing the One Million Five Hundred Four Thousand and 00/100

Dollars ($1,504,000.00) of CITY'S Federal STP-L previously assigned to COUNTY and

by assigning an additional Seventy-five Thousand and 00/100 Dollars ($75,000.00) of

CITY's available STP-L funds to COUNTY in lieu of cash; and

WHEREAS, COUNTY is willing to accept the CITY's additional assignment of

Federal STP-L funds and utilize the assignment as credit towards the CITY'S LOCAL

SHARE OF COSTS; and

WHEREAS, the Los Angeles County Metropolitan Transportation Authority has

procedures in effect that permit the transfer of Federal STP-L funds between agencies;

and

WHEREAS, such a proposal is authorized and provided for by the provisions of

Sections 6500 and 23004, et seq., of the Government Code and Sections 1685 and

1803 of the California Streets and Highways Code.

NOW, THEREFORE, CITY and COUNTY mutually agree to amend

AGREEMENT AND ASSIGNMENT as follows:

Incorporate the following definitions:

DEFINITIONS:

a. JURISDICTION as referred to in this AMENDMENT TO AGREEMENTAND ASSIGNMENT shall be defined as the area within the geographical

boundary of the CITY, the City of Paramount, and the unincorporated

areas of the COUNTY.

b. PRELIMINARY ENGINEERING as referred to in this AMENDMENT TO

AGREEMENT AND ASSIGNMENT shall consist of environmental findings

and approvals/permits; design survey; soils report; traffic index andgeometric investigation; preparation of plans, specifications, and costestimates; right-of-way engineering and certification; utility engineering;and all other necessary work prior to advertising of PROJECT for

construction bids.

c. COST OF CONSTRUCTION CONTRACT as referred to in thisAMENDMENT TO AGREEMENT AND ASSIGNMENT shall consist of thetotal of payments to the construction contractors) for PROJECT and the

total of all payments to utility companies or contractors) for the relocationof facilities necessary for the construction of PROJECT.

d. CONSTRUCTION ADMINISTRATION as referred to in this AMENDMENTTO AGREEMENT AND ASSIGNMENT shall consist of constructioncontract administration, construction inspection, materials testing,construction survey, traffic detour, signing and striping, constructionengineering, utility relocation, changes and modifications of plans andspecifications for PROJECT necessitated by unforeseen or unforeseeablefield conditions encountered during construction of PROJECT,construction contingencies, and all other necessary work after advertisingof PROJECT for construction bids to cause PROJECT to be constructedin accordance with said plans and specifications approved by CITY andCOUNTY.

e. COST OF PROJECT as referred to in this AMENDMENT TOAGREEMENT AND ASSIGNMENT shall consist of the COST OFCONSTRUCTION CONTRACT and costs of PRELIMINARYENGINEERING, CONSTRUCTION ADMINISTRATION, right-of-waycertification, utility engineering, and all other work necessary to completePROJECT in accordance with the approved plans and specifications andshall include currently effective percentages added to total salaries,wages, and equipment costs to cover overhead, administration, anddepreciation in connection with any or all of the aforementioned items.

f. LOCAL SHARE OF COSTS as referred to in this AMENDMENT TOAGREEMENT AND ASSIGNMENT shall consist of COST OF PROJECTless any reimbursement received by COUNTY under the NationalHighway Performance Program and/or Surface Transportation Program.

g. Completion of PROJECT as referred to in this AMENDMENT TOAGREEMENT AND ASSIGNMENT shall be defined as the date of fieldacceptance of construction of PROJECT by COUNTY and an electronicnotification to CITY'S Director of Public Works/City Engineer that theimprovements within CITY'S JURISDICTION are transferred to CITY forthe purpose of operation and maintenance.

Add the following new paragraphs a. through i. to Section (1) as follows:

1) CITY AGREES:

a. To finance LOCAL SHARE OF COSTS, the actual amount of which is tobe determined by a final accounting, pursuant to paragraph (3) g., below.

b. To utilize the One Million Five Hundred Four Thousand and 00/100 Dollars($1,504,000.00) of CITY's Federal STP-L previously assigned to COUNTYand to assign an additional Seventy-five Thousand and 00/100($75,000.00) of CITY'S available Federal STP-L funds to COUNTY as

credit to finance the LOCAL SHARE OF COSTS (hereinafter referred toas CITY'S ALLOCATION). Such assignment shall be effective upon fullexecution of this AMENDMENT TO AGREEMENT AND ASSIGNMENTwith no further action required by CITY.

c. Upon request from COUNTY, to consent to COUNTY'S request forjurisdiction of the Compton Boulevard over Compton Creek, WilmingtonAvenue over Compton Creek, and Alondra Boulevard over Los AngelesRiver bridges, as part of the County System of Highways for the limitedpurpose of constructing PROJECT.

d. To grant to COUNTY, at no cost to COUNTY, permission to occupypublic roads in the CITY and any temporary right of way that CITY owns orhas an easement for that is necessary for the construction of PROJECT.

e. Upon approval of construction plans for PROJECT, to issue COUNTY ano-fee permits) authorizing COUNTY to construct PROJECT withinCITY'S JURISDICTION.

f. To appoint COUNTY as CITY'S attorney-in-fact for the purpose ofrepresenting CITY in all negotiations pertaining to the advertisement ofPROJECT for construction bids, award, and administration of theconstruction contract and in all things necessary and proper to completePROJECT.

g. To cooperate with COUNTY in conducting negotiations with and, whereappropriate, to issue notices to public utility organizations and owners ofsubstructure and overhead facilities regarding the relocation, removal,operation, and maintenance of all surface and underground utilities andfacilities, structures, and transportation services, which interfere with theproposed construction. Where utilities have been installed in CITY streetsor on CITY property, CITY will provide the necessary right of way for therelocation of those utilities and facilities that interfere with the constructionof PROJECT at no cost to COUNTY. CITY will take all necessary steps togrant, transfer, or assign all prior rights over the utility companies andowners of substructure and overhead facilities to COUNTY whennecessary to construct, complete, and maintain PROJECT or to appointCOUNTY as its attorney-in-fact to exercise such prior rights.

h. To be financially responsible for disposal and/or mitigation measures, ifnecessary, should any hazardous materials, chemicals, or contaminantsbe encountered during construction of PROJECT within CITY'SJURISDICTION.

i. Upon completion of PROJECT, to accept full and complete ownership ofPROJECT, and to operate and maintain in good condition and at CITY'Sexpense all improvements constructed as part of PROJECT within CITY'SJURISDICTION.

Add the following new paragraphs c. through i. to Section (2) as follows:

2) COUNTY AGREES:

c. To perform or cause to be performed the PRELIMINARY ENGINEERING,CONSTRUCTION ADMINISTRATION, right-of-way acquisition andclearance matters, and all other work necessary to complete PROJECT.

d. To apply for National Highway Performance Program and/or SurfaceTransportation Program funding to finance the Federally-reimbursableportion of COST OF PROJECT.

e. To apply a credit of One Million Five Hundred Four Thousand and 00/100Dollars ($1,504,000.00) from CITY's Federal STP-L funds previouslyassigned to COUNTY to finance a portion of the LOCAL SHARE OFCOSTS, the actual amount of which will be determined by a finalaccounting of COST OF PROJECT.

f. To accept the CITY'S additional assignment of Federal STP-L funds andapply a credit of Seventy-five Thousand and 00/100 Dollars ($75,000.00)to finance the remaining portion of the LOCAL SHARE OF COSTS, theactual amount of which will be determined by a final accounting of COSTOF PROJECT.

g. To obtain CITY'S approval of plans for PROJECT prior to advertising forconstruction bids.

h. To solicit PROJECT for construction bids, award and administer theconstruction contract, do all things necessary and proper to completePROJECT, and act on behalf of CITY in all negotiations pertaining thereto.

i. To furnish CITY within one hundred eighty (180) calendar days after finalreimbursement received from Caltrans, a final accounting of the actualCOST OF PROJECT, including an itemization of actual unit costs andactual quantities for PROJECT.

Add the following new paragraphs g. through n. to Section (3) as follows:

3) IT IS MUTUALLY UNDERSTOOD AND AGREED AS FOLLOWS:

g. The final accounting of the actual total COST OF PROJECT shall includean itemization of unit costs, actual quantities and costs, andreimbursement received under the National Highway PerformanceProgram and/or Surface Transportation Program.

h. That if at final accounting LOCAL SHARE OF COSTS exceeds CITY'SALLOCATION, as set forth in paragraphs (2) b above, CITY shall pay to

COUNTY the additional amount upon demand or assign additional CITYFederal STP-L funds to COUNTY. Said demand shall consist of a billinginvoice prepared by COUNTY. Conversely, if the required LOCALSHARE OF COSTS is less than the sum of CITY'S ALLOCATION,COUNTY shall credit the difference to CITY's available Federal STP-Lfunds within thirty (30) days of the date COUNTY furnishes CITY with thefinal accounting.

i. CITY shall review the final accounting invoice prepared by COUNTY andreport in writing any discrepancies to COUNTY within sixty (60) calendardays after the date of said invoice. Undisputed charges shall be paid byCITY to COUNTY within sixty (60) calendar days after the date of saidinvoice. COUNTY shall review all disputed charges and submit a writtenjustification detailing the basis for those charges within sixty (60) calendardays of receipt of CITY'S written report. CITY shall then make payment ofthe previously disputed charges or submit justification for nonpaymentwithin sixty (60) calendar days after the date of COUNTY'S writtenjustification.

j. COUNTY at any time may, at its sole discretion, designate an alternativepayment mailing address and an alternative schedule for payment of CITYfunds, if applicable. CITY shall be notified of such changes by invoice.

k. During construction of PROJECT, COUNTY shall furnish an inspector orother representative to perform the functions of an inspector. CITY mayalso furnish, at no cost to COUNTY, an inspector or other representativeto inspect construction of PROJECT. Said inspectors shall cooperate andconsult with each other, but the orders of COUNTY inspector to thecontractors or any other person in charge of construction shall prevail andbe final.

I. Other than as provided below, neither COUNTY nor any officer oremployee of COUNTY shall be responsible for any damage or liabilityoccurring by reason of any acts or omissions on the part of CITY under orin connection with any work, authority, or jurisdiction delegated to ordetermined to be the responsibility of CITY under this AMENDMENT TOAGREEMENT AND ASSIGNMENT. It is also understood and agreed that,pursuant to Government Code Section 895.4, CITY shall fully indemnify,defend, and hold COUNTY harmless from any liability imposed for injury(as defined by Government Code Section 810.8) occurring by reason ofany acts or omissions on the part of CITY under or in connection with anywork, authority, or jurisdiction delegated to or determined to be theresponsibility of CITY under this AMENDMENT TO AGREEMENT ANDASSIGNMENT.

m. Neither COUNTY nor any officer or employee of COUNTY shall beresponsible, directly or indirectly, for damage or liability arising from orattributable to the presence or alleged presence, transport, arrangement,

or release of any hazardous materials, chemicals, or contaminantspresent at or stemming from the PROJECT within the CITY'SJURISDICTION or arising from acts or omissions on the part of the CITYunder or in connection with any work, authority, or jurisdiction delegated toor determined to be the responsibility of the CITY under thisAMENDMENT TO AGREEMENT AND ASSIGNMENT, including liabilityunder the Comprehensive Environmental, Response, Compensation andLiability Act of 1980 (CERCLA) and under the California Health and SafetyCode. It is understood and agreed pursuant to Government Code Section895.4, CITY shall fully indemnify, defend, and hold COUNTY harmlessfrom any such damage, liability or claim. In addition to being anagreement enforceable under the laws of the State of California, theforegoing indemnity is intended by the parties to be an agreementpursuant to 42 U.S.C. Section 9607(e), Section 107(e), of the amendedCERCLA, and California Health and Safety Code Section 25364.

n. In contemplation of the provisions of Section 895.2 of the GovernmentCode of the State of California imposing certain tort liability jointly uponpublic entities solely by reason of such entities being parties to anagreement (as defined in Section 895 of said Code), each of the partieshereto, pursuant to the authorization contained in Sections 895.4 and895.6 of said Code, will assume the full liability imposed upon it or any ofits officers, agents, or employees by law for injury caused by any act oromission occurring in the performance of this AMENDMENT TOAGREEMENT AND ASSIGNMENT to the same extent that such liabilitywould be imposed in the absence of Section 895.2 of said Code. Toachieve the above-stated purpose, each of the parties indemnifies andholds harmless the other party for any liability, cost, or expense that maybe imposed upon such other party solely by virtue of Section 895.2. Theprovisions of Section 2778 of the California Civil Code are made a parthereof as if incorporated herein.

A RESC)LUTION OF THE CITY COUNCIL OF THE CITY OF COMPTONAUTHORIZING THE INTERIM CITY MANAGER TO EXECUTE ANAMENDMENT TO THE AGREEMENT WITH THE LOS ANGELES COUNTYTO PROVIDE ADDITIONAL FEDERAL SURFACE TRANSPORTATIONPROGRAM-LOCAL (STP-L) FUNDS TO THE COUNTY FORRECONSTRUCTION OF THE COMPTON CREEK BRIDGES ATCOMPTON BOULEVARD AND WILMINGTON AVENUE AND FORPREVENTIVE MAINTENANCE WORK ON THE LOS ANGELES RIVERBRIDGE AT ALONDRA BOULEVARD ($75,000)

WHEREAS, based on the Bridge Inspection Report conducted by the LosAngeles County Department of Public Works ("LACDPW") in June 2009, the City ofCompton and County of Los Angeles proposed for the County to provide professionalengineering services for the reconstruction of the bridges over Compton Creek atCompton Boulevard and Wilmington Avenue; and

WHEREAS, towards that end, on or about August 20, 2013, the City andCounty entered into an Agreement and Assignment Contract (#78017), wherein theCity assigned One Million Five Hundred Four Thousand Dollars ($1,504,000.00) of itsFederal Surface Transportation Program-Local funds ("Federal STP-L funds") to theCounty as credit towards the City's financial share of a future cooperative roadwayimprovement projects) within the geographical boundary of the City, which is to bedesigned and administered by the County; and

WHEREAS, according to the LACDPW, the total cost of the bridgereplacements at Compton Boulevard and Wilmington Avenue, plus provision of "one-time only" preventive maintenance work of the Los Angeles River bridge at AlondraBoulevard —the Cifiy of Paramount will be financially responsible for servicesprovided on that portion of the bridge within their geographical boundary — isestimated at Twelve Million Eight Hundred Eighty Eight Thousand Dollars($12,888,000.00), with Federal funding reimbursement estimated to be Eleven MillionThree Hundred Nine Thousand Dollars ($11,309,000.00); and

WHEREAS, the total local (Compton's) share of the project costs, includingthe cost for the bridge replacement design and repair to the Los Angeles Riverbridge, is estimated to be One Million Five Hundred Seventy Nine Thousand Dollars($1,579,000.00), which Compton will finance by utilizing the One Million FiveHundred Four Thousand Dollars ($1,504,000.00) of Federal STP-L funds assigned tothe County in 2013 and by assigning an additional Seventy Five Thousand Dollars($75,000.00) of available Federal STP-L funds to County in lieu of cash, for a totalcredit of $1,579,000.00; and

WHEREAS, the City's lapsing Federal STP-L funds in the amount of SixtyFour

Thousand Eight Hundred Sixty Four ($64,864.00) and an additional Ten ThousandOne Hundred Thirty Six Dollars ($10,136.00) in Federal STP-L funds will be assignedto the County for a total credit of Seventy Five Thousand Dollars ($75,000.00) tofinance the remaining portion of the local share of costs.

Section 1. That the Interim City Manager, on the advice and approval of theCity Attorney is hereby authorized to execute an amendment to the Agreement andAssignment Contract, No. 78017, with Los Angeles County to provide for theassignment of Seventy Five Thousand Dollars ($75,000.00) of available FederalSurface Transportation Program-Local funds to the County as credit towards theservices to be rendered by the County in connection with the reconstruction of theCompton Creek bridges at Compton Boulevard and Wilmington Avenue and theCounty perForming "one-time only" preventive maintenance work of the Los AngelesRiver bridge at Alondra Boulevard.

Section 2. That copies of this Resolution shall be filed in the offices of theCity Manager, City Attorney, City Controller and the Department of Public Works.

Section 3. That the Mayor shall sign and the City Clerk shall attest to theadoption of this Resolution.
