    GENERAL INFORMATION

    1.1

    WHY INERTIA?Aristotle postulated the connection between force and motion in 350 B.C. Galileo furthered these views some 2000 years later. Sir Isaac Newton formalized the concept in 1687. The first of the three laws of motion is the Law of Inertia. The law of inertia states that a body, or mass in motion will continue in

    that motion until an outside force acts upon it to cause a reaction. Likewise, and object at rest will remain at rest without an external influential force. Perspective is the key to inertia. Which force is being acted upon and which force is causing the reaction; the inertia of both bodies

    is changed by their contact with one another.

    INERTIA-REPL, INC. strives to be the force of change while reacting to industry needs. We trust that our products will change and improve technology that will make positive impacts on the electrical power distribution industry.

    BACKGROUNDEstabl ished in 1995, Inert ia Engineering and Machine Works, Inc. manufactures medium voltage switchgear, automation products and specialized equipment for the electrical industry. INERTIA-REPL, Inc. is a joint venture between INERTIA Engineering and REPL International Limited (The REPL Group). The REPL Group has been providing heat-shrink solutions worldwide in the power distribution, telecommunications and general engineering markets for the past 25 years.The REPL group is an ISO 9002 accredited organization with a products tested to rigorous internationally recognized standards.The parent company of the REPL Group is based in the UK at Swindon. The group employs over 300

    employees in its subsidiaries and associated companies worldwide. REPL’s products have been tested by world-renowned laboratories such as KEMA in the Netherlands. The group’s subsidiary companies are located in a number of g l o b a l l o c a t i o n s . R E P L’ s operations in Mumbai specializes in the manufacture of molded components. REPL’s fac to ry in Hungary specializes in a wide range of heat-shrinkable heavy and medium wall tubes. The factories in Dubai, Malaysia and the United States concentrate on the assembly of kits for the power industry. Each REPL’s location enable us to offer superior customer service and training. The Group’s most recent acquisition in Europe will be our center for the

    manufacture of heat shrink tubing. This new addition is planned to be a state of the art manufacturing center designed to increase the range of our product offerring. INERTIA-REPL, INC. is a joint venture with REPL and its subsidiaries dedicated to the development of better product solutions for the electrical power industry.     1.ACCEPTANCEOFORDERS. All orders are subject to acceptance by INERTIA-REPL, INC., Stockton, California (Seller). Seller agrees to sell, and Buyer agrees to buy, products (the “Goods”) in accordance with the terms and conditions of this Contract. Acceptance of the goods shipped shall constitute assent to sellers conditions of sale. This document may be superseded by any inconsistencies involving formal bid and award contracts signed by an officer of the Company.

    2.PAYMENT.Payment shall be made to INERTIA-REPL, INC., 6665 Hardaway Road., Stockton, California 95215. Payment terms are net 30 days or one-half of one percent (0.25%) cash discount if paid within 10 days from the date of invoice. The seller retains a security interest in the goods until full payment has been received. Seller reserves the right to modify the payment terms at its sole discretion, and is entitled to cancel or defer shipment on outstanding orders without obligation by either purchaser or seller. If any invoice is not paid when due, interest will be added to and payable on all overdue amounts at 18.00 percent per annum, or the maximum percentage allowed under applicable laws, whichever is greater. Buyer shall pay all costs of collection, including without limitation, reasonable attorney fees.

    3.DELIVERY.United States except Alaska and Hawaii (contiguous states). Seller will arrange for delivery by carrier chosen by Seller. Prices are F.O.B. common carrier shipment point, with transportation prepaid and allowed unless otherwise specified in writing in buyer’s purchase order, or seller’s acceptance.

    4.TITLE/RISKOFLOSSUNDERF.O.B.The Goods shall be delivered F.O.B. shipping point. Risk of loss shall pass to the purchaser upon delivery to the common carrier at point of shipment. Seller will assist pur-chaser in resolving any claims for loss or damage.

    5.PAYMENTOFTAXES.Buyer agrees to pay all taxes of every description, federal, state, and municipal, that arise as a result of this sale, excluding income taxes. It is the buyers’ responsibility to provide seller with valid sales tax exemption certification for purchases exempt from sales taxes. All applicable taxes will be added to the invoice as a separate item.

    6.WARRANTIES.Seller warrants to Buyer that the Goods will conform substantially to the applicable draw-ings or design standards. The seller warrants that Goods shall comply with industry standards, and will be fit for the ordinary purpose for which the goods are used: will be free of material and workmanship defects under proper use for a period of two years from the date of shipment. Upon confirmation that the equipment has been stored, operated and maintained in accordance to sellers recommendations and industry standard practice the seller agrees to correct any nonconformity that may arise during the two (2) year period either by repairing or (at seller’s option) by replacement of the nonconforming equipment. The foregoing shall constitute purchasers exclusive remedy and a fulfillment of seller’s liability with respect to this equipment. NO OTHER WARRANTY, WHETHER EXPRESS OR ARISING BY OPERATION BY LAW, COURSE OF DEALING USE OF TRADE OR OTHERWISE IMPLIED, SHALL EXIST IN CONNECTION WITH THE COMPANY’S PROD-UCTS OR ANY SALE OR USE THEREOF.Seller’s liability, if any, for defective Goods, is limited to replace-ment, repair or refund of the defective Goods, at Seller’s option. The Seller’s warranty does not apply to any components not of INERTIA-REPL’s manufacture. Seller will assign to purchaser all warranties of other manu-facturers’ major components. In addition, any “non-INERTIA-REPL branded” components or non-INERTIA-REPL authorized components used in conjunction with, or as a part of an INERTIA-REPL product shall void the warranty.

    7.INSPECTION.The Buyer, upon receiving possession of the Goods, shall have a reasonable opportunity to inspect the Goods to determine if the Goods conform to the requirements of this Contract. If the Buyer, in

  • good faith, determines that all or a portion of the Goods are nonconforming, the Buyer may return the Goods to the Seller at the Seller’s sole discretion. The Buyer must provide written notice to the Seller of the reason for rejecting the Goods within 15 days of receipt of the Goods. The Seller will have 60 days from the return of the Goods to remedy such defects under the terms of this Contract.

    8.REMEDIESONDEFAULT. In addition to any and all other rights available according to law, if either party defaults by failing to substantially perform any material provision, term or condition of this Agreement (includ-ing without limitation the failure to make a monetary payment when due), the other party may elect to termi-nate this Agreement if the default is not cured within 30 days after providing written notice to the defaulting party. The notice shall describe with sufficient detail the nature of the default.

    9.FORCEMAJEURE.Seller will not be liable for any delay in shipment or performance or any obligation which is prevented, restricted, or interfered with by causes beyond either party’s reasonable control (“Force Majeure”), and if the party unable to carry out its obligations gives the other party prompt written notice of such event, then the obligations of the party invoking this provision shall be suspended to the extent neces-sary by such event. The term Force Majeure shall include, without limitation, acts of God, fire, explosion, vandalism, storm or other similar occurrence, orders or acts of military or civil authority, or by national emer-gencies, insurrections, riots, wars, strikes, lockouts, work stoppages, other labor disputes, or supplier failures.

    The excused party shall use reasonable efforts under the circumstances to avoid or remove such causes of nonperformance and shall proceed to perform with reasonable dispatch whenever such causes are removed or ceased. An act or omission shall be deemed within the reasonable control of a party if committed, omitted, or caused by such party, or its employees, officers, agents, or affiliates.

    10.CONFIDENTIALITY.Both parties acknowledge that each may obtain confidential information regarding the other party’s business. Both parties agree to treat all such information and the terms as confidential and to take all reasonable precautions against disclosure of such information to unauthorized third parties. Upon request by an owner, all documents relating to the confidential information will be returned to such owner.

    11.NOTICES. Any notice or communication required or permitted under this Agreement shall be sufficiently given if delivered in person or by certified mail, return receipt requested, to the addresses listed above or to such other address as one party may have furnished to the other in writing. The notice shall be deemed received when delivered or signed for, or on the third day after mailing if not signed for.

    12.ASSIGNMENT.Neither party may assign or transfer the rights of the first purchaser the Goods without prior written consent of the other party, which consent shall not be unreasonably withheld.

    13.ENTIREAGREEMENT.This Agreement contains the entire agreement of the parties regarding the sub-ject matter of this Agreement, and there are no other promises or conditions in any other agreement whether oral or written.

    14.SEVERABILITY.If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

    15.APPLICABLELAW.The laws of the State of California shall govern this Agreement.

    The INERTIA-REPL MWT series “A” adhesive lined medium wall tubing is used as primary insulation up to 600 Volts and for general sealing and rejacketing of polymeric cables rated to 35 kV.The uncoated MWT series “U” is used for strain relief of flexible ca-bles and for 600 Volt insulation when no protection from the environment is required.     The WRS cable jacket repair and splicing sleeve is a heat-shrinkable wraparound sleeve precoated with a hot-melt adhesive. The WRS cable sleeve is designed for repairing primary insulation on cables rated 1000 Volts or lower and damaged cable jackets on single or multi-core cables rated 0-35 kV. The WRS kits are ide-ally suited for both direct burial and cable tray applications. WRS kits covers a conductor size range from #8 AWG-2500 kcmil for single-core polymeric cables. The wraparound sleeve permanently insulates and repairs all common types of low voltage rubber or plastic insula-tion and repairs jacket damage on medium voltage power cables. The WRS is an economical and per-manent solution for repairing mid-run jacket damage to single-core and multi-core armored and unar-mored cables rated from 0-35kV.

    The WRS sleeve provides a reliable, abrasion resistant, moisture proof method of repairing fixed pow-er cables. The sleeves are fast and simple to install; no special skills are required. To install, clean each side

    of the damaged area, wrap the sleeve around cable and install the closure channel. Center the sleeve over the damaged area and shrink it in place. The job is complete.

    The RWRS cable jacket repair sleeve is a heat-shrinkable, fiber re-inforced, wraparound sleeve with an aluminized polyester moisture va-por barrier.     The ALSC823 kit is a heat-shrink-able medium wall tube available ei-ther coated throughout with sealant or only on the ends to prevent the ingress of water and solvents like jet fuel and oils.     CB series breakout boots are used to seal the crotch area of multi-conductor cables. CB boots are made of tough, black polyolefin to provide strain relief and physical protection. They have a heat ac-tivated adhesive in their body and legs which form a watertight seal when the boot is recovered.

    The CB series boots can be used on polymeric insulated cables with jackets and on metal or plastic con-duits to seal individual cables exiting the conduit.

    OrderingInformation:Check the outside diameter of the multi-conductor cable or the conduit being used. Select the boot by the “D” dimension to insure that it is within the use range of the selected boot. Check the outside diameters of the cables inside the jacketed cable or those exiting the conduit.   • IEEE 48-1996 IEEE Test Procedures and Requirements for Alternating-Current Cable Terminations 2.5 kV through 765 kV are the standard to which INERTIA-REPL terminations conform. IEEE Std 48-1996 defines a ter-mination as “a device” used for terminating alternatingcurrent power cables having laminated or extruded insulation rated 2.5 kV and above.They are classified accordingly:

    TerminationConsiderations

    ElectricalStressProblem:The insulation shield must be re-moved in order to provide adequate strike distance for the voltage cable being terminated. At that cutback point, the electrical field concen-trates causes high electrical stress. These stresses will cause the air to break down which results in partial discharges that will destroy the ca-ble insulation and cause premature failure of the cable at that point(see Illustration 1 at right).

    StressGradientSolution:The INERTIA-REPL termination employs stress gradient mastic and a stress control tube to spread out the equipotential lines, distributing the electrical field and reducing the electrical stress to the cable insulations operating level. This is achieved by the unique resistive and capacitive properties of the heat-shrinkable material (see Illus-tration 2 at right).

    INERTIA-REPL terminators are Class 1A terminat ions only. They are designed for both bare and jacketed concentric neutral cables, longitudinally corrugat-ed (Type LC), drain wire, and metallic tape shielded cables.

    Terminations are available with and without external grounding kits, and in both indoor and outdoor configu-rations. Separately applied sheds provide the additional external creepage necessary for outdoor applications which allow the termi-nation to be easily configured for either upright or inverted configura-tions. The non-tracking outer tube provides greater than 30 years of service; even in very heavily pol-luted environments.

    INERTIA-REPL terminations can be bent to the same bending ra-dius as the cable. Cable ends should not be bent to a radius less than ten times (10x) the jacket diameter or manufacturer recom-mendations; whichever is greater.

The T_3X kits without breakout boots are well suited for indoor applications and for use with armor terminators. T_3B kits are suited for outdoor applica-tions or wherever a sealed crotch is desired.

    There are two kinds of kits avail-able in both indoor and outdoor variations: The T_3B kits contain three core jacketing tubes to keep the metallic shielding in intimate contact with the insulation shield of the cable.

    There are also three adhesive lined tubes for rejacketing and sealing the ground wire(s).     IEEE 404-2000 also defines the test sequence and voltage lev-els for each vol tage c lass of joint (see the back of this page).

    INERTIA-REPL joints are based on a single-core joint design for bare concentric neutral cable. Different joint variations are configured with a variety of hardware and jacket-ing options as necessary for the specific type of cable being spliced.

    J50N series joints are suitable for single core and three core non-shielded 5 kV-8 kV cables.

    The J_20 joints are from 5 kV through 35 kV. The J_10, J_10J and J_30LC joints are from 15 kV through 35 kV.

    To build a joint, the insulation shield must be removed in order to provide adequate creepage distance for the voltage class cable being spliced. The conductors are spliced with a connec-tor larger than the conductor, creating a major discontinuity in the electrical field. At the cutback points, and at the connector ends, the electrical field concentrates, causing high electrical stress.

    These stresses will cause the air to break down resulting in partial dis-charges that will destroy the cable in-sulation; causing failure of the cable at that point (see Illustration 1 below).

    The INERTIA-REPL joint employs stress gradient mastic and a stress control tube to spread out the equi-potential lines, thereby reducing the electrical stress to an acceptable level. This is achieved by the unique resistive and capacitive properties of the heat-shrinkable material (see Illustration 2 below).
