A. Public Hearing - To Receive Public Comment Regarding the Edward Byrne Memorial Justice Assistance Grant (JAG).

Recommendation: Receive staff report, open public hearing and close the public hearing. No action taken, just an opportunity for public comment.

8. CONSIDERATION OF APPROVAL OF CITY COUNCIL RESOLUTION NO. 5575 - AWARDING CONTRACT FOR LEGAL ADVERTISING TO THE LOS BANOS ENTERPRISE FOR FISCAL YEAR ENDING JUNE 30, 2015 AND AUTHORIZING AND DIRECTING THE CITY MANAGER TO EXECUTE THE AGREEMENT.

Recommendation: Receive staff report and adopt the resolution as submitted.

9. PRESENTATION BY INFORMATION TECHNOLOGY DIRECTOR REGARDING COMPUTER SECURITY.

CALL TO ORDER: Mayor Villalta called the City Council Meeting to order at the hour of7:0 p.m.

Mayor Villalta opened the public forum. SANDRA HELM RICK, Los Banos Chamber of Commerce, spoke regarding how they have started planning for the upcoming 4th of July event and is working on putting together a Veterans parade and is looking for volunteers and ideas; GENEVA BRETT, Los Banos, reminded all to vote for the Readers Choice Awards being sponsored by the Los Banos Enterprise and the Los Banos Chamber of Commerce and spoke to the awards ceremony to be held announcing the winners on February 27, 2014 at the Arts Council, how she is excited to talk about how the selection committee of the Los Banos Chamber of Commerce has extended an offer to an individual to become the next Executive Officer of the Los Banos Chamber of Commerce and spoke to the process they went through to select them, reminded all

about the calendar of community events on the Chamber's website; ERNIE ROQUE, announced the knights of Columbus Free Throw Championship being held January 18, 2014 from 9 am to 1 pm at the Los Banos Community Center and invited all to come out. No one else came forward to speak and the public forum was closed.

CONSIDERATION OF APPROVAL OF CONSENT AGENDA. Mayor Villalta asked for an oral report from the Public Works Director/City Engineer Fachin on item 60 - City Council Resolution No. 5544 - Amending the Fiscal Year 2013/2014 Budget by Increasing the Appropriation Amount in the Congestion Mitigation and Air Quality (CMAQ)/Safe Routes to School (SRTS) Grant Revenue and Expenditure Funds by $88,265.60 and Authorize the City Manager to Issue a Purchase Order to Greenwood Motors for the Procurement of Five (5) Model Polaris GEM Vehicles in the Amount of $88,265. City Manager Carrigan stated that APA will be present at a future meeting to give an update/presentation.

PRESENTATION & REVIEW OF THE TEMPORARY SUSPENSION OF THE OF THE REGIONAL TRANSPORTATION IMPACT FEE (RTIF). Public Works Director/City Engineer Fachin presented the staff report.

City Manager Carrigan explained MCAG's part in the $50 million grant application for the Los Banos Bypass Project.

Mayor Villa Ita invited the public to come forward to speak. KATHY BALLARD, Los Banos, stated that she believes that a decision has already been made because in order to submit that application we have to contribute to the RTIF; Mayor Villalta stated that either way the vote goes, they will be there to speak to the application and a decision has not been made; Ms. Ballard stated that when a commercial business comes to Los Banos they do pay local impact fees, the RTIF is something on top of that for regional projects, how the money the City has paid has gone to smaller projects for other cities, i.e. Livingston and Atwater, and she feels that the bypass is a very big project and won't get RTIF funding, how the bypass is the responsibility of the State not the City of Los Banos, she spoke to the crosswalk/light at the new school by Scripps and that some of the things that bother her is that CalTrans wants you to be self help and corporations do not want to come here because of all the regulations and fees, the Enterprize Zone is gone and re-instituting the RTIF will hurt the City; GENEVA BRETT, stated that business is the very important to the City, we need to be attracting new business, the RTIF is a huge fee, we need jobs and new businesses, spoke to what Hollister is doing and suggested postponing it for another year or reducing it by half; ANN McCAULEY, Los Banos, stated that California makes it flat out difficult to do business, what will happen to the parcels of land, how the percentage we pay is far less than other communities because of our rural location, agrees that is should be bigger impact on the state than the city, MCAG can fund how they feel they need to, feels Los Banos needs a bypass and the good things a bypass could do for Los Banos, how she feels reinstate fees fully is the way to go or half or give businesses a chance to discuss fees on a case by case basis and do what they can to help businesses come to Los Banos. No one else came forward to speak.

Council Member Silveira stated that he has been thinking about this for a few days, how the state funding system is messed up, how he feels it is the states responsibility but if we ever want to get the bypass built we will have to contribute some, how we need to have the discussion if we truly want the bypass before we talk about the RTIF, how money set aside for purchasing right away already, how we can't afford to not do anything, just since he has been on the City Council the traffic has gotten worse to just cross the highway, inquired as to if Hollywood Video wanted to divide into 5 units would they have to pay the RTIF for which Assistant Planner Elms stated that no, RTIF only applies to intensifying a business; Council Member Silveira stated he believes new construction should pay their way, not those who improve existing buildings, noting remodels do not pay the RTIF, he feels this is our best shot at getting the Los Banos Bypass built and if we want a bypass, then the RTIF needs to be reinstated.

Council Member Lewis inquired as to if a tenant does not pay RTIF can fees be waived, stated how we have been told that the Los Banos Bypass is #1 on MCAG's list and nowhere on MCAG's website does it show or state that, how important the Highway 99 corridor is to them, how MCAG has the right and ability to change their mind about what they plan to do with the RTIF money, if we pass the RTIF we can still make deals with

business to reduce fee, she agrees the traffic is getting worse and we have to do something about that, how people are starting to move back to Los Banos, but it concerns her that when she is told they are going to do something they do it and don't change their mind or break promises.

Council Member Stonegrove stated that traffic is very bad on Highway 152 in Los Banos and it is getting worse, despite the suspension that we have had with the RTIF we have invested $1.8+ million to the RTIF and it is the only means we have for funding our regional transportation projects, the only way we have to work on getting the Los Banos Bypass project done, the application is a great opportunity to make some forward movement on the bypass project and if we are not being fully invested why would they fund our project, this fee applies to only new construction and they should have to pay their way, how it is wrong that Wal-Mart doesn't have to pay for their impact to the roads, fee deferral and waivers are a way to reduce the fees, how restoring the RTIF gives us an opportunity to move forward and make progress with the Los Banos Bypass Project.

Council Member Faria stated that he doesn't like the approach of front loading on new businesses and feels that it is something the people should vote on, how new businesses are putting up their life savings and shoe strings, waivers are seen as playing favorites, we need more businesses and jobs, and he is opposed to reinstating the RTIF.

Mayor Villalta stated how Ms. Kern is the new Executive Director for MCAG and a breath of fresh air, she has been extremely cooperative to answering all his questions, he then presented the agreement signed by MCAG dated May 5, 2011 approved by Resolution 2011/05-05-01 and read language from the resolution that promised funds to be dedicated to the Los Banos Bypass and how each month he cringes when he goes to the MCAG meetings and gets comments about changing the agreement, how he would like to get the agreement to never be changed, doesn't want to keep fighting to keep it, he then showed a document going back to 1994 in regards to the Los Banos Bypass Project, how the City of Livingston never paid RTIF and got a $27 million project in 1996 and there is a new $27 million project being proposed this year too; he spoke to how much money has been spent on the Los Banos Bypass to date and how we need to take all the points into consideration.

City Manager Carrigan invited Merced County Supervisor Q'Banion to come forward and speak. Mr. Q'Banion stated that he is speaking at this moment as Jerry Q'Banion and statements made tonight need to be clarified, how MCAG is an organization that goes back to the 1960s, the RTIF has not been in place the whole time the Los Banos Bypass has been a topic, how Highway 99 is a priority for the State of California and that's a fact, he then asked that Ms. Kern come forward and speak to some of the comments made earlier. Mr. Q'Banion stated that he does not he does not see a concerted effort to do away with Los Bypass Project not being the #1 project, there have been different reasons why the project has been delayed some to do with the City of Los Banos some not.

Marje Kern, MCAG Executive Director, stated that this is the closest we have ever become to getting construction dollars for the Los Banos Bypass and how the State is allowing us to advance regional transportation dollars, there is enough funding on the books for the right of way for phase 1 and hopes to have the commitment from the State in 2018. She feels this is a great opportunity if phase 1 gets done, phase 2 will happen, it will take 10-15 years to construct and if we miss this opportunity who knows what will happen in 2016, but did note that she will recommend the Los Banos Bypass with or without the City of Los Banos paying RTIF.

City Manager Carrigan asked Ms. Kern to explain the dollars spent on the bypass so far, for which she did. There were also Council Member questions regarding the right of way purchase negotiations, the $50 million being requested for advancement, what will the funds that Los Banos has put in be used for.

Merced County Supervisor O'Banion came forward and stated that $1.8 million has been contributed to RTIF and $2.8 million is set aside for the Los Banos Bypass Project, the largest benefactor of the Los Banos Bypass Project will be the City of Los Banos and how we are closer to a bypass than we ever have been.

Council Member Silveira stated that he supports the RTIF and how we need to be team players, part of the region. Council Member Lewis inquired that if the Council votes for this, how long will it last. City Manager Carrigan stated for however long you like. Ms. Lewis inquired as to if the City could take incremental steps to show our commitment and Mr. Carrigan stated that he would be concerned with how the CTC would look at. Council Member Stonegrove stated that we want to show the CTC that we are fully committed and vested in the Los Banos Bypass Project, a council member can make a request to bring the item back forward at any time. She feels the action we ought to take to give us the best chance at CTC is take no action and let the ordinance expire; we need to really show that we are vested in this project and our community. Council Member Silveira agreed with Ms. Stonegrove.

City Attorney Vaughn stated that staff is looking for a clear direction.

Motion by Silveira, seconded by Stonegrove to take no action. The motion failed by the following roll call vote: AYES: Silveira, Stonegrove; NOES: Faria, Lewis, Villalta.

Mayor Villa Ita requested a 5 minutes recess.

The meeting was reconvened and the City Council continued discussion on this time.

City Attorney Vaughn explained and wanted clarification on the motion that failed before the recess. If you take no action the ordinance would allow the suspension of the RTIF to come back and the posture is no direction to do anything and the effect will be to restore the RTIF of March of this year. If you take no further action tonight, the RTIF will be restored and wants to make sure that it's the intent of the majority of the City Council present.

Motion by Faria, seconded by Lewis to give staff direction to continue the suspension of the RTIF for one (1) year. The motion was carried by the following roll call vote: AYES: Faria, Lewis, Villalta; NOES: Silveira, Stonegrove.

Mayor Villalta stated that he would like to have that agreement with MCAG come back and have the agreement say that it would be in perpetuity in support of the Los Banos Bypass as the #1 project. Ms. Kern and City Attorney Vaughn stated that they were not sure if you could do that legally bind. Council Member Lewis inquired as to what happens now. Mayor Villa Ita stated that that would have to be voted on by the MCAG Board. City Manager Carrigan stated that the CTC wants to see a full commitment and we have a good shot this year and an even better chance in 2016. If the City of Los Banos does not restore the RTIF we are putting ourselves at a disadvantage and how this discussion is so important we are at a crossroads here. Council Member Stonegrove reminded everyone that we need to stay focused on the task at hand and how she feels we need to support the RTIF. Council Member Silveira stated that suspend the RTIF was a way to see if it would attract new businesses and he didn't feel like we had a chance to get the bypass back then, but this is our best shot, if you don't reinstate the fee, your actions speak louder than words and we are shooting ourselves in the foot, how if a project comes forward we can work with them on fees. Council Member Lewis suggested bringing this item back in 6 months after we have a decision from the CTC and if the State says no we can we bring the RTIF back for re­consideration. Council Member Silveira stated that he feels there is a slim possibility for approval in 2014 but better chance for 2016 and he would wants to make a 2 year commitment to the proposal. Council Member Stonegrove reiterated what Mr. Silviera stated, adding that the more committed you are the better chance you have and how the City needs to show that we are committed to this project. Council Member Lewis stated that she is a bit more cynical as it comes to the political realm; how the Los Banos Bypass Project is 10-15 years down the road and wants to be sure she is making the best decision for the economic growth of Los Banos. Council Member Stonegrove offered one more perspective in stating what do we have to lose by restoring the RTIF. How we can show the CTC that we support the project and if we restore the RTIF we can still defer and waive fees for new businesses, and we send a very clear and positive message that we support the project, we can bring this item back at any time, and we have at least $50 million to gain at the present and even more in the future at that.

PRESENTATION REGARDING PUBLIC WORKS CAPITAL PROJECTS. Public Works Director/City Engineer presented the staff report, which included a PowerPoint presentation, thanking Tim Baptista, Maintenance Worker I and Greg Pimentel, Acting Assistant Public Works Director for putting the presentation together.

ADVISEMENT OF PUBLIC NOTICES. (TWO REPORTS) Assistant Planner Elms reported that there will be two (2) public hearings at the Los Banos Planning Commission Meeting on January 22, 2014: Consideration of a Use Permit to allow the operation of a Home Occupation Business License with employees for Felipe Heredia, dba: Heredia Artificial Insemination Services located at 2501 S. Fallbrook Drive, APN

084-315-001; and Consideration of a Use Permit for an increase in maximum display area for one free standing sign for McDonald's located at 1550 W. Pacheco Boulevard, APN 081-140-039.

CITY MANAGER REPORT. City Manager Carrigan wanted to thank the Mayor and City Council for their professionalism during the RTIF/bypass discussion. He stated that he will be absent for the next meeting, February 5, 2014, as he will be at a City Managers League of California Cities Conference in Long Beach, and wished all a Happy Martin Luther King Day/holiday.

CITY COUNCIL MEMBER REPORTS.

SCOTT SILVEIRA: Reminded all about the January 18, 2014 Knights of Columbus Free Throw Contest at the Community Center and encouraged all to go to church and pray to whoever you pray to for rain/water for the farmers.

ELIZABETH STONEGROVE: Spoke regarding the Martin Luther King Jr. Day March/Event being held on January 20,2014 beginning at 10:30 am in front of City Hall and encouraged all to attend.

TOM FARIA: Echoed the request to pray for rain, spoke about the Martin Luther King Day March on January 20, 2014 and encouraged his students to read his speech he was a very remarkable man.

DEBORAH LEWIS: Spoke regarding how recently the Los Banos Salvation Army is now a full fledge core no longer just a unit or outpost. They have worked really hard over the years to become self sufficient and not dependent on the parent Salvation Army and congratulated to Felicia Grant and Joy and Bonnie Roberts.

MAYOR MICHAEL VILLALTA: Spoke regarding how his job as Mayor has required more and more of his time, and because of City Manager Carrigan he has become a more powerful Mayor and been allowed to do things all throughout the State and Region, how we are now involved in Chromium 6, the bypass is something we are still working towards not around, businesses are very important, we need to make sure we are fully vested to have a dump site to go to in Los Banos, how he is going to offer even more of his time and clear his calendar and focus more on City issues even if it equates to more than 40 hours a week, he is pledging everything he can do to make sure it is a City that is getting everything it can do/get to prosper; commended the Salvation Army and what a giving community Los Banos is, the great job that Michael O'Brien, Public Works Foreman and his staff did to ridden downtown of crows and how much cleaner it is.

Assistant Planner Elms spoke to the activity going on in the Lowes Building how t is not Costco.

ELIZABETH STONEGROVE: Thanked the Finance Department for their work on the audit and Police Chief Brizzee for his Police Department Update, she spoke regarding the upcoming Arbor Day Event being held on March 7, 2014 at Pacheco Park.

TOM FARIA: Thanked Fire Captain Mason Hurley for cooking the chicken dinner fund raiser for the choir, spoke regarding how Ferguson Silva from Los Banos will be premiering his film at Pacheco High School, how he has a couple things in the works musically to perform in town, thanked all departments for their work, how Los Banos is very well served, how saving :y. of the animals at the shelter is incredible, likes how we take care of each other, Los Banos is a great place to live, and wished all a Happy Valentine's Day.

SCOTT SILVEIRA: Spoke regarding the Los Banos Elks Lodge 2510 will be hosting a flag raising ceremony to dedicate the new memorial on February 15, 2014, spoke regarding the movie "Return to Nowhere" at Pacheco High School on February 21,2014 at 7 pm at Pacheco High School where scenes are filmed around Los Banos, the Goals and Objectives Workshop last week was great and thanked the staff for being there with great ideas, things are getting better but the priority is to make our employees whole and put bodies back in the General Fund from Measure A1P/K funds, he doesn't want us to forget where we came from, doesn't want to do stuff that we can't keep doing, wants to keep moving forward slowly through the process.

DEBORAH LEWIS: Congratulated Bertha Faria on her appointment as CEO of the Los Banos Chamber of Commerce and the new company IEM in the community, reminded all about the upcoming Street Fair on April 12, 2014, shout out to our Finance staff for the great job they do, she thanked Police Chief Brizzee and the Police Department for what you all do for our City and thanked the officers for putting their lives on the line every day, how Neighborhood Watches do help, and also thanked the Fire Chief for the great job the Fire Department does.

Mayor Villa Ita asked the City Attorney to explain the revenue sharing discussions going on with Merced County for which City Attorney Vaughn provided.

Mayor Villalta asked that the a Revenue Sharing be a Council Member Request for the next agenda, how 3 years is too long to not have any movement, how Merced County is dragging their feet, we need to speed this process along formerly, Los Banos needs to have its fair share, the current agreement does not benefit Los Banos.

Discussion:

The Police Department is applying for the FY 2014/2015 Edward Byrne Memorial (JAG) Grant. As a requirement of the grant, the Department is required to notify the local governing body of the application and provide public notice. A public hearing notice was prepared and sent to the Los Banos Enterprise requesting they publish the notice in their May 2,2014 newspaper.

According to the California FY 2014/2015 Local JAG Allocations list, the maximum amount the Department may receive is $12,268.00 and there is no matching of funds required by this grant. The Department hopes to use this grant to purchase equipment related to bicycle patrol, and ballistic protection helmets for each patrol vehicle.

Fiscal Impact:

Revenues and Expenditures for the FY 2014/2015 will increase in the amount of $12,268.00

Recommendation:

Based upon the significantly larger circulation of the Los Banos Enterprise (3,085 versus 1,000) and the ability to publish employment classified ads in multiple area publications, it is recommended that the City award the annual legal advertising contract to the Los Banos Enterprise for the fiscal year 2014-2015.

Background:

On April 3, 2013 the City Council awarded the Los Banos Enterprise the annual contract for legal advertising for the City. The contract expires on June 30, 2014. On February 14, 2014 the City released a Request for Proposals for Legal Advertising for the fiscal year 2014-2015.

Discussion:

The California Government Code requires that the City publish legal advertising in a newspaper of general circulation:

Whenever any official advertising, notice, resolution, order, or other matter of any nature whatsoever is required by law to be published in a newspaper, such publication shall be made only in a newspaper of general circulation. (Cal. Government Code §6040)

The Public Contract Code requires that each year cities that have more than one (1) newspaper of general circulation publish a notice inviting bids for the publication of legal notices.

"Annually before the beginning of the fiscal year, in cities where there is more than one newspaper of general circulation printed and published, the legislative body shall publish a notice inviting bids and contract for the publication of legal notices required to be published in such a newspaper. The contract shall include the printing and publishing of all such legal notices during the fiscal year. If there is only one such newspaper, the legislative body may contract with it without advertising for bids." (Cal. Public Contract Code §20169)

A Notice of Request for Proposals (RFP) was mailed to local newspapers of general circulation for the purpose of soliciting bids for the publication of legal notices and classified and display advertisements. The Notice was published in the Los Banos Enterprise on February 14, 2014 and February 21,2014 and e-mailed to: Los Banos Enterprise and The Paper. In addition, the Notice was posted on the City's website.

Responses were received from The Los Banos Enterprise and The Paper. The two proposals are analyzed below.

REQUEST FOR PROPOSALS LEGAL NOTICES, CLASSIFIED AND DISPLAY ADVERTISING SERVICES

CITY OF LOS BANOS

INTRODUCTION

The City of Los Banos is accepting qualified proposals for legal notices, classified employment and display advertising services, in accordance with this Request for Proposal. Each Proposer must make a proposal on each element of the scope of work. In order to best meet its needs, the City reserves the right to contract for each element individually, as a package, or make multiple awards, in the City's sole discretion.

Each proposer is encouraged to identify other services beyond the minimum required services, which can be provided to address the City's needs and describe any approaches that would reduce City costs and/or increase advertising efficiency and effectiveness.

The City reserves the right to contract for legal notices, classified employment and display advertising services with multiple Proposers.

SCOPE OF WORK

The scope of services desired includes print advertising for a variety of City functions, specifically legal notices, classified employment advertisements, and general purpose display advertisements. The scope for all services includes, at a minimum:

1. Proposer shall have the capability to receive typeset/copy materials and proofs via email. Proposer shall provide City with an email address to be used for transmission of typeset matter.

2. City departments may require that a draft of the publication be submitted for proofreading prior to publication. If errors are found after the sample proof has been checked, a revised corrected proof shall be submitted immediately to said department for approval prior to the publication of the printed advertisements or notices. All printing done hereunder that does not strictly comply with the approved proof furnished by the department originating such publication shall be corrected and republished by and at the expense of the Proposer.

3. Advertisements and notices shall be placed in the body, or newspaper section identified by the City, of the Proposer's publication or the City requested publication and shall be published for the number of days directed by the requesting City staff member.

4. The Proposer will provide deadlines and submittal instructions.

5. The Proposer shall submit proof of publication/tearsheet to the requesting City department or provide an online pathway to download the proof of publication/tearsheet and invoice in order to authorize payment by the City.

6. The publication rates proposed shall not exceed the customary rate charged by the Proposer for publication of legal notices, classified and display advertisements.

7. It is preferred that the Proposer have an office in the City of Los Banos to facilitate delivery of materials if necessary.

8. The Proposer should be aware that on occasion, emergency situations may require special handling to meet specific dates. The Proposer must agree and be prepared to assist the City in these special situations.

9. The Agreement that may be awarded shall be valid from the date of approval by the Los Banos City Council through June 30, 2015.

A. Legal Notices Advertising Scope of Work includes:

1. The successful Proposer must have obtained a Judicial Decree from the Merced County Superior Court establishing it as having status of a newspaper in general circulation in the County of Merced at the time of the award of contract. The newspaper publication shall be published for the dissemination of local news and intelligence of a general character.

2. Attached to and becoming a part of the proposal and contract shall be proof that the newspaper publication quoted by the Proposer is in general circulation within the City of Los Banos as set forth in California Government Code Sections 6000-6008.

3. Printing and publishing all ordinances, notices, regulations, and advertisements of a legal nature that may be required by any City Department. The Proposer shall furnish an affidavit of posting to the designated representative of the City Department placing the advertisement within three (3) working days after publication, together with a statement of the charges.

4. In the event that the Proposer awarded the legal advertising contract for the City is unable to publish on the date required by the City to satisfy state law requirements, the City may choose an alternative Proposer in order to meet publication deadline/requirements.

B. Classified Employment Advertising Scope of Work includes:

1. Proposer shall, as a standard element of the publication(s), offer a clearly identified section devoted to and labeled as advertisements for employment opportunities, jobs available or similar identification, and agree to publish employment classified advertisements under the conditions agreed to in this contract.

2. In the event a classified employment advertisement is not published as scheduled when presented prior to printed deadlines, or is published in error, an error being a deviation from text provided by the City, there shall be no cost for the erroneous publication and a correct advertisement will be published on a similar day at no cost to the City.

C. General Display Advertising Scope of Work includes:

1. The Proposer shall have the ability to receive advertisements in electronic format in order to increase the ability to produce a high quality display advertisement.

2. If artwork is required, the City staff member who is working on the display advertisement will work with the Proposer in developing a proof. Prior to publication, the final proof, artwork included, will require approval by the City staff member placing the advertisement request.

3. If the changes are material, the date set for opening of proposals may be postponed. CLASSIFIED AND DISPLAY ADVERTISING SERVICES

THIS AGREEMENT, made and executed this _ day of 2014, by and between the City of Los Banos, hereinafter referred to as "City", and hereinafter referred to as 'Newspaper", a newspaper of general circulation within the City of Los Banos.

RECITALS

Whereas, City is a general law city, formed and existing pursuant to the provisions of the California Government Code; and

Whereas, City published a Request for Proposals for Legal Advertising on February 14, 2014; and

Whereas, City now desires to enter into an agreement with Newspaper, a newspaper of general circulation within the City of Los Banos, provide the publishing of for legal notices, classified and display advertising.

AGREEMENT

NOW THEREFORE, it is agreed by and between the parties as follows:

1. The Request for Proposals, Proposal, and all amendments thereof, copies of which are attached hereto, are hereby incorporated in and make a part of this Agreement by reference, as though fully set forth herein and all of the foregoing shall constitute the Contract documents. If there is any conflict between the terms of these documents, the terms of this Agreement shall control and prevail.

2. The term of this Agreement shall be for a period beginning July 1, 2014, and ending June 30, 2015.

3. Newspaper agrees to perform the services set forth in the scope of work as specified in the Contract documents and in the manner speCified therein.

4. City agrees to pay Newspaper the amount specified in the Contract documents and in the manner specified herein. Payment will be made on a calendar-month basis in arrears. The Newspaper shall submit all original invoicing with proof of publication/tearsheet to the requesting City department in order to authorize payment by City of Los Banos.

5. Time is of the essence of this Agreement.

6. Newspaper agrees that in the performance of this Agreement, Newspaper is an independent Contractor, not an employee, agent or officer of the City.

7. This Agreement shall be interpreted, construed and given effect in all respects according to the laws of the State of California.

8. Newspaper shall not assign this Agreement, or any part thereof, or any monies due or to become due thereunder without prior written consent of City.

9. Newspaper shall indemnify and hold harmless the City, and its officers and employees, from and against any and all claims, demands, suits, damage, injury and liability, including costs

and expenses incurred in connection therewith, however caused, resulting from, arising out of, or in any way connected with the performance of the Agreement.

10. City may terminate the Agreement for convenience if in the best interests of City upon thirty (30) calendar days prior notice. In such event, Newspaper shall be paid for all services performed up to the date of termination.

11. City and Newspaper agree that the law governing this Agreement shall be that of the State of California. Any suit brought by either party against the other arising out of the performance of or otherwise relating to this Agreement shall be filed and maintained in the Superior Court County of Merced.

12. Failure of City to insist upon strict performance of any of the terms and conditions hereof, or failure or delay to exercise any rights or remedies or to properly notify Newspaper in the event of breach, or the acceptance of or payment for any good hereunder, shall not release Newspaper of any of the warranties or obligations of this Agreement and shall not be deemed a waiver of any right of City to insist upon strict performance hereof.

13. All other notices, writings or correspondence as required by this Agreement shall be directed to City and Newspaper, respectively, as follows:

14. No member, official or employee of City shall be personally liable to Newspaper or any successor in interest in the event of any default or breach by City or for any amount which may become due to Newspaper or successor on any obligation under this Agreement.

15. This Agreement contains the entire agreement of the parties with respect to the subject matter of this Agreement. Any modifications to this Agreement shall be in writing.

16. Newspaper covenants and declares that it has obtained all necessary approvals to bind Newspaper to this Agreement and that the representative signing the Agreement is authorized to do so.

17. Newspaper shall maintain a valid City of Los Banos business license during the term of this Agreement.

CITY OF LOS BANOS

INTRODUCTION

The City of Los Banos is accepting qualified proposals for legal notices, classified employment and display advertising services, in accordance with this Request for Proposal. Each Proposer must make a proposal on each element of the scope of work. In order to best meet its needs, the City reserves the right to contract for each element individually, as a package, or make multiple awards, in the City's sole discretion.

Each proposer is encouraged to identify other services beyond the minimum required services, which can be provided to address the City's needs and describe any approaches that would reduce City costs and/or increase advertising efficiency and effectiveness.

The City reserves the right to contract for legal notices, classified employment and display advertising services with multiple Proposers.

SCOPE OF WORK

The scope of services desired includes print advertising for a variety of City functions, specifically legal notices, classified employment advertisements, and general purpose display advertisements. The scope for all services includes, at a minimum:

1. Proposer shall have the capability to receive typeset/copy materials and proofs via email. Proposer shall provide City with an email address to be used for transmission of typeset matter.

2. Cny departments may require that a draft of the publication be submitted for proofreading prior to publication. If errors are found after the sample proof has been checked, a revised corrected proof shall be submitted immediately to said department for approval prior to the publication of the printed advertisements or notices. All printing done hereunder that does not strictly comply with the approved proof furnished by the department originating such publication shall be corrected and republished by and at the expense of the Proposer.

3. Advertisements and notices shall be placed in the body, or newspaper section identified by the City, of the Proposer's publication or the City requested publication and shall be published for the number of days directed by the requesting City staff member.

4. The Proposer will provide deadlines and submittal instructions.

5. The Proposer shall submit proof of publicationltearsheet to the requesting City department or provide an online pathway to download the proof of publicationltearsheet and invoice in order to authorize payment by the City.

6. The publication rates proposed shall not exceed the customary rate charged by the Proposer for publication of legal notices, classified and display advertisements.

7. It is preferred that the Proposer have an office in the City of Los Banos to facilitate delivery of materials if necessary.

8. The Proposer should be aware that on occasion, emergency situations may require special handling to meet specific dates. The Proposer must agree and be prepared to assist the City in these special situations.

9. The Agreement that may be awarded shall be valid from the date of approval by the Los Banos City Council through June 30, 2015.

A. Legal Notices Advertising Scope of Work includes:

1. The successful Proposer must have obtained a Judicial Decree from the Merced County Superior Court establishing it as having status of a newspaper in general circulation in the County of Merced at the time of the award of contract. The newspaper publication shall be published for the dissemination of local news and intelligence of a general character.

2. Attached to and becoming a part of the proposal and contract shall be proof that the newspaper publication quoted by the Proposer is in general circulation within the City of Los Banos as set forth in California Government Code Sections 6000-6008.

3. Printing and publishing all ordinances, notices, regulations, and advertisements of a legal nature that may be required by any City Department. The Proposer shall furnish an affidavit of posting to the designated representative of the City Department placing the advertisement within three (3) working days after publication, together with a statement of the charges.

4. In the event that the Proposer awarded the legal advertising contract for the City is unable to publish on the date required by the City to satisfy state law requirements, the City may choose an alternative Proposer in order to meet publication deadlinelrequirements.

B. Classified Employment Advertising Scope of Work includes:

1. Proposer shall, as a standard element of the publication(s), offer a clearly identified section devoted to and labeled as advertisements for employment opportunities, jobs available or similar identification, and agree to publish employment classified advertisements under the conditions agreed to in this contract.

2. In the event a classified employment advertisement is not published as scheduled when presented prior to printed deadlines, or is published in error, an error being a deviation from text provided by the City, there shall be no cost for the erroneous publication and a correct advertisement will be published on a similar day at no cost to the City.

C. General Display Advertising Scope of Work includes:

1 . The Proposer shall have the ability to receive advertisements in electronic format in order to increase the ability to produce a high quality display advertisement.

2. If artwork is required, the City staff member who is working on the display advertisement will work with the Proposer in developing a proof. Prior to publication, the final proof, artwork included, will require approval by the City staff member placing the advertisement request.

3. CITY OF LOS BANOS AGREEMENT FOR LEGAL NOTICES,

CLASSIFIED AND DISPLAY ADVERTISING SERVICES

THIS AGREEMENT, made and executed this _ day of 2014, by and between the City of Los Banos, hereinafter referred to as "City", and hereinafter referred to as "Newspaper", a newspaper of general circulation within the City of Los Banos.

RECITALS

Whereas, City is a general law city, formed and eXisting pursuant to the provisions of the California Government Code; and

Whereas, City published a Request for Proposals for Legal AdvertiSing on February 14, 2014; and

Whereas, City now desires to enter into an agreement with Newspaper, a newspaper of general circulation within the City of Los Banos, provide the publishing of for legal notices, classified and display advertising.

AGREEMENT

NOW THEREFORE, it is agreed by and between the parties as follows:

1. The Request for Proposals, Proposal, and all amendments thereof, copies of which are attached hereto, are hereby incorporated in and make a part of this Agreement by reference, as though fully set forth herein and all of the foregoing shall constitute the Contract documents. If there is any conflict between the terms of these documents, the terms of this Ag reement shall control and prevail.

2. The term of this Agreement shall be for a period beginning July 1, 2014, and ending June 3D, 2015.

3. Newspaper agrees to perform the services set forth in the scope of work as specified in the Contract documents and in the manner specified therein.

4. City agrees to pay Newspaper the amount specified in the Contract documents and in the manner specified herein. Payment will be made on a calendar-month basis in arrears. The Newspaper shall submit all original invoicing with proof of publication/tearsheet to the requesting City department in order to authorize payment by City of Los Banos.

5. Time is of the essence of this Agreement.

6. Newspaper agrees that in the performance of this Agreement, Newspaper is an independent Contractor, not an employee, agent or officer of the City.

7. This Agreement shall be interpreted, construed and given effect in all respects according to the laws of the State of California.

8. Newspaper shall not assign this Agreement, or any part thereof, or any monies due or to become due thereunder without prior written consent of City.

9. Newspaper shall indemnify and hold harmless the City, and its officers and employees, from and against any and all claims, demands, suits, damage, injury and liability, including costs

and expenses incurred in connection therewith, however caused, resulting from, arising out of, or in any way connected with the performance of the Agreement.

10. City may terminate the Agreement for convenience if in the best interests of City upon thirty (30) calendar days prior notice. In such event, Newspaper shall be paid for all services performed up to the date of termination.

11. City and Newspaper agree that the law governing this Agreement shall be that of the State of California. Any suit brought by either party against the other arising out of the performance of or otherwise relating to this Agreement shall be filed and maintained in the Superior Court County of Merced.

12. Failure of City to insist upon strict performance of any of the terms and conditions hereof, or failure or delay to exercise any rights or remedies or to properly notify Newspaper in the event of breach, or the acceptance of or payment for any good hereunder, shall not release Newspaper of any of the warranties or obligations of this Agreement and shall not be deemed a waiver of any right of City to insist upon strict performance hereof.

13. All other notices, writings or correspondence as required by this Agreement shall be directed to City and Newspaper, respectively, as follows:

14. No member, official or employee of City shall be personally liable to Newspaper or any successor in interest in the event of any default or breach by City or for any amount which may become due to Newspaper or successor on any obligation under this Agreement.

15. This Agreement contains the entire agreement of the parties with respect to the subject matter of this Agreement. Any modifications to this Agreement shall be in writing.

16. Newspaper covenants and declares that it has obtained all necessary approvals to bind Newspaper to this Agreement and that the representative signing the Agreement is authorized to do so.

17. Newspaper shall maintain a valid City of Los Banos business license during the term of this Agreement.

REQUEST FOR PROPOSALS LEGAL NOTICES, CLASSIFIED AND DISPLAY ADVERTISING SERVICES

CITY OF LOS BANOS

INTRODUCTION

The City of Los Banos is accepting qualified proposals for legal notices, classified employment and display advertising services, in accordance with this Request for Proposal. Each Proposer must make a proposal on each element of the scope of work. In order to best meet its needs, the City reserves the right to contract for each element individually, as a package, or make multiple awards, in the City's sole discretion.

Each proposer is encouraged to identify other services beyond the minimum required services, which can be provided to address the City's needs and describe any approaches that would reduce City costs and/or increase advertising efficiency and effectiveness.

The City reserves the right to contract for legal notices, classified employment and display advertising services with multiple Proposers.

SCOPE OF WORK

The scope of services desired includes print advertising for a vanery of City functions, specifically legal notices, classified employment advertisements, and general purpose display advertisements. The scope for all services includes, at a minimum:

1. Proposer shall have the capability to receive typeseUcopy materials and proofs via email. Proposer shall provide City with an email address to be used for transmission of typeset matter.

2 City departments may require thai a draft of the publication be submitted for proofreading prior to publication If errors are found after the sample proof has been checked, a revised corrected proof shall be submitted immediately to said department for approval prior to the publication of the printed advertisements or notices. All printing done hereunder that does not strictly comply with the approved proof furnished by the department originating such publication shall be corrected and republished by and at the expense of the Proposer.

3. Advertisements and notices shall be placed in the body, or newspaper section identified by the City, of the Proposer's publication or the City requested publication and shall be published for the number of days directed by the requesting City staff member.

4. The Proposer will provide deadlines and submittal instructions.

5. The Proposer shall submit proof of publicationltearsheet to the requesting City department or provide an online pathway to download the proof of publication/tearsheet and invoice in order to authorize payment by the City.

6. The publication rates proposed shall not exceed the customary rate charged by the Proposer for publication of legal notices, classified and display advertisements.

7. It is preferred that the Proposer have an office in the City of Los Banos to facilitate delivery of materials if necessary.

8. The Proposer should be aware that on occasion, emergency situations may require special handling to meet specific dates. The Proposer must agree and be prepared to assist the City in these special situations.

9. The Agreement that may be awarded shall be valid from the date of approval by the Los Banos City Council through June 30, 2015.

A. Legal Notices Advertising Scope of Work includes:

1. The successful Proposer must have obtained a Judicial Decree from the Merced County Superior Court establishing it as having status of a newspaper in general circulation in the County of Merced at the time of the award of contract. The newspaper publication shall be published for the dissemination of local news and intelligence of a general character.

v' :2. Attached to and becoming a part of the proposal and contract shall be proof that the newspaper publication quoted by the Proposer is in general circulation within the City of Los Banos as set forth in California Government Code Sections 6000-6008.

3. Printing and publishing all ordinances, notices, regulations, and advertisements of a legal nature that may be required by any City Department. The Proposer shall furnish an affidavit of posting to the designated representative of the City Department placing the advertisement within three (3) working days after publication, together with a statement of the charges.

4. In the event that the Proposer awarded the legal advertising contract for the City is unable to publish on the date required by the City to satisfy state law requirements, the City may choose an alternative Proposer in order to meet publication deadline/requirements.

B. Classified Employment Advertising Scope of Work includes:

1. Proposer shall, as a standard element of the publication(s). offer a clearly identified section devoted to and labeled as advertisements for employment opportunities, jobs available or similar identification, and agree to publish employment classified advertisements under the conditions agreed to in this contract.

2. In the event a classified employment advertisement is not published as scheduled when presented prior to printed deadlines, or is published in error, an error being a deviation from text provided by the City, there shall be no cost for the erroneous publication and a correct advertisement will be published on a similar day at no cost to the City.

C. General Display AdvertiSing Scope of Work includes:

1. The Proposer shall have the ability to receive advertisements in electronic format in order to increase the ability to produce a high quality display advertisement.

2. If artwork is required, the City staff member who is working on the display advertisement will work with the Proposer in developing a proof. Prior to publication, the final proof, artwork included, will require approval by the City staff member placing the advertisement request.

3. In the event a display advertisement is not published as scheduled when presented prior to printed deadlines, or is published in error, an error being a deviation from the final approved proof by the City, there shall be no cost for the erroneous publication and a correct advertisement will be published on a similar day at no cost to the City.

GENERAL PROVISIONS

1, Proposals shall be submitted in an envelope marked "Legal Notices, Classified and Display Advertising RFP' in the bottom left hand corner and shall be delivered to the City Clerk of the City of Los Banos, 520 J Street, Los Banos, CA 93635, Faxed or e-mailed proposals will not be accepted, Late proposals will not be accepted. With regard to any proposal sent by mail to the City, the proposer will be solely responsible for its delivery to the City prior to the date and hour set forth herein. Any proposals received subsequent to the date and hour set forth herein, because of delayed mail delivery or any other reason, will not be considered by the City,

2, Copies of the Request for Proposals (RFP) may be obtained at the City Clerk's Office, City Hall, 520 J Street, Los Banos, CA 93635 or online at www.cityofiosbanos.org.Said specifications, proposal forms, and contract documents are hereby referred to and incorporated herein and made a part by reference and all quotations must strictly comply therewith. Any questions regarding the document may be posed in writing to the City Clerk, City of Los Banos, 520 J Street, Los Banos CA 93635 or by email at [email protected].

3, The City reserves the right to accept in whole or part or reject any and all proposals and to waive any informalities in the proposal process, and all proposals are binding for a period of ninety (90) days after the proposal opening and may be retained by the City for examination and comparison, as speCified in the contract documents. The award of contract shall be made by the Los Banos City Council.

4, The City reserves the right to declare as non-responsive and reject any proposal in which material information requested is not furnished or where indirect or incomplete answers or information is provided.

5, The City reserves the right to reject any or all of the proposals received, to negotiate with qualified bidders, or to cancel the request for proposals in part or in its entirety without explanation to the bidders The City may interview those bidders whose proposals were scored highest.

6, The City reserves the right to revise or amend the request for proposal up to the time set 1/ for opening of proposals. Such revisions and amendments, if any, shall be announced by

amendments to this solicitation, Copies of such amendments shall be furnished to all prospective Proposers, If the changes are material, the date set for opening of proposals may be postponed, In any case, the proposal opening shall be at least five (5) working days after the last amendment; and the amendment shall include an announcement of the new date, if applicable, for the opening of proposals.

7, The Proposer must submit proposals for all three (3) types of print advertising.

8. The City reserves the right to award contracts to multiple proposers.

9, Each Proposer shall be held responsible for familiarizing themself/themselves with requirements of the scope of work.

10. Proposals must be made on the forms furnished by the City. Do not remove any of the pages herein but submit as a complete package with any additional information to be provided by the Proposer.

11, A sample of a City of Los Banos contract is attached,

12. The City reserves the right to evaluate each proposal based on several qualifications including circulation of the paper, days published, experience, samples, ability to respond, lead time, and cost. Although cost is one of the evaluating factors, the City is not bound to award the contract based on price alone.

13. Prices quoted on the proposal shall be in effectfrom date of proposal until June 30, 2015.

14. Each proposal shall contain copies of the following for evaluation purposes:

• Previously published legal notices • Display advertising • Classified advertising • Documentation verifying circulation numbers • Judicial decree of adjudication • Current business license certificate

CLASSIFIED AND DISPLAY ADVERTISING SERVICES

THIS AGREEMENT, made and executed this/~ay of '--'-''f¥-'_ 2014, by and between the City of Los Banos, hereinafter referred to as "City", and hereinafter referred to as "Newspaper", a newspaper of general circulation within th City of Los Banos.

RECITALS

Whereas, City is a general law city, formed and existing pursuant to the provisions of the California Government Code; and

Whereas, City published a Request for Proposals for Legal Advertising on February 14, 2014; and

Whereas, City now desires to enter into an agreement with Newspaper, a newspaper of general circulation within the City of Los Banos, provide the publishing of for legal notices, classified and display advertising.

AGREEMENT

NOW THEREFORE, it is agreed by and between the parties as follows:

1. The Request for Proposals, Proposal, and all amendments thereof, copies of which are attached hereto, are hereby incorporated in and make a part of this Agreement by reference, as though fully set forth herein and all of the foregoing shall constitute the Contract documents. If there is any conflict between the terms of these documents, the terms of this Agreement shall control and prevail.

2. The term of this Agreement shali be for a period beginning July 1, 2014, and ending June 30, 2015.

3. Newspaper agrees to perform the services set forth in the scope of work as specified in the Contract documents and in the manner specified therein.

4. City agrees to pay Newspaper the amount specified in the Contract documents and in the manner speCified herein. Payment will be made on a calendar-month basis in arrears. The Newspaper shall submit all original invoicing with proof of publication/tearsheet to the requesting City department in order to authorize payment by City of Los Banos.

5. Time is of the essence of this Agreement.

6. Newspaper agrees that in the performance of this Agreement, Newspaper is an independent Contractor, not an employee, agent or officer of the City.

7. This Agreement shall be interpreted, construed and given effect in all respects according to the laws of the State of California.

8. Newspaper shall not assign this Agreement, or any part thereof, or any monies due or to become due thereunder without prior written consent of City.

9. Newspaper shall indemnify and hold harmless the City, and its officers and employees, from and against any and all claims, demands, suits, damage, injury and liability, including costs

and expenses incurred in connection therewith, however caused, resulting from, arising out of, or in any way connected with the performance of the Agreement.

10. City may terminate the Agreement for convenience if in the best interests of City upon thirty (30) calendar days prior notice. In such event, Newspaper shall be paid for all services performed up to the date of termination.

11. City and Newspaper agree that the law governing this Agreement shall be that of the State of California. Any suit brought by either party against the other arising out of the performance of or otherwise relating to this Agreement shall be filed and maintained in the Superior Court County of Merced.

12. Failure of City to insist upon strict performance of any of the terms and conditions hereof, or failure or delay to exercise any rights or remedies or to properly notify Newspaper in the event of breach, or the acceptance of or payment for any good hereunder, shall not release Newspaper of any of the warranties or obligations of this Agreement and shall not be deemed a waiver of any right of City to insist upon strict performance hereof.

13. All other notices, writings or correspondence as required by this Agreement shall be directed to City and Newspaper, respectively, as follows:

14. No member, official or employee of City shall be personally liable to Newspaper or any successor in interest in the event of any default or breach by City or for any amount which may become due to Newspaper or successor on any obligation under this Agreement.

15. This Agreement contains the entire agreement of the parties with respect to the subject matter of this Agreement. Any modifications to this Agreement shall be in writing.

16. Newspaper covenants and declares that it has obtained all necessary approvals to bind Newspaper to this Agreement and that the representative signing the Agreement is authorized to do so.

17. Newspaper shall maintain a valid City of Los Banos business license during the term of this Agreement.

WHEREAS, the City Council has considered the proposals from the Los Banos Enterprise and The Paper for legal advertising, display advertising and classified advertising for the City of Los Banos for the fiscal year ending June 30, 2015; and

WHEREAS, the proposed Agreement has been reviewed and approved by the City Attorney; and.

NOW THEREFORE BE IT RESOLVED, that the City Council of the City of Los Banos as follows;

1. That the proposal of Los Banos Enterprise, for publication of legal advertising for the City of Los Banos for fiscal year ending June 30, 2015, is hereby accepted.

2. That the City Manager be and is hereby authorized and directed to execute an agreement in the form presented herewith for and on behalf of the City.

The foregoing Resolution was introduced at a regular meeting of the City Council of the City of Los Banos held on the 16th day of April 2014, by City Council Member_, who moved its adoption, which motion was duly seconded by City Council Member _' and the Resolution was adopted by the following vote:
