Canadian customers can convert the US list price into their Canadian equivalent by going to www.Haworth.com/Canada to find the current Canadian multipliers. These multiplier factors allow you to convert the US list price into a Canadian list price.

Price List Overview

This North American Haworth Product Non-Obsolescence andWarranty Policy (the ‘‘policy’’) applies to products manufactured after May 8, 2015. For productsmanufactured before this date please refer to the policy published in the NA Price List when purchased or contact your local Authorized Haworth Dealer. All Haworthproducts are warranted for 24 hour / 7 day use over the length of the ApplicableWarranty Period as set forth below.
Haworth, Inc. or Haworth, Ltd., (each called ‘‘Haworth’’) will make a good faith effort to maintain product compatibility within our various generations of integratedproduct platforms to provide our customers with spaces that adapt to change. Under our non-obsolescence policy, we commit to provide our customers with productsof comparable function or operational characteristics for a term equal to the ApplicableWarranty Period. Haworth fabrics and finishes must be updated periodically tomaintain the market appeal of our products and respond to the demands and changing preferences of our customers. As a result, we or the manufacturer maydiscontinue some fabrics and finishes before expiration of the ApplicableWarranty Period.
If a new product purchased or leased from Haworth or from an Authorized Haworth Dealer proves to be defective (as defined below) while the product is still in thepossession of the initial purchaser or lessee and if they, within the ApplicableWarranty Period, inform Haworth of the defect by contacting the local Authorized HaworthDealer, then, except as provided below, Haworth will, at Haworth’s option, either repair or replace the product, at Haworth’s expense, or refund the purchase price of theproduct. Except as provided below, a product shall be considered“defective” if Haworth finds that it is defective in material or workmanship and if the defect materiallyimpairs the use of the product to the purchaser or lessee. The applicable warranty period begins on the day the product is manufactured. If a product that the purchaseror lessee references in a notice of defect was not installed by a Haworth Certified installer and/or reconfigured by a Haworth-trained installer, then the product may notbe considered defective and Haworth will not be obligated to repair or replace it or to refund its price.

LIFETIME
All Haworth products are warranted for lifetime except products, components andmaterials described below:
TWELVEYEARS
All Haworth NAmanufactured seating is warranted for 24/7 multiple shift use bypersons up to 325 lbs and includes the framework, mechanisms, seating foam,seat & back mesh and seating glides & casters.
All wood or wood framed products.
TENYEARS
All wall products (excluding soft close door mechanisms warranted for TwoYears),electrical components (excluding Power Base™ AI, USB receptacles and workwareproducts), electrical accessories, fixed task lighting (excluding LED lighting),adjustable keyboard pads, monitor arms and products that are at any time used ina classroom or educational environment (other than administration areas) exceptas limited or described below:
FIVEYEARS
Fabric scrims and fabrics rated Heavy Duty (A) under the Association of ContractTextiles Guidelines, leather, vertical use markerboard laminates, user-adjustableworksurface mechanisms, gel arm caps, thermofused laminates, slow closemechanisms, LED lighting, Power Base™ receptacles with USB charging outlets,electronic ballasts used in task lighting, horizontal glass or thermoplastic tableassemblies and Systems Accessories.
THREEYEARS
Power Base AI Electrical products, workware™ products, Hoop products (excludesany warranty for surface damage such as scratches, dents or abrasions), plasticultraviolet light color fastness and fabrics rated General Contract (a) under theAssociation of Contract Textiles Guidelines.
ONETO FIVEYEARS*
Products that are manufactured outside North America and sold into the NorthAmerican market.
ONEYEAR
Horizontal use markerboard laminate, Openest™ Plume Screens, soft palm rest,mouse pad insert and translucent edging.
Haworth ‘‘Specials’’ products that involve simple modification of a standard based product will be warranted for the same period as the standard catalog product it isbased on. Haworth ‘‘Specials’’ products that deviate from standard catalog product in the form of features, construction, function, or aesthetic will be warranted for 1year.
All software is without warranty of any kind, either expressed or implied.
All service parts are warranted for two years or the remaining balance of the assembly’s original warranty period, whichever is longer.
*The ApplicableWarranty Period for each such product is specified in Haworth’s price list for the product.
A product will not be considered to be defective, and Haworth will not repair, or replace it or refund its price if the product (1) is a consumable product, such as a lamp;(2) is ‘‘Customer’s Own Material’’ (i.e. material specified by the purchaser or lessee that is not a standard Haworth product offering, such as Haworth Alliance fabrics); (3) isnot installed and used as recommended in Haworth’s written specification, installation, care, maintenance and user guides; (4) has been otherwise misused or sufferedabusive damage or (5) is a product that is manufactured by a third-party supplier from whom Haworth purchases it for resale without incorporating it into Haworthproduct (in which case Haworth will assign to the purchaser or lessee any warranty that the manufacturer provides), unless otherwise specified by Haworth in writing. Atall times the Covered Product must have been located in a building that is (i) dry, fully closed-in and protected from the natural elements, and (ii) adequately heated,ventilated and air conditioned in order to maintain an internal temperature between 40°F and 90°F (4°C and 32°C) and relative humidity levels between 25% and 55%.
A defect in material or workmanship does not include damage to a product, or failure of a product to operate or perform properly or to maintain appearance, caused by(a) normal wear and tear; (b) an Act of God or transportation; (c) a product alteration made without Haworth’s express written authorization; (d) the natural variation ofcolor, grain or texture found in wood and leather; (e) the natural aging found in materials such as wood, fabric and leather which results in colors shifting during use; (f )dye lot variations in fabric, leather or wall covering (g) the natural patina of leather during use; (h) ‘‘puddling’’ of leather or faux leather; or (i) reverse crocking of dyesfrom clothing onto our seating materials.
EXCEPT AS STATED ABOVE, HAWORTH DOES NOT MAKE AWARRANTY AS TO ANY PRODUCT AND, IN PARTICULAR, DOES NOT MAKE AWARRANTY OF MERCHANTABILITYOR OF FITNESS FOR A PARTICULAR PURPOSE. Product repair or replacement or refund of the price, at Haworth’s option, in accordance with this Policy, is the purchaser’sor lessee’s exclusive remedy for a product defect. Haworth shall not have tort liability with respect to a product, and Haworth shall not be liable for any consequential,economic, indirect, special, punitive or incidental damages arising from a product defect. Haworth shall not be liable for repair or product placement due to improperinstallation or any defect in materials used for installation which are not manufactured, sold or supplied by Haworth.

A. Ordering Information
Haworth sells its products on the terms set forth inthese standard Terms of Sale:
ORDERS MUST BE SUBMITTED INWRITING ORELECTRONICALLY (Lynx) AS REPRESENTED BY AVALID PURCHASE ORDER,WHICH INCLUDESPRODUCT TOTAL.
An order is not binding upon Haworth untilHaworth issues an order acknowledgment to thecustomer (the ‘‘Customer’’), which will include priceinformation and an anticipated delivery date.
1. Order Changes/Cancellations
For Specials, Customer’s Own Material (C.O.M.),finish matches, custom colors, custom products,Master lock and key orders, and RUSH orders, nochanges or cancellations are allowed 24 hours afterorder placement. All other products requireapproval for changes or cancellations. Achange/cancellation fee may apply. Contact OrderServices for applicable charges.
Ship-to addresses changed within five (5) businessdays of delivery will incur fees to coveradministrative costs due to re-labeling of productand/or reconsignment fees with the carrier.
Order cancellations are complete annulments oforders. Order changes are the deletion of line itemsor a change in size, color, quantity, ship-to address,or scope of work. There is no penalty for additions;however, any change may cause the order or theline items affected to be rescheduled. Orderchanges involving additional product and serviceswhich increase the value must be accompanied byan amended Purchase Order or other document asagreed.
ALL CHANGES MUST BE INWRITING, REGARDLESSOF THE (DOLLAR) VALUE. CHANGES ARE NOTBINDING UPON HAWORTH UNTIL HAWORTH ISSUESAN ACKNOWLEDGMENT OF THE CHANGE.
2. C.O.M. (Customer’s OwnMaterial)
A Customer who requests a fabric, surface or finishmaterial (C.O.M.) not in Haworth’s standard finishoffering must first confirm approval of or requestnew approval for the C.O.M.
Haworth will determine feasibility of the materialfor manufacturability. For a description of theprocedure to submit C.O.M. samples, contactHaworth’s Order Services department. For testinginformation, see the C.O.M. section of the catalog,or call Haworth Order Services.
If Haworth agrees to use the C.O.M., (1) Haworthshall have no responsibility for the condition,quality, value, performance, physical properties, orany other aspect of the C.O.M.; and (2) Haworthshall have no liability for any damages, injuries, orlosses to the Customer or to any third party thatshall be caused by any C.O.M., and the Customershall hold Haworth harmless for all such liability.
3. Valid/Complete Purchase Order
The following information is required in order toprocess an order with Haworth:
a. Customer Information
i. Sold To: Legal name, complete address(if Haworth is to bill the end user, provide enduser Purchase Order made out to Haworth,Inc., Haworth, Ltd.) and phone and faxnumber.
ii. Ship To: Legal name and address.
iii. Purchase Order Number: From the partyHaworth will be billing.
iv. Authorized Signature: All Purchase Ordersmust be signed by a duly authorizedrepresentative if a signature line is present.Electronically transmitted Purchase Orders willbe accepted without a signature if dealerbilled and the dealer has an electronicpurchase payment agreement on file.
v. Contact Name and Phone Number: PersonHaworth should contact with any questionsregarding the order.
vi. Shipping Contact: Name and phone numberof person to be contacted regarding shippingand delivery matters.
vii. Tagging Instructions: This information willappear on all documentation received fromHaworth including: cartons,acknowledgments, and invoices.
viii. Price Agreement or National SalesAgreement Number

B. Pricing Policies
1. Terms of Payment
Terms of payment and credit limits will beestablished based on financial information.Standard payment terms on open credit are netthirty (30) days from invoice date. Advancepayments or other payment security may berequired by Haworth. The account balance must beat or below the credit limit and current at all times(no past-due balances). Haworth reserves the rightto delay or cancel any delivery to a Customer whoseHaworth account balance is over the credit limitand/or past due. For walls and floors a deposit willbe required.
2. Terms of Credit
Customer hereby authorizes Haworth to obtainsuch credit reports, financial information or otherinformation as Haworth may request, including,without limitation, credit information from anyfinancial institutions or others having a businessrelationship with the Customer. Customer herebyauthorizes any credit references to answerHaworth’s inquiries and provide such creditinformation and documentation as Haworth mayrequest.
The Customer hereby releases and holds Haworthharmless for any inconvenience whatsoever, causedby any temporary or permanent withdrawal orrestriction of credit privileges hereunder, or theenforcement of any of the provisions contained inthis paragraph.
3. Past-Due Charges
Past-due balances will be increased by a maximumof 1.5% per month, or 18% annually, without forfeitof Haworth’s right to immediate payment.
4. Applicable Prices
The price of any product sold to Customer byHaworth will be based upon the North AmericanPrice List (Catalog).
Prices and discounts are subject to change withoutnotice or approval. In the event of an adjustment topricing, National Sales Agreement (NSA) Customerswill be notified in advance according to the termsof the NSA.
Applicable prices and currency exchange rates arethose in effect at the time of the RECEIPT of anORDER; Haworth reserves the right to use thepublished pricing effective at the time of shipment,if the requested delivery date is more than 120 daysafter the order receipt date.

Locking Components ShippingFormat
Locking components in all Haworth systems, casegoods, files and storage furniture are shipped with the lockhousings factory-installed in each unit ready to receive separate lock plug cores. Lock plugs are field installed bymeans of a control key. Lock plugs and keys will be shipped with random numbering unless they are specified‘‘keyed-alike’’. Quantity of locks will match quantity required for locking components on the order.
HW Lock Program All HW lock plugs and keys will be standard in a Master Lock Program. A Master Lock program allows for bettermanagement of the facility where one ‘‘Master Key’’ can be used by Facility Management to service all lockingcomponents within a facility. Individual offices can be keyed-alike and will receive single-key access specific tothe locking components within that workstation. Multiple locks in credenza components should be keyed-alikefor the convenience of single-key access. General storage or file areas may also be keyed-alike so that individualsmay have access to shared department documents or supplies.
To order new products within a workstation keyed-alike, the specifier should select the number of locks withinthe workstation and specify LSET quantities through Orderline. CSET lock plug and keys are to key-alike existingproduct for reconfigurations.
On Site Lock Installation One Control Key for installing the lock plug will be included with each incremental order unit of up to 200 locks.The control key is used to insert and remove the lock plug into the housing at the installation site. The control keycannot be used to remove a lock plug in the locked position from its housing. Additional control keys areavailable and should be considered for the convenience of installing locks in widely separated areas of a facility(see Keys Only, page 10).

Coding the Office Plan Each lock location should be identified graphically on the plan by a dash mark. Encode your office floor plan byusing your own coding system to identify each workstation or area that requires keyed-alike locks. Rememberthat some furniture will have more than one lock — a double pedestal desk, for instance. The coded floor planwith office identification numbers and lock quantities and color code will be required at the time of installation.The installer will be responsible for assignment of lock quantities based on this plan.

HW Lock Program The Haworth HW Lock Program is a Master Lock Program and offers the option to have workstations keyed-alike with300 lock numbers. LSET keyed-alike lock plugs/keys are for new locking product orders only and are available at nocharge.
For reconfiguration projects, there are CSET lock plugs and keys available at a nominal charge.
Work Sheet Preparation Photocopy the HW Lock Work Sheet to assist in specifying locks. This work sheet is for your convenience and is not tobe submitted with your purchase order.
Using the Coded Office Plan Enter the workstation or area identification codes from the plan into the columns headed OFFICE NUMBER on theHW Lock work sheet. The work sheet can accommodate 100 location entries.
Specifying Keyed-Alike LockQuantities and Colors
NO KEYED-ALIKE NOTE:When no LSETS are specified,plugs and keys for the totalnumber of locking componentswill be shipped automatically.
Using the plan, count the number of locking components in each workstation. Enter the number of locks under‘‘QUANTITY’’ columns, taking into account the chrome or black finish, depending on lock finishes offered. Whencompleted, each workstation should be assigned a quantity of LSETs. For file banks or storage areas requiring a largerquantity of the same lock numbers, specify LSET-999.
A Master Key will need to be separately specified.

Total the number of LSET quantities at the bottom of the work sheet. Transfer each total quantity to your Orderline orwritten purchase order.
When specifying Keyed-Alike (LSETS): LSETS must be ordered for the total number of locking components. Only thequantity of LSETS ordered will be shipped. We do not ship based upon number of locking components on order.
LSETS ordered in excess of quantities required for new locking product on the order may result in the order beingplace on hold.
As a final verification of quantity, review the plan carefully to be sure that all products with locks have beenidentified. Remember that desks, credenzas and storage units may have multiple locking components.
Line Item Entry Transfer the data from the work sheet to your Orderline or written purchase order. Enter the appropriate LSET catalognumbers on your order, followed by finish option code -BP or -BL.

Haworth will assign the lock numbers for all keyed-alike orders. Note: Specific key numbers cannot be requested.
Upon receipt of your keyed-alike order, Haworth will draw from our standard inventory of 300 lock numbers. Lockplugs will be shipped according to finish in sets per the quantity specified. HW locks and keys (Figure 3) will carry astamped ‘‘HW’’ on one side with 1 through 300 on the other side as an indication of the ‘‘HW lock’’ program.

These Terms of Sale do not cover productsmanufactured in North America shipping tonon-North American countries nor do they coverproducts manufactured in non-North Americancountries shipping to North America. A. Ordering Information
Haworth sells its products on the terms set forth inthese standard Terms of Sale:
ORDERS MUST BE SUBMITTED IN WRITING ORELECTRONICALLY (Lynx) AS REPRESENTED BY AVALID PURCHASE ORDER, WHICH INCLUDESPRODUCT TOTAL.
An order is not binding upon Haworth untilHaworth issues an order acknowledgment to thecustomer (the ‘‘Customer’’), which will include priceinformation and an anticipated delivery date.
1. Order Changes/Cancellations
For Specials, Customer’s Own Material (C.O.M.),finish matches, custom colors, custom products,Master lock and key orders, and RUSH orders, nochanges or cancellations are allowed 24 hours afterorder placement. All other products requireapproval for changes or cancellations. Achange/cancellation fee may apply. Contact OrderServices for applicable charges.
Ship-to addresses changed within five (5) businessdays of delivery will incur fees to coveradministrative costs due to re-labeling of productand/or reconsignment fees with the carrier.
Order cancellations are complete annulments oforders. Order changes are the deletion of line itemsor a change in size, color, quantity, ship-to address,or scope of work. There is no penalty for additions;however, any change may cause the order or theline items affected to be rescheduled. Orderchanges involving additional product and serviceswhich increase the value must be accompanied byan amended Purchase Order or other document asagreed.
ALL CHANGES MUST BE IN WRITING, REGARDLESSOF THE (DOLLAR) VALUE. CHANGES ARE NOTBINDING UPON HAWORTH UNTIL HAWORTH ISSUESAN ACKNOWLEDGMENT OF THE CHANGE.
2. C.O.M. (Customer’s Own Material)
A Customer who requests a fabric, surface or finishmaterial (C.O.M.) not in Haworth’s standard finishoffering must first confirm approval of or requestnew approval for the C.O.M.
Haworth will determine feasibility of the materialfor manufacturability. For a description of theprocedure to submit C.O.M. samples, contactHaworth’s Order Services department. For testinginformation, see the C.O.M. section of the catalog,or call Haworth Order Services.
If Haworth agrees to use the C.O.M., (1) Haworthshall have no responsibility for the condition,quality, value, performance, physical properties, orany other aspect of the C.O.M.; and (2) Haworthshall have no liability for any damages, injuries, orlosses to the Customer or to any third party thatshall be caused by any C.O.M., and the Customershall hold Haworth harmless for all such liability.
3. Valid/Complete Purchase Order
The following information is required in order toprocess an order with Haworth:
a. Customer Information
i. Sold To: Legal name, complete address(if Haworth is to bill the end user, provide enduser Purchase Order made out to Haworth,Inc., Haworth, Ltd.) and phone and faxnumber.
ii. Ship To: Legal name and address.
iii. Purchase Order Number: From the partyHaworth will be billing.
iv. Authorized Signature: All Purchase Ordersmust be signed by a duly authorizedrepresentative if a signature line is present.Electronically transmitted Purchase Orders willbe accepted without a signature if dealerbilled and the dealer has an electronicpurchase payment agreement on file.
v. Contact Name and Phone Number: PersonHaworth should contact with any questionsregarding the order.
vi. Shipping Contact: Name and phone numberof person to be contacted regarding shippingand delivery matters.
vii. Tagging Instructions: This information willappear on all documentation received fromHaworth including: cartons,acknowledgments, and invoices.
viii. Price Agreement or National SalesAgreement Number

B. Pricing Policies
1. Terms of Payment
Terms of payment and credit limits will beestablished based on financial information.Standard payment terms on open credit are netthirty (30) days from invoice date. Advancepayments or other payment security may berequired by Haworth. The account balance must beat or below the credit limit and current at all times(no past-due balances). Haworth reserves the rightto delay or cancel any delivery to a Customer whoseHaworth account balance is over the credit limitand/or past due. For walls and floors a deposit willbe required.
2. Terms of Credit
Customer hereby authorizes Haworth to obtainsuch credit reports, financial information or otherinformation as Haworth may request, including,without limitation, credit information from anyfinancial institutions or others having a businessrelationship with the Customer. Customer herebyauthorizes any credit references to answerHaworth’s inquiries and provide such creditinformation and documentation as Haworth mayrequest.
The Customer hereby releases and holds Haworthharmless for any inconvenience whatsoever, causedby any temporary or permanent withdrawal orrestriction of credit privileges hereunder, or theenforcement of any of the provisions contained inthis paragraph.
3. Past-Due Charges
Past-due balances will be increased by a maximumof 1.5% per month, or 18% annually, without forfeitof Haworth’s right to immediate payment.
4. Applicable Prices
The price of any product sold to Customer byHaworth will be based upon the North AmericanPrice List (Catalog).
Prices and discounts are subject to change withoutnotice or approval. In the event of an adjustment topricing, National Sales Agreement (NSA) Customerswill be notified in advance according to the termsof the NSA.
Applicable prices and currency exchange rates arethose in effect at the time of the RECEIPT of anORDER; Haworth reserves the right to use thepublished pricing effective at the time of shipment,if the requested delivery date is more than 120 daysafter the order receipt date.

North American Terms of Sale

Haworth Flooring products are sold using the NorthAmerican price list in US dollars. Currency exchangerates at the time of the transaction will be used toconvert the USD amount into the alternatecurrency. Should the currency exchange ratebetween the USD and alternate currency changebetween a quote and the receipt of an order, thealternate currency amount will also change toequal the current, equivalent USD amount.
5. C.O.M. (Customer’s Own Material) Charges
Refer to appropriate Customer’s Own Material(C.O.M.) form for applicable surface materialcharges.
6. Taxes
Haworth prices do not include customs duty, sales,use, value added or similar taxes. Any federal,state/provincial or other taxes or assessmentsbased upon the sale or delivery of products orservices sold applicable to the customer at presentor later imposed by federal, state/provincial ormunicipal agencies, shall be added and paid by thecustomer. Customer is responsible for all such taxes.
NOTE: For all countries a valid sales tax exemptioncertificate must be approved by and on file withHaworth prior to product shipment. Otherwise,sales tax will be due and payable to Haworth whensuch tax is invoiced to Customer.
7. Services
If, as a result of Customer request, the Haworthdealer or Haworth subsidiary provides planning/design services, storage, project management,special handling, set-up, installation and/or otherservices, the Customer will be charged at the localHaworth dealer/subsidiary’s prevailing rates.
8. Termination by Haworth
Haworth may immediately terminate an order uponwritten notice in the event bankruptcy orinsolvency proceedings are instituted by or againstthe Customer, or the Customer is adjudicated asbankrupt, becomes insolvent, makes an assignmentfor the benefit of creditors, or proposes or makesany arrangements for the liquidation of its debts, ora receiver or receiver and manager is appointedwith respect to all or any part of the assets of theCustomer.
C. Shipping and Delivery
Haworth will have the right to determine themethod of shipment and routing of product.
This section does not apply to any of Haworth’sFlooring products. All Haworth Flooring productsare sold freight collect.
If, for any reason, a delivery has to be made to anintermediate location (i.e. a location other than the‘‘Ship To’’ location noted on the order or ultimateend user location), all handling and re-deliverycosts incurred would be at the Customer’s expense.
1. U.S.A. - Contiguous
All deliveries will be CPT (Carriage Paid To) (ICCIncoterms 2010) Haworth’s manufacturing facilitiesor distribution centers. Freight charges will beprepaid by Haworth on all orders to locationswithin the continental United States. Customerbears all risk of loss or damage to the goods whenthey are placed on Haworth’s means of transport.
2. U.S.A. - Non-contiguous (Alaska, Hawaii andPuerto Rico)
All deliveries will be CIF (Cost, Insurance andFreight) (ICC Incoterms 2010). Haworth’s catalogprices include ocean freight and insurance to theport of the final destination. Haworth has the rightto determine the carrier, method of shipment androuting. Haworth will contract with the insurer andprovide minimal insurance coverage (CIF @ 110%)made payable to the Customer. Customer isresponsible to obtain greater insurance if sodesired.
Customer bears all risk of loss or damage to thegoods when the goods are effectively at thedisposal of the Customer on board the vessel at thenamed port of destination. Proof of delivery is aclean on board bill of lading. Customer will beresponsible for all on-carriage from the receivingport to the final destination.
3. Canada
All deliveries will be DDP (Delivered Duty Paid) (ICCIncoterms 2010). Haworth’s catalog prices includedelivery to Customer’s named place, not unloadedfrom any arriving means of transport. Customerbears all risk of loss or damage to the goods whenthey are delivered to the Customer’s named facilitynot unloaded. Haworth will assume responsibilityto file all freight claims with the carrier for anyloss/damage which may occur while product is intransit, and will promptly repair or replace anydamaged or lost product. Haworth requires theCustomer to report all freight damage and/or lossto both the carrier and to Haworth.
NOTE: Under all delivery terms (U.S.A. and Canada),any additional expense resulting from Customer’srequest for expedited transportation, specialservices, packaging, handling, routing, and/orshipping method will be billed to Customer.
4. Mexico
All deliveries will be DAP (Delivered to Place) (ICCIncoterms 2010). Haworth’s catalog prices includefreight charges for normal surface transportation toa United States point of exportation within the 48
contiguous states. Haworth has the right todetermine the carrier, method of shipment androuting.
Customer bears all risk of loss or damage to thegoods when the goods are delivered to the namedUnited States point of exportation. Haworth willprovide customs clearance facilitation andarrangement of local delivery through anAuthorized Dealer in Mexico, on a separatelynegotiated basis. Otherwise the Customer will beresponsible for all customs clearance formalitiesand on-carriage from the United States point ofexportation to the final destination in Mexico.
5. Delivery Dates and Delay
If Haworth cannot deliver products as scheduleddue to causes beyond its reasonable control (suchas casualty, labor disputes, or accident; inability toobtain necessary labor, material or transportation;or changes requested by the Customer), thedelivery date will be extended to compensate forthe delay as determined by Haworth.
6. Delivery Shortages and Damage
Product shortages and damage must be noted ondelivery receipts at the time of delivery andreported to the carrier for correction.
Claims against Haworth for shortages, errors, ordamage must be made within ten (10) days of thedate of delivery or the Customer waives the right tomake such a claim. Signed Bill of Ladings orDelivery Receipt must be sent in with claims. Seethe Haworth/Haworth Dealers Roles andResponsibilities document for further details.
7. Storage
Haworth may transfer product to storage at theCustomer’s risk and expense if the Customer isunable or unwilling to take delivery of product asoriginally scheduled. Upon such transfer to storage,the Customer assumes risk of loss. Haworth willinvoice the Customer for storage fees and theCustomer will make payments in accordance withHaworth’s standard payment terms.

D. General Terms
1. Governing Law
For products purchased for delivery in the U.S.pursuant hereto, this Agreement shall be governedby and construed according to the laws of the Stateof Michigan. Where Products are purchased fordelivery in Canada pursuant hereto, this Agreementshall be governed by and construed according tothe laws of the Province of Alberta. In either case,the parties attorn to the exclusive jurisdiction of thecourts of Michigan and Alberta, respectively for thepurpose of hearing any disputes arising under thisAgreement or with respect to any Products soldpursuant hereto, and agree that the provisions ofthe United Nations Convention on Contracts for theInternational Sale of Goods and any other provisionor law which would have the effect of applying thelaws of any jurisdiction other than Michigan orAlberta, as the case may be, shall be excluded.
2. Force Majeure
In the event that the performance of Customer orHaworth or its participating dealer assignee(s)would be prevented, restricted, interfered with orrendered commercially impracticable by reason ofForce Majeure, then upon the giving of notice tothe other parties, the party affected by the ForceMajeure shall be excused from performinghereunder until the Force Majeure no longerprevents, restricts, interferes with, or renders suchperformance commercially impracticable.
‘‘Force Majeure’’ shall mean: fire, explosion,breakdown of plant, epidemic, hailstorm, snow/icestorms en route, hurricane, tornado, cyclone, floodor power failure; war, revolution, civil or militarydisturbances, acts of public enemies, acts ofterrorism, blockade or embargo; any law, order,proclamation, regulation, ordinance, demand orrequirement of any applicable governmentalauthority or any subdivision, authority, orrepresentative of any such government; labordifficulties, including without limitation, strikes,slowdowns, picketing or boycotts; or difficultiesbeyond Haworth’s reasonable control in obtainingnecessary raw materials, labor, fuels and electricpower, components or facilities, and any othercircumstances beyond the control of the partyaffected.
3. Delays by Customer
Where Haworth has not received adequate sitedimensions, Product specifications, shippinginformation, installation particulars or otherinformation required by Haworth to permit theefficient manufacture of any Products, or where siteconditions are not in accordance with theInstallation Requirements set forth, or are nototherwise suitable to permit effective and efficientinstallation, the manufacture and/or delivery ofProducts may be delayed, and such event shallconstitute a delay by the Customer. Whenmanufacture, delivery or installation is delayed bythe Customer or at the Customer’s request: (i)Haworth may, at its option, present the invoice forthe full price of the Products to the Customer asthen due and payable; (ii) the Customer shall pay to
Haworth all reasonable storage, handling and otherreasonable incidental expenses incurred byHaworth in connection with such delay; and (iii) theCustomer shall bear all risk of loss or damage to theProducts being held by Haworth for the Customer.
4. Use and Installation of Products
Haworth recommends that its products be installedby certified, qualified and approved installersaccording to Haworth’s written installationprocedures. The Customer agrees to use Haworthproducts properly; not to remove or alter safetydevices, warnings, or operation instructions placedon products by Haworth, and to instruct employeesas to the proper care and use of the productsaccording to printed instructions.
5. Warranty
Haworth’s standard North American Warranty willapply as appropriate. All product line warrantyspecifics are available in each catalog or uponrequest.
E. Services
Service requests for design, installation, relocation,storage, etc. are handled by the local Haworthdealer on a separately negotiated basis. Contact thelocal Haworth dealer, affiliate or area sales office formore details.
Scope of Work - Design
Customer acknowledges that the Products to bemanufactured or procured by Haworth inconnection with the order are or may be custommanufactured for the Customer and that Haworthmay be required to perform extensive work inrelation to the design and specification of suchProducts. Where Customer requests that Haworthcreate as-built drawings or make more than twomaterial revisions to any particular Product designor specification, Customer agrees that Haworthshall be entitled to invoice Customer with respectto such additional work on the basis of Haworth’sthen prevailing rates for related design andspecification services.
Installation Requirements
Where installation services are to be provided byHaworth, its authorized dealer or subcontractor, adocument will be provided setting forth the scopeof installation work to be performed (the ‘‘Scope ofWork’’) and the price to be charged therefore.Unless otherwise specified in the scope of work,Haworth’s installation services are limited toproducts sold by Haworth with the exception oflighting, under floor electrical and data.
General Conditions
(a) Sufficient time shall be allocated by theCustomer following delivery of Products and priorto Customer’s occupation of the premises to allowthe installation of all Products during conventionalworking hours, Monday through Friday, 7:30 a.m. to4:30 p.m. Where sufficient time is not allocated andHaworth is required or requested to performinstallation work outside of such times, overtimecharges shall be charged at Haworth’s thenprevailing rates. (b) Haworth shall be given free andexclusive access to; (i) a loading dock within 150′ ofthe freight elevator or hoist, which loading dockshall be of sufficient size to enable full-size tractor-trailer deliveries to the premises (where required byHaworth); (ii) a freight elevator or hoist of sufficientsize and capacity to allow the efficient movementof the Products; (iii) an unobstructed and safepathway to the area where Products are to bestored or staged; (iv) a secure storage / staging area;(v) convenient trash facilities; (vi) adequate lighting;(vii) a work site that complies with applicable healthand safety legislation. Where such areas andfacilities are not available, Haworth shall be entitledto bill Customer for all amounts incurred byHaworth for double-handling, product movement,lifting, hoisting, trash removal and any otherresulting charges. (c) The installation site shall befree and clear of existing furniture, debris, or otherobstructions (including construction in progress)and shall otherwise be in the reasonable opinion ofHaworth ready for installation of the Products. Anybuilding where Products are to be installed shall befully closed in, dry and protected from the naturalelements, with temperatures between 40°F and90°F (4°C and 32°C) and relative humidity not toexceed 70% at all times including receipt ofproducts, during and after installation and shall beadequately heated and/or air-conditioned. Whereunusual site conditions exist which impede orprevent the normal installation of any Products,applicable extra charges shall apply at prevailingrates. (d) Haworth’s installation pricing is basedupon the installation occurring as one continuousdelivery and installation project. Phased installationpricing shall be provided by Haworth on a case bycase basis. (e) Electrical hardwiring, plumbing andmechanical work is not included and shall be theresponsibility of the Customer. (f ) Except as may beotherwise specifically indicated, installation pricingdoes not apply to projects where union labor isrequired. Where Haworth has provided installationpricing on the basis that non-union labor beutilized, and where Haworth is required to useunion labor or it otherwise becomes impractical touse non-union labor, or where Haworth is requiredby law to use prevailing wages, Haworth shall beentitled to charge the Customer for any costdifferential between the anticipated cost ofnon-union labor and the actual cost of utilizingunion or prevailing wage labor. (g) Haworth shallnot be responsible for obtaining permits.

Project / Site Conditions
Lateral load bracing is not included in the scope ofHaworth’s work and shall not be performed byHaworth. In areas where flooring Products are to beinstalled by Haworth overhead construction mustbe completed prior to the commencement of suchwork to avoid damage to the panels and finishes.The existing subfloor must be smooth, moppedclean, free of moisture, dust, dirt and debris. Onceinstalled, the access floor must be maintained in thesame manner. The subfloor must have a maximumvertical elevation deviation of 0.375″ (10mm) over ahorizontal span of 10′-0″ (3m), and withoutdiscontinuities in floor slope. For greater certainty,the scope of Haworth’s installation work in suchareas shall not be deemed to include any workrequired to level such subfloor, remove protrusions,remove pre-existing floor coverings or adhesives, orany other work which is required to remedy anyconditions which may impede the efficientinstallation of flooring. Except as may be otherwisespecifically indicated in the order, installationpricing for flooring Products and the Scope of Workin relation thereto shall not include any workrequired to remove and replace floor panelsfollowing their initial installation to providetradespersons or others with access to theunderpanel cable management cavity. In areaswhere movable walls are to be installed, all flooring(including carpeting) and ceiling components(including dropped ceiling grid components) shallbe fully complete and ready for the installation ofthe movable wall products. Further, the existingfloor (or other surface on which the movable wallpanels are to be installed) shall have a maximumvertical deviation of 1.25″ (30mm) and the droppedceiling grid shall have a maximum vertical deviationof 0.375″ (10mm) from the specifications to whichsuch movable wall panels were designed andmanufactured (collectively the ‘‘PermittedTolerances’’), and shall otherwise comply with anysite condition assumptions made known toHaworth prior to the manufacture of such Products(the ‘‘Site Assumptions’’). Where the PermittedTolerances or Site Assumptions are not strictlyadhered to or met, additional charges may beincurred in connection with site remediation and/orthe modification or remanufacture of affectedmovable wall products, together with all resultingshipping and labor charges at Haworth’s thenprevailing rates for such Products and services.
Installation Change Orders
Where Customer requests work to be performed ormaterials to be provided which are notcontemplated in the Scope of Work, or Customerotherwise requests Products or services notcontemplated in the order (collectively ‘‘Extras’’),prior to providing such Extras Haworth reserves theright to require the Customer to provide and sign awritten Purchase Order or Change Order acceptableto Haworth describing the Extras and the amountsto be charged therefore, and the Customer agreesto pay such charges.
Entire Agreement
The order and this Agreement (including applicableSchedules) constitute the sole agreement between
the parties and supercede any prior understandingor written or oral agreements between the parties(excluding National Sales Agreements). No waiverof any of the provisions of these Standard Termsand Conditions shall be binding on Haworth unlessexpressly agreed in writing.
