Subject: Limited tender through E-procurement portal for providing outsourced manpower

(CRFQ no. 1000288678 due on 25th September 2017 at 14.00 Hrs)

1. Bharat Petroleum Corporation Limited (BPCL) is one of India’s leading public sector oil

companies engaged in exploration, production, refining and marketing of petroleum products. BPCL is ranked among the top Indian Companies on the prestigious Fortune 500 list and among the PLATTS top 250 energy companies in the world. Bharat Petroleum Corporation Limited (BPCL) a ‘Navratna’ Public Sector Enterprise, with a turnover exceeding Rs. 2500 billion produces and markets a diverse range of products, from Solvents to Aircraft Fuel and Specialty Lubricants. BPCL is India’s second largest Oil Company in terms of market share with a distribution network encompassing over 13,000+ Petrol Stations, 1000 Kerosene dealers and over 4,300+ LPG distributors. Bharat Petroleum Corporation Ltd. has started online Food & Grocery Retail for Urban Household Solutions initiative. The business has successfully completed pilot phase and now we are moving forward to the next phase. We seek bids for providing manpower for various activities like customer acquisition, warehouse operations and last mile delivery. Currently this business is active in Pune city and is likely to expand rest of India in due course. You are invited to submit your offer/bid in a two-part bid (Technical bid and Commercial bid) for the requirements as mentioned in Annexure – I .

2. This tender document consists of the following annexure(s), which are enclosed:

3. Bidders are required to submit their tender documents in two part bids consisting of the following, through E-Tender:

a) Technical Bid (Part – I) : This should contain the following documents and should

be uploaded online:- i. Signed and stamped copy of General conditions of contract (Annexure –

III)

b) Price Bids (Part – II): This should contain only the best rate as per price bid format on the e-procurement portal.

4. Please visit the website https://bpcleproc.in for participating in the tender and submitting

your bid online by using your digital signatures. Please go through the web site for registration process and download “Instruction to Vendors” the process document for bidding online. All the bids shall be evaluated from the bids/ documents submitted by the bidder on the E-Procurement portal only. Hard copies of the bids need not be submitted to BPCL office.

5. EMD of Rs. 1,00,000/- ( ONE LAKHS) is required to be submitted in physical form ( by

the way of crossed A/c Payee demand draft drawn on any national or scheduled bank in favor of “Bharat Petroleum Corporation Limited” and payable at Mumbai, in a sealed cover. Please note that non submission of EMD will result in disqualifying the tender.

6. BPCL will return the EMD amount to the un-successful bidder after the finalization of

tender. The EMD of successful bidder will be returned after submission of Performance Bank Guarantee (format attached) amounting to 10% of the total contract value.

7. The price quoted should be valid for 120 days from the date of submission of bid.

8. Vendors who are currently on BPCL’s holiday list / Black list will not be considered. 9. As our company’s guidelines do not permit post-tender negotiations except with

the tenderer offering the best financial terms, you are requested to submit your best terms at this stage itself.

10. Your bid should be submitted on or before the due date of this tender viz. 25th

September 2017, 14:00Hrs and original EMD instrument should reach BPCL office before the due date and time of bid submission.

11. Bids submitted after the due date & time of tender or those not in the prescribed format

are liable for rejection. BPCL does not take any responsibility for any delay in submission of bid due to any reason. No claims on this account shall be entertained.

12. Price bids of only those bidders shall be opened whose technical bid is found to be acceptable i.e. meeting all technical requirements mentioned in tender document.

Special Conditions of contract (Annexure – II)

I. Tender Conditions

a) BPCL reserves the right to vary above schedule at its absolute and sole discretion, should the need arise and Bidder acknowledges that it cannot hold BPCL responsible for breach of any of the dates.

b) From the date of RFP issue through the date the contract is awarded, communication / correspondence regarding this RFP with any BPCL personnel or its members or anyone other than the designated contact person listed in the RFP instructions is prohibited. Failure to follow this provision may be grounds for disqualification from proposal consideration.

c) Any costs incurred in responding to this request for proposal shall be borne by the Bidder only.

d) BPCL reserves the right to cancel the tender at any stage without assigning any reason.

e) At any stage during the contract period, if it is observed that offered service does not meet BPCL’s requirement and / or fails to provide requisite performance due to any reason not attributable to BPCL, the successful bidder shall have to take suitable measures without any additional cost to BPCL.

f) BPCL reserves the right to accept or reject any, or all proposals received as a result of this request, or to cancel in part or in its entirety this RFP, if it is in the best interest of BPCL.

g) All terms, conditions and provisions contained in the RFP shall form part of the contract by default.

h) BPCL reserves the right to conduct telephonic / face-to-face interview / conduct test with the resources proposed.

i) Bidder agrees to provide category wise resources as indicated in the bid depending on the BPCL requirement.

j) Sales Executives – Should be allowed for reimbursement of local conveyance (on per KM basis). They would be required to travel approximately 40 KM to 50 KM per day from the BPCL designated place within Pune city. They need to own/ have a two wheeler for local travel. This reimbursement will be based on actual travel verified by BPCL before making the payment to bidder.

k) One time recruitment cost per resource shall be paid by BPCL. In case of resource leaving the job, within 60 days of joining, bidder will have to provide alternate resource without any additional recruitment cost.

l) As and when the requirements come up, the bidder would be required to provide CVs of the resources for placement within 7 days of request and the deployment should be completed within 30 days from the date of request.

m) As advised by Ministry of Home affairs 100% Police verification is mandatory for all outsources manpower. Resources that have valid PVC (police verification certificate) only will be deployed for BPCL activities post interview and selection.

n) Maximum CTCs to be paid to each resource which includes all components of the remuneration (i.e Basic + Variable + HRA + Conveyance + Bonus + Medical Reimbursement + Employer's PF + Insurance + LTA + Gratuity) has been defined. The CTCs is inclusive of all statutory payments like PF, ESI, Leave Salary, Bonus etc. The vendor will pay as per CTC agreed under the contract from time to time and maintain all relevant records as per statutory requirement.

o) BPCL will provide Tablets, warehouse portable POS terminals, credit card machines etc. to the select roles as per BPCL decision. Although these devices would be under Warranty and insurance, but successful bidder will have to take proper care of these devices. Terms defined under SCC are the minimum eligibility criteria for the vendor and any deviation from these may result in rejection of the bid. Therefore, tenderer is requested to critically review these eligibility criteria and submit their response against each requirement. Wherever required necessary documentary proof or write up must be enclosed as a proof of meeting those eligibility criteria.

p) Quality of manpower, adherence to SLAs, quality of supervision and adherence of the timelines is the essence of the contract and any deviation shall attract penal clauses / Risk Purchase clause as mentioned in SCC.

q) Offer with the lowest quote while meeting all the eligible criteria shall be taken as final and order shall be issued accordingly. BPCL reserves the right to accept / reject the offer or split the order among multiple vendors based on the evaluation carried out at our end.

II. Termination of Contract:

BPCL may, without prejudice to any other remedy for breach of contract, by written notice of default, sent to the Bidder, terminate the Agreement for services in whole or in parts: a) If the Bidder fails to deliver either the whole or part of the services as defined in

scope of work within the time period(s) specified in the agreement or any extension thereof granted by BPCL

b) If the Bidder, in the judgement of the BPCL, has engaged in fraudulent and corrupt

practices or acted with mala fide intentions in competing for or in execution of the Contract.

c) For convenience the notice period shall be 30 days. d) In the event BPCL terminates the Agreement in whole or in part, as per the above

excluding for convenience period, BPCL may procure the services form anyone in such manner as it deems appropriate. It will be done at the risk and cost of the Bidder. However, the Bidder shall continue performance of the Contract to the extent not terminated.

e) In case Bidder is not able to fulfill the contractual commitments, then BPCL may

decide to terminate the contract at its discretion and may not engage the bidder in future BPCL projects.

III. Code of Conduct to be followed while at BPCL premises

a) The resources engaged by bidder will follow the normal code of conduct applicable

to staff of BPCL. In addition to this, they will not be in possession of removable storage devices like pen drive, CD writer, floppy, etc. Or any other equipment while at work in BPCL premises.

b) Use of internet access shall be provided for official purposes and not for personal

use. If the resource is found not adhering to the code of conduct specified, he / she would be terminated with no further questions asked and the Bidder will have to provide immediate replacement of the resource so that BPCL work does not get affected.

IV. Payment Terms

a) Monthly on submission of bills with timesheet duly certified by BPCL. Payment will

be made within 7-10 days from the date of receipt and acceptance of the bills. b) Payment for part period assignment, if any, will be made on pro-rata basis i.e.

(Man Month rate / 30) * No. of days. c) Payment will be done by Electronic Fund Transfer based on submission of bills /

invoices duly certified by BPCL. d) Please note that variation, if any, during the contract period in the rates for

statutory levies / taxes / duties will be allowed only on submission of documentary evidence from the Government / Statutory authorities and its acceptance by the BPCL.

e) No advance payment will be made. f) No other expenses (e.g. accommodation etc.) will be paid by BPCL except for the

CTC as agreed. However BPCL will pay a lumpsum cost of conveyance allowance to Sales Executives on per KM basis. This will be reimbursed to the succesful bidder in a seperate invoice under debit note after verification by BPCL.

g) Leave requests would have to be sanctioned by BPCL. However leave days will not be charged to BPCL.

h) The contract period will be valid for 12 months from the date of issuing purchase Order, however BPCL reserves the right to terminate / modify the duration of the contracts or foreclose the contract with 45 days prior notice.

i) BPCL is not bound to award the Contract to the bidder that quotes the lowest rate /

cost, and is free to carry out negotiations with the L1 vendor in the manner considered appropriate.

j) Bids submitted after the due date and that not in conformity with the prescribed

Terms & Conditions and specifications laid down in this tender are liable to be rejected.

k) The costs for preparing, submitting the Bids, including visits to BPCL‟s Office, if

any, are not reimbursable.

V. ORDER AWARD / EVALUATION CRITERIA:

Tender will be awarded on L1 (Lowest Quote) basis. In case the Price bid is found to be above our estimates, the L1 vendor will be called for further negotiations. The total cost of the solution to the company shall be calculated taking all cost elements mentioned in the price bid. as well as taxes, duties and levies payable thereof. The evaluation will be done based on the total cost to company. 100% tendered quantity shall be awarded to the lowest quoted vendor subject to successful evaluation of technical round.

VI. TENDER QUANTITY

BPCL reserves the right to increase or decrease the tendered quantity of one or all the line items.

VIII. OBLIGATIONS

Successful bidder shall employ candidates (Associates) for rendering Services to BPCL who shall be on the rolls of Bidder.

The bidder shall submit all such relevant documents evidencing the payments of

all dues, salaries and statutory payouts to BPCL on monthly basis on or before

submission of Bills for the next month, to enable BPCL to effect payments in terms of this Agreement.

During the tenure of this contract if the BPCL is not satisfied with the services of any of the Associates provided by successful bidder for the following among other reasons:

o has engaged in any misconduct/misappropriation/ disobedience ;

o is incompetent or negligent in the performance of his duties;

o fails to conform with any provisions of this Agreement;

o engaged in a conduct which is prejudicial to safety, health or protection of the environment and the objectives of BPCL or makes error in discharge of his functions.

o Cash / money / valuable items loss / theft.

On the happening of any such event, Successful bidder shall immediately withdraw such Associate from the services without any prejudice and provide a suitable replacement within 24. In case of loss of money/ valuable items the bidders would be responsible for paying back to BPCL subject to maximum of Rs 30,000/- per event.
