September 11, 2015 JONALEIGH MARIE CASCABEL Proprietor TAPINOY Food on the Go San Pedro Street, Davao City Dear Ma’am, This letter is addressed to TAPINOY Food on the Go (as the Customer) to confirm the interest of Customer in entering into a services agreement with Evangelio Auditing Firm (as the Vendor) for Vendor’s provision of auditing services to Customer. In consideration of the time and efforts of each of the parties in negotiating the Services Agreement, Customer agrees and acknowledges that it will negotiate exclusively with Vendor for the provision of the Services, and will not contact, respond to proposals from, or negotiate with any other vendor or third party for or in connection with the provision of the Services, as of the date of this letter and continuing up to and including the Exclusivity Period indicated in the contract. If the Services Agreement has not been executed before the expiration of the Exclusivity Period, the parties shall agree to either: (a) agree upon an extension to the Exclusivity Period, (b) continue to negotiate the Services Agreement in accordance with the terms of this letter on a nonexclusive basis, or (c) cease negotiations and terminate this letter subject to the terms of this letter. During the negotiation of the Services Agreement, it is expected the parties will exchange confidential information. The parties agree to treat such confidential information in accordance with the confidentiality provisions set forth in the contract. If the foregoing is satisfactory, please indicate your agreement with the foregoing by countersigning a copy of this letter and returning it to our attention.
