INSTRUCTION TO BIDDERS & BIDDERS QUALIFICATION CRITERIA (BQC)

1.0 Introduction: The job involves “Hiring of Vehicles for Operations/ Maintenance/ROU Activities in Mumbai-Washala-Manmad-Sanghvi-Dhule areas of MMBPL for period of 2 Years.”

BPCL invites sealed bids on Three Bid basis [Part 1 –Pre-Qualification Bid (PQ), Part 2 –Un-priced Technical & Commercial Bid and Part 3 - Priced Bid] from experienced & reputed contractors having sound financial standing and fulfilling the PQ bid Criteria stated as below. The details are given in attached Scope of work. Bidders to note that Attachments as indicated in the Index are also part of Tender Document and shall be read along with tender document.

2.0 Bidding instructions: Bidders are requested to download the entire tender document from BPCL website and take print-out for the submissions of bids. Bidders shall enclose a declaration in their bids that no terms and conditions / wordings / sentences have been changed or modified by them, in the tender document. Bidders shall stamp and sign each and every page of tender document as token of their acceptance of the terms and conditions mentioned therein. The bids shall be signed by bidder’s authorized representative and his name and designation shall be mentioned on the bid document. Power of attorney for authorization to sign and submit bid document on behalf the bidder shall be provided, for the bidder’s authorized representative. Your quotation shall be forwarded in described format only. Bids received in format other than the described format are liable to be rejected. Your quotation should comprise of one copy of price bid, two copies of un-priced techno-commercial bid and Prequalification bid and an envelope of EMD. All the four items shall be put in four sealed envelopes and the envelopes should be superscribed with appropriate captions. I.e. tender no. ________due on ______ and subject (techno-commercial, priced, Pre- qualification bid, EMD etc. as the case may be). Above mentioned four envelopes shall be put in common sealed envelop marked with appropriate captions. I.e. tender no. ________due on ________ and subject (title of the tender). The Name and Address of the bidder should appear on all the envelops.

The priced and unpriced bid shall be identical in all aspects except that the priced bid alone shall contain the price/s. All other terms and conditions appearing on our invitation to tender shall apply. Non compliance shall result in rejection of offers. In case of hand delivery, tenders shall be deposited in P&CS tender box installed at Refinery main gate, Mahul, BPCL refinery or in the tender box installed at P&CS department at second floor in south block, Admin Building of Refinery. Tenders shall not be handed over to any other person or deposited at any other place. Bids received after Bid due date and time shall not be considered The bidder shall bear all cost associated with the preparation and submission of his bid, and BPCL will in no case be responsible and liable for these costs. Earnest Money Deposit (EMD) The bid must be accompanied by Earnest Money Deposit of Rs. 5 lakhs (Rs. Five lakhs only) in the form of crossed demand draft / pay order / non-revocable bank guarantee in favour of Bharat Petroleum Corporation Limited, Mumbai. Bank Guarantee shall be on non-judicial stamp paper of value not less than Rs. 100 from any scheduled bank (other than co-operative bank) as per proforma enclosed. Validity of the bank guarantee shall be minimum 6 months from the bid due date. EMD shall be submitted in separate sealed envelope. Any bid not accompanied by earnest money deposit (EMD) as stated above shall be rejected. Only bidders registered with Bharat Petroleum Corporation Ltd and bidders registered with National Small Scale Industrial Corporation Limited (NSIC) for Jobs under mentioned clause no. 3 (Bidders Qualification Criteria) are exempted from furnishing EMD. Bidder(s) claiming exemption from EMD for being registered with BPCL / NSIC for the said job Jobs, shall submit documentary proof of their registration with BPCL.

EMD will be forfeited if the bidder - a) Modifies / withdraws the offer during the validity period of 180 days from the due date or extended due date of the tender OR b) Does not produce acceptance of LOI or purchase order within 7 days time from the date of issue by the owner OR c) Does not execute the job in line with tender condition and agreed terms. BPCL shall return the EMD to all unsuccessful bidders without any interest. EMD of successful bidder may be converted in to security deposit. No interest shall be paid on earnest money deposit. Bid Opening: EMD and Pre–qualification Bid will be opened on the next working day of bid due date at 2.00 PM in Admin. Building, II Floor, P&CS Dept, BPCL office, Mahul, Mumbai - 400 074. One of your representatives can witness the bid opening in our office. You are requested to inform us the name of the person who will be attending the bid opening in advance, to enable us to prepare a welcome slip. Deviations Bidder is requested to adhere to technical specifications as well as commercial terms of the entire tender documents. Bidders are requested to have all their queries clarified before bidding. However, if you still have deviations on BPCL Tender Documents including attachments, please indicate deviations in your offer of “Part 2 –Un-priced Technical & Commercial Bid” under a separate title 'deviations' giving reference to Tender clause no. Deviations appearing under clause 'deviations' shall be considered while evaluating the offer. Decision of BPCL will be final and binding on the bidders. In case your offer does not contain a separate title "deviations", it will be considered that you are accepting all the clauses and specification in toto. Validity: Your offer shall be valid for a period of 180 days from the due date / extended due date. Taxes & Duties:

Bidders shall quote rate inclusive of all currently applicable taxes and duties except service tax. However Service Tax, if applicable shall be quoted separately (Form A) enclosed in the Tender Documents. The Service Tax shall be borne by BPCL and paid if a proper invoice addressed to BPCL-Mumbai Refinery is given with details such as the party’s Name & Address, Service Tax Registration Number, Description, and Category, indicating the value of Service and Service Tax amount separately.

All bidders are required to provide Permanent Account Number along with the bid while quoting.

NEFT Payment: Payments shall be made by National electronic fund transfer (NEFT) only. Payment by cheque will be made only to those bidders whose bank is located in the city where NEFT payment facility is presently not available. 3.0 BIDDERS QUALIFICATION CRITERIA: The Pre-Qualification criteria for the subject job is as specified below:

I. Average Annual financial turnover during the last 3 years, ending 31st March of the previous financial year, should be at least Rs 35.63 Lakhs

II. Experience of having successfully completed similar works during last 7 years ending last

day of month previous to the one in which applications are invited should be either of the following:

a. Three similar completed works, each costing not less than the amount equal to

Rs 47.51 Lakhs or

b. Two similar completed works, each costing not less than the amount equal to Rs 59.38 Lakhs or

c. One similar completed work costing not less than the amount equal to

Rs 95.02 Lakhs.

III. Financial net worth of the bidder shall be positive as per the latest audited annual report and certified by the Chartered Accountant. The certified copy of net worth of bidder should not be older than last financial year.

Similar work shall mean the experience of executing contract of providing Air-Conditioned Vehicles (SUVs/MUVs) on hire for movement of Company Officials on a continuous basis for at least Twelve (12) months. The contractor should submit the documentary proof related to Pre-Qualification criteria as stated above in a separate envelop along with the Bid. Bids of only those bidders fulfilling the Bidder’s qualification criteria as mentioned above will be evaluated for further technical and commercial evaluation.

a. Company Profile, Registration Certificate of Company/Partnership deed as applicable. b. Experience on similar completed works executed in the form of Purchase Order/ Contract

copy during the last five years; and details like monetary value, clients, proof of satisfactory completion (Annexure-A).

c. Information regarding Jobs in hand (Annexure-B & C), current litigation (Annexure-D), orders regarding exclusion/ expulsion or black listing, if any. Declaration that the bidder has not been banned by Indian Government or quasi-Indian Government agency or Indian PSU.

d. Documentary evidence of adequate financial standing, Certified by Bankers, Audited Profit & Loss A/c and Balance Sheet, Annual turnover in last five years, access to adequate working capital.

e. List of Vehicles proposed to be deployed for the subject contract (Documentary proof for RC book and fitness certificate of the vehicles) or Vehicles proposed to be purchased on award on job.

f. Service Tax Registration certificate. g. Permanent Account Number (PAN)

5.0 BID EVALUATION CRITERIA Bids of only those bidders fulfilling the Bidder’s qualification criteria as mentioned above will be evaluated for further technical and commercial evaluation. BPCL intends to award this contract on overall lowest quote basis.

5.0 SCOPE OF WORK:

PROVIDING VEHICLES ON HIRE AT MUMBAI/URAN (Maharashtra), WASHALA (Maharashtra), MANMAD (Maharashtra), SANGHVI (Maharashtra)

and DHULE (Maharashtra) FOR TWO YEARS PERIOD

Mumbai-Manmad-Bijwasan pipeline (MMBPL) is 1389 KMs in length starting from Mumbai in Maharashtra to Bijwasan in Delhi. MMBPL has many locations along the pipeline route and it is required to hire vehicles for Operations, Maintenance and ROU activities of Pipelines. It is intended to hire vehicles on monthly basis for two years period.

Whenever cumulative running KM of the vehicles provided at each location & as categorized in Schedule I, exceeds minimum commitment KM per month as mentioned in Schedule II, the extra KMs shall be paid as per rates quoted by the vendor for respective categories at each location. During the contract period if for any reason any one or more vehicles usage is terminated as indicated in Schedule I, minimum KM of that vehicle shall be deducted accordingly for calculation of Cumulative KM of base location as indicated in Schedule II. 3. The vehicles provided must be in excellent condition, clean and mechanically sound. The

vehicles which will be provided for the above job should have registration and Chassis Mfg date on or after 1st April 2013 and in good condition with comfortable seats, head rest, clean seat covers, windows fitted with tinted glasses/paper and shall be kept clean at all times. The vehicle model selected shall be as mentioned in Schedule I. Non-AC model with extra fitted AC is not acceptable. The vehicle shall have commercial registration. Contractor will have to take an approval from Engg-In-Charge prior to deployment/change of any Vehicle. BPCL will have the right to inspect the vehicles at their discretion during the contract period. If any deficiencies are noticed or the vehicles are found without proper maintenance, BPCL reserves the right to reject/suspend the vehicles from operation. The contractor is required to provide the replacement immediately but in any case not latter than 24 hours from the time of intimation, failing which appropriate deduction as per clause 7 will be made from the monthly bills of the contractor.

4. Vehicles provided by the contractor on hire shall have the drivers in uniform, ensure that

they are neatly dressed and should have a valid license and are competent to drive. These vehicles will be used by BPCL for movement of its staff, with their tools and tackles (not exceeding the laden weight) and authorized persons to various locations of MMBPL such as Pumping stations, Valve stations and Pipeline route or as directed.

5. The Contractor have to provide details of the vehicles in the format as per Annexure 1 in

the technical bid, which would be position by him in case of being a successful bidder and it should be inline with our requirement as mentioned in Schedule I.

6. The contractor shall also be responsible for providing suitable vehicle replacement

immediately, if the vehicle breaks down. The replacement vehicle provided shall be of equivalent Vehicle model to the break down vehicle. If the vendor does not have equivalent vehicle model immediately, then he can provide an equivalent sedan car model for the time being but not exceeding 10 days from the date of vehicle breakdown.

7. In all cases, if the vehicle fails to report at the required time/place as indicated in the respective tender schedules or as intimated by BPCL Officer it will be considered as non provision of vehicle for the day, necessary deduction as explained below will be recovered from the monthly bills of the contractor.

a) If BPCL manages with out hiring an additional vehicle for the day, necessary deduction on pro-rata will be recovered from the monthly bills of the contractor.

b) If BPCL has to arrange a vehicle on its own then the company will deduct a sum of

Rs. 2500/- for each day, per vehicles, towards penalty in addition to deduction on pro rata basis from monthly charge of vehicle. Such amount will be recovered from the monthly bills of the contractor.

8. Any overtime due to breakdown of the vehicle shall be on the account of contractor and

not to be charged to BPCL. 9. The vehicles provided should meet the requirements and specifications as laid down by

the concerned Statutory Authorities and should comply with the requirement of the Motor Vehicles Act: Maharashtra and the Central Motor Vehicle Act and amendments thereto issued from time to time.

10. The contractor shall obtain Comprehensive Insurance Cover from any Public Sector

Insurance Company for each vehicle and shall keep such policy in force at all times to cover all risks of every nature whatsoever to the vehicle and occupants including loss of life, disablement, injuries, Third Party claims, accident caused due to fire, riot or due to any other reason whatsoever, loss on the account of theft and natural calamities. Contractor shall produce for verification the original insurance policy and proof of payment of all insurance premium and charges in respect thereof as and when demanded by BPCL and shall renew all such insurance cover at least seven days before the expiry thereof.

11. It shall also be the contractor’s sole responsibility to ensure that the vehicles are always

and exclusively driven by a person appropriately qualified and licensed under the Motor Vehicle Act. It shall be contractors sole responsibility to ensure that the driver of the vehicle:

a) Have the necessary qualifications as laid in the Rules under the Central Motor Vehicles Act currently in force and any subsequent amendments thereto.

b) Are educated about the safety rules and regulations especially in a petroleum installations and abide by the same.

c) Do not smoke or light a flame or use mobile while driving the vehicle. d) A reliever is provided in case the vehicle is extended for service for more than 12

hours at the place of posting. In no case shall the driver be allowed to do work beyond 12 hrs (including the normal duty of 8 hours).

e) Preferably have good knowledge of road routes, condition of roads etc. f) Shall be in possession of all relevant documents pertaining to the vehicle such as

Insurance policy, registration book etc. at all time while on duty. g) He should be easily accessible on his mobile phone all the time.

12. It is also essential that the contractor shall give the identity badge to each and every driver for the vehicles operating inside the Plant premises and also perform the entry pass formalities for the vehicles from the Plant Officials required as per the BPCL rules. The contractor also needs to obtain the police verification done of all the drivers deployed to drive the vehicle and proof of the same should be submitted to BPCL Engg-In-Charge within 45 days from the date of deployment. The contractor shall remain solely and exclusively responsible for all consequences of actions carried out by his drivers or his representatives during execution of the contract.

13. The contractor shall maintain necessary records of the persons deployed for the work in a

proper format with necessary proofs. The records should provide relevant details of domicile, education, residential address, recent passport photograph, police verification certificate etc. contractor should also maintain all the records of cost as per the statutory guidelines and should be in a position to produce the documents as and when requested by statutory authority or BPCL Engg-In-Charge from time to time.

14. The contractor shall be responsible for and shall pay any compensation to their employees

payable under the Workmen's Compensation Act/ESIC and the amendments thereto for the injuries caused to the workmen. The contractor shall be responsible for and pay the expenses for providing medical treatment to any of their employees whom may suffer any bodily injury as a result of any accident.

15. If during the contact period, the service is found unsatisfactory the contract will be terminated with one months prior notice. BPCL reserves the right to terminate the contract with one months notice without assigning any reason thereof. The contractor cannot claim any compensation/damages for the same.

16. The contractor shall be liable for all payments to their personnel employed for the

performance or carrying out the said work and in respect of all claims and liabilities of the contractor and BPCL shall in no event be liable or responsible for any such payment. The contractor will indemnify BPCL and keep indemnified from and against any claim whatsoever that may be made against BPCL in relation to or arising out of this contract and undertake to see that BPCL are absolved of any liabilities whatsoever any third party on account of this contract.

17. The contractor shall abide by the Payment of Wages Act./ Minimum Wages Act/Provident Fund Contribution and other relevant Labour Legislation in force. Contract shall provide documentary proofs of all such payments along with monthly RA bills.

18. The contractor shall observe and implement all applicable statutes and Rules framed there under which are beneficial to the staff/workmen employed by him/them and BPCL shall in no event be liable or responsible for any default that will arise out of non-observance of such law/rules on the part of the contractor and that the contractor shall indemnify and keep indemnified BPCL the same and from the proceedings in respect thereof.

19. The contractor shall not assign or sublet the contract or any part thereof to any person/party without the specific permission of the employer in writing. All the vehicles deployed under this contract should be registered in the name of the successful bidder and deviation in this should be brought to BPCL Engg-In-Charge’s notice.

20. Contractor shall bear and pay solely and absolutely the entire operating cost of the vehicles and the rates shall include and be deemed always to include the following:

a) All expenses, costs and charges incurred for the driver whose services are utilized in

relation to the vehicles including their salary, emoluments and other perquisites, whether statutory or not.

b) Cost of fuel and lubricating oils, tyres and spares etc. c) Cost of maintenance, repairs and replacement of vehicles or any part including

fittings thereof. d) Road Tax, Vehicle Tax, Municipal Tax, all other taxes, levies etc. for running the

vehicle as commercial vehicle. The contractor shall bear and pay all taxes and levies and increases, which are attributable to the vehicles.

e) PUC of Vehicle shall be carried out as per the RTO norms. f) Cost of the Comprehensive insurance as mentioned earlier.

21. The contractor shall pay the vehicle entry tax for inter state movement and claim along with RA bills. The same shall be reimbursed by BPCL against the actual receipt duly certified by the BPCL Officer who availed the vehicle.

22. Toll tax shall be paid by the BPCL Officers / Authorised persons who are using the vehicles. 23. Normal working hours would be 12 hrs a day, except wherever mentioned in the Schedule

of Work for 24 Hrs with separate Drivers for each shift. The reporting time for each jeep will be as advised after award of work. Minimum Two drivers should be deputed for vehicles with 24 hrs working with a maximum of 12 hrs shift for each driver. If the second driver is not provided, penalty of Rs 1500/- per day shall be imposed on the contractor.

24. The vehicles should be made available on all days of the month.

25. The starting point/closing point of the vehicles will be BPCLs office mentioned in the

schedule as Headquarters in tender document as mentioned for the purpose of calculation of the mileage run for the day. However, if the vehicle has to start/ close at a place other than the Headquarters as mentioned in the schedule, the extra mileage/time i.e. the difference on this account would be added to the starting/closing point as appropriate.

26. BPCL shall have the right to change the starting time and starting/closing point of any vehicle after giving at least one weeks notice to the contractor.

27. On tour to out station, the contractor shall make all arrangements such as stay, food etc. for their drivers night halts and for normal duties.

28. All drivers engaged shall undergo medical check up once a year and copy of certificate to be submitted to BPCL Engg-In-Incharge.

29. Drivers should be changed only with prior approval from Engg-In-Charge or the officer authorised by them. Similarly, if any driver is found to be indulging in unsafe driving practices/acts, he shall be replaced immediately within 72 hours from the time of information by BPCL Engg-In-Charge.

30. Drivers should have sufficient money while on tour for the requirement of diesel, vehicle repairs etc.

31. The total requirement of vehicles is 14 (Fourteen) Nos. only, however if there is requirement of additional vehicles then contractor will have to provide the same within 30 days from the date of intimation by BPCL. The rates applicable for the additional vehicle would be same as that quoted by the successful bidder in the respective schedule of price for that location.

The vehicles are required at Mumbai, Uran, Washala, Manmad, Dhule and Sanghvi as indicated in the Schedule I. The company at its own discretion may shift either one or more jeeps to any of these locations at any time. During this period the rates applicable shall be as quoted in schedules for location.

32. The contractor shall ensure ready availability of the following items at all time in each

vehicle.

One torch in good working condition

Spares like hose pipes, fan belts, etc.

Spare tyre in good condition

Tool kit with all types of tools and tackles with jack.

Portable Fire Extinguisher.

First Aid Box. 33. Daily log sheets for the vehicle running has to be maintained and it will be responsibility of

the driver to obtain the signature of staff for the opening as well as the closing meter reading by the user from the BPCL. Monthly bills raised by the contractor for payment shall be accompanied with original copy of the log sheet, the format for the log sheet will be as required by BPCL. Monthly RA bills are to be submitted to Engg-In-Charge for his certification. Any Penalty levied by the Engg-In-Charge will be informed to the contractor.

34. Whenever the vehicle is used for night traveling beyond midnight (i.e. 24.00), night halt

allowance will be paid in addition to the overtime. In case of night halt at out station, the vehicle will be closed after use and shall be opened as and when required. In such cases night halt allowance shall be paid and over time shall be calculated up to time of close/open of the vehicle on that particular day.

35. The number of vehicles required at each location is given in the respective schedules.

However, the contractor has to be in a position to supply all the required number of vehicles at a particular location. Supply of part number of vehicles at one location is not acceptable and such offers will not be considered for evaluation.

36. BPCL reserves the right to change the date of placement of the vehicles at a particular

location. BPCL also reserves the right to discontinue an existing vehicle from operation with a notice period of one month citing no reason what so ever.

37. The contractor whose quotation is accepted has to supply the vehicles at different

locations as advised by BPCL from time to time. The quoted rate should be firm till the completion of the contract period.

38. All the vehicles are required to be fitted with spark arrestor while entering the BPCL premises. The drivers should ensure that he maintains a speed limit of less than 25 Kms or speed limit as applicable inside the respective Plant area at all times.

39. The rates quoted shall remain firm throughout the tenure of the contract. However,

revision in rates both upward and downward shall be applicable on account of fluctuation of diesel prices only when the variation in diesel price is more than 10 percent w.r.t the diesel price as on 17th June 2013. Escalation on running cost will be paid on the following basis:

(Escalated Price) - (Prevailing market Price as on 17th June 2013) Escalation on running = ------------------------------------------------------------ cost/KM 12 Based on the above, the contractor will be paid additional charges for increase in Diesel price (only when the variation in diesel price is +/- 10 percent) for the Actual Distance (in KM) traveled subsequently to the date of price escalation. Similarly, for decrease in diesel price, appropriate deduction will be made. No other rate/charges shall be charged on account of price variation of diesel. The contractor’s performance shall be measured based on this reports. In case contractor performance goes below satisfactory level then BPCL reserves the right to penalize the contractor as deemed fit subjected to maximum of Rs. 5000/- per vehicle per month. The contractor’s performance will be evaluated based on the monthly performance ratings received and also on a cumulative ratings of last six months (including the month for which bill is submitted). For the contract performance to be satisfactory or above the following criteria shall be met;

a) Monthly performance rating for which the bill is submitted shall be more than or equal to 67 marks and

b) Average performance rating for last 6 months (including the month for which the bill is submitted) shall be more than or equal to 70 marks.

The contractor is required to submit a sign and stamped copy of Performance Evaluation Sheet as a token of acceptance along with the technical bid. INDEMNITY:

The Contractor shall indemnify and keep indemnified the Company, and its every member, Officer and staff against all actions, proceedings, claims. Costs and expenses whatsoever in respect of or arising out of any failure or default by the Contractor in due performance of his obligations under this contract. PAYMENT TERMS: 100% payment will be made against monthly bills after making deductions such as Income Tax etc. as applicable at the time of release of payment and only on submission of documentary evidence by contractor of payments of wages to drivers as per the Minimum wages act of Central/State government whichever is higher. Service tax shall be paid on production of documentary evidence for registration with sales tax department for the specified service. BPCL shall endeavor to make the payment within 30 days of receipt of bills along with supporting log sheets, duly certified for payment. No follow-up for the payment within 30 days from the date of submission of bill will be entertained. Payment shall be made against monthly RA bills, based on actual executed quantities and due certification by BPCL. A sum of 10 % of the awarded contract value shall be deposited by the successful bidder as the security deposit with BPCL in the form of Bank Guarantee / Demand Draft in favour of Bharat Petroleum Corporation Limited, Mumbai on acceptance of LOI / Purchase Order. Bank Guarantee shall remain valid for period of 2 years from the date of award of Purchase Order. Further, the Bank Guarantee shall have a claim period of 3 months beyond the date of expiry & the same shall be mentioned clearly in the Bank Guarantee. Payment will be settled thru National Electronic Funds Transfer (NEFT) mode only. Successful Bidder shall be required to furnish NEFT mandate form. COMPLETION PERIOD: The completion period of the contract shall be 24 months from the date of Purchase Order or from the date of Instruction from BPCL to commence the job.

INTEGRITY PACT (IP)
