ASSIGNMENT OVERVIEW

Assignment Title: 1094282 ­ Legal Consultant ­ Solid Waste Management Project in Albania

ASSIGNMENT DESCRIPTION

IFCs Advisory Services in Public Private Partnerships is undergoing discussions for a Solid Waste Management mandate inAlbania and intends to procure a Legal consulting firm to assist the IFC project team in structuring and implementing a PublicPrivate Partnership project in this sector in Albania.

Roughly, the scope of work required is as follows:

­ Legal due diligence of the Transaction, which will include limited analysis of the existing legal and regulatory framework withinthe parameters of which the Transaction will have to be implemented. For this task consultant will have to sub­contract areputable local law firm. Creation of consortiums is not necessary at this stage. ­ Assistance in preparation of an optimal transaction structure for implementing the Transaction­ Preparation of prequalification documents and assistance in implementation of prequalification process.­ Preparation of the tender documents, including the Request for Proposals and Concession Agreement.­ Assistance with conducting the negotiations process with prequalified investors, including participation in a biddersconference if necessary.­ Oversight of investor due diligence and data room set up and procedures.­ Assistance with conducting the tender and selecting the winning bidder. This will include assisting with reviewing legalcredentials.

Selection and contracting will normally be made from responses to this request for expression of interest. The consultant will beselected from a shortlist, subject to availability of funding.

­ Assistance with the final closure of the respective transaction, including the potential negotiations and post­bid contractfinalizations with the winning bidder.

SUBMISSION REQUIREMENTSThe World Bank now invites eligible consultants to indicate their interest in providing the services. Interested consultants mustprovide information indicating that they are qualified to perform the services (brochures, description of similar assignments,experience in similar conditions, availability of appropriate skills among staff, etc. for firms; CV and cover letter for individuals).Please note that the total size of all attachments should be less than 5MB. Consultants may associate to enhance theirqualifications.
