    ASSIGNMENT OVERVIEW

    Assignment Title: 1094532 - Legal Consultant for Mozambique Water Utility PPP(s)

    ASSIGNMENT DESCRIPTION

    IFC has been retained by the Government of Mozambique to attract private sector participation to AdeM, the water utility in

    Maputo as well as the three regional water utilities operating outside Maputo.

    As part of its engagement, IFC seeks a legal cons ultant to assist in the following ac tivities:

    i. Review all applicable laws, existing regulatory framework, Government and Municipality resolutions and other aspects of the

    legal and statutory framework, as applicable to FIPAG, AdeM and the Regional Operating Companies, including the

    responsibilities and relationships of relevant government entities at different levels, in order to identify the opportunities, issues

    and constraints that would/could arise with the introduction of private participation in the operation of water system and delivery

    of water services to ensure the legal feasibility of possible transactions

    ii. With respect to AdeM, define the conditions to receive another Affermage license to be awarded through international public

    bidding, in particular examing:

    - Requirements regarding to liquidation of the entity

    - Labor status and applicable law- Pension fund

    - Identify if AdeM can be used as the incorporated entity receiving a new Affermage license

    Selection and contracting will normally be made from responses to this request for expression of interest. The consultant will beselected from a shortlist, subject to availability of funding.

    iii. Evaluate, from a legal standpoint, any contingent liabilities that might arise depending on the options in relation to labor

    obligations, such as workers' compensation and pension liabilities, etc.

    iv. Evaluate, from a legal standpoint, any contingent environment liabilities from previous operations and in the event

    conservation or environmental preservation is a financial burden, suggest mechanisms to ensure continuity of conservation or

    environmental preservation

    v. Recommend to the regularization of AdeM private assets, if appropriate

    vi. Review the existing legal framework for the regulation of water services in Mozambique and economic regulation in place.

    provide information indicating that they are qualified to perform the services (brochures, description of similar assignments,

    experience in similar conditions, availability of appropriate skills among staff, etc. for firms CV and cover letter for individuals).

    qualifications.
