    AlbertaPartyLeadershipRace:Rules

    (A) TheElectionoftheLeaderoftheAlbertaParty;NominationDay

    (1)OnSaturday,May28th,2011,fromEdmonton,Alberta(VotingDay),theAlbertaPartywill

    conductavotetoelectaLeaderofthePartyataleadershipconvention(theConvention).

    (2)ThedeadlineforreceiptofnominationsforthepositionofLeaderoftheAlbertaPartywill

    benoononFriday,April18th,2011(theNominationDay).

    (3)TheBoardofDirectorsoftheAlbertaPartymaysponsoroneormoreall-candidatesevents.

    ProvidedthattheBoardofDirectorshasgiveneachcandidateaminimumof30daysnoticeof

    suchanevent,theattendanceofallcandidatesmayberequired.

    B) Rules;ConventionRulesCommittee;ConventionCo-Chairs;ReturningOfficer.

    (1)TheConventionRulesCommittee(establishedandappointedbytheBoardofDirectors)has

    theauthoritytomakeadditionalrulespertainingtotheconductoftheLeadershipCampaignandElection.

    (2)TheLeadershipCampaignandelectionoftheAlbertaPartyLeadershallbeconducted:(a)

    accordingtotheserules,andanyothersthatareadoptedbytheConventionRulesCommittee

    ortheBoardofDirectors(theRules);and(b)pursuanttotheConstitutionoftheAlberta

    Party(theConstitution).

    AnyreferenceintheseRulestoaformorreportmeansaformorreportinaformatprescribed

    bytheConventionRulesCommittee.

    TheConventionRulesCommitteeisalsodelegatedtheresponsibilityofinterpretingand

    enforcingtheRules,allofthissubjecttotherequirementthatsuchenforcementandinterpretationsarenotinconflictwithanyoftheseRules,theConstitution,oranytermsand

    conditionsadoptedbytheBoardofDirectors.

    TheConventionRulesCommitteeisalsodelegatedtheresponsibilitytomaintaineffective

    communicationswithasinglepartyliaisonpersonnamedbyeachcandidate(theCandidates

    PartyLiaison),includingtheresponsibilitytoadviseeachPartyLiaisonoftheRules,the

    interpretations,FormalRequests(asdefinedbelow),Complaints(asdefinedbelow)andthe

    dispositionofComplaints,andanyothermattersarisingfromtheworkoftheBoardof

    Directors,theExecutiveCommittee,ortheConventionRulesCommitteethatarematerialto

    theconductoftheLeadershipCampaign.

    (3)Withoutlimitingthegeneralityoftheforegoing,theConventionRulesCommitteehasthe

    authoritytomakeRulesandprescribeformsrelatingto:

    (i)determinationofage,residency,andmembershipqualificationtovote;

    (ii)candidate/campaignorganizationreportingonactivities,fund-raisingandcampaign

    expenditures,oranyotherfinancialrequirementsrelatedtotheLeadershipCampaign;

    (iii)candidateattendanceat,andparticipationintheConventionandanyotherParty

    sponsoredevents,includingspeakingorder,speakingtime,complementaryactivities

    (introductions,demonstrations,etc.)

    (iv)placement,protection,andremovalofcampaignmaterials;

    (v)establishing,controlling,supervising,andsecuringthevotingprocess,includinganymatter

    relatedtotheimpartialityorvalidityofthevotingprocess;(vi)approvalofreportingformsandallproceduresandprocessesrelatedtothecountingofthe

    vote(s);

    (vii)countingthevote(s);and,

    (viii)reportingtheresultsofthevote(s).

    (4)AnyformalrequestforaninterpretationofanyRulerelatingtotheconductofthe

    LeadershipCampaignandElection(aFormalRequest),oranycomplaintarisingfromthe

    conductofanycandidateorpersonpurportingtoactonbehalfofacandidate,oranyagentof

    theAlbertaPartyactinginrespectoftheLeadershipCampaignandElection(aComplaint),

    shallbemadetotheConventionRulesCommittee,inwriting,andsignedbyaCandidateorthe

    CandidatesPartyLiaison.

    (5)TheConventionRulesCommitteeshallconsideranyFormalRequestforaninterpretationof

    anyruleoranyComplaint,havingregardfortherulesofnaturaljustice,prudence,andtimely

    determination;andshallprovideaninterpretationorrenderadecision,andtheformofthe

    interpretationordecisionisatthesolediscretionoftheConventionRulesCommittee.

    (6)Withoutlimitingthegeneralityoftheforegoing,adecisionoftheConventionRules

    Committeemayincludeoneormoreofthefollowing:

    (i)publicationoftheinterpretationorfindingofaviolationoftheRulesinamediareleaseorby

    announcementduringanypartoftheLeadershipCampaignorConvention;

    (ii)disqualificationofavote,ifthevalidityofavotewasinquestion;(iii)afinancialpenalty;

    (iv)adirectiontoconformtotheRulesand/ortomakegoodanynon-compliance;

    (v)disqualificationofacandidatetostandforelectionasLeader;

    (vi)adeclarationthattheresultsoftheConventionarevoid

    providedthattheremediessetoutin(iii)and(iv)mayonlybeappliedwiththeconsentofthe

    BoardofDirectors,andadecisionincludingthoseremediesfoundin(iii)and(iv)isfinaland

    maynotbeappealedtoanyotherbodyoftheAlbertaPartyorreviewedbyorappealedtoany

    judicialbody.

    (7)AcandidatemayappealonlythefollowingtypesofdecisionstotheBoardofDirectors(an

    Appeal):

    (i)adecisiononaComplaintthatthePartyhasbreachedtheConstitution;

    (ii)adecisiononaComplaintallegingbiasonthepartoftheConventionRulesCommittee;

    (iii)adecisiononaComplaintallegingmultiplevotingorothervoterfraudbyapersonor

    persons;

    (iv)adecisiononaComplaintconcerninginequityinaccesstothevotingprocess.

    (8)TheBoardofDirectorsshallconsideranyAppealhavingregardfortherulesofnatural

    justice,prudence,andtimelydetermination,andshallprovideadecision,andtheformofthe

    decisionisatthesolediscretionoftheBoardofDirectors.

    (9)PriortoNominationDaytheBoardofDirectorswillappointtwoConventionCo-Chairs,who

    shallbechargedwithchairingormoderatingthevariousbusinesssessionsoftheConvention.(10)PriortoNominationDaytheBoardofDirectorsshallappointaReturningOfficer,whoshall

    beresponsibleforconductingthevote(s)fortheelectionoftheLeader,accordingtothese

    Rules,theConstitutionandanysupplementaryrulesthattheReturningOfficermaydetermine.

    (TheConventionRulesCommitteedoesnotmakesupplementaryrulesaboutthevoting

    procedure.)

    (C)DirectVote;EligibleVoters;DisqualificationofVoters

    (1)TheelectionshallbebyadirectvoteofEligibleVoters.

    (2)Aneligiblevotershallbe:(i)ofthefullageof16years;

    (ii)ordinarilyresidentinAlbertaforatleastsix(6)monthsimmediatelypriortothevotingdate

    bothofwhichmaybeevidencedbyreferencetoadocumentsuchasavalidAlbertadrivers

    license,abirthcertificate,apassport,atreaty,landedimmigrantorcitizenshipcard,abillor

    invoiceindicatinganAlbertaresidentialaddress,orsimilardocument;and,

    (iii)amemberingoodstandingoftheAlbertaParty,asof12:00noononFriday,May13th

    ,2011,

    asevidencedbysuchmemberbeinglistedatthattimeontheofficialAlbertaPartymembership

    list,suchmembershiplistasvalidatedbytheVicePresidentMembershipoftheAlbertaParty

    priortotheConvention.

    (3)ForthepurposeoftheseRulesgoodstandingintheAlbertaPartyrequireseachof:(i)anacknowledgementoftheprinciplesandvaluesoftheParty,indicatedbyasignedreceipt

    formembership,orsimilarindication;

    (ii)providinganamethatdifferentiatesthemembersfromotherseitheraloneorin

    combinationwithcurrentcontactinformation(whichisalsorequired),aresidentialaddress

    thatlocatesapersonwithinaprovincialconstituency;

    (iii)paymentoftherequiredmembershipfee(seeArticle3oftheConstitution);and

    (iv)provisionofitems(i)through(iii)toonlytheVicePresidentofMembershiportheSecretary

    oftheAlbertaPartybynolaterthan12:00noononMay13,2011.

    (4)TheAlbertaPartywillundertakeallreasonablemeasurestoadviseanypersonwhose

    membershipisfoundnottobeingoodstanding,andtodosoexpeditiously,andtoprovidethe

    reasonswhysuchmembershipisapparentlynotingoodstanding.Suchapersonmayrespond

    tothefindingbyprovidingevidencetothecontrary,andtheAlbertaPartymayreclassifythe

    membership.

    (D)CandidateQualifications

    (1)Acandidateforleadershipelectionshall,bytheNominationDate:

    (i)beaCanadiancitizenandaresidentofAlberta;

    (ii)beamemberingoodstandingoftheAlbertaParty;

    (ii)submitasignednominationformwithsupportingsignaturesofatleast30AlbertaPartyMembers,withatleast5PartyMemberssignaturesfromeachoftheRegional

    Zones(asdefinedintheConstitution)andincludingasignedconsentofthecandidateto

    thenomination;

    (iii)agreeinwritingtoadheretotheRulesandinterpretationsoftheLeadershipElection

    process,aslaidouthereandinanydeterminationsoftheConventionRulesCommittee(subject

    totherighttoAppeal);

    (iv)nameanOfficialAgentandaPartyLiaison,includingthesignedconsentofeachofthese

    personssonamedtoserveasOfficialAgentorPartyLiaisonforthecandidate;and,

    (v)payanon-refundablenominationfeeofonethousanddollars($1,000),intheformofcash

    oracertifiedchequemadepayabletotheAlbertaParty.

    (2)Membersmaysignthenominationpapersformorethanonecandidate.

    (3)Acandidatewhowishestowithdrawmaydosoatanytimebydeliveringapersonallysigned

    letterofwithdrawaltothePresidentoftheAlbertaParty.Withdrawalofcandidacydoesnot

    negatetherequirementtofulfillthereportingandotherobligationsundertakenbythe

    candidateatthetimeofsubmittinghis/hernomination.

    (E)CandidatesOfficialAgent,CandidatesPartyLiaison

    (1)EachcandidateshallappointapersonwhoisamemberingoodstandingoftheAlberta

    Partytoactashis/herOfficialAgentforthedurationoftheLeadershipCampaignandElection.

    (2)TheOfficialAgentshallberesponsibleforallfinancialmattersandreportsrelatedtothe

    LeadershipCampaignandElection.

    (3)EachcandidateshallappointapersonwhoisamemberingoodstandingoftheAlberta

    Partytoactashis/herPartyLiaisonforthedurationoftheLeadershipCampaignandElection.

    (4)ThecandidatesPartyLiaisonshallberesponsibleforensuringthatthecandidateandthe

    candidatescampaignorganization:

    (i)arefamiliarwith,andcomplywith,theConstitutionandalloftheRulesgoverningthe

    conductoftheLeadershipCampaignandConvention;

    (ii)areawareofalldecisionsmadebytheBoardofDirectors,theReturningOfficerand/ortheConventionRulesCommittee,relatedtotheLeadershipCampaignandConvention.

    (iii)maintainopencommunicationswiththeAlbertaParty,includingtheBoardofDirectors,the

    ReturningOfficer,theExecutiveCommittee,andtheConventionRulesCommittee.

    (F)Memberships

    (1)Duringthecampaignperiodeachsoldmembershipmustberepresentedbythedeliveryofa

    membershipcardtothemember,andthereceiptforthemembershipcardmustshow:

    (i)thesignatureofthemember(asanindicationofthemembersunderstandingsand

    undertakings;(ii)thedateonwhichitwassold.

    (2)Eachcandidatescampaignorganizationmustremitallmembershipreceiptsandthe

    correspondingmembershipfeetotheAlbertaParty,onaweeklybasis,eachFridayafterthe

    candidateisnominated.

    (3)Failuretoremitmembershipreceiptsandfeesonatimelybasiswillbesanctionedbythe

    ConventionRulesCommittee.

    (G)CandidateaccesstotheofficialAlbertaPartyMembershipList;ChallengingNames

    (1)TheAlbertaPartywillprovideeachcandidatewithacopyoftheofficialAlbertaPartyMembershipList:

    (i)within72hoursofthecandidatefilingnominationpapersorNominationDay,whicheveris

    earlier;

    (ii)ontheMondaywhichisthe15thdayofeachmonthorwhichfirstfollowsthe15thdayof

    eachmonth,untilandincludingMonday,May16th,2011;and

    (iii)onFriday,May27th

    ,2011.

    (2)AcandidatemaychallengeanynameontheofficialAlbertaPartymembershiplist,with

    respecttogoodstanding(aChallenge),thatiswithrespectto:

    (i)age;

    (ii)residenceinAlberta,anddurationofresidence;(iii)awarenessofmembershipstatus;

    (iv)paymentofthemembershipfee;or

    (v)therequirementsformembershiphavingbeenmetbythedeadlineformembershipbyno

    laterthan12:00noononMay13,2011

    providedthattheChallengeisaccompaniedbyevidence,satisfactorytotheReturningOfficerin

    hisorhersolediscretion,thatthemembershipmaynotbeingoodstanding.

    (3)ThePartywillonlyreceiveandconsideraChallengereceivedbytheReturningOfficerby

    12:00noononFriday,May20th,2011.TheReturningOfficerwillruleonallChallengespriorto

    ThursdayMay26th,2011.ThegoodstandingofanymemberlistedontheofficialAlbertaParty

    MembershipListisnotsubjecttoChallengethereafter.

    (H)LeadershipCampaignExpenses

    TheAlbertaElectionFinancesandContributionsDisclosureAct(theAct)doesnotapplyto

    leadershipcampaignsorconventionsofregisteredpartiessuchastheAlbertaParty(pursuant

    toSection2oftheAct).Accordingly,theAlbertaPartymayadoptsuchrulesregarding

    campaignexpensesasitdeemsfit(subjecttoapplicablelaw).However,itisinthespiritoftheprinciplesoftheAlbertaPartyatalltimestoseektransparencyandopennessinalldealings,

    includingtheLeadershipCampaign.Therefore,thefollowingRulesregardingcampaign

    expensesapplytothisLeadershipCampaign.

    (1)Contributionsintendedforthesupportofanycandidatemayonlybemadedirectlytoathe

    OfficialAgentofacandidateforleadershipoftheAlbertaParty,andallfinancialcontributions

    mustberecordedbytheOfficialAgentofthecandidate.NocontributionstotheLeadership

    Campaignmaybemade,oraccepted,anonymously.

    (2)Contributionsbyanyperson,corporation,tradeunionoremployeeorganizationtoanyone

    candidateforleadershipmaynotexceed$10000.(3)TheprohibitionscontainedineachofSections16,27,34,35and36oftheActandthe

    relevantapplicabledefinitionsfromtheAct(regardingentitiesprohibitedfrommakingfinancial

    contributions,contributionsofunincorporatedgroups,contributionsnotbelongingtoa

    contributor,outofprovincecontributions,andfundsfromfederalparties)shallapplytothe

    LeadershipCampaign.

    (4)NeithertheAlbertaPartynoranyConstituencyAssociationorcandidatemayreceiveor

    issueanofficialAlbertaPartyreceiptforacontributiontoaleadershipcampaign,andaprinted

    acknowledgementofthismustbegiventoeverycontributortoacandidateforthedurationof

    theLeadershipCampaignandConvention.

    (5)AconditionofcandidacyisthatacandidateforelectionasLeadershallconsenttofull

    disclosureofalldonations,receiptsandexpensesrelatedtothecampaign,including:

    (i)aninterimreportonthesame,intheformadoptedbytheConventionRulesCommittee,

    whichshallbefiledbytheOfficialAgentofthecandidatewiththeConventionRulesCommittee

    14daysinadvanceofVotingDay(theInterimReport);and,

    (ii)afinalreportonthesame,whichshallbefiledbytheOfficialAgentofthecandidatewith

    theConventionRulesCommitteewithin30daysafterVotingDay(theFinalReport).

    Thedonorinformationcontainedinboththeinterimandfinalreportsreferredtoin(5)above

    willbepostedbytheAlbertaPartytoitswebsite.(Candidatesareurgedtopostdonor

    information,fortheknowledgeofthepublic,onarealtimebasis.)

    (6)AcandidateforelectionasLeaderwhofailstofiletheInterimReportreferredtoaboveby

    May14th,2011,inaformacceptabletotheConventionRulesCommittee,shallbebarredfrom

    theballot.

    (7)AcandidateforelectionasLeaderwhofailstofiletheFinalReportreferredtoabove,shall

    besubject,atthedeterminationoftheBoardoftheAlbertaPartyatitssolediscretion,toalevy

    ofnotmorethan$10,000.00,whichlevy,untilpaid,shallbeadebtowedbythecandidateto

    theAlbertaParty.

    (I)BreachoftheRulesGoverningtheLeadershipElection

    (1)ACandidateforelectionasLeadershallagreeinwritingtobeboundbytheRulesofthe

    AlbertaPartyrelatingtotheLeadershipRace,includingtheRulesofitsConventionRules

    Committee,andagreestobesubjecttosuchfinancialpenaltyand/orothersanctionsasmaybe

    imposedbytheAlbertaParty,inbothcasessubjecttosuchappealasisprovided,andagreesto

    beboundinthisregardonbehalfofanypersonactingashis/heragentinthematterofthe

    LeadershipRace,andagreesthatanyfinancialpenaltyproperlyleviedbytheAlbertaPartyisa

    debtowingtotheParty.

    (2)TheConventionRulesCommitteemaydisregardorwaiveatechnicalbreachoftheseRules,

    providedthatthebreachdoesnotcontraveneaprovisionoftheConstitutionortheclearintent

    oftheseRulesandisnotmaterialanddoesnotprejudicethepositionofanyothercandidatein

    anymaterialway.(J)VotingProcedures

    (1)(a)Anymembermayonlyvoteonceonaquestionoronaroundofvotingforelection.

    (1)(b)AvotemaybecastusingapaperballotattheConventionsite,or,atthesolediscretionof

    theConventionRulesCommitteewithrespecttocost,technology,method,appropriate

    security,andotherrelevantconsiderations,byuseofatelephoneortheinternetaccordingto

    suchrulesasmaybeadoptedbytheConventionRulesCommittee.

    (2)AllvoteswillbecountedatasinglelocationinEdmonton.

    (3)Eachcandidatemayappointasmanyastwoscrutineerstoobservethecountingofvotes

    andtochallenge,ifnecessary,votescast.

    (4)IntheeventthatmorethanoneballotisrequiredtodeterminethenextLeaderofthe

    AlbertaParty,thereshallbeaminimumof45minuteselapsefromtheannouncementofthe

    resultsofoneballotuntilthecloseofvotingonthesubsequentballot.

    FromtheConstitutionoftheAlbertaParty(adopted:October2nd,2010)

    ARTICLE9:THELEADER

    (a)ALeadershipVoteshallbecalled:(i)whentheLeaderdeliverswrittennoticetothePresident,ofhisor

    herintentiontoresign;

    (ii)whenthepositionofLeaderotherwisebecomesvacant;or

    (iii)pursuanttoArticle9(f)ofthisConstitution.

    (b)TheLeadershallbeelectedbyamajorityvoteoftheMembersofthe

    Partypersonallycastingasecretballot.Ifnocandidatereceivesa

    majorityafterthefirstballot,theballotingshallberepeatedasmanytimes

    asnecessaryuntilasinglecandidatereceivesaMajorityVote.Oneach

    round,thecandidatereceivingthelowestnumberofvotesshallberemovedfromthenextballotandanyothercandidatemaychooseto

    havehis/hernameremovedfromtheballot.

    (c)TobeeligibletovoteinaLeadershipVote,anindividualmustbea

    MemberingoodstandingoftheParty,immediatelypriortothevote,as

    determinedbytheProvincialBoardandsetoutinthenoticeofthe

    LeadershipVote

    (f)WhereaLeadershipVoteistobecalled,theProvincialExecutiveshall

    withinfifteen(15)days,announcethedateonwhichtheLeadershipVote

    willbeheld.NoticeshallbeprovidedtoallMembersofthePartybytheProvincialExecutivewithinafurthertwenty-one(21)daysofthe

    announcement.TheLeadershipVotemustbeheldnotsoonerthanthree

    (3)monthsandnotlaterthannine(9)monthsfromthedateoftheevent

    thattriggeredtheLeadershipVote.

    (g)IntheeventtheLeaderisunabletocontinueasLeader,ortheLeaderwill

    beacandidateintheLeadershipVote,theProvincialExecutiveshall,in

    consultationwiththeCaucus,selectanActingLeaderuntiltheLeadership

    VoteiscompleteandanewLeaderisnamed.TheActingLeadershall

    notbeeligibletobeacandidateintheLeadershipVote.

    (h)TheProvincialBoardshallestablishtheproceduresandmechanisms

    wherebytheLeadershipVoteshallbeconducted.

    (i)InorderforapersontobeconsideredasacandidatefortheLeaderof

    theParty,theindividualmust:

    (i)beaMemberingoodstandingofthePartyatthecloseof

    nominationstobeacandidateintheLeadershipVote,as

    determinedbytheProvincialBoardpursuanttoArticle9(i);

    (ii)completeanapplicationformasprovidedbytheProvincial

    Executive,whichformshallincludebutnotbelimitedtothe

    signaturesofthirty(30)Memberswhoareeligibletoparticipatein

    theLeadershipVote,withatleastfive(5)MembersignaturesfromeachoftheRegionalZones;and

    (iii)meetanyrequirementsforqualificationassetoutinallapplicable

    legislation,includingtheElectionActasofthecloseofnominations

    forthepositionofLeader.

    ARTICLE2:NAME,VALUES,ANDGENERALPROVISIONS(inpart)

    (f)UnlessotherwisespecifiedinthisConstitution,anynoticetobegivenunderthis

    Constitutionshallbegivenbymail,facsimile,electronictransmissionorpersonal

    delivery,atleastseven(7)daysbeforethedatesetforthemeeting.(g)AnymemberoftheProvincialBoard,memberofCaucus,PresidentofaConstituency

    Associationorcandidate,canappointascrutineertoobserveandreportonthevoting

    processatanAnnualGeneralMeetingoraLeadershipVoteprovidedforinthis

    Constitution.

    ARTICLE3:MEMBERSHIP

    (a)MembershipinthePartyisopentoallnaturalpersons,ordinarilyresident

    inAlberta,sixteen(16)yearsofageorover,whosupporttheprinciples

    andvaluesofthePartyandprovidetheParty:(i)withsuchcontact

    informationasisrequiredbytheParty;and(ii)paysuchmembershipfeeasareassessedbytheParty

    (b)EligiblepersonsshallbecomeMembersofthePartywhenthePartyatitssole

    discretiondeterminesthattheymeettherequirementsformembershipoutlinedin

    Article3(a),andeitherof:(i)placementofhisorhernameontheofficialParty

    membershiplist,or(ii)receiptofanofficialPartymembershipcardissuedinhisorher

    name.

    TheElectionFinances&ContributionsDisclosureAct(Alberta)

    ApplicationofAct

    2ThisActdoesnotapplytocampaignsandconventionscarriedonorheldinrelationtothe
