Dear Sir or Madam:

This is a request for an Advisory Opinion, pursuant to 2 U.S.C. § 43 7f and 1 1 C.F.R. part1 12, on behalf of the New York State Committee ("Committee") of the Working Families Party("Party"). The Committee seeks a determination that it is a state committee of a political partywithin the meaning of 2 U.S.C. § 431(15) and 11 C.F.R. § 100.14 and that the Committeetherefore qualifies to make coordinated party expenditures in support of the Party's candidatesunder 2 U.S.C. § 441a(d)(3).

Statement of Relevant Facts

The Party was organized and began operations in connection with state and localelections in 1998.

In the election for New York Governor on November 3, 1998, the Party's candidate,Peter Vallone, received sufficient votes under New York law to entitle the Party to continuingballot access on behalf of its candidates in future elections, including elections for United StatesSenate and House of Representatives. SeeN.Y. Laws, Elections § 1-104(3) ("party" means anypolitical organization which at the last preceding election for governor polled at least fiftythousand votes for its candidate for governor.) In the state and local elections on November 2,1999, the Party obtained ballot access for more than 200 candidates. A copy of a sample ballotshowing the Party's status is attached as Exhibit A.

Attached as Exhibit B are the Rules of the Working Families Party which were adoptedfollowing the general election of 1998 in which the Party attained party status under New Yorklaw. Pursuant to these Rules and the New York Election law, § 2-108, the Party has beengoverned by an Interim State Committee. The Rules prescribe the manner in which the NewYork State Committee acts as the executive authority for the Party in New York. TheCommittee is responsible for the nomination and authorization of candidates for any office to befilled by the voters of the entire state and for President and Vice President of the United States.Attached as Exhibit C is a membership brochure used by the Party to solicit new members;attached as Exhibit D is a voter registration flyer used by the Party.

The Party has not nominated or gained ballot access for any candidate for federal office inany prior election. On May 20,2000, the Internim State Committee nominated Hillary RodhamClinton to be the candidate of the Party for United States Senator in the general election to beheld on November 7,2000. Exhibit E. On May 21,2000, the Committee certified Mrs.Clinton to the New York Board of Elections as the designated candidate of the Party. Exhibit F.Under New York law, Mrs. Clinton will now appear on the general election ballot as thecandidate of the Party unless another candidate submits a satisfactory petition to appear on theballot in a primary election to be held on September 7,2000, in which case the winner of theprimary will appear as the candidate of the Party in the general election. If no such additionalcandidate qualifies, no primary will be held and Mrs. Clinton will automatically appear on theballot as the candidate of the Party in the general election.

The Party also expects to have one or more nominees for the office of United StatesRepresentative from one or more congressional districts in New York. Under New York law,,petitions to designate such candidates as the nominees of the Party may not be circulated prior toJune 6,2000 and must be submitted to the State Board of Elections between July 10 and 13,2000. The Party will be circulating such petitions on behalf of candidates in 5 to 10Congressional Districts.

In August 2000, the Interim State Committee will meet to elect candidates for the officeof electors of president and vice president of the United States. When elected, these candidateswill also attain ballot access as candidates of the Party pursuant to New York law.

The Committee filed a Statement of Organization (FEC Form 1) as a political committeeon November 30,1999.

Analysis

Under the Act and Commission regulations, the term "State committee" means theorganization which, by virtue of the bylaws of a political party, is responsible for the day-to-dayoperation of such political party at the state level. The Commission has ruled that the definition

of a State committee also requires the existence of a political party. The term "political party" isdefined under 2 U.S.C. § 431(16) and 1 1 C.F.R. § 100.15 as an association, committee, ororganization which nominates a candidate for election to any federal office whose name appearson the election ballot as the candidate of such association, committee, or organization.

The Commission has ruled in prior Advisory Opinions that a State political partyorganization may qualify as a State party without an affiliation with any national political partyorganization. Advisory Opinions 1998-23, 1997-29, 1996-51 . The Commission has also ruledthat the an organization may qualify as a State party committee where it has not gained ballotaccess for any federal candidate in any previous election, if the organization can demonstrate thatits nominee for one or more federal offices would have ballot access and be identified as acandidate of the party in the next general election. See Advisory Opinion 1996-43. By reason ofthe Party's nomination of Mrs. Clinton and her obtaining ballot access as the candidate of theParty, the Working Families Party qualifies as a political party under the Act and regulations.

The Rules of the New York State Committee of the Working Families Party set out acomprehensive organizational structure for the Party from the statewide level down through thelocal level, and they clearly identify the role of the Committee as having responsibility for theday-to-day operation of the Working Family Party in New York. The Committee thereforesatisfies the first element identified by the Commission for status as a state party committee.

The second element for recognition as a state party committee is that the organizationactually obtain ballot access for one or more candidates for public office. The Working FamiliesParty has obtained access for Mrs. Clinton as the candidate for United States Senator from NewYork and it expects to have additional federal candidates after the petition process is completedin July.

Conclusion

The Commission should issue an Advisory Opinion determining that the New York StateCommittee of the Working Families Party is a State committee of a political party within themeaning of 2 U.S.C. § 431(15) and 1 1 C.F.R. § 100.14 and is therefore qualified to makecoordinated party expenditures in support of the Party's candidates under 2 U.S.C. § 441a(d)(3).

RULES OF THE NEW YORK STATE COMMITTEEOF THE WORKING FAMILIES PARTY

ARTICLE I

ESTABLISHMENT OF RULES

The Working Families Party having attained party status asthat term is defined under the New York State Election Lav at theGeneral Election held on November 3, 1998 does hereby adopt thefollowing RULES:

1. £&££. The name of this party shall be WORKINGFAMILIES PARTY.

2. SYMBOL. The symbol for the Working Families Partyshall be

3. - JURISDICTION. The jurisdiction of the WorkingFamilies Party shall be the State of New York.

ARTICLE II

INTERIM COMMITTEE

1. Interim Committee. Until a State Committee iselected by the enrolled voters of the Working Families Party inaccordance with these Rules and the provisions of the Election Law,an Interim Committee consisting of 50 individuals, 25 of whom shallbe male and 25 of whom shall be female, shall exercise all of thepowers of the State Committee as set forth herein and by applicablelaw. The names and residence/post office addresses of the InterimCommittee are set forth on Exhibit A attached hereto. The membersof the Interim Committee shall serve until their successors areduly elected as provided herein and by statute. The unit ofrepresentation for each Interim Committee member shall be the Stateof New York. Each Member of the Interim Committee shall cast onevote on all matters coming before the Interim Committee. EachInterim Committee member shall be a registered voter residingwithin the State of New York and after the first Tuesday followingthe general election held in calendar year 1999 shall be anenrolled member of the Working Families Party- Except as expresslyprovided in this Article II the Interim Committee shall comply withall of the rules and adhere to all of the procedures set forthherein for the governance of the State Committee. The InterimCommittee shall have an Executive Committee which shall act forthe full Interim Committee when it is not in session or stands inrecess. Such Executive Committee shall have the same powers and

prerogatives and shall comply with all rules relating to the StateExecutive Committee as set forth herein.

2. Officers. The officers of the Interim .Committeeshall be three (3) Executive Officers, a Secretary, a Treasurer andsuch other Officers as the Interim Committee shall from time totime deem appropriate. Each of the three Executive Officers shallserve, seriatim, for a period of six months in each of the offices

.; of Chairperson, First Vice Chairperson and Second vice Chairperson.\'. The order of rotation of each such Executive Officer into, and out *of such offices shall be based on their respective positions asofficers as set forth on Exhibit B hereto, (ie., During the firstsix months following the adoption of these rules the subjectexecutive officers shall be as set forth on Exhibit B. During thenext six month period the Chairperson during the first six monthperiod shall become the second Vice Chairperson, the First ViceChairperson shall become the Chairperson and the Second ViceChairperson shall become the First Vice Chairperson). TheExecutive Officers shall continue such rotation until the InterimCommittee is replaced by an Elected State Committee as providedherein and by statute. The initial officers of the InterimCommittee shall be elected by majority vote of the state widecandidates of the Working Families Party at the General Electionheld on November 3, 1998 at which election the Working FamiliesParty attained "Party" status as that term is defined under theElection Law. Thereafter tl>e officers of the Interim Committeeshall be elected by the Interim Committee. The Officers of theInterim Committee need not be members thereof. Each officer shallbe a registered voter residing in New York State. After the firstTuesday following the General Election in Calendar Year 1999 eachofficer shall be an enrolled member of the Working Families Party.The names and residence/post office addressed of such officersshall be filed with the Board of Elections.

3. Executive Committee. The Interim Committee shallhave an Executive Committee of the Interim Committee which shallact for the full Interim Committee when it is not in .session orstands in recess. The Executive Committee of the Interim Committeeshall consist of the officers of the Interim Committee plus fiveadditional members (the "additional members") . The officers of theInterim Committee shall fill the same officer positions on theExecutive Committee of the Interim Committee (eg. the Chairpersonof the Interim Committee shall be the Chairperson of the ExecutiveCommittee of the Interim Committee). The initial additional membersof the Executive Committee of the Interim Committee shall beelected by majority vote of the state wide candidates of theWorking Families Party at the General Election held on November 3,1999 at which election the Working Families Party attained "Party"status as that term is defined under the Election Law. Thereafter,the additional members of the Interim Committee shall be elected

by the Interim Committee. The initial additional members of theExecutive: Committee of the Interim Committee are as set forth onExhibit "B". The additional members of the Executive Committee ofthe Interim Committee may but need not be members of the InterimCommittee. . Such additional members shall be registered votersresiding in New York State. After the first Tuesday following theGeneral Election held in Calendar Year 1999 each member of theExecutive committee of the Interim Committee shall be an enrolledmember of the Working Families Party. Each member of the ExecutiveCommittee of the Interim Committee shall cast one (1) vote on all'matters coming before such Executive Committee.

4. Vacancies. The initial members of the InterimCommittee, the initial officers of the Interim Committee and theinitial additional members of the Executive Committee - of theInterim Committee shall be elected by a majority of the threestatewide candidates of the Working Families Party at the GeneralElection held on November 3, 1998. Thereafter, vacancies in anysuch positions shall be filled by the Interim Committee.

5. Procedural and Organizational Matters. The InterimCommittee and the Executive Committee of the Interim Committeeshall be governed by the rules set forth for the governance of theState Committee and State Executive Committee in Articles IV, V,VI, VII, VIII, IX (Sections 5 only), X (Section 12 only), XI, XII,XIII, and XV below. ...

6. Nominations through the General Election in CalendarYear 1999. All Nominations, authorizations substitutions, andfilling of vacancies of a candidate for election for any publicoffice in any election prior to and including the General Electionin calendar year 1999 shall be made by the Interim Committee andif the Interim Committee is not in session or stands in recess suchnominations, authorizations, substitutions and filling of vacanciesshall be made by the Executive Committee of the Interim Committee.

7. Nominations After the General Election.in CalendarYear 1999. After the General Election in calendar year 1999 anduntil the State Committee is elected and organized as providedbelow and by law, the Interim Committee shall exercise all powersconferred by Article X of these Rules on the State Committee andif the interim Committee is not in session or stands in recess suchpowers shall be exercised by the Executive Committee of the InterimCommittee.

ARTICLE III

STATE COMMITTEE

1. Elected State Committee. The Interim Committee

shall take all action required by law to conduct an election ofState Committee Members at the Fall Primary Election to be held incalendar .year 2000. The unit of representation at such Fall 2000Primary Election and all state committee elections thereafter shallbe the Assembly District. Two (2) State Committee members shallbe elected from each Assembly District in New York State. OneState Committee Member from each Assembly District shall be femaleand the other male.

2. Term. Commencing with the State Committee electedin calendar year 2000 and thereafter all State Committee membersshall serve a term of two (2) years or until their successors areduly elected as provided herein and by statute. State Committeeelections shall be held biennilly at the Fall primary election ineven numbered years (eg. 2000, 2002, 2004, 2006 etc.)-

Each member of theState Committee shall be an enrolled member of the Working FamiliesParty residing within the Unit of representation from which suchmember is elected except as may be permitted pursuant to EL § 2-102(3) in years when district lines are altered or adjusted.

4. Officers. The officers of the State Committee shallbe three ( 3 )' Executive Officers, a Secretary, a Treasurer and suchother officers as the State Committee from time to time deemsappropriate. Each of three (3) Executive Officers shall serve fora period of eight months in 'each of the offices of Chairperson,First Vice Chairperson and Second Vice Chairperson. The order ofrotation of each such Executive Officer into and out of the suchoffices shall be based on their respective orders of finish in theelection for Executive Officers. The officers of the StateCommittee shall be elected by the State Committee and may but neednot be members thereof. Each officer shall be an enrolled memberof the Working Families Party residing within New York State. Thenames and. residence/post office addresses of such officers shallbe filed with the Board of Elections as required by law.

5. Executive Committee - The State Committee shallelect a State Executive Committee which shall act for the fullState Committee when it is not in session or stands in recess. TheState Executive Committee shall consist of the Officers of theState Committee plus six (6) additional members. Such additionalmembers of the State Executive Committee may but need not bemembers of the State Committee. The officers of the State Committeeshall fill the same officer positions on the State ExecutiveCommittee (eg. the Chairperson of the State Committee shall be theChairperson of the State Executive Committee) . Each member of theState Executive Committee shall be an enrolled member of theWorking Families Party residing within New York State. In additionto its other duties the State Executive Committee shall in any

county where no County Committee has been elected and organizedpursuant to the Election Lav, exercise and discharge, within suchcounty, all. of the powers, functions and duties of the CountyCommittee or the County Executive Committee.

6. Prohibitions. No member or officer of the StateCommittee or State Executive Committee shall (i) receive anyremuneration (excluding expenses) for his/her service in thatcapacity, (ii) hold any elective public office, (iii) be directly,employed or appointed to any paid (excluding expenses) position by "any elected public office holder or (iv) hold a paid (excludingexpenses) non-civil service position with any governmental or quasigovernmental entity or body.

7. Removal. Except as otherwise may be provided bylaw, a member or officer of the State Committee or the StateExecutive Committee may be removed by such Committee if no longereligible for service, for disloyalty to the party, corruption inoffice or violation of Article III Section 6 above after notice anda hearing upon written charges, to be heard by such committee ora sub committee appointed for that purpose, which shall report .itsfinding to the full committee.

8. Committees. The State Committee or State ExecutiveCommittee may create such committees (eg. law, finance, etc.) asare deemed necessary or desirable.

ARTICLE IV

ORGANIZATIONAL MEETING

The State Committee shall, within fifteen days after itselection, meet and organize by the election of officers andadoption of rules and for the transaction of such other businessas may properly come before the meeting. Such meeting shall beheld at the time and place set forth in the notice of meeting whichmeeting shall be called by the Secretary of the outgoing Committee.In the event the Secretary of the outgoing Committee fails toprovide such notice on or before the date of the election of theState Committee, any officer of the outgoing Committee shallprovide such notice.

ARTICLE V

NOTICE OF ORGANIZATIONAL MEETING

Notice of the time and place of the organizational meetingshall be served by nailing a notice of meeting to each member postnarked not less than five days before such meeting. Such notice

shall be directed to the address; of each member as it appears onthe records of the New York State (or any County or City) Board ofElections unless a member has notified the Secretary in writing ofa different address at which notice should be provided.

ARTICLE VI

MEETINGS

Meetings of the State Committee other than the organizationalmeeting shall be held (i) upon the call of the Chairperson, or inthe case of vacancy in the office of the Chairperson, on the callof the First Vice Chairperson or (ii) upon the call of a majorityof the Executive Committee in. which case such committee shalldesignate a member of the Executive Committee to issue such call.Upon written petition of one-third (33 1/3%) or more of the membersof the State Committee, filed jointly or separately in the officeof the Chairperson asking for a meeting of the State Committee, itshall be the duty of the Chairperson within 10 days after receiptof said petition to issue a call for the meeting of the StateCommittee to he held in New York City, the date of such meeting tobe not later than 20 days, or earlier than 10 days from theissuance of the call. In the event that the Chairperson shall failto call such meeting within 10 days after the filing of suchpetition, the same shall be .called by the First Vice Chairpersonor the Secretary. The agenda of any meeting called by petitionshall be limited to items expressly and specifically set forth inthe subject petition and no other matters shall be considered atsuch meeting. Meetings of the State Executive Committee may beheld in person or by telephone, at the discretion of theChairperson. Any member of the State Executive Committee unable toparticipate in person at a meeting may participate by telephone.A meeting of the State Executive Committee may be called by theChairperson or any three members thereof on not less than 24 hoursnotice by telephone or facsimile or three days written notice ifsuch notice is mailed. Any telephone meeting of the StateExecutive Committee or telephone participation in a meeting by anymember thereof shall be by "conference telephone" wherein eachmember shall be able to hear and participate at the same time asthe other members.

ARTICLE VII

NOTICE OF MEETINGS OF THE STATE COMMITTEE

Notice of the time and place of every meeting other than theorganizational meeting shall be served by mailing a notice to eachmember post marked not less than five days before such a meeting.Such notice shall be directed to the address of each member as it

appears on the records of the New York State (or any County orCity) Board of Elections unless a member has notified the Secretaryin writing of a different address at which notice should beprovided.

ARTICLE VZII

QUORUM REQUIREMENTS

At all meetings of members of the State Committee, or theState Executive Committee, there shall be present in person or with,reference to the State Committee but not the State ExecutiveCommittee represented by proxy, at least a majority of the membersin order to constitute a quorum. For purposes of determiningwhether a quorum is present the officers of the Committee shall beconsidered members of the Committee. If a Quorum is not present,the members present shall adjourn the meeting to some future time,not more than 30 days later. With respect to the State ExecutiveCommittee only, participation by telephone shall constitute beingpresent at the meeting.

ARTICLE IX

/ VOTING

Section 1. State Committee Meetings. Except as expresslyprovided in Section 2 and Section 3 of this Article IX, on allvotes each member of the State Committee shall cast one (1) vote.

Section 2. Election of Officers and Members of State ExecutiveCommittee. On all votes pertaining to the election of the Officersof the State Committee and members of the State Executive Committeeeach member of the State Committee shall cast the whole number ofvotes cast for Governor from the Unit of Representation asdescribed in Article III which he or she represents, .on the lineor column of the Working Families Party in the last precedinggeneral election for Governor (hereinafter the weighted vote).

Section 3. Nominations for statewide office. On all votespertaining to the nomination, substitution or authorization of acandidate for state wide office, or any other office which mayproperly be considered by all or any part of (see Article X,Sections 4, 5 and 7 below) the State Committee, each member of theState Committee shall cast the whole number of votes cast forGovernor from the Unit of Representation as described in ArticleIII which he or she represents, on the line or column of theWorking Families Party in the last preceding general election forGovernor.

Section 4. Executive Comjnifrfr e Meeting. In all ExecutiveCommittee Meetings each member of the Executive Committee shallcast one (1) vote.

Section 5. Proxies. Voting by proxy at any meeting of theState Committee shall be valid. Proxies shall be in writing andrevocable at the pleasure of the person executing the same. On anyquestion, motion, nomination, substitution, authorization or ,election, a majority vote shall carry such question, motion,nomination, substitution, authorization or election. Only anothermember of the State Committee may hold the proxy of an absentmember. No person may hold more than four proxies. Proxies shallbe prohibited in the Executive Committee of the Interim Committeeand in the State Executive Committee.

ARTICLE X

NOMINATIONS FOR PUBLIC OFFICE

1. The Nomination and authorization of candidates forany office to be filled by the voters of the entire state shall be 11\ ,*.made by the State Committee. Substitution of such candidates shall * ' '"'be made by the State Executive Committee.

i2. The Nomination and authorization of candidates for

President and Vice President of the United States and for theoffice of elector of President and Vice President of the UnitedStates shall be made by the State Committee. Substitution of suchcandidates shall be made by the State Executive Committee.

3. Nominations for the office of Justice of the SupremeCourt shall be made by the Working Families Party Judicial DistrictConvention(s) which convention(s) shall be constituted by theelection of delegates and alternate delegates from each AssemblyDistrict contained in whole or in part in the subject judicialdistrict as follows:

a. Each Assembly District or part of an AssemblyDistrict contained within the subject JudicialDistrict shall elect one delegate and onealternate delegate and one additional delegateand one additional alternate delegate for every250 votes or major fraction thereof cast on theWorking Families Party line or column in thelast preceding general election for Governor.

b. Each delegate and each alternate delegate toany Judicial District convention shall (i) be

' 1an enrolled member of the Working Families -Party, and (ii) reside within the Judicial JLr,*--LDistrict from which such delegate or alternate t. ' /delegate is elected. C7.

c. The State Executive Committee shall fix the , v/time and place of meeting of judicial district • .conventions and shall issue the call for anysuch convention.

4. The nomination of a candidate for election to filla vacancy in an elective office required to be filled at the nextgeneral election, occurring after seven days before the last dayfor circulating designating petitions or after the holding of themeeting or convention to nominate or designate candidates for suchelective office shall be made by .the State Executive Committeeprovided, however, that if such elective office shall fall withina County with a Working Families Party County Committee elected andorganized pursuant to the Election Law, and if the rules of saidCounty Committee make provision for the filling of said vacancy,the vacancy shall be filled in accordance with that provision; andprovided further that if such elective office shall fail withinmore than one county, the vacancy shall be filled by the vote ofthe state Committee members representing Assembly Districts wholelyor partly within the district where the vacancy has arisen. Infilling such vacancy each such State Committee member shall castthe whole number of votes cast for Governor from that portion ofthe Assembly District he or she represents that is within thedistrict where the vacancy has arisen, on the line or column of theWorking Families Party in the last preceding general election forGovernor.

5. Nominations for public office to be filled at aspecial election shall be made by the State Executive Committeeprovided, however, that if such elective office shall fall withina County with a Working Families Party County Committee elected andorganized pursuant to the Election Law, and if the rules of saidCounty Committee make provision for the filling of said vacancy,the vacancy shall be filled in accordance with that provision; andprovided further that if such elective office shall fall withinmore than one county, the vacancy shall be filled by the vote ofthe State Committee members representing Assembly Districts wholelyor-partly within the district where the vacancy has arisen. Infilling such vacancy each such State Committee member shall castthe whole number of votes cast for Governor from that portion ofthe Assembly District he or she represents that is within thedistrict where the vacancy has arisen, on the line or column of the IWorking Families Party in the last preceding general election for |Governor.

6. Vacancies in nomination made at a Judicial DistrictConvention, or by the State Committee, or by the State ExecutiveCommittee, or by any other Committee or entity pursuant to theserules or by statute shall be filled by a committee, appointed bysuch Convention or State Committee or State Executive Committee orother committee or entity to nominate candidates, to fill vacanciesin nominations made by such Convention or State Committee or StateExecutive Committee or other committee or entity, provided however,that in the event that such committee to fill vacancies is not .appointed or fails to act, the State Executive Committee may fillsuch vacancies.

7. In all cases where the Election Law allows a vacancyin nomination to be filled by such committee as the rules of theparty may provide, or in any other case of a vacancy in nominationor designation, said vacancy shall be filled by the State ExecutiveCommittee provided, however, that if such elective office shallfall within a county with a Working Families Party County Committeeelected and organized pursuant to the Election Law, and if therules of said County Committee make provision for the filling ofsaid vacancy, the vacancy shall be filled in accordance with thatprovision and provided further that if such elective office shallfall within more than one county, the vacancy shall be filled bythe vote of the State Committee members representing AssemblyDistricts wholely or partly within the district where the vacancyhas arisen. In filling suqh vacancy each such State Committeemember shall cast the whole number of votes cast for Governor fromthat portion of the Assembly District he or she represents that iswithin the district where the vacancy has arisen, on the line orcolumn of the Working Families Party in the last preceding generalelection for Governor. In the event of any vacancy in a nominationor designation not provided for above, said vacancy shall be filledby the State Executive Committee.

8. Except to the extent otherwise provided herein andby law with respect to certain offices to be filled by all thevoters of the City of New York, the State Executive Committee shallauthorize the designation, nomination or substitution of a personas a candidate for any office who is not enrolled as a member ofthe Working Families Party provided, however, that if such personshall be a candidate for an elective office which falls within acounty with a Working Families Party County Committee elected andorganized pursuant to Election Law, and if the rules of said CountyCommittee make provision for the authorization of said candidacy,the candidacy shall be authorized in accordance with thatprovision; and provided further that if such person shall be acandidate for an office which falls within more than one county,any authorizations for such candidacy shall be made by the vote ofthe State Committee members representing Assembly Districts whollyor partly within the district for which the authorization is

sought, on any vote regarding such authorization each StateCommittee member shall cast the whole number of votes cast forGovernor from that portion of the Assembly District he or sherepresents that is within the district where the authorization issought on the line or column of the Working Families Party in thelast preceding general election for Governor. Authorization of thedesignation, nomination or substitution of any person as acandidate for Mayor, Comptroller or Public Advocate of the City ofNew York shall be made at a joint meeting or joint meetings of the .Executive Committees of the County Committees of each of the fivecounties of the City of New York. At such joint meeting every votetaken shall be by each county executive committee cast ing. the totalnumber of votes equal to the vote cast in such County for thecandidate of the Working Families Party for Governor in the lastpreceding gubernatorial election. The Chairperson of each countyexecutive committee, in his discretion, shall apportion the votefor such county equally among the members of the subject executivecommittee. In the event of any omission, or error or failure toelect or organize a Working Families Party County Committee orCounty Executive committee in any County in the City of New York,the State Executive Committee may authorize the nomination of aperson who is not enrolled as • a member of the Working FamiliesParty for the public offices of Mayor, Comptroller and PublicAdvocate of the City of New York.

9. An authorization provided for herein shall besignified by the filing of a certificate, signed and acknowledgedby the presiding officer and the secretary of the meeting at whichsuch authorization was given, authorizing such designation,nomination or substitution with the officer or board with whom orwith which such designation or substitution is required to befiled.

10. In counties where no County Committee has beenestablished pursuant to the Election Law, nominations for townoffice shall be made at the primary election preceding the generalelection and candidates shall be designated for such nomination bypetition.

11. In counties where no County Committee has beenestablished pursuant to the Election Law, nominations for villageoffice shall be made at a primary election held pursuant to theElection Law and candidates shall be designated for such nominationby petition.

12. Prior to the Working Families Party organizing ona State and County level following the election of party officersat the Fall 2000 Primary Election the Interim Committee shall havethe authority to do all things conferred by this Article X on theState Committee and the Executive Committee of the Interim

Committee shall have the authority to do all things conferred bythis Article X on the State Executive Committee.

ARTICLE XI

VACANCIES IN STATE COMMITTEE

In case of the death, declination, disqualification removal,from district or removal from office of a member of the StateCommittee, or the failure to elect a member of the State Committee,the vacancy created thereby shall be filled by the remainingmembers of the State Committee by the selection of an enrolledvoter of the party qualified for election from the unit ofrepresentation in which such vacancy occurred, except as mayotherwise be provided by lav.

ARTICLE XII .

ADDITIONAL RULES

Robert's Rules -of Order Newly Revised shall govern in allmeetings of the State Committee and Executive Committee insofar asthey are applicable and not inconsistent with these rules.

ARTICLE XIIIi

AFFILIATED AND SUPPORTING ORGANIZATIONS

1. The State Executive Committee shall have the powerto organize and to approve and recognize organizations asaffiliated and supporting organizations. Such affiliation shallbe subject to rules and regulations, procedures or decisions madeby the State Executive Committee and may include a requirement forpayment of dues or other fees to the State Executive Committee bysuch organization or the members thereof.

2. The State Executive Committee shall have the powerto approve, recognize, form and charter and to make rules andregulations, adopt procedures and make decision for the conduct andmanagement of local supporting organizations, such as assemblydistrict, neighborhood, town and other clubs affiliated with theWorking Families Party. It shall also have the power to requirethe payment of dues or other fees by such organizations, or themembers thereof, to the State Committee and to the CountyCommittees of the counties in which they are organized or exist.

3. The State Executive Committee shall have the powerto make rules and regulations, adopt procedures and make decisionsfor and regarding supporting or contributing or associate membersfrom the state at large for other types of membership and

affiliation.

ARTICLE XIV

COUNTY ORGANIZATIONS

No County Committee shall be recognized unless elected,organized and constituted in accordance with the provisions of the.Election Law. Each county chairperson must be elected by a legallyconstituted county committee, under the Election Lav. The StateExecutive Committee will be available to consult with the variousCounty Committees and provide model rules for consideration. TheState Executive Committee may appoint an Interim CountyChairperson, who shall serve at the pleasure of the State ExecutiveCommittee until a County Chairperson is elected by a legallyconstituted County Committee.

ARTICLE XV

EXCLUSIVITY

These rules shall be the exclusive rules of the WorkingFamilies Party. No other rules shall be effective unless approvedin writing by the State Committee.

ARTICLE XVI

AMENDMENT

These rules may be amended, changed or repealed at anymeeting of the State Committee, by a majority vote of the membersof such committee present at a meeting at which there is a quorum,provided, however, that a copy of the proposed amendment oramendments shall be sent with the notice of the meeting at whichsuch amendment is to be proposed. Such notice shall be given asprovided in ARTICLE VII above.

Amendments to these rules may be proposed by the StateExecutive Committee or by one-third (33 1/3%) or more of the dulyelected members of the State Committee. Such proposed amendment(s)shall be filed with the Secretary of the State Committee who shallbe required to call a special meeting of the State Committee withinfifteen days after the receipt thereof, setting forth the purposeor purposes of such meeting and giving the notice required in thepreceding section. Such proposed amendments may also be filed withthe Secretary not less than fifteen days before any fixed orregular meeting of the State Committee. In such case, theSecretary shall mail a copy of the proposed amendment to each ofthe members of the State Committee, together with the notice of the

meeting and such amendments shall come before such fixed or regularmeeting for consideration and action.

New Rules may be adopted or amendments to these rules may bemade as of course and without the notice required in the proceedingparagraphs of this Article XVI, at the organizational meeting ofthe State Committee.
