The SEC staff’s current examination priorities include cybersecurity, fees and expenses, conflicts of interest, and marketing and performance. While several of these topics will be addressed in more detail during later sessions, this panel will highlight the areas examiners are particularly interested in and why. Panelists will also discuss recent relevant enforcement actions relating to exam staff focus areas.

2:30pm-3:30pm Email Surveillance - Lessons from the ARC

ACA’s Analysis and Review Center (ARC) was established to conduct electronic communications reviews on behalf of ACA’s investment adviser clients. Having conducted reviews for more than 150 advisory firms, the ARC team members have comprehensive expertise in email surveillance. They’ll be on hand, along with an email “hacking” expert, to discuss the risks of using email, the most common mistakes employees make when sending emails, and how compliance professionals can conduct efficient and relevant email searches.

Private Funds - Focus on Fees and Expenses

The SEC staff continues to focus its examination and enforcement efforts on the improper calculation of fees charged to clients and the misallocation of expenses, particularly by hedge fund and private equity fund managers. This session will discuss the SEC staff’s recent findings and enforcement cases relating to fees and expenses, as well as steps compliance professionals can take to help minimize their risk.

Portfolio Management Books and Records

Investment advisers are often cited by the SEC for failing to maintain research and due diligence files, as well as failing to document efforts to ensure that client accounts are treated fairly and managed in accordance with guidelines and restrictions. Unfortunately, there’s no easy way to document the portfolio management process. This panel will provide solutions, as well as ways advisers can demonstrate that investment recommendations are suitable, investment opportunities are allocated fairly, and the firm has developed appropriate investment risk management guidelines.

The concept and discipline of Enterprise Risk Management - viewing risk from a firm-wide perspective - is in its infancy at many asset managers. Even larger, more established managers may take a siloed approach to managing and addressing individual risks. The SEC’s expectations of asset managers in this area continue to evolve with a focus on the governance, systems, and processes that managers have established to manage risks holistically. While there is no “one size fits all” model, this panel will include risk practitioners from various asset managers to explore practical considerations when building, maintaining, and enhancing enterprise risk management programs.

Earlier this year, the SEC’s Division of Investment Management released a written Cybersecurity Guidance report on the heels of the summary report issued by the agency’s examination staff. Regulators from the DOJ, FINRA, and the FCA have also issued similar guidance. There is a lot of information to absorb in these reports, and regulators have made it very clear that they will continue to focus on cybersecurity for the foreseeable future. Join one of our Cybersecurity Breakout Sessions to discuss current best practices and cybersecurity risk areas with your peers. Each session will be led by a cybersecurity expert from ACA Aponix who will answer questions and help attendees understand the various strategies firms can employ to prevent, detect, and respond to cybersecurity threats.

The Investment Advisers Act of 1940 is generally viewed as a disclosure statute – only through adequate disclosure can advisers ensure investor protection and compliance with the anti-fraud provisions of the Advisers Act. Recently, a number of SEC enforcement cases have reinforced this concept, and failure to disclose conflicts of interest is high on the regulator’s radar. Our panel of experts will discuss regulatory expectations, best practices, and common missteps advisers make when preparing disclosure statements.

Understanding investment risk is critical to achieving investment returns. However, for a compliance professional without a strong background in finance, analyzing investment risk might seem as daunting as reading the U.S. tax code. This session will help by providing an overview of basic investment risk topics, including stress testing, index tracking errors, and common quantitative risk metrics.

Performance Calculations and Reporting - Challenges for Private Fund Managers

Providing performance metrics to current and prospective fund investors is standard practice in the investment management industry. Given the importance investors place on this information, it is imperative that data be presented accurately and include all requisite disclosures. This session will focus on the performance calculation issues unique to hedge funds and private equity funds, including IRR calculation, the treatment of fees and expenses, net versus gross returns, the GP impact on net-of-fees returns, and associated disclosures.
