ally. While Katten offers an extensive range of legal services
across numerous industries, our core areas of practice are cor-
porate, nancial services, litigation, real estate, commercial
nance, intellectual property and trusts and estates. Among
our clients are a wide range of public and private companies,
including a third of the Fortune 100, as well as a number of
government and nonprot organizations and individuals.

Corporate
Our Corporate Practice provides sophisticated transactional
representation and business counseling to national and global
companies in a wide range of industries. Attorneys in thepractice regularly work with those from other disciplines,
including tax, labor and employment, antitrust, environmen-
tal and intellectual property, to provide our clients with com-
prehensive representation in their business transactions. We
regularly represent companies in the aviation, entertainment
and media, health care, sports and technology industries,
among others. Our core practice areas include mergers and
acquisitions, private equity and securities.
Katten is a ull-service law frm with more
than 600 attorneys in locations across the
United States and an afliate in London.
Attorneys in our Mergers and Acquisitions Practice handle
complex domestic and international transactions for public
and private companies, nancial institutions, and invest-
ment funds. Our Private Equity Practice works with private
equity sponsors and their portfolio companies to maximize
the value of their investments from entry through exit. Our
Securities Practice assists clients with public and privateofferings of equity and debt securities and other securities
transactions, and provides regulatory advice to public and
private companies and other nancial market participants.
We also provide corporate governance and business coun-
seling to companies and their boards of directors and board
committees.
Financial Services
Kattens Financial Services Practice advises a broad range
of participants in the nancial services arena, including
broker-dealers, futures commission merchants, investment
advisors, nance companies, investment bankers, futures
and securities exchanges, commodity trading advisors,
pension funds, banks and insurance companies, as well as
investment vehicles such as hedge funds, commodity pools,
venture capital funds and private equity funds. The Financial
Services Practice employs an interdisciplinary approach in
providing comprehensive legal services including regulatory
and transactional advice, tax and ERISA counsel, and domes-
tic and foreign litigation services.
Kattens more than 80 nancial services attorneys are well-versed in the latest developments in the industry, especially
those involving regulatory matters. Several have previously
held senior positions with regulatory agencies or have been
in-house counsel at nancial services rms. Our attorneys
depth of experience enables us to provide creative, strategic
representation while being responsive to the practical and
economic needs of our clients.

Litigation and Dispute Resolution
Kattens Litigation Practice has nearly 200 attorneys across
the country dedicated to evaluating, ghting and resolving
our clients most difcult problems. Our diverse practice
includes commercial litigation, consumer class action, elec-
tronic discovery and evidence, nancial services litigation,
product, premises and tort liability, securities litigation and
white collar criminal and civil litigation. Our litigation track
record and trial victories have earned us national recogni-
tion in Chambers USA, Benchmark: Litigation, Lawdragon 500
and the Law360 Litigation Almanac, among others. But we
believe our litigation victories must provide value and long-
term benet to our clients. More than any rankings, that is
how we measure our success.
Our litigators regularly try signicant bet the companycases to verdict. Many of these large cases are accompanied
by other risks, investigations, government inquiries and pro-
ceedings, and as a result we have become especially adept
at handling parallel and complex proceedings. Our clients
benet from the experience of the many Katten attorneys
who have held positions at the U.S. Department of Justice,
the U.S. Attorneys Ofce, the White House, the Securities
and Exchange Commission and other government agencies
and prosecutors ofces at both the state and federal levels
across the country.
Real Estate
Katten has one of the most extensive and renowned real
estate practices in the United States. With over 100 attor-
neys rmwide and a London afliate, we provide global
solutions and capabilities to clients in national and interna-
tional markets. Attorneys in our Real Estate Practice have
broad experience in all types of real estate transactions,
including all classes of debt nancings, leasing, acquisitions,
sales, development, fund formation, private equity and
joint ventures, REIT formation, securitizations, cross-bordertransactions, recapitalizations, workouts and restructurings.
Our deals involve asset classes that span the market, includ-
ing hotels, ofce, retail, industrial, residential, raw land and
mixed-use projects.
Our sophisticated Real Estate Litigation Practice focuses on
the complex disputes that arise in the industry, including
nance, development and construction, landlord-tenant
relations and brokerage, purchase and sale transactions,
and governance and organization. The Distressed Property
Group advises clients in connection with distressed real
estate asset disputes, out-of-court and in-court restructur-
ings, foreclosures, bankruptcies, reorganizations, equity anddebt capitalization, and acquisitions and dispositions. Our
real estate attorneys also work together with our Sustain-
ability and Climate Change Practice to protect our clients
interests in green development.
Commercial Finance
Kattens nationally recognized Commercial Finance Practice
represents banks, investment funds, nance companies and
nancial institutions making a wide variety of debt invest-
ments in enterprises of all types and sizes, and in a broad
range of industries. Our commercial nance attorneys draw
upon the vast experience of Katten professionals in various
disciplines to ensure that clients receive the highest quality
counsel on the structural, tax, regulatory and other aspects
of any given transaction. Our lending clients benet from
the invaluable perspective our commercial nance attorneys
have gained from representing borrowers and support-
ing Kattens other practices with nancing transactions
such as leveraged buyouts, acquisitions, renancings and
recapitalizations.
Our senior lending practice focuses on the representationof administrative agents, lead arrangers and bookrunners in
syndicated senior secured and unsecured nancing transac-
tions consisting of conventional asset-based loans and cash
ow loans. We also regularly represent nancial institutions
in mezzanine investments and so-called Term B Loans and
Second Lien Term Loans. In addition, our commercial nance
attorneys represent lenders in project nance transactions
and team with other practices within the rm to repre-
sent lenders, sponsors, trustees, portfolio managers and
other participants in structured nance transactions and
securitizations.
Intellectual Property
We recognize that our clients intellectual property is among
their most valuable assets. Our intellectual property attor-
neys assist clients in many industries in managing and pro-
tecting their intellectual property, and in defending against
the claims of others. Our attorneys have experience in the

intellectual property aspects of all types of business transactions, including mergers, acquisitions, lever-
aged buyouts, venture capital investments, joint ventures and other strategic alliances. We also assist
our clients in exploiting intellectual property rights through licensing, joint ventures and technology
transfer agreements.
Lawyers in Kattens Intellectual Property Litigation Practice have been lead trial counsel on some of themost signicant intellectual property cases for prominent companies around the world. Our seasoned
litigators enforce, protect and defend our clients patent, trademark and copyright rights in jurisdictions
across the United States and abroad. Much of this litigation involves cutting-edge issues of intellectual
property law, including patents concerning pharmaceuticals to allow generic competition, federal
Lanham Act claims, and advertising and entertainment law disputes involving First Amendment issues.
Trusts and Estates
Over 45 attorneys strong, the Trusts and Estates Practice at Katten is one of the largest and most well-
versed in the United States. Our attorneys provide the full panoply of trusts and estates-related services
to both domestic and international clients. We perform sophisticated estate, tax, business, charitableand personal planning for high net worth individuals, entrepreneurs and others with complex assets
or affairs. We represent both duciaries and beneciaries in connection with ongoing estate and trust
administration on a multigenerational basis. We are also experienced in handling contested proceedings
involving estates and trusts in the courts, before taxing authorities, and before governmental and regu-
