MEMORANDUM

NAME OF WORK: “Providing Occupational Health Service(OHC) at BTPS” I/We enclose herewith a Demand Draft for Rs……………………………. vide DD No. ______________ dated_____________ Bank_______________ towards Earnest Money. The Earnest money bears no interest.

Should my/our tender be accepted I/We agree to pay 5 % of the contract amount towards security deposit for the due fulfilment of the contract at the time of executing agreement in the form of BG/FDR for full period.

If this tender be accepted, I/We agree to abide by and fulfil all the terms and provisions of the said conditions of contract annexed or in default thereof forfeit and pay to the Corporation the sum of money mentioned in the said condition without prejudice to any other right of the Corporation.

I/We distinctly agree that I/We would hereafter make no claim or demand upon the Corporation based upon or arising out of any alleged misunderstanding or misconceptions or mistake on my/our part of the said contract, agreements, stipulations, restrictions and conditions.

If upon written information to me/us by the Executive Engineer (Mech)-6, I/We fail to attend the office on the date there in fixed and if upon intimation being given to me/us by the Executive Engineer (Mech)-6 of the acceptance of the tender or fail to enter into agreement of the tender notice, then I/We agree to the forfeiture of the Earnest Money.

Any notice required to be served on me/us shall be sufficiently served on me/us by post (registered or ordinary) or left at my/our address given.

I/we fully understand the terms and agreements of the contract to be entered into between me/us and the Corporation and the written agreement shall be foundation of the right of both the parties and the contract shall not be deemed to be complete until an agreement as been signed by me/us and authorised by the proper office authorised to enter into contract by the Corporation.

1.0 INTRODUCTION :

The KPCL has established its Thermal Power Station generally called as BTPS near Kudithini village, Bellary Dist, Karnataka State. The core activity of the plant is to generate electricity using coal. The project is situated in between Bellary - Hospet and well connected with NH 63 and it is bout 25Kms from Bellary and 35Kms from Hospet. The main components of plants are Boiler, Turbine, Coal Handling Plant, ESP, Switch yards, Water treatment and Ash handling system. The other establishments such as fire station, hospital, administrative buildings, ware houses, canteen, etc., are located in the plant premises. The plant is spread over an area of 2000 acres. Presently two units of 500MW capacity each with its auxiliaries is in continuous operation and third unit of 700MW capacity is under construction stage.

There are about 1000 Operation and maintenance staff and 2500 construction workers are working in the site. As per Department of factories guidelines Occupational Health Service established to cater the emergency and routine medical services for the employees. It is proposed to outsource the services and tender invited for providing OHC services at BTPS.

2.0 DEFINITION OF TERMS:

2.01 The expression “work”, “job” or “duty” where used in these conditions shall unless there be something either in the subject or context represent to “Providing Occupational Health Service(OHC) at BTPS.”

2.02 The “Corporation/Company” means Karnataka Power Corporation Limited a Govt of Karnataka under taking firm having registered office at No. 82, Race Course Road, Banglore-560 001, Karnataka State

2.03 The “Agency/Contractor” means the Agency to whom this work is awarded on successful Bidding.

2.04 Personnel of the Agency means employees of the Agency deployed for “Providing Occupational Health Service(OHC) at BTPS.”

2.05 “Engineer In-charge” means the Chief Engineer (O&M)/BT of the Project or any engineer nominated by Chief Engineer (O&M)/BT

2.06 “Notice in Writing” or “Writing Notice” shall mean a notice written, typed or printed characters sent (unless delivered personally or otherwise proved to have been received) by registered post to the last known private or business address or registered office of the ordinary course of post it would have been delivered.

2.07 “Premises of Company” means, BTPS project complex and its components situated in Karnataka.

2.08 Whenever in this contract the words “Directed”, “Required”, “Ordered”, “Desired”, “considered” “Necessary”, or like words are used, it shall be understood that the directions, requirements, permissions, orders, desiring, etc., of the Chief Engineer (O&M)/BT or other authorized Officers words “Approved”, “Acceptable”, satisfactory to the Chief Engineer (O&M)/BT or his authorized officers approved by or acceptable or satisfactory to the Chief Engineer (O&M)/BT/ unless any other meaning is otherwise intended.

2.09 Calendar Month means English calendar referred for the purpose.

3.0 PRE-QUALIFICATION REQUIREMENTS. The Bidder shall meet the following pre-qualification: i. Agency should have their own nursing Home/Hospital in Allopathic system of

medicines. ii. Agency should have IT PAN registrations. iii. Financial Turn over Rs.10 lakhs in any two financial year in the previous five years.

4.0 EARNEST MONEY DEPOSIT (EMD)

4.01 EMD amount of Rs.70,000/- in the form of DD drawn from any nationalized bank in favour of “Deputy General Manager (Finance)-BTPS” payable at Syndicate Bank, Kudithini or any other nationalized bank at Bellary shall be submitted along with the bid document. If the EMD submitted is not in order / not in the acceptable form such Bids will be rejected.

4.02 Tenderers may note the fact that their registrations with any other authority do not entitle them for exemption from payment of EMD as specified above.

4.03 The EMD of the tenderer is liable to be forfeited:

a) If he withdraws his tender or backs out after acceptance of the tender or fails to remit the Security Deposit.

b) If he revises any of the terms quoted during the validity period.

c) If, any of the documents / information furnished by the bidder is found to be false after submission of the tender, the EMD of such bidder is liable to be forfeited

4.04 The EMD of the unsuccessful tenderer shall be refunded after awarding tender to the successful bidder. The EMD shall not carry any interest.

5.0 ISSUE/SUBMISSION / SCHEDULE AND OPENING OF TENDER 5.01 Issue of tender documents: The blank tender documents may be obtained in person by

paying tender fee of Rs 105/- (inclusive of 5% VAT) 5.02 Submission of Tender: The bidder should submit their offers in a sealed cover duly

super scribed as “Providing Occupational Health Service(OHC) round the clock services at BTPS” and Tender Notification No: EEM6/OHC/13-14/ 164 dtd.21.06.2013 and addressed to "Executive Engineer (Mech)-6, Bellary Thermal Power Station, Kudithini, BELLARY (DIST.)-583152. The bid may be sent by registered post or delivered through a special messenger, before the prescribed time. The tenderers are advised to post well in advance so as to ensure the tenders reach this office in time. KPCL shall not be responsible for the delay in receipt of tender by Postal/courier services. Agency shall submit bid offer in sealed in TWO COVER SYSTEM . Cover 1 technical bid : Following document shall submitted

5.03 Tender schedule : Blank Bid documents will be issued from : 22.06.2013 to 09.07.2013 upto 11AM Last date for submission of completed bids : 09.07.2013 up to 03.00 PM Date of opening of Technical Bid : 09.07.2013 03.30PM

a) Tenders shall be opened at the office of the Executive Engineer (Mech)-6, Bellary Thermal Power Station, Kuditini, Bellary in the presence of such tenderer / authorized representatives who will be present at the time of opening of the tenders.

b) The Cover-2 containing the price bid will be opened only in respect of the bidders who will be qualified as per the pre-qualification requirement indicated in the tender document and in the presence of available qualified bidders on the date which will be intimated to the Agencies in advance.

6.0 PRE-BID MEETING: Not Applicable, how ever for any clarification may be obtained from EE M-6, Mobile No.+91-9448290770

7.0 Tender rejection: The tender shall be rejected immediately, if the tender is: • Not in the prescribed form • Not accompanied by the requisite EMD in the form of DD. • Tenderers who do not meet the Pre-qualifying requirements indicated in the tender. • From any black listed firm or contractor. • Received after the expiry of the due date and time. • Offer received by telex or telegram. • From a tenderer who is directly or indirectly connected with Government Service or in

KPCL or of a local authority. • From the tenderer whose past performance is not satisfactory. • Not in conformity with the tender terms and conditions. The conditional tenders will be

summarily rejected. • Validity period less than specified in the Tender document. • Tenders received after the due date & time.

8.0 GENERAL TERMS AND CONDITIONS OF TENDER

a. It shall be the responsibility of the tenderer to furnish all the particulars which are required for due consideration of the tender though not mentioned in the specification.

b. Tender validity shall be180 days from the date of opening.

c. Alternative tender shall not be considered.

d. Tender document is non-transferable. Tenders received from tenderer in whose name the tender document has been issued only shall be considered.

e. The tenderer are advised to pursue all the clauses in the specification and the instructions before quoting.

f. The right to reject any or all tenders without assigning the reasons is reserved by the Chief Engineer (O&M)/BT

g. The agency should give clearly in his tender the place of residence and postal address. The delivery at the above name, place or position in the post box regularly maintained by the post office or sending by letter registered for acknowledgement or other communications shall be deemed sufficient proof thereof.

h. The agency shall clear their doubts, if any about the meaning of any portion of general and special terms and conditions of the tender.

i. Tenders should be submitted in the prescribed form only in sealed covers. If the tender is made by an individual, it should be signed with his full name, if it is made by a firm, it should be signed by the co-partner with his full name, if it is made by a Company, it should be signed by a duly authorized officer with satisfactory evidence of corporate existence.

j. The submission of tender by a contractor implies that he has read these notices and conditions of contract and made himself aware of the scope of the work to be done.

k. Photo-copies of documents shall be accepted only after verification with the originals. The tenderer shall produce the originals for verification.

l. In order that the tender may receive full consideration, the complete information asked for in the accompanying schedule and elsewhere must be supplied by the tenderers.

m. It is not binding on the KPCL to accept the lowest or any other tender.

n. The tender for works shall remain open for acceptance for a period for 180 days from the date of opening of tenders. If any tenderer withdraws his tender before the said period or makes any modifications in the terms and conditions of the tender which are not acceptable to the Corporation, then the Corporation shall without prejudice to any other rights to remedy, be at liberty to forfeit 100% of the earnest money deposit.

o. The Agency if required shall visit BTPS plant area before submitting the tender.

9.0 EXECUTION OF AGREEMENT: The agency shall execute an agreement with the KPCL (as per KPCL format) on a stamp paper of appropriate value in the prescribed form within 7 days from the date of acceptance of the Letter of work order. The cost of the stamp paper shall be borne by the agency, and shall arrange six sets

10.0 Subletting: Agency should not sublet the contract. If the Agency found to have sublet the contract, the above contract will be terminated and the work will be carried out through some other agency at the risk and cost of the contractors concerned.

11.0 Scope of Work: i. The agency shall deploy following staff for occupational Health Centre services in three

shifts and one reliever batch round the clock for all the 365 days for entire contract period of one year including Sundays & General Holidays.

a) Medical Officer Should be minimum MBBS b) Qualified Nurses Should have passed General Nursing Course c) Ayah/Male Hospital Attenders Minimum SSLC Qualified

5 Ambulance with Driver Round the clock

iii. Medical service shall be rendered to the employees, Construction workers , O & M contract labors, attending to ailments and any medical emergencies, medical records etc., shall be taken care of. In case of accidents and emergencies the, staff provided by the agency shall be required to rush to the accident/emergency spot for providing medical service/treatment and also if necessary shall accompany the affected person for further treatment where such cases are referred for higher treatment by the duty doctor. Emergency medical treatment shall be rendered to the workers of the Agencies working in BTPS.The required medicines, consumables & medical instruments will be provided by KPCL and its maintenance shall be done by the Agency. The agency shall provide TWO set of Mobile phone facility to their staff and ambulance at their cost.

i. The agency shall submit the details of personnel employed and any other details necessary for carrying out the work satisfactorily. And also maintain proper records and present to the concerned officers whenever called for.

ii. Agency shall provide Uniforms, shoes, sandals to all staff suitable for Medical services.

iii. The agency shall take immediate action to replace any person deployed for the work, if found not suitable/desirable. The agency shall provide replacement for the person, in event of his sickness absence or availing leave, National holidays, Weekly off and this provision is provided in the scope of contract. The premises of OHC shall be kept clean.

iv. This contract shall not grant any claims to the staff engaged by the agency for any appointment in KPCL either during the currency of the contract or any time at a future date. The successful bidder shall furnish a letter of undertaking before entering into an agreement that the staff deployed is aware that they are employees of the agency only and they have nothing to do with KPCL as far as appointment is concerned.

v. The company will not be responsible for any of the unauthorized acts and or liable for any damage/injury sustained by the agency or any other person in the course of their work/duty in and around the office and plant premises or outside the plant.

vi. Ambulance: Agency shall provide ONE ambulance of MARUTHI Suzuki Eeco MODEL air condition fitted ( A/c) vehicle for round the clock services. Vehicle shall be Registered in Karnataka with Taxi permit (Yellow board). Facility required stretcher, oxygen cylinder, FIA, glucose stand, and etc facility for shifting the patient. Agency shall provide Drivers with valid license round the clock in three shifts with uniform, shoes , belt etc., the vehicle shall be stationed at OHC and attend all emergency call, for shifting of patient inside the plant and as well as out side for higher treatments to any hospital as required. Vehicle log book shall be maintained as per KPCL standard. Services shall be made available on round the clock basis. Agency shall quote their rates as per price schedule format for providing ambulance services. The rates are inclusive of wages for the drivers, spares, fuel, oil and lubricants all insurance all unforeseen, routine/breakdown maintenance, service tax, road tax, IT, etc., In the event of accident legal responsibility etc lies with agency. In the event of emergency services shall be provided as per the instruction of Engineers also. Agency shall provide stand by vehicle in the event of maintance of ambulance.

a. Hire charges will be calculated as per usage of vehicle. KPCL shall only pay agreed hire charges contractor has to bear all charges such as cost of Fuel, Oil and lubricants, repair, replacement spares, tyre tubes, batteries including driver wages and allowances.

b. Hire charges will be consider in Three component for payment.

1. Rate per month for hire charges as basic price for providing vehicle with driver for round the clock service.

2. Rate per KM cover additionally as per KM run during the month

3. Price variation: Price variation shall be regulated as under .

Increase / Decrease in hire charge per Km (R1) = (P1-P)/K Where,

P : Base price of petrol at the time of quoting the rate (Ex. Rs.68.08)

P1 : Revised price of petrol

K : Mileage of the vehicle i.e. Number of Km the vehicle runs per liter of petrol. K=13 Km for MARUTHI Suzuki Eeco Model A/c fitted vehicle)

Price variation is only applicable on petrol component as per the above stipulation from the date of such price variation. The revised charges shall be per KM. No price variation on any other component of expenditure. Price variation shall be paid for the km covered during the month from date of petrol price hike.

Agency shall quote separately for providing vehicle as per price schedule format.

12.0 DUTIES, RESPONSIBILITIES AND OBLIGATION OF CONTRACTOR

a. The All the work shall be carried out under the direction of the Engineer. Not with-standing the fact that clearance or approval has been given by the Engineer; the bidder shall be responsible for the correction of positions, dimensions and the quality of workmanship.

b. Contractor shall use only approved quality of material for carrying out all the works under this contract.

c. Contractor shall deploy/engage only the qualified/ experienced staff, etc.,

d. The Personnel deployed by the Agency shall be the employees of the contractors only. The corporation at no time directly or indirectly employ them for any service or deal with any personnel in any capacity during the tenure of the contract.

e. The Corporation shall not be responsible for any of the unauthorized acts and or liable for any damage/injury sustained by agency in the course of their work duty in and around the office and plant premises.

f. The Corporation shall not be held responsible or called upon to make good any losses/costs incurred by Contractor, on account of factors beyond their control such as rain, earthquake, lightening, other natural phenomena, legal implications, etc ., or for any reason whatsoever.

g. During the duty hours, the Contractor shall keep all persons under their control and they shall be deployed only for the works covered under this contract.

h. The agency as well as his personnel should also have general information about the activities of the BTPS.

i. The antecedents of the staff engaged by the Contractor for deployment in any Project Complexes should be verified through local police or by any other Government Agencies and only suitable persons with clean record should be deployed. The Contractor shall be responsible for the good conduct of his staff while on duty as well as off duty in Corporation premises and the staff shall present themselves as responsible persons at all times.

j. The contractor shall submit the details of personnel employed and any other details necessary for carrying out the work satisfactorily. In addition, the Contractor shall furnish the details of men posted daily for the different works entrusted to him and actually engage such person and complete the work satisfactorily. The Contractor shall also maintain proper records and present to the concerned officers whenever called for.

13.0 DISCIPLINE: - The Tenderer shall ensure that he and his employees maintain proper discipline and decorum at BTPS while dealing and executing the contract so that there should not be any hindrance for the smooth running of the power plant. If any of the employees of the Tenderer is found unsuitable by the Engineer-in-Charge at BTPS, then on demand by KPCL, such employee shall be removed and the Tenderer shall depute another employee in his place immediately.

14.0 DAMAGES TO THE PROPERTY: The Tenderer shall be liable to pay damages caused to the property of KPCL, on account of negligence or defective working on the part of the Tenderer and his employees. Such amount of damages shall be recovered from the bills of the Tenderer and the Tenderer shall be liable to pay such damages to the KPCL.

15.0 SECURITY AND SAFETY: The agency shall arrange for security and safety of their personnel, tools and tackles, Machineries and equipments provided for carrying out services. The contractor shall purchase all safety equipments such as safety shoes, helmet, belt, hand gloves, facemask, goggles etc. The contractor shall furnish acknowledgement for receipt of safety equipments by their workmen duly certified by concerned AE/JE, before commencement of work. If the agency feels, additional safety devices are required to carry out the contract, the same can be provided by the contractor free of cost No personnel should be allowed to work without safety gadgets. Agency shall adhere all the safety preventions to be provided for the said execution work as the work required to carried out in the factory premises attract Factories Act. Any accidents/injuries caused to the workers will be the responsibility of the agency in full respect.

16.0 RIGHTS OF KPCL:

a. KPCL reserves its rights to seek for any additional details/ documents required at any point of time during and after the process of bidding. If the agency fails to furnish such details their offer is liable for rejection.

b. KPCL reserves its right to modify, change, cancel any or all the tenders with out giving any reason thereof.

c. Final acceptance of tender rests with KPCL. KPCL reserves the right to accept or reject any or all tender without assigning any reason thereof.

d. The Schedule/scope of work is liable to alteration by way of deletions or additions at the discretion of the corporation.

e. The Chief Engineer (C, O&M) or authorized Officers of the Corporation shall have the power, in the execution of the work, to issue notice in writing and to instruct/direct the Contractor to make alterations / variations in the work.

f. If the Agency fails to carryout the assigned works satisfactorily during the currency of the Contract, the Corporation shall have the power to enter upon and take possession of the works and to engage any other person, firm or agency to complete the work. Any extra cost incurred by the Corporation due to such failure on the part of the Contractor shall be recovered / deducted from the contract.

g. To prevent disputes and litigations, it shall be accepted as an inseparable part of this contract that in matters regarding work, interpretation of contract, mode of procedure and carrying out the work, the decision of Chief Engineer (C, O&M) shall be final and binding on the Contractor.

h. KPCL reserves right to award work to more than one agency if it is advantageous to KPCL.

i. Any loss or damages caused to the corporation by non compliance of obligation under this agreement by the contractor, the contractor is liable to make good such losses and the corporation shall be entitled to recover the same from the contractor.

17.0 PERIOD OF CONTRACT : - The period contract shall be ONE year and if require further period will be extended for six Months with same commercial and general terms and condition.

18.0 TERMINATION OF CONTRACT:

a. If the contractor neglects to execute the work with due diligence and expedition or does not comply with the instruction given, the Corporation reserves the right to terminate the contract by giving a months notice.

b. If the services of the Agency in KPCL found not satisfactory and if any of the Conditions of the contract agreement is violated, the Chief Engineer (O&M)/BT reserves the right to terminate the contract prematurely without any compensation on any kind of loss.

c. If, any of the documents / information furnished by the bidder is found to be false after award of the contract their EMD and SD will be forfeited and their contract will be terminated.

19.0 PRICES, TAXES AND DUTIES, PRICE BID EVALUATION: Agency shall quote their rates duly taking into consideration of following components :

• In respect of Doctors as per Govt. Contract basis wages

• In respect of other staff & drivers as per minimum wage act. PF and allowances etc.,

• Professional tax inclusive

• Insurance

• Presently for medical services service tax not applicable. Agency shall quote Rates shall be exclusive of service tax. In case if payable same shall be considered as per the time to time Govt orders.

• NO price variation clause is admissible. The agreed rates of the contract holds good for entire period of contract

PRICE BID EVALUATION: The agency shall mention their rates neatly typed/written in ink both in figure and words. Overwriting if any should be endorsed with signature. Any discount should be indicated clearly in the respective price schedule only. In case of difference between the price quoted in words and figures, the lower of the two shall be considered. Sum of the total amount quoted by the bidders in price Schedule shall be

considered for the purpose of evaluation of bid. Price evaluation shall be consider as follow; A = Providing OHC service per month as per price schedule Sl No (1)

B = Providing ambulance service basic price as per price schedule Sl No (2) a

C = Additional charges per Km i.e. 750 x Price quoted as per price schedule Sl No (2)

Price evaluation D = A + B + C

20.0 TERMS OF PAYMENT: 100% payment will be made after completion of month through cheque, duly deducting statutory.

BILLING AND PAYMENT:

a. Paying Authority: The bill shall be raised in the name of Executive Engineer (Mech)-6, BTPS, KPCL, Kudithini - 583152, Bellary (Dist). The contractor shall submit bills in quadruplet for the work done with all relevant documents to the Executive Engineer (Mech)-6. All the payment related to this contract shall be made by the Deputy General Manager (Finance) at BTPS Kudithini Bellary.

b. The agency should furnish the bills along with requisites such as PF remittance statement, consolidated pay disbursement/pay slips other related information along with bill. The bill shall be raised in quadruplet and all enclosure shall be in four sets.

c. The payment will be made by the corporation within 30 days from the date of submission of Bill after effecting necessary deductions such as; IT and work contract tax, penalty if any be made.

d. Payments are made through account payee cheque. All the bank charges to agencies a/c.

e. The agency shall produce document for remittance of service tax and corporation will reimburse accordingly as per actual within 30 days from submission of documents.

f. Deduction of Income Tax, and Other Applicable Taxes and Duties & Etc. Tenderer shall provide PAN/GIR Number to KPCL. Income-tax and other applicable taxes if any shall be deducted at source at the prescribed rates from the Bills of Tenderer as per the statutory levies / taxes in force at the time of payment of the bills. Necessary certificates of tax deducted at source shall be issued / furnished by KPCL to the agency.

g. All compensations or other sums of money payable by the Contractor to the corporation under the terms of this contract may be deducted from his security deposit or from any sums that may be due, or may become due to the Contractor by the Corporation on any account whatsoever and in the event of security deposit being reduced by reason of any such deduction, the Contractor shall, within 10 days thereafter make good the shortfall in the security deposit referred to above.

h. PENALTY: If agency fails in providing staff penalty will be levied as per minimum wages per staff. If the agency fails to carry out the work as per the contract, KPCL will entrust the work to other agency at agencies risk and cost. The amount considered for penalization shall be as per KPCL standard and deduction will be made from the bill / outstanding payments. In the event of maintenance of Ambulance agency shall provide alternate vehicle.

21.0 STATUTORY RULES AND REGULATIONS

a. The Tenderer shall register under the Contract Labor Act or any other Labor Acts as may be applicable from time to time. The Tenderer shall follow all the provisions of Labor laws and other laws including the Payment of Wages Act, Minimum Wages Act, Factory act, Child labor act, Workman Compensation Act and other Local Laws and rules framed there under from time to time. Any amount payable to the employees of the Tenderer under any of the law by the Tenderer, if demanded from the Corporation being a Principal Employer, same shall be recovered from the R.A. Bills of the

Tenderer. The Tenderer shall maintain all registers and records as required under the various laws and regulations made there under from time to time. The Tenderer shall make arrangements for the engagement of labors according to the provisions of Indian Labor Laws and the local acts and for the payment thereof. The Tenderer shall pay rates of wages and observe conditions as defined in the Indian Labor Laws. On receipt of the order, the Tenderer shall furnish the certificate to Bellary Thermal Power Station of his having registered with the competent authority under the Contract Labor Acts and other Acts.

b. The Tenderer and his employees shall observe all the statutory rules and regulations of the power stations and the provisions of the other labor laws and regulations made there under which are applicable to the power stations.

c. In the event of any accident / injury / fatal to the Tenderer’s employee during the course of his employment in pursuance of the present contract, the Tendered shall be responsible to pay the compensation or any sum payable to such employee under the provisions of Law or Regulations made there under including the provisions of Workman Compensation Act. The contractor shall arrange for treatment, medical facility and dealing with statutory /legal other all responsibility are rest upon contractor.

d. The Contractor shall comply with all relevant acts, rules by-laws, regulations and all other statutory requirements of local or other authorities, having jurisdiction over the areas and shall be responsible for the payment of all fees and other charges and giving and receiving of all necessary notices and keep the Chief Engineer(C, O&M) informed of the said compliance with such acts, rules, by-laws, regulations, statutory requirements, payments made, notice issued and received.

e. ESI/PF: The Agency shall also be responsible and fulfillment of all the statutory obligations under the statutory provisions such as ESI / PF etc. in respect of his Security personnel posted under this contract. If the places mentioned in the tender (KPCL Offices / Project area) comes under non- implemented area under ESI, in such cases the Agency has to obtain Insurance cover under Workmen Compensation Act 1923, for their Security Guards so deployed. The Agency shall arrange to deposit the contribution towards the PF (both employees and employers) to the concerned Authorities at the notified rates promptly. The Agency shall cover the security personnel under personal risk Insurance Scheme. The copy of the Policy should be produced, as a proof for having insured. The deductions towards ESI and PF shall be at the rate as prescribed by the Government from time to time

22.0 Force Mejeure : At any time during the continuance of this contract, if the performance in whole or in part of any obligation under this contract shall be prevented or delayed by reasons of any war, hostility, acts of public enemy, acts of civil commotion, strikes, lockouts, sabotage fires, floods explosions, epidemics, quarantine restrictions or other acts of God (herein after referred to as eventualities) then, provided notices of the happening of any such eventuality is given by Tenderer to the Corporation within 15 days from the date of occurrence thereof, neither party shall, by reasons of such eventuality, be entitled to terminate this contract, nor shall have any claim for damages against the other in respect of such non-performance or delay in performance, and deliveries under this contract shall be resumed as soon as practicable after such eventuality has come to an end or ceased to exist. Provided that if the performance in whole or part by Tenderer or any obligation under this contract is prevented or delayed by reasons of any eventuality for a period exceeding 60 days, both parties to the contract may at their option terminate this contract by a notice in writing.

23.0 Disputes: In case any dispute or difference arises between the Corporation or its representative and the Contractor on any matter within the scope of this contract, then either party shall forthwith give to the other side written notice of such dispute or difference and such dispute or difference shall be referred to the Chief Engineer (O&M)/BT whose decision shall be final and binding on the contractor.

24.0 Institution of Suits : No suit or any proceedings arising in any respect under this contract shall be subject to Jurisdiction in law courts at Bangalore, Karnataka only. It is agreed that no other court shall have jurisdiction to entertain any suit or proceedings even though part of the cause of action might arise within the jurisdiction of any such courts. Arbitration in this contract is not acceptable.
