Goals and ObjectivesMissionThe Kalihi Business Association (KBA) is a non-profit corporation organized in 1948 topromote and represent the interests of the Kalihi Community by:

Building relationships in the communityPromoting business growth and developmentBeing a voice for small business in our communitySupporting education through partnerships with our schools

Members Eligibility. Any person who is of good standing in this community, and who is engaged in a busi-ness, profession or is an owner of real property or has a civic interest within the boundaries be-tween Palama and east of the airport and including Mapunapuna, is eligible for membership.

MeetingsMembers and their guests are invited to attend our membership meetings. The purpose ofthe meeting is to provide valuable information on topical subjects, and to foster business re-lationships among association members. The location and date of our meeting is announcedthrough the monthly newsletter.

Board of Directors MeetingsThe Board of Directors meet on a monthly basis. It is during the Board meetings that thedecisions affecting your association are reviewed and voted upon. The location and date ofour meeting is announced through the monthly newsletter.

Annual Meeting and Installation BanquetThe installation of new officers and recognition of our outgoing officers and other key com-mittee members are recognized at our annual banquet. The location and date of our ban-quet is announced through the monthly newsletter.

ARTICLE I. NAMEThis Corporation shall be known as the Kalihi Business Association.

ARTICLE II. LOCATIONThe principle office of this Corporation shall be located in the City &

County of Honolulu, State of Hawaii, and the specific address shall be P.O.Box 17729, Honolulu, Hawaii 96817.ARTICLE II. PURPOSE

This Corporation shall be a non-profit Corporation, organized for sucheducational and charitable purposes as will promote and foster the growthand development of our community, designed to maintain cordial relationsand cooperation and interchange of thought and opinion freely among itsmembers, and to cooperate with any government agencies and other organ-izations which maybe striving to accomplish similar purposes.ARTICLE IV. MEMBERS

Section 1. Eligibility. Any person who is of good standing in thiscommunity, and who is engaged in a business, profession or is an owner ofreal property or has a civic interest within the boundaries between Palamaand east of the airport and including Mapunapuna, is eligible for member-ship. [*]

Section 2. Election of Members. An application for membershipshall be referred to the membership committee for review and recommen-dation to the board of directors. A majority vote by the board of directors isrequired for acceptance of the applicant.

Section 3. Voting Rights. Each member in good standing is entitledto one vote to assure equitable representation. No more than 5 votes for anyrelated Corporation, business, property owner or civic government agencyassociation will be allowed.

Section 4. Termination of Membership. The board of directors, byaffirmative vote of two-thirds of all the members of the board, may suspendor expel a member for cause after an appropriate hearing, and, by a major-ity vote of those present at any regularly constituted meeting, may terminatethe membership of any member who becomes ineligible for membership, orsuspend or expel any member who shall be in default in the payment of duesfor the period fixed in Article XII, Section 3 of these By-Laws.

Section 5. Resignation. Any member may resign by filing a writtenresignation with the secretary, but such resignation shall not relieve themember, so resigning, of the obligation to pay any dues, assessments, orother charges therefore accrued and unpaid.

Section 6. Reinstatement. Upon written request signed by a formermember and filed with the secretary, the board of directors, by the affirma-tive vote of two-thirds of the members of the board, may reinstate such for-mer member to membership upon such terms as the board of directors maydeem appropriate.ARTICLE V. MEETINGS OF MEMBERS

Section 1. Annual Meeting. An annual meeting of the members shallbe held prior to the end of the fiscal year at the call of the president for thepurpose of installing new directors and officers of the corporation and forthe transacting of other business as may come before the meeting. Thismeeting will be conducted at an annual installation banquet.

Section 2. General Membership Meetings. A minimum of one gen-eral membership meeting per year shall be called at a designated place, dayand hour by the president.

Section 3. Special Meetings. Special meetings may be called at adesignated place, day and hour by the president.

Section 4. Notice of Meetings. Written, printed or oral notice statingthe place, day and hour of any meeting of members may be given by the of-ficers of the corporation to the members at least twenty-four hours before theday of such meeting.

Section 5. Quorum. Ten percent (10%) of the membership shall con-stitute a quorum at any duly constituted meeting. If a quorum is not presentat any meeting of members, a majority of members present may adjourn themeeting from time to time without further notice.

Section 6. Voting. Any motion, other than the approval of prior ac-tion on reports must be approved by majority vote of the membership.

Section 7. [*] Voting By Mail. Voting by mail shall be allowed andshould be received postmarked 24 hours prior to or delivered before the an-nounced deadline[*].

Section 8. Proxies. Voting by proxy shall be allowed. The secretary,at its option, shall verify proxy.ARTICLE VI. BOARD OF DIRECTORS

Section 1. Number and Tenure. The number of directors shall beno more than thirty (30), and the officers and immediate past president shallbe included as members of the board with a vote. Each director shall holdoffice until his successor shall have been elected and qualified.

Section 2. Election [*1. A director shall be elected annually by themembership by the first meeting in February of each fiscal year.-. The pres-ident shall annually appoint an. Election. Committee. of three (3) boardmembers to prepare a slate of nominees. Notice of the prepared slate ofnominees must be provided to the membership for its consideration no less

than 90 days prior to fiscal year end.[*]Section 3. Term of Office. Each director shall serve for a term of one

year or until his successor shall have been duly elected and shall have qual-ified.

Section 4. Rules. The board of directors may adopt rules for its owngovernment not inconsistent with these By-Laws.

Section 5. Vacancies. Any vacancy occurring in the board of direc-tors and any directorship to be filled by reason of an increase in the numberof directors, shall be filled by the board of directors by a majority vote. Adirector elected by the board to fill a vacancy shall be elected for the unex-pired term of his predecessor in office.

Section 6. Removal. Any director may be removed by a two-thirdsvote of the board of directors whenever, in the judgment of the board, thebest interests of the corporation would be served thereby, but such removalshall be without prejudice to the contract rights, if any, of the director so re-moved.

Section 7. Resignation. Any director may resign by filing a writtenresignation with the secretary. The arising vacancy shall be filled in accor-dance with Article VI, Section 5.

Section 8. Attendance. A director shall miss no more than two (2)consecutive board meetings or a total of five (5) board meetings in a fiscalyear without a valid reason.

Section 9. Quorum. A majority of the board of directors shall con-stitute a quorum for the transaction of business at any meeting of the board;but if less than a majority of the directors are present at said meeting, a ma-jority of the directors present may adjourn the meeting from time to timewithout further notice.

Section 10. General Powers. The affairs of the corporation shall bemanaged by its board of directors. All decisions of the board shall be finalsubject to appeal by the general membership. On appeal, a decision by theboard may be reversed by an affirmative vote of two-thirds (2/3) of the mem-bership at a duly called membership meeting.

Section 11. Regular Meetings. The board of directors shall meet atleast once in two months at a place, time and day to be designated by thepresident by giving at least 24 hours notice, oral or written.

Section 12. Special Meetings. Special meetings of the board of di-rectors may be called by or at the request of the president or any five mem-bers of the board at a place, day and hour designated by the person orpersons calling a special meeting by giving at least 24 hours notice, oral orwritten.

Section 13. Manner of Acting. The act of a majority of the directorspresent at a meeting at which a quorum is present shall be the act of theboard of directors, unless the act of a greater’. number is required by lawor by these By-Laws.

Section 14. Compensation. Directors, as such, shall not receive anystated salaries for their services, but, by resolution of the board of directors,a fixed sum and expenses of attendance, if any, may be allowed for atten-dance at such regular or special meetings of the board; but nothing, hereincontained, shall be construed to preclude any director from serving the cor-poration in any other capacity and receiving compensation therefore.

Section 15. Honorary Board Member. The board of directors, at itsdiscretion, may elect a non-member of the organization to its board on anhonorary basis. such board member shall not have voting right status. Elec-tion must be approved by a two-thirds (2/3) vote of quorum.ARTICLE VII. OFFICERS

Section 1. Officers. The officers of the corporation shall be a presi-dent, a first vice-president, a second vice-president, a secretary, a treasurer,an auditor, and such other officers as may be elected in accordance with theBy-Laws.

Section 2. Election. An officer shall be elected annually by the mem-bership by the first meeting in February of each fiscal year. The presidentshall annually appoint an Election Committee of three (3) board membersto prepare a slate of nominees. Notice of the prepared slate of nomineesmust be provided to the membership for its consideration no less than 90days prior to fiscal year end.

Section 3. Tenn of Office. Each officer shall serve for a term on oneyear or until his successor shall have been duly elected and shall have qual-ified.

Section 4. Removal. Any officer elected or appointed by the board ofdirectors may be removed by the board of directors whenever, in its judg-ment, the best interest of the corporation would be served thereby, but suchremoval shall be without prejudice to the contract rights, if any, of the offi-cer so removed.

Section 5. Vacancies. A vacancy in any office because of death, res-ignation, removal or disqualification, or otherwise, may be filled by theboard of directors for the unexpired portion of the term.

Section 6. President. The president shall be the principal executiveofficer of the corporation and shall, in general, supervise and control all of

the business and affairs of the corporation. He shall preside at all meetingsof the members. He may sign, with the secretary or any other proper officerof the corporation authorized by the board of directors, any deeds, mort-gages, bonds, contracts or other instruments which the board of directorshas authorized to be executed, except in cases where the signing and exe-cution thereof shall be expressly delegated by the board of directors or bythese By-Laws or by statute to some other officer or agent of the corpora-tion. He shall be an ex-officio member, without vote, of all committees. Heshall appoint the chairman and members of the standing and special com-mittees. In general, he shall perform all duties incident to the office of thepresident and such other duties as may be prescribed by the board of direc-tors from time to time.

Section 7. Vice President. In absence of the president or in event ofhis inability or refusal to act, the vice-president (or in the event there bemore than one vice-president, the vice-presidents in the order of their elec-tion) shall perform the duties of the president, and when so acting, shallhave all the powers of and be subject to all the restrictions upon the presi-dent. Any vice-president shall perform such other duties as from time totime may be assigned to him by the president or by the board of directors.

Section 8. Treasurer. If required by the board of directors, the treas-urer shall give a bond for the faithful discharge of his duties in such sum andwith such surety or sureties as the board of directors shall determine. Heshall have charge and custody of and be responsible for all funds and secu-rities of the corporation; receive and give receipts for moneys due andpayable to the corporation from any source whatsoever, and deposit all suchmoneys in the name of the corporation in such banks, trust companies, orother depositories as shall be selected in accordance with the provisions ofArticle IX of these By-Laws; and in general, perform all the duties incidentto the office of treasurer and such other duties as from time to time may beassigned to him by the president or by the board of directors.

Section 9. Secretary. The secretary shall take and keep the minutesof the meetings of the membership and shall keep the minutes of the boardof directors in one or more books provided for that purpose; see that all no-tices are duly given in accordance with the provisions of these By-Laws oras required by law; be custodian of the corporate records and of the seal ofthe corporation and see that the seal of the corporation is affixed to all doc-uments, the execution of which on behalf of the corporation under its sealis duly authorized in accordance with the provisions of these By-Laws; keepa register of the post office address of each member which shall be furnishedto the secretary by such member; and in general perform all duties incidentto the office of secretary and such other duties as from time to time may beassigned to him by the president or by the board of directors.

Section 10. Auditor. The auditor shall audit the records of the treas-urer as of the close of each fiscal year and shall submit a written reportwithin 90 days of the prior fiscal year end.ARTICLE VIII. COMMITTEES

Section 1. Standing Committees. There shall be four standing com-mittees as follows.

A. Finance Committee. The finance committee shall be responsiblefor the payment of all bills that have been approved by the board of direc-tors, shall make recommendations to the board of directors as to dues, as-sessments and all financial matters affecting the corporation.

B. Membership Committee. The membership committee shall seeknew members and review all applications for membership and shall submitits recommendations to the board of directors.

C. Program and Entertainment Committee. The program and en-tertainment committee shall be responsible for the program of every mem-bership meeting and of other duly authorized functions of the corporation,subject to the approval of the president.

D. Civic Improvement Committee. The civic improvement com-mittee shall be responsible for the improvement and general welfare of thearea designated in Section 1 of Article IV.

Section 2. Special Committees. The president shall appoint specialcommittees and shall discharge same at his discretion.

Section 3. Tenn of Office. Each member of a committee shall con-tinue as such until the next annual meeting of the members of the corpora-tion and until his successor is appointed, unless the committee shall besooner terminated, or unless such member be removed from such commit-tee, or unless such member shall cease to qualify as a member thereof.

Section 4. Chairman and Vice-Chairman. The president, at his op-tion, shall appoint a chairman and vice-chairman for each committee.

Section 5. Vacancies. Vacancies in the membership of any commit-tee may be filled by appointments made in same manner as provided in thecase of the original appointments.

Section 6. Quorum. A majority of the whole committee shall con-stitute a quorum and the act of a majority of members present at a meetingat which a quorum is present shall be the act of the committee.

Section 7. Rules. Each committee may adopt rules for its own gov-ernment not inconsistent with these By-Laws or with rules adopted by theboard of directors.ARTICLE IX. CONTRACTS, CHECK, DEPOSITS AND FUNDS

Section 1. Contracts. The board of directors may authorize any of-ficer or officers, agent or agents of the corporation, in addition to the offi-cers so authorized by these By-Laws, to enter into any contract or executeand deliver and instrument in the name of and on behalf of the corporation,and such authority may be general or confined to specific instances.

Section 2. Checks. Drafts. etc. All Checks, drafts, or orders for thepayment of money, notes or other evidences of indebtedness issued in thename of the corporation and in such manner as shall from time to time bedetermined by resolution of the board of directors. In the absence of suchdetermination by the board of directors, such instruments shall be signedby the treasurer or an assistant treasurer and countersigned by the presidentor a vice-president or immediate past president of the corporation.

Section 3. Deposits. All funds of the corporation shall be depositedfrom time to time to the credit of the corporation in such banks, trust com-panies, or other depositories as the board of directors may select.

Section 4. Gifts. The board of directors may accept on behalf of thecorporation any contribution, gift, bequest, or devise for the general pur-poses or for any special purpose of the corporation.ARTICLE X. BOOKS AND RECORDS

The corporation shall keep correct and complete books and records ofaccount and shall also keep minutes of the proceedings of its members,board of directors, and committees having any of the authority of the boardof directors, and shall keep at the registered or principal office a record giv-ing the names and addresses of the members entitled to vote. All books andrecords of the corporation may be inspected by any member, or his agent orattorney for any proper purpose at any reasonable time.ARTICLE XI. FISCAL YEAR

The fiscal year of the corporation shall begin on the first day of Apriland end on the last day of March of the following year-.ARTICLE XII. DUES

Section 1. Annual Dues. The board of directors may determine fromtime to time the amount of application fee, if any, and annual dues payableto the corporation by members.

Section 2. Payment of Dues. Dues shall be payable in advance on thefirst day of April in each fiscal year. Dues for a new member shall be pro-rated on a quarterly basis only. Any new member duly elected to member-ship prior to each October shall pay the full annual dues.

Section 3. Default and Termination of Membership. When anymember shall be in default in the payment of dues for a period of twelvemonths from the beginning of the fiscal year or period of which such duesbecome payable, his membership may thereupon be terminated by the boardof directors in the manner provided in Article IV Section 4 of these By-Laws.ARTICLE XIII. SEAL

The board of directors shall provide a corporate seal, which shall bein the form of a circle and shall have inscribed thereon the name of the cor-poration and any other words designated by the board.ARTICLE XIV. WAIVER OF NOTICE

Whenever any notice is required to be given under the provisions ofthe Articles of Incorporation or the By- Laws of the corporation, a waiverthereof in writing signed by the person or persons entitled to such notice,whether before or after the time stated therein, shall be deemed equivalentto the giving of such notice.ARTICLE XV. AMENDMENTS TO BY-LAWS

These By-Laws maybe altered, amended, or repealed and new By-Laws maybe adopted by the board of directors at any regular or specialmeeting of the board of directors by affirmative vote of two- thirds of all themembers of the board.ARTICLE XVI. PARLIAMENTARY RULES

All meetings shall be conducted under and governed by Robert’sRules of Order.
