TENDER NOTICE

1. Hong Kong Productivity Council (“HKPC”) invites tenders for the purchase

of a micro injection machine with compressed air dryer and test mould

(collectively referred to as “Machine”) as described in the Particulars of

Machine subject to the terms and conditions as set out in the Conditions

of Sale annexed hereto.

2. HKPC does not bind itself to accept the highest tender or any tender

submitted. HKPC reserves the right to negotiate with any tenderer about

the terms of the offer. The decision of HKPC on whether or not to award

the tender shall be final.

3. Tenders must be:-

(a) made in DUPLICATE in the Form of Tender annexed hereto;

(b) enclosed in a sealed envelope clearly marked the Tender

Reference No. on the outside of the envelope.

(c) placed in the tender box on the Ground Floor, HKPC Building, 78

Tat Chee Avenue, Kowloon, Hong Kong before 12:00 noon

(Hong Kong local time) on [ Friday 9 August 2019 ] (the

“Closing Date”).

4. Any tender submitted which is not in conformity with the Form of Tender

annexed hereto or the terms and conditions as set out in the Tender Notice

may be rejected. Late tenders will not be accepted and considered.

5. Each tender shall be irrevocable and shall constitute a formal offer and

remain open for acceptance by HKPC within 30 days after the Closing

Date.

6. If a tender is accepted, the successful tenderer shall be the Buyer and

he/she/it will be notified of the acceptance of his/her/its tender by a letter

posted to him/her/it at or delivered to the address stated in his/her/its

Tender Form. The Buyer is required to sign or execute the Memorandum

of Agreement in the form as annexed hereto. Tenderers who do not

receive any notification from HKPC may consider their offers not being

accepted.

7. HKPC reserves the right to postpone, suspend, withdraw or cancel the

tender exercise at any time without notice.

Tender for the purchase of Machine on such terms and conditions as set out in the

Conditions of Sale.

To : Hong Kong Productivity Council (“HKPC”)

1. I/We, ______________________________, having read the foregoing

Tender Notice, the Particulars of the Conditions of Sale, hereby

irrevocably offer to purchase the Machine at the price of Hong Kong

Dollars ____________________________ (HK$ _____________)

(“Purchase Price”) on such terms and conditions as set out in the Tender

Notice and Conditions of Sale.

2. If this Tender is accepted, then until the Memorandum of Agreement

referred to in paragraph 6 of the Tender Notice is signed or executed, this

Tender together with the written acceptance thereof shall constitute a

binding agreement between me/us and HKPC.

3. I/We agree that upon HKPC’s acceptance of my/our offer, I/We shall be

bound by the Tender Notice and Conditions of Sale. I/We shall pay the

Purchase Price in the manner and within the time limit in accordance with

the Conditions of Sale.

4. I/We understand that HKPC reserves the right to disclose the identity of

the successful tenderer and the unsuccessful tenderers, and the amount

tendered by the successful tender and to announce the tender results.

CONDITIONS OF SALE

1. The Machine will be sold for and handed over on “as is where is” basis.

No claim for repair and/or maintenance will be entertained by HKPC.

2. HKPC does not guarantee the condition, quality, and functionality of any

of the Machine to be sold.

3. The minimum price of the Machine is HONG KONG DOLLARS ONE

HUNDRED TWENTY THOUSAND (HK$120,000.00). Tenderers shall not

offer his/her/its tender price below the said minimum price.

4. It is the duty of tenderers to inspect the Machine. Each tenderer will be

deemed to have inspected the Machine and acknowledged the state and

conditions of the Machine even if for whatsoever reason he/she/it has not

made any inspection of the Machine. Tenderers will be deemed to have

knowledge of all matters which they could reasonably have been expected

to find out by exercise of reasonable due diligence.

5. The Machine will be available for inspection at the locations specified by

HKPC. If interested tenderers intend to inspect the Machine, they should

contact the designated person of HKPC for inspection arrangement. No

operation or test run of the Machine will be arranged during the inspection.

6. Within seven (7) days of the date of the notification letter referred to in

paragraph 6 of the Tender Notice, the successful tenderer (hereinafter

referred to as the “Buyer”) shall sign or execute the Memorandum of

Agreement in the form as annexed hereto, and pay and settle the

Purchase Price simultaneously.

7. Within thirty (30) days of the date of the Memorandum of Agreement, the

Buyer shall complete the purchase by collection and removal of the

Machine from the locations specified by HKPC.

8. HKPC has given no warranty, express or implied, as to the suitability or

fitness of the Machine or any parts thereof. HKPC in no way warrants

the accuracy or correctness in any way whatsoever of any information

made available or obtained, and in particular does not warrant that the

Machine or any parts thereof is fit and suitable for any particular purpose.

9. No guarantee or warranty whatsoever is given by HKPC.

10. The Buyer undertakes not to make any claim against HKPC for any loss

or damage whatsoever which he/she/it may suffer as a result of or arising

from the state and condition of the Machine making it unfit or unsuitable

for the purpose he/she/it purchased the Machine.

11. The Machine which are required to be collected and removed shall be and

remain at the risk of the tenderers immediately after settlement of payment.

HKPC shall not be liable for the safe custody or preservation of the

Machine thereafter.

12. The Buyer shall, at its sole costs, provide transportation, labour and

necessary equipment required for collection and removal of the Machine.

The Buyer shall be responsible to carry out the construction work on the

building and foundation facilities, at its sole costs (including but not limited

to disassembling of wall, disconnection of power supply, water supply, etc)

for removal of the Machine from HKPC’s specified location and to resume

the building and construction to the original condition after removal of the

Machine.

13. The Buyer shall, at its sole costs, effect and maintain appropriate and

sufficient insurance coverage for any loss of or damage during collection

and removal arrangement.

14. If the Purchase Price is not paid in full or the Machine is not collected

within the specified time and date, HKPC will, at its absolute discretion,

and without prejudice to any other rights which HKPC may have, be

entitled to exercise any one or more of the following rights or remedies:-

(a) to proceed against the Buyer for damages for breach of contract;

(b) to cancel the sale of Machine to the defaulting Buyer;

(c) to resell the Machine or cause it to be resold. The defaulting

Buyer shall then pay to HKPC any resulting deficiency in the

Purchase Price and any surplus shall belong to HKPC; and

(d) to dispose of the Machine in such manner as HKPC may in its

sole discretion deem fit.

15. The Buyer hereby expressly acknowledges that:-

(a) HKPC shall be under no liability whatsoever to the Buyer for any

loss or damage howsoever arising in connection with or as a

consequence of his/her/its purchase of the Machine and

his/her/its subsequent possession or use;

(b) he/she/it has purchased the Machine based upon his/her/its own

inspection, evaluation, assessment and judgment, and has

satisfied himself/herself/itself as to the state and condition of the

Machine

16. The Buyer shall indemnify and keep indemnified HKPC against all actions,

proceedings, liabilities, demands, costs, expenses, losses and claims

whatsoever and howsoever arising from any breach of these Conditions.

MEMORANDUM OF AGREEMENT

BETWEEN ______________________________________________________ of

(the “Buyer”) of the one part and Hong Kong Productivity Council of HKPC Building,

78 Tat Chee Avenue, Kowloon, Hong Kong (“HKPC”) of the other part, whereby it

is agreed that the Buyer’s tender for purchase of the Machine described in the

Particulars of Machine Tender Notice having been accepted at the Purchase Price

of HK$ __________________, and the Buyer shall pay the Purchase Price and

complete the purchase of the Machine upon and subject to the attached Conditions

of Sale, and perform and abide by the said Conditions. The attached Conditions of

Sale are deemed to have been incorporated in this Memorandum of Agreement and

form part of this Memorandum of Agreement.
