CEO Overconfidence and the Long-run Performance of Firms Acquiring Publicand Private Targets

Prof. Dr. Junming Hsu*

This study investigates (1) the long-run performance of firms following their mergers and acquisitionsof public and privately held firms and (2) the impact of acquirers’ CEO overconfidence on the perfor-mance of these two types of mergers. We find that firms acquiring public targets tend to underperformtheir matching firms in the long run, but those acquiring privately held firms do not. This findingreveals that the acquisition of private targets can generate more advantages than that of public tar-gets (e.g., exploiting private information, bargaining lower prices, improving the targets operations, and obtaining technologies or knowledge). We also discover that overconfident firms perform worsethan non-overconfident firms for acquiring private targets, but not for acquiring public targets. Theseresults imply that non-overconfident CEOs are able to catch the advantages of acquiring private tar-gets, but overconfident CEOs are not. More specifically, overconfident CEOs may overestimate theirabilities to handle post-merger operations or overvalue the targets.

Effect of Corporate Social Responsibility on Enterprise Value of DepositMoney Bank in Nigeria

Dauda Ibrahim Adagye1*, Dauda Musa Ibrahim2

This study sought to determine the effect of CSR (i.e. Environmental Expenditure - EE, CommunityExpenditure - CE, and Employee Expenditure - EmE) on Enterprise Value EV, with particular refer-ence to quoted deposit money banks in Nigeria. The study adopted the correlational design, and apopulation of 21 banks was considered. Out of this population, 15 banks were sampled through thepurposive method. Panel regression was used to analyze the data, which were collected from annualfinancial reports of the sampled banks. The results of the analysis indicated that, overall, CSRs effecton enterprise value is statistically significant; meaning that corporate social responsibility expendi-ture has significant effect or association with enterprise value (i.e. EV). The study recommended thatbanks in Nigeria should maintain, and possibly increase their CSR expenditure rather than lookingto reduce or even eliminate it as they seek to cut down on their business cost. This is because of thelikely negative effect it might have on their business in the long run as documented by the outcomeof this study.

Impact of Audit Committee Membership Gender Diversity on Quality ofFinancial Reporting of Deposit Money Banks in Nigeria

Dauda Ibrahim Adagye*

This research ascertained the impact of audit committee membership Gender Diversity on financialreporting quality of quoted deposit money banks in Nigeria. It is an ex-post facto research by design. The population of the study is all the Fifteen (15) quoted deposit money banks on the Nigerian StockExchange as at 31st December, 2016 which was narrowed down through a judgmental samplingtechnique to ten (10). The sampling technique is based on the following criteria: (i) that a bank mustbe in operation during the period covered by the study that is 2006 through 2015; (ii) that a bankmust not have merged or taken over by another during the period of the study; and (iii) that a bankmust not have been delisted on the Nigerian Stock Exchange at one time throughout the period of thestudy. Data relating to financial reporting quality were sourced from the annual reports and accountsof the sampled banks. For analysis, the study adopted the Multivariate Regression Techniques (Fixedand random test regression) to establish that the independent variables (Gender Diversity) on onehand explains a proportion in the dependent variable (earning Quality) on the other hand, Pearsoncorrelation coefficient was used to test hypothesis 1 which examined the relationship between genderdiversity and financial reporting quality. The study finds that actually, gender diversity does notrelate to financial reporting quality of Banks in Nigeria. it is therefore recommended that regulatoryauthorities organize training and seminars for audit committee members as being practice in otherdeveloped countries and lastly, to further assist regulatory authorities, the academics should step upresearches in the area in order to document more on the dynamics in audit committee membershipin banking and other sectors of the economy.

Augmentation Effects of Transformational Leadership and Mentoring inEmergency Organizations

Dr. Attila Hertelendy*

Our initial research attempts to answer the role that mentoring and transformational leadership playin enhancing crisis response efficacy in emergency leaders, and will extend the analysis to how par-ticipation in mentoring and the source of mentoring influence the relationship between receipt oftransformational leadership behaviors and the demonstration of crisis response efficacy of a crisisteam leader. First, this presentation will investigate how transformational leadership and mentoringseparately influence crisis response efficacy. From this, an investigation into how experience withmentoring and source of mentoring moderates the relationship between transformational leadershipand crisis response efficacy will be discussed to further awareness of the antecedents of improvedcrisis response of crisis team leaders.

Study on Situational Leadership Influences on Job Satisfaction & Performance

Hemalatha Sadasivuni1*, Fatima Abdalla2, Dr. Gantasala Prabhakar3

Leadership is an art of motivating a group of people to act towards a common goal. In the fast-changing world a leaders effectiveness depends on how well he handles the situation and is related tothe leader’s traits or behavior. Situational Leadership is an adaptive leadership style and is not basedon a specific skill. The leader modifies the style of leadership to suit the needs of the organizationor people. There are two mainstream models of situational leadership, one described by Daniel Gole-man and another by Ken Blanchard and Paul Hershey. Situational leadership is one of the famousleadership style practiced by many organizations but it doesn’t work well in all circumstances. Thisresearch study focuses on the aspect of understanding how situational leadership is likely to affectthe job satisfaction and performance of employees in the case of a merged banking firm in the UAE.Not only would this support the concept of researching the variable in the local context, but it wouldalso attempt to at least partially reduce the gap between the existing literature and the urgency thatthe topic demands

Establishment of the Shari’ah Framework for the Application of Somatic GeneTherapy in Human

Zakiah Samori1*, Fadilah Abd Rahman2

Human gene therapy is best known as a transfer of nucleic acids to either the somatic cells or germcells of an individual. It introduces genetic materials which have therapeutic purpose ranging frominherited genetic disorders to certain malignancies and infectious diseases. This medical scientificbreakthrough has received lucrative demand worldwide as it offers potential treatment to cure geneticdiseases in human at the molecular level. Since then, thousands of people have already participatedin the trials thus it is likely to be part of medical practice in the future. Despite of the tremendousbenefits that it promises, this new biomedical technology has given rise to several contentious issuesfrom the ethical and religious point of view. Since it comprises of two different therapies namelysomatic and germ line gene therapy, each involves different procedures thereby poses different legalruling and decision. This study attempts to propose a complementary model of the Shari’ah frame-work on the human gene therapy with special reference to the somatic gene therapy. This proposedframework is designed and developed to fulfil the lacuna of the Shari’ah Framework on the applicationof the somatic gene therapy after an in depth study of its position from the Shari’ah point of view.In achieving this, a detailed analysis and outlook into the Quranic evidences along with the Hadithof the Prophet Muhammad pbuh were carried out. Following this, its position from the pragmaticapproach of the Maqasid al-Syariyyah (Objective of the Shari’ah) and the Qawa’id Fiqhiyyah (IslamicLegal Maxims) is also analysed in further detail. Various fatwas (Islamic verdict) decreed by the vari-ety of fatwa councils from all over the world are also highlighted. This model of Shariah Frameworkwould serve as the ethical basis for the application of somatic gene therapy in Malaysia and beyond(particularly Muslim countries) especially for Muslim doctors, scientists and Muslims at large. ForMuslim countries such as Malaysia where Muslims makes the majority of the population and Islam asthe official religion in Article 3 of its Federal Constitution, this framework is deemed to be importantreference in providing the essential guidelines on the permissibility of this therapy. Considerationof the position of Somatic Gene Therapy from the Shariah perspective is undeniably crucial in anyattempt to regulate Somatic Gene Therapy in any Muslim countries in the future.
