I, Kim John Carr, Minister for Innovation, Industry, Science and Research, acting under sections 18A, 19 and 20(1) of the Industry Research and Development Act 1986, give the following Directions to Innovation Australia.

Purpose

1. The purpose of this instrument is to give Directions to Innovation Australia (the Board) in relation to:

(a) an additional function of the Board, namely the provision of technical assessments and merit ranking of eligible applications under the Program; and

(b) the policies and practices to be followed by the Board in the performance of the function.

2. These Directions take effect on 24 August 2009 or the day that the directions are published in the Gazette, whichever is the later.

Interpretation

3. In these Directions, unless the contrary intention applies:

Agreement Means a legal binding document between the Commonwealth and a recipient of funding under the Program, having as a minimum the terms described in the Program Guidelines.

Applicant Means an entity that submits an application for funding.

Board Means Innovation Australia.

Department Means the Commonwealth Department of Innovation, Industry, Science and Research (DIISR).

Eligible application Means an application for funding that is determined by the Program Delegate to be eligible for assessment in accordance with the Program Guidelines.

Eligible Project Means a project directed towards the improvement of energy and/or water efficiency of one or more production processes, by an organisation undertaking manufacturing activities in Australia.

Innovation Australia Means the Board that assists the Department under the Industry Research and Development Act 1986 and subsequent Ministerial Directions.

Manufacturing Means the physical or chemical transformation of materials or components into new products.

Minister Means the Minister for Innovation, Industry, Science and Research.

Production Process Means the process required to manufacture new products, including raw materials storage and finished goods warehousing, but excluding administration.

Program Means the Re-tooling for Climate Change program.

Program Delegate Means an employee of the Department, who has been empowered by the Minister or otherwise duly authorised, to administer the Program.

Program Guidelines Means those instructions issued to the Department by the Minister for the delivery of the Program.

4. In these Directions:

(a) ‘may’ is permissive and not mandatory

(b) a reference to the singular includes the plural, and vice versa

(c) if a word or phrase is defined its other grammatical forms have corresponding meanings

(d) ‘includes’ and ‘including’ do not limit the words which precede them or to which they refer, and

(e) any reference to a clause is a reference to a clause in these Directions.

Assessment of Applications

5. Subject to clause 7, the Board will assess eligible applications referred by the Program Delegate and provide a merit ranking of those applications to the Program Delegate.

6. The Board must consider eligible applications as soon as practicable after those applications have been provided to the Board.

7. The Board may decide to refuse to provide a merit ranking in respect of a particular eligible application if it is not satisfied:

(a) with the level of merit of the eligible application in relation to one or more of the merit criteria, or

(b) that the project is an eligible project.

8. Subject to clause 7, the Board must assess each eligible application on its merit and rank against all eligible applications according to the extent to which the application meets the merit criteria.

9. In considering eligible applications, the Board must take into account advice provided by the Department on policy issues that are relevant to, or impact on, any of the merit criteria.

10. The merit of an eligible application must be assessed against the following criteria:

Criterion 1 – Potential for reduction of environmental footprint

The applicant may indicate merit by demonstrating:

improved energy efficiency of the production process (reduced energy consumption or reduced energy waste);

conversion to a renewable or co-generated energy source for use in the production process;

improved water efficiency of the production process (reduced water consumption or reduced water waste);

reduced carbon emissions;

that there is appropriate evidence to verify the rationale for the proposed project, and projected energy and/or water savings and/or reduced carbon emissions.

Criterion 2 – Scope and impact of process improvement

The applicant may indicate merit by demonstrating:

the extent to which the project is above what could be seen as routine;

the extent to which the project will have a long term, sustainable impact on the ability of the manufacturing operation to respond to climate change;

that the positive impact of the project on addressing climate change extends beyond the individual firm, for example through changes to the supply chain;

the demonstration potential of the project, and/or extent to which it results in innovative transferable technology.

Criterion 3 – Organisational capacity/capability to undertake the project

The applicant may indicate merit by demonstrating:

an appropriate level of expertise in project management and business management;

the technical capacity to undertake the project, including appropriately skilled staff and/or subcontractors;

a well articulated project plan, including methodologies and milestones linked to a feasible timeframe.

ASSESSMENT OF VARIATIONS AND OTHER TECHNICAL ASSESSMENTS

11. If at any time after an application has been approved by the Program Delegate, or an agreement has been executed, and a proposal is submitted to the Department to vary the project, including by way of the addition of new activities, discontinuation of planned activities, the project timeframe or planned project outcomes, the Program Delegate may refer the request to the Board for the Board’s assessment.

12. If the Board receives a request under clause 11, it must assess the proposal as soon as practicable and provide the assessment to the Program Delegate.

13. In undertaking an assessment of a proposal referred under clause 11 the Board will determine:

(a) the extent to which the variation impacts on any of the merit criteria; and

(b) whether the variation, if accepted, would:

(i) enhance the ability of the applicant to achieve or improve the project outcomes;

(ii) be consistent with the Program Policy Objectives as outlined in the Program Guidelines and any relevant policies of the Department; and

(iii) whether the proposal is appropriate in all circumstances.

14. The Program Delegate may request the Board to provide an assessment of technical matters associated with applications, activities and projects, or on any other matter relevant to or impacting on a merit criterion.

15. In carrying out assessments pursuant to clause 14, the Board will take into account any relevant policies relating to the administration of the Program that are issued under the Program Guidelines.

16. If the Board receives a request under clause 14 it must conduct the assessment within a reasonable time and provide the assessment to the Program Delegate.

BOARD TO PROVIDE ADVICE

17. The Board may advise the Minister or the Minister may request advice on non-financial administration matters relating to the Program, including program administration and the extent to which the Program meets the Program Policy Objectives.

18. The Board may collect and analyse data on the performance of the Program, provide advice to the Minister on such performance, and will cooperate with any independent evaluation of the Program.

Section 19

Additional Functions of Innovation Australia

I, KIM JOHN CARR, Minister for Innovation, Industry, Science and Research, under section 19 of the Industry Research and Development Act 1986, hereby direct Innovation Australia ('the Board') that the following functions relating to promoting the development, and improving the efficiency and international competitiveness, of Australian industry by encouraging research and development activities, innovation activities and venture capital activities, are additional functions of the Board.

a) Study industry research and development, innovation and venture capital, and provide advice to the Minister.

b) Promote and market industry innovation activities, programs, and benefits by acting as Ambassadors for industry innovation.

c) Collect and analyse data on industry research and development, innovation and venture capital programs for which the Board has an administrative responsibility, including the extent to which programs are meeting their objectives, and advise the Minister of outcomes.

d) Monitor the administration, delivery and performance of industry research and development, innovation and venture capital programs for which the Board has an administrative responsibility, and advise the Minister of outcomes.

e) Maintain the effectiveness and integrity of the industry research and development, innovation and venture capital programs for which it has responsibility, including undertaking legal action if required.

f) Cooperate with any reasonable independent evaluation of the industry research and development, innovation and venture capital programs for which the Board has administrative responsibility.

g) Consider options to support the commercialisation of Australian ideas and technology, address systematic and market failures along the pathway to commercialisation, and provide advice to the Minister.

This direction supersedes the directions on additional functions given to the Board on 17 December 2004 and takes effect from 4 November 2009.

PART 1 - PRELIMINARY

Name of direction

1. This direction is the Commercialisation Australia Program Direction No. 1 of 2009.

Commencement

2. This direction commences on the day on which particulars of the direction are published in the Gazette and registered in the Federal Register of Legislative Instruments.

Object of this direction

3. The object of this instrument is to give direction to the Board in relation to:

(a) the provision of technical assessments and additional functions of the Board, namely

(i) providing technical assessments in relation to the Commercialisation Australia program, including, but not limited to, the merit ranking of eligible applications under the program;

(ii) assembling information on the early stage commercialisation system which can be used to develop evidence-based policy and to investigate new commercialisation policy approaches and their applicability to the Australian innovation system;

(iii)identifying a program of research to measure the effectiveness of the Commercialisation Australia program, to support any potential amendment, or development, of the program and to provide input to Government on commercialisation policy; and

(iv)providing advice on pilot program activity to assess the practicality of alternative/new methods of support for commercialisation.

(b) the policies and practices to be followed by the Board in the performance of the functions.

4. Commercialisation Australia will build the capacity of Australia’s researchers, entrepreneurs and innovative firms to take ideas and research to market. Commercialisation Australia will tailor assistance to the needs of the researcher or firm, focusing on skills, knowledge and funding. It will support projects with the potential for rapid growth, helping to take the innovation to the marketplace in a timely way. The Board will advise the Chief Executive Officer (CEO) on strategic matters in relation to the program and the commercialisation of ideas and research in general. Commercialisation Australia will offer up to $50,000 in funding for expert services, up to $200,000 to employ an experienced executive, up to $250,000 for proof of concept activities and up to $2 million for early stage commercialisation activities. Importantly, all assistance will be provided with an advisor who will help develop the participant’s skills and knowledge of the commercialisation process and facilitate access to experienced business mentors and specialist advice. The application process will be competitive based on merit criteria and other information as identified under these Directions. The Board will assess and prioritise applications against the merit criteria and provide technical assessments to the Program Delegate. The Program Delegate will consider the advice of the Board and select applicants to whom entry into the Commercialisation Australia program and access to specific types and levels of support will be offered. Participants will be monitored closely and on-going support under the Commercialisation Australia program will depend on successfully achieving agreed performance criteria.

Board to have regard to policy objective

5. The Board must have regard to the following policy objective in giving effect to these Directions:

The policy objective of the Commercialisation Australia program is to build the capacity of, and opportunities for, Australia’s researchers, entrepreneurs and innovative firms to convert ideas into successful commercial ventures, enhancing Australia’s participation and competitiveness in the global economy and generating commercial returns from Australia’s significant investment in public sector research. This is a response to systemic and market failures in the pathway to early stage commercialisation.

The policy objective will be achieved through:

(a) Providing a range of assistance including initial advisory services, access to experienced business mentors, and funding for proof of concept and early stage commercialisation activities assessed against clear selection criteria;

(b) providing a single coordinated commercialisation support service with multiple entry and exit points, and referrals to other sources of support as appropriate;

(c) using stringent initial assessment processes to select applicants with high potential for growth and commercial success, while acknowledging the risk inherent in the pathway to commercialisation;

(d) tailoring support to the timing and needs of individual applicants, taking account of their stage of development;

(e) ensuring efficient delivery by building on current innovation activities and working with existing service providers;

(f) leveraging private capital to maximise the effectiveness of Commercialisation Australia support;

(g) sharing the risks by adopting a mutual obligation approach where appropriate;

(h) rigorously monitoring the progress of each participant and, if necessary, redirect funding from underperforming participants;

(i) regularly collecting data and analysing trends to measure the short and long term impact of the Commercialisation Australia program and to inform future initiatives to support innovation and commercialisation; and

(j) enhancing access to business services and domain expertise across the nation.

Interpretation

6. In these Directions:

“Act” means the Industry Research and Development Act 1986.

“agreement” means an agreement (or other document) entered into by a participant and the Commonwealth for the provision, by the Commonwealth, of Commercialisation Australia program funding.

“Australian university” has the meaning given to it in the Program Guidelines.

“Chief Executive Officer (CEO)” means an employee of the Department who has been empowered by the Secretary of the Department, or is otherwise duly authorised, to carry out the relevant function in accordance with the Program Guidelines.

“commercialisation office” means an entity within an Australian university or a PFRA that assists researchers in commercialising their research.

“Department” means the Department administered by the Minister.

“eligible activity” has the meaning given to it in the Program Guidelines.

“eligible applicant” means an entity that the CEO has determined is eligible to make an application for funding and support under the Commercialisation Australia program in accordance with the Program Guidelines.

“eligible application” means an application for funding and support under the Commercialisation Australia program, that is an application that the CEO has determined is eligible for technical assessment and merit ranking by the Board in accordance with the Program Guidelines.

“eligible partner entity” means an entity that assists individuals in commercialising their idea.

“innovator” means the individual that a commercialisation office or eligible partner entity is assisting in commercialising their research or idea, including through an application for Commercialisation Australia funding.

“Minister” means the Minister administering the Act.

“participant” means an eligible applicant whose eligible application has been approved, and may include an innovator.

“Program Delegate” means an employee of the Department who has been empowered by

the Minister, or is otherwise duly authorised, to carry out the relevant function in accordance with the Program Guidelines.

“program funding” or “program funds” means the funding made available by the Commonwealth for the Commercialisation Australia program in any given financial year, being the funding specified in the Portfolio Budget Statement (as varied by any Portfolio Additional Estimates Statement or by the Minister) for that year.

“Program Guidelines” means the guidelines that are given by the Minister to the Department, as in force from time to time, to provide a framework for the operation and administration of the Commercialisation Australia program.

“publicly funded research agency (PFRA)” has the meaning given to it in the Program Guidelines.

“technical assessment” has the meaning given to it in section 4 of the Act.

7. A reference to Board may or Program Delegate may or CEO may is permissive and not mandatory.

8. A reference to include, includes, including, in particular and for example does not limit the generality of the words to which they refer.

PART 2 – ASSESSMENT AND MERIT RANKING OF APPLICATIONS

Procedure

9. The Board must assess each eligible application on its merit according to the extent to which the application meets the Merit Criteria.

10. Subject to clauses 13 and 16, the Board will assess eligible applications and provide a merit ranking of those applications to the Program Delegate.

11. The Board must consider eligible applications as soon as practicable after those applications have been provided to the Board.

12. The Board may request additional information from an applicant after the lodgement of an application.

13. The Board will assess applications first against the ‘Need for funding’ merit criterion. Only applications that demonstrate a high level of merit against this criterion may receive a merit ranking.

14. The Board may attribute a higher or lower level of relative importance to one or more of the Merit Criteria when assessing applications.

15. In providing the Program Delegate with a technical assessment for an application the Board may include advice as to whether the relative merits of an application would warrant:

(a) an amount of funding less than that for which the applicant has applied; and/or

(b) that any approval be subject to particular conditions.

16. The Board may decide to refuse to provide a merit ranking in respect of a particular applicant if it is not satisfied:

(a) with the level of merit of an eligible application in relation to one or more of the Merit Criteria; or

(b) that the activities described in the eligible application are eligible activities.

Merit Criteria

17. The merit of eligible applications must be assessed against the following criteria:

(a) Need for funding;

(b) Commercial plan and potential;

(c) Market opportunity;

(d) Management capability; and

(e) National benefits.

In assessing applications the Board must consider the merit indicators for each Merit Criterion provided to applicants and the Board by the CEO.

18. The CEO may request that the Board provide advice on indicators of merit for some or all of the Merit Criteria.

19. The CEO may request that the Board provide advice on setting out any differences in the relative level of importance of Merit Criteria between applications for different eligible activities.

PART 3 – ASSESSMENT OF PROPOSALS FOR VARIATION TO THE AGREED PROJECT

20. If a participant has submitted a proposal to the Department for approval of changes to an agreed project, including the addition of new activities, the discontinuance of activities, the substitution of new activities in the place of discontinued activities, a variation to milestones, a variation to funding, or a variation to the project’s timeframe, the Program Delegate may request that the Board assess the proposal.

21. If the Board receives a request under clause 20, it must assess the proposal as soon as is practicable and provide the assessment to the Program Delegate.

22. In undertaking an assessment of a proposal to change a project the Board will determine:

(a) the extent to which the changed project meets the Merit Criteria; and

(b) whether the change to the project would:

(i) significantly improve the outcomes of the project

(ii) be consistent with the policy objective set out in the Program Guidelines

(iii) otherwise be appropriate in all the circumstances.

PART 4 – OTHER ADVICE RELATED TO THE ADMINISTRATION OF THE COMMERCIALISATION AUSTRALIA PROGRAM

23. The Program Delegate or CEO may request the Board to provide technical assessments of matters associated with applications, activities and projects, or on any other matter relevant to or impacting on a merit criterion, including:

(a) technical matters relating to the eligibility of applications, activities or projects against the definitions contained in these Directions;

(b) the progress reported by a participant against the milestones for a project or compliance with agreement conditions;

(c) matters pertaining to national benefits assessments; and

(d) any other matter that pertains to technical merit or the technical assessment of compliance with the terms and conditions of the Commercialisation Australia program or an agreement.

24. In carrying out technical assessments pursuant to clause 23, the Board will take into account any relevant policies or guidelines relating to the administration of the Commercialisation Australia program that are issued under the Program Guidelines.

25. If the Board receives a request under clause 23 it must conduct the technical assessment within a reasonable time and provide the technical assessment to the Program Delegate.

26. The CEO may request advice from the Board on other matters relevant to the administration of the program, including:

(a) additional requirements for the application and assessment process;

(b) setting the turnover limit(s) in relation to the definition of eligible applicant;

(c) the general conditions an entity must satisfy in order to qualify as a commercialisation office or an eligible partner entity;

(d) the scope of eligible activities;

(e) the conditions of access to skills and knowledge funding and support;

(f) the definition of ‘government grant funding’;

(g) the terms and conditions for the repayment of early stage commercialisation grants;

(h) performance monitoring and exits from the program;

(i) the relative allocation of overall program funds to the types of funding available under the program;

(j) funding limits and funding ratios in relation to the types of funding available under the program;

(k) the development of terms and conditions relating to the possible introduction of equity investments to provide early stage commercialisation funding under the Commercialisation Australia program; and

(l) fast-tracking into the Commercialisation Australia program applicants that have successfully completed agreed State and Territory programs.

PART 5 – BOARD TO PROVIDE ADVICE ON POLICIES AND OPERATIONS OF THE PROGRAM

27. The Board may advise the Minister, or the Minister may request advice, on non-financial administration matters relating to the Commercialisation Australia program, including program administration and the extent to which the program is meeting its objective.

28. The Board may collect and analyse data on the performance of the Commercialisation Australia program, provide advice to the Minister on such performance, and will cooperate with any independent evaluation of the program.

APPENDIX BCODE OF CONDUCT

INNOVATION AUSTRALIA CODE OF CONDUCTMembers of Innovation Australia and of its committees are expected to observe the following standards when dealing with Board related matters.

1. Members should perform the duties of their office impartially, uninfluenced by fear or favour.

2. Members should be frank and honest in official dealings with colleagues.

3. Members should avoid any situation in which the private interests of themselves or of their immediate family, whether pecuniary or otherwise, conflict or might reasonably be thought to conflict with their public duty.

4. Members should not use information obtained in the course of official duties to gain directly or indirectly a pecuniary or other advantage for themselves or for any other person.

5. Members should not:

(a) solicit or accept from any person any remuneration or benefit for the discharge of the duties of their office over and above the official remuneration;

(b) solicit or accept any benefit, advantage or promise of further advantage, whether for themselves, their immediate family or any business concern or trust with which they are associated from persons who are in, or seek to be in, any contractual or special relationship with government; or

(c) accept any gift, hospitality or concessional travel offered in connection with the discharge of the duties of the office (except as permitted by the Department of Innovation, Industry, Science and Research’s Guidelines on the Acceptance of Gifts and Other Benefits - Secretary’s Direction).

6. Members should be scrupulous in their use of public property and services, and should not permit their misuse by other persons.

7. Members should not allow the pursuit of their private interests to interfere with the proper discharge of their public duties.

APPENDIX CDISCLOSURE OF INTEREST

INNOVATION AUSTRALIA DISCLOSURE OF INTEREST (DOI) GUIDELINESIn running its programs Innovation Australia (the Board) wishes to observe statutory requirements and generally applicable standards concerning the management, handling and recording of relevant interests. Accordingly the Board wishes to address indirect and direct pecuniary interests as the Act requires but also intends the scope of these guidelines to cover other personal or family interests.

The Board is conscious that perceptions of conflict of interest may be as important as actual conflict. The following describes the procedures, based on the Code of Conduct adopted by the Board, that are to be followed.

Section 16 of the Industry Research and Development Act 1986 (the Act) requires Board members to disclose at a meeting of the Board the nature of any direct or indirect pecuniary interest in matters considered or about to be considered by the Board. The Act requires such disclosures to be recorded in minutes of meetings. This process also applies to members of the Board’s committees (section 24).

The Board has also adopted a process whereby Board and committee members (upon appointment) prepare and lodge with the Secretariat a disclosure statement of known pecuniary (and other personal) interests of themselves and of their immediate family/spouse. The contents of the statement are recorded, electronically, on the Register of Private Interests.

In addition, the Board has established formal procedures for the handling of matters involving actual or potential conflicts of interest, which it requires all Board and committee members to meet. These are set out below.

A member who has issues or concerns about potential conflict of interest matters may wish, prior to a relevant meeting, to discuss them with the Departmental officer who is nominated to assist the Board in these respects.

To assist in maintaining a close focus on conflict of interest issues, an early agenda item at each Board and committee meeting should involve formal enquiry in relation to the disclosed interests of members and the determination of any potential conflicts.

DISCLOSURE OF MEMBER INTERESTSWhere a Board or committee member is aware of an actual or potential conflict of interest, pecuniary or otherwise, the member must advise the meeting prior to that item being discussed. Where the interests of a member of his/her immediate family are involved, the member should disclose those interests, to the extent they are known to them. The member must then leave the room and this must be recorded in the minutes.

Members are required to refrain from discussing any aspects of applications with customers unless the application has been prepared by colleagues and the member has previously disclosed their interest to the Board.

The Board or committee has an ability to decide, in the absence of the member, that where a conflict situation exists, the member concerned may nonetheless be present during discussion of the matter (and take part in the discussion) or even take part in the decision making. The decision on this could turn on whether the nature of the interest is determined to be material or immaterial (insignificant).

If the nature of the member's disclosed interest is judged as immaterial, the member may be invited back in to take part in the discussions and, if appropriate, the decision-making. If the nature of the member's disclosed interest is judged as material, there should be no further involvement of the member.

Occasion may arise where a member having a material conflict has some technical knowledge, not available elsewhere, that could warrant an invitation back into the room simply to answer specific pre-determined question(s) in relation to the technology. (This would be an exceptional circumstance.) Upon providing comments to the questions, the member would again leave the room and take no part in the discussion or decision-making in relation to the item.

RECORDING A DISCLOSURE OF INTERESTThe Secretariat should endeavour to determine, with respect to a forthcoming meeting, whether any members are likely to disclose an interest about any matters on the draft agenda. To assist in this process, the Secretariat will provide a copy of the meeting agenda, along with appropriate further identification, to all members prior to the distribution of papers. Members would be requested to advise if they are likely to disclose an interest in relation to any of the items listed for consideration, and to disclose the nature of that interest. Papers relating to individual applications will not be forwarded to members until the Secretariat receives advice that they are unlikely to disclose an interest in relation to the items listed for consideration.

Where a member's disclosure is subsequently determined to be of a material nature, then that member will not receive reports or information in relation to the item under consideration.

The minutes of the meeting will record: the member disclosing the interest; the nature of the interest; if it is judged material or immaterial by the Board or committee; and the departure of members from the room.

Discussions regarding an item against which a member has disclosed an interest will be deleted from the member’s copy of the minutes, unless the Board or committee has decided that the nature of the interest is immaterial and that the member should be present during relevant discussion and decision making.

Matters which shall be referred to the Board for determination

If a committee has no quorum as a consequence of conflicts of interest of members, then the matter shall be referred to the Board for determination.

Where the committee agrees that, because of conflict of interest issues, the matter is of a particularly sensitive nature, that matter shall be referred to the Board for determination.

INDEPENDENT EXPERT ASSESSMENTSWhere a material conflict of interest arises as a consequence of a direct link between a Board or Committee member and a matter being considered (ie, specifically where a member holds an operational management role in an applicant company, or is or has been a consultant to an applicant company, or is a member of the board of an applicant company), then that matter shall

be referred to the Board for consideration. In such instances, an independent expert assessment of the matter will be undertaken to provide advice with regard to the technical aspects of the project.

Requests from applicant companies for limited distribution of papers

In general, a request from an applicant company that a certain member not see the papers relating to that particular application is to be accepted, provided that the Board or committee considers that the request is reasonable.

DETERMINING IF A CONFLICT EXISTS1

When considering whether a material conflict of interest exists members should have regard to the following questions:

would the average member of the public, of ordinary intelligence, looking at the relevant facts and circumstances, think that there was a real, sensible possibility of conflict?

with human nature being what it is, is there a danger that an average member of the public, of ordinary intelligence, may be swayed by this kind of personal interest rather than by duty?

The above Disclosure of Interest Guidelines were considered and approved by the Board on 12 August 2008.

REGISTERED RESEARCH AGENCIES (RRAs)The Australian Government’s commitment to encouraging R&D is complemented by facilitating access by smaller and medium sized companies to R&D expertise through the services provided by a Registered Research Agency (RRA).

The IR&D Act provides for the registration of RRA organisations, which are organisations approved by Innovation Australia as being capable of undertaking contract R&D for multiple clients.

Companies otherwise unable to claim the tax concession because the minimum expenditure threshold ($20,000) has not been reached may take advantage of the concession by contracting R&D work to an organisation with RRA status. This enables companies to access expertise in Australia’s public and private sector R&D organisations, reducing unnecessary duplication of R&D facilities, and improving the overall effectiveness of Australia’s R&D effort.

Contracting eligible R&D work to an RRA has the following advantages:

all contracted expenditure is eligible for the R&D Tax Concession, and is not subject to the expenditure threshold of $20,000;

claims may be made, for advance payments, up to 12 months prior to the R&D work actually being undertaken; and

smaller to medium sized enterprises are able to undertake R&D programs without having to invest in costly R&D facilities and expertise.

Innovation Australia assesses applications for registration as an RRA on the basis of employment of research staff, R&D facilities, pricing structure and intention to undertake R&D for multiple clients.

Organisations registered as RRAs are required to renew their registration status annually with Innovation Australia.

AusIndustry, on behalf of Innovation Australia, maintains a register of organisations registered as RRAs, including the Australian Standard Research Code (ASRC) categories for the areas of technology in which each organisation has been registered as having a capability to conduct R&D. For the current list of RRAs, see Table F8.
