Indemnity and Hold Harmless Agreement

For valuable consideration, receipt of which is hereby acknowledged, the undersigned Indemnitor

hereby agrees to indemnify, defend and hold harmless, Jacobs Center for Neighborhood

Innovation, the San Diego Trolley, Inc., the Metropolitan Transit System, its owners, managers,

agents, servants, successors, heirs, executors, subsidiaries, partners, associates, employees,

administrators, and all other persons, firms, corporations, associations, partnerships, lessors,

lessees, and employees (Indemnities) from and against any and all claims, actions, causes of

action, demands, rights, damages, costs, loss, expenses (including attorneys fees) liability and

any compensation, whatsoever, for damages as a result of injury of death of any person,whomsoever, or property damage to any property, whatsoever, which arise from or in any manner

grow out of any act or neglect (either passive or active) by Indemnitor with respect to

Indemnitors part as a performer in the Orange Line Music Series December 9, 2013 through

December 26, 2013 including any and all additional rehearsal times scheduled before above said

dates.

THE UNDERSIGNED HAS READ, UNDERSTANDS, AND AGREES TO THE ABOVE

CONDITIONS AS EVIDENCED BY ITS EXECUTION BELOW. THE UNDERSIGNED

FURTHER WARRANTS AND REPRESENTS FULL AUTHORITY TO EXECUTE THIS

AGREEMENT.
