Special Note:-

1. Responsibility of ensuring smooth dispatch of the materials given to MJunction for auction

from all site location is lying with IL&FS Engineering & Construction Company Ltd (IECCL). In

case material is not delivered to the customer within 20 days from the date of issue of D.O to

the customer by IECCL than 100% amount will be refunded to the customer within next 7 days

by IECCL.

2. For weighment of the material which will be sold on Rs/MT basis IECCL team to co-ordinate

with the buyer during lifting for weighment of the material & will assist the customers for the

same.

3. IECCL to coordinate & assist the customers for Inspection as per the inspection date mentioned

in the catalogue.

Note :

1. Cutting/Dismantling is allowed for loading purpose 2. Cutting tools & equipment should be arranged by H1 customer. 3. If the H1 Customer wants to carry the equipment as it is, he can do so 4. Vehicle Registration papers transfer would be in H1 Customers scope 5. 18% GST and 1 % TCS will be applicable in invoices raised. 6. Between 8 AM to 8 PM lifting is allowed after payment, 2 trucks per day can be arranged, if

more labor force is available then can bring more trucks, but with prior permission and prior payment.

7. Safety of labor (shoes/jackets/etc) needs to be taken care by H1 customer

Lifting: - Entire lifting has to be completed within 20 days from the date of issue of D.O. "Extension in Lifting Time: The Winning customers willing to avail of the same will have to take prior approval from the concerned authorities of M/s IECCL” within the schedule giving reasons thereof. Such extensions in case of reasons not attributed to “IECCL” will be allowed subject to payment of late fees @ 1% per week of the outstanding amount for the period of delay. The maximum extension allowed for such cases will be limited to initially a maximum period of ten (10) working days from the last date of lifting beyond this no further requests shall be entertained by "IEECL"."

The cost of material along with all applicable taxes and duties shall be paid by the buyer in the form of DD/Pay order of any nationalized/ scheduled bank drawn in favour of IL&FS Engineering and Construction Company Limited or through NEFT/ RTGS/ CBS as per the following details:

TERMS & CONDITIONS:

1. In case H1 bidder fails to deposit the payment as per the schedule above then their EMD &

entire amount with IECCL will be forfeited. In this case the material should be put for re-auction 2. The entire material is to be lifted within 20 days from date of DO, incase buyer fails to lift the

material then his entire amount with IECCL as well as their EMD will be forfeited and buyer will not be allowed to lift any material after the given time. However IECCL at their discretion can give extension of 10 days with a total penalty of 1% of the balance material value.

3. After approval, the entire lot be weighed in presence of both buyer & the seller twice (one weighment to be done by IECCL and one by buyer within 3 days after payment. In case of there is a difference of +/-5% between the two weights then the higher value will be considered as the actual weight and in case the difference is more than +/-5% then a third weighment to be to be arranged jointly by the buyer and the seller and that weight will be considered as the final weight of the material at site for lifting. External weighment charges are to be borne by the bidder.

4. Materials are being offered on “as is where is” basis. Bidders are advised to inspect the materials and satisfy themselves before bidding. No complaints will be entertained after the conduct of auction.

5. All lots are ‘site to be cleared basis’. 6. Prices quoted must be valid for this sale event only. 7. All payments are to be made in form of RTGS. The RTGS details of the client will be shared

with the winning customer(s). 8. The amount should be paid in the form of RTGS. The RTGS details of the client will be shared

10. Material will be lifted by the purchaser as per attached terms & Conditions:

1. Requirements of participation:

1.2 Documentation: The following documents need to be submitted by the bidder interested for participating in the e-Sale to mjunction services limited prior to the date of the e-Sale:

2. Bidding modalities:

2.1 Price Bid Basis for Online sealed bid/Forward auction: In Indian Rs/LOT. Price to be quoted is basic, ex- location exclusive of taxes & duties as may be levied during time of despatch.

2.3 Bid Validity: Bid shall be valid for 5 (Five) working days from the date of e-Sale. Excluding Saturday, Sunday and any public holidays.

Bidders will be bidding lot wise, as detailed in the material list of this document.

2.4 All bids received in the On Line bidding will be binding on the bidder and should be valid for 5 (Five) days, excluding the day of the auction.

2.5 The price offered online should remain valid for a period of 5 (Five)working days from the date of e-Sale. Excluding Saturday, Sunday and any public holidays. Any modification / variation made there to by the bidders during the above period of 5 (Five) days, shall be construed as withdrawal from the forward auction and in that event, the company shall reserve the right to cancel the auction document and forfeit the earnest money deposit without any further reference to the bidder.

2.6 The Price offered should take care of the following:

(a) The general conditions of all the materials are ‘Old and Used” and to be accepted on “No complaint basis” and as per terms & conditions of the Online Forward Auction.

(b) It should take care of other points as specified in the FORWARD AUCTION document with all Annexure, Appendixes, Corrigendum & addendum etc.

NOTE: It is the responsibility of the willing parties who have submitted documents expressing interest to participate in the particular Online Auction, to go through the requirements and submit all documents as per conditions mentioned in this auction document. Hence the parties are advised to carefully go through the requirements of this auction document and submit all relevant information. Any deviation to the requirements of this auction document (lack of information etc) will be construed as Conditional and measures as decided by IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED will be applicable. The decision of IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED in this regard will be final & binding on the bidder.

2.7 The price bid(s) should be exclusive of taxes, duties & levies etc. payable extra ruling at the time of delivery. The Bidders should submit their offer after getting themselves thoroughly satisfied about the availability of the materials as per FORWARD AUCTION Document and it will be assumed that the Bid(s) have been submitted by the bidder after through inspection and getting themselves fully acquainted and satisfied with the scope of the work and other related aspects of the work. Once the materials are sold, no complain of any kind will be entertained in this regard by the Company. The price/ Rates once accepted shall remain firm till completion of lifting by the Successful Bidder.

2.8 For the Online Auction, the bidders shall, through on line auction sale on internet site (“https://auction.metaljunction.com/”) bid prices (excluding taxes, duties, other levies etc), for the lot/lots(as the case may be) comprising of all the items as per FORWARD AUCTION Document. The Company reserves the rights and discretion to withdraw any lot or lots at any time / Re launch the lot even after lot closure, during/after the period of auction without assigning any reason thereof.

2.9 The bidders will sign each and every page of the Forward Auction document (General Terms and Conditions of sale, Special conditions, List of materials etc.). The signature on the Forward Auction Tender documents (Letter of Interest & Annexure I, II & III) shall be deemed to be acceptance of all terms and conditions of sale and annexure and other documents forming part of the sale.

2.10 If there is any corrigendum / information to the Tender document regarding description, Quantity, Specification, location or any other detail of the lots, the same shall be hosted on “https://auction.metaljunction.com/” and it is the duty of the bidder / any interested party to update themselves regarding the same. The corrigendum will be binding on the bidder.

2.11 Bidders should satisfy themselves in all respects before the bid for the materials. Offer should quote rate/prices, which should exclude sales tax, excise duty and any other Govt. levies which shall be borne by them extra as applicable. Cost of collection ex location including costs involved in dismantling etc will be to the account of bidder.

3. Payment terms & conditions :

3.1 Payments: All payments in form of RTGS are to be deposited directly to IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED. The RTGS details of the client will be shared with the winning customer(s).

3.2 The material value with applicable taxes & duties will be deposited within 5 working days from lot confirmation. Payment is to be paid directly to IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED.

3.3 Material value payment: The full & final payment including taxes & duties is to be made as per payment schedule within 30 days from date of lot confirmation. 3.4 Delivery Order will be issue only after 100% payment received from winning customer.

4. Despatches/Delivery: (a) It will be the responsibility of the successful bidder to ensure the materials purchased in the online sale event are actually lifted within time period as mentioned in the Lifting schedule of this document from the date of issue of Delivery Order , but after the full and final payment towards the outstanding amount. No material will be allowed to lift on Saturday & Sunday. In case of any dispute regarding the scope of offer (even after issue of Sale Offer), the decision of IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED will be final and binding on the successful bidder. The successful bidder is however allowed to bring their own labour and all equipment (As per company rules) / contract labour from Agencies with prior authorization by the Company, for any processing work before delivery, after permission from the authorized person of the Company. The successful bidder has to arrange his own manpower for lifting of material. All the cost with regard to the above will be bear by the successful bidders. Cutting at site is not allow. (b)Once the sale is declared null and void, all payments made by the successful bidder, in connection there-with, will be liable to forfeiture, by the Company, without any reference or notice to the successful bidder. (c)The bid/bids so registered shall be binding on the bidder for 5 (Five) days excluding the date of auction during which period the decision of the Company will be communicated to the Successful bidder. (d) On receipt of clear dispatching instruction from the company, the Successful bidder(s) will arrange to dispatch the materials entirely at its discretion at the successful bidder’s risk. The successful bidder(s) will, therefore be required to plan arranging labour, vehicle for loading, vehicle on which to load ( Lorry etc), and dispatch by road. The freight including surcharges if any at the actual or any other incidental expenses in addition to the cost of handling or loading etc and other items in the scope of the tender document, will be to the successful bidder’s account and will be payable by the successful bidder . (e)The risk in transit from Loading Point to the destination is to be borne by the Successful bidder(s). The Company will not be liable for any loss or damage in transit. The Company’s responsibility or liability shall cease immediately after the material is lifted from IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED (site). The successful bidder will be provided with the relevant Company’s Gate Pass. (f) All demurrage charges and other expenses incurred by reasons of non-clearance of the material in time after their arrival at the destination or for any other reason shall be borne by the successful bidder. The company will not be liable for any demurrage which may be incurred on any consignments due to late receipt of document or any other reason, or as a result to postal delay or any cause/s whatsoever.

(g) The Company’s decision shall be final in respect of weight ,quantity, nature, condition assortment composition or quality of the materials and transport/freight handling and any other incidental charges and no claim whatsoever will be entertained on any account once the materials are sold. (h) The Company shall not be liable for non-performance of the contract either wholly or in part, nor for any delay in the performance of the contract resulting from or due to any causes beyond the Company’s control. The Company’s decision in this regard shall be final, should the Company so determine it shall be entitled at any time on notice to the successful bidder to cancel any contract (either wholly or in part) and in such case successful bidder / Bidder(s) shall have no claim upon the Company of any kind. (i) Any unavoidable delay in the matter of execution of delivery orders for reasons beyond the control of the Company shall not give rise to any claim whatsoever for refusal to take delivery of the materials by the successful bidder over the extended period. (j) Gas cutting / cutting of the material will be allowed only at the discretion of the Company.(For this,LPG Cyl will not be allowed) The successful bidder(s) has to follow all safety rules / guidelines, in force, in the Company premises, at the time of Loading etc, including labour. The above, wherever required, will have to be done at their own cost and by their own workmen prior to removal of such materials from the factory premises. The Company shall not be held responsible for any loss whatsoever after collection of the materials from its factory. (K) All the job should be carried out as per IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED. safety standard & under supervision & instruction of IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED representative. Special attention to be given on working at height & lifting operation. Job Specific PPE must be used by workman. All the necessary safety arrangement to be provided by purchaser. Any violation on the above IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED representative have the authority to stop the job until fulfillment of requirement (L) No digging of the land will be permitted (M) Site to be cleared after lifting 4. Penalties: The following penalties shall be applicable in the eventuality of a buyer defaulting in adhering to any of the payment or lifting norms. 4.1 The pre bid security deposit shall be recovered from the winning customer in case of failure in making payment within stipulated time. 4.2 In case of non- lifting of full lot quantity within stipulated time, after making payment, the pre bid security amount shall be liable for forfeiture. Penalty on delay in lifting : For all lot(s) successful bidders have to complete the lifting of the allocated lot(s) within 20 days from the date of issue of D.O. Failure to do so will result in forfeiture of their EMD as well as the payment deposited to IECCL & not allowing participating in future IECCL auctions 5. Refund: a) For the winning customer(s), if price is approved by IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED, the Pre Bid security deposit will be retained by MJunction till successful completion & lifting of the material as per the sale contract.

Client/mjunction shall not be liable for non-performance of any contract either wholly or in part nor for any delay in performance resulting from or due to any cause beyond the control of Client’ or mjunction including fires, strikes, go-slow, lockout, closure, dispute with workmen, uncertain and unstable labour situation, power shortage, war, riots, civil commotion, pestilence, epidemics, floods, accidents, damages or accidents to machinery, shortage of wagons, shortage of fuel, shortage of any raw materials, shortage of labour, governments or railway restrictions, acts, demands or requirements of government, force majeure or any circumstances beyond the control of Client/ mjunction whether directly due to or in consequence of the aforesaid causes or not and the existence of such causes of consequences shall operate to extend the time of the performance on the part of Client/mjunction by such period as may be necessary to enable Client, shall have no claim upon Client/mjunction of any kind. The provision of this paragraph shall not be limited or abrogated by any other terms of the contract whether printed or written nor will the provisions of this clause abrogate or limit the effect of any other clause mentioned in this catalogue.

GENERAL TERMS & CONDITIONS OF SALE Definitions: Company / Client: IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED. Successful bidder: The Successful bidder shall mean bidder whose bid has been accepted by the Company, under the terms of the tender and/or as per those terms and conditions mentioned in the Online Auction Documents & also Sale offer.

Auctioneer: The Online Auction service provider, in this case M/S Mjunction Services Limited. Bidder: Bidder is the individual / business entity participating in the auction, intending to buy the item/s from the company. To become a Bidder in the auction, a business entity has to provide written assent to all the terms and conditions of sale as mentioned in this document and the list of materials contained in this document as well as fully fill up the Letter of Interest. 1. The materials will be sold strictly “as is where is basis” i.e. as and where the materials may exist at the time of sale in all respects and in accordance with the company’s terms and conditions of business. 2. The company shall not be liable for any deterioration/damage in the quality, condition, composition and nature of the items on offer, which shall be entirely at the risk of the successful bidder from the time of sale wherever howsoever caused or occasioned.

3. Interested parties may inspect the materials by prior intimation. Admission to office / location for inspection will strictly be by express permits to be issued by the authorized person, based on advance calls / spot request from the proposed bidders. All expenses incurred in this connection will be on the bidder’s account and borne by the bidders (NO COMPLAINT WILL BE ENTERTAINED ONCE MATERIAL IS SOLD TO BIDDERS). 4. The sale shall ordinarily be made to the highest bidder subject to the approval by the Company, but the Company reserves the right to accept or reject any bid or to withdraw any time or all items announced from the sale without assigning any reason whatsoever. The Company, if so desires, can call the parties/any party who had bid in the auction and ask for fresh quotes over and above that received in the Online sale event. The Company’s decision on the above shall be final and binding on all bidders. IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED reserves the right to withdraw from the sale after advertising or after issue of sale order of any quantity of the material without assigning any reasons thereof to the customer. IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED will not be responsible for any damages/loss what so ever to the customer on account of such withdrawal. IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED reserves the right to cancel or reject any or all bids without assigning any reason whatsoever and the decision of IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED in this regard shall be final and binding and not liable to be questioned in any court or before any authority. 5. Bidders will be bidding lot wise, as detailed in the material list of this document 5.1 All bids received in the On Line bidding will be binding on the bidder and should be valid for 5 (Five) working days, excluding the day of the auction. 5.2 The price offered online should remain valid for a period of 5 (Five) working days excluding the date of online auction for acceptance by the company. Any modification / variation made there to by the bidders during the above period of 5 (Five) working days, shall be construed as withdrawal from the FORWARD AUCTION and in that event, the company shall reserve the right to cancel the FORWARD AUCTION document and forfeit the earnest money deposit without any further reference to the bidder. 5.3 The Price offered should take care of the following: (a) The general conditions of all the materials are ‘Old and Used” and to be accepted on “No complaint basis” and as per terms & conditions of the Online Forward Auction.

(b) It should take care of other points as specified in the FORWARD AUCTION document with all Annexure, Appendixes, Corrigendum &addendum etc. NOTE: It is the responsibility of the willing parties who have submitted documents expressing interest to participate in the particular Online Auction, to go through the requirements and submit all documents as per conditions mentioned in this auction document. Hence the parties are advised to carefully go through the requirements of this auction document and submit all relevant information. Any deviation to the requirements of this auction document (lack of information etc) will be construed as Conditional and measures as decided by IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED will be applicable. The decision of IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED in this regard will be final & binding on the bidder. 5.4 The price bid(s) should be exclusive of taxes, duties & levies etc. payable extra ruling at the time of delivery. The Bidders should submit their offer after getting themselves thoroughly satisfied about the availability of the materials as per FORWARD AUCTION Document and it will be assumed that the Bid(s) have been submitted by the bidder after through inspection and getting themselves fully acquainted and satisfied with the scope of the work and other related aspects of the work. Once the materials are sold, no complain of any kind will be entertained in this regard by the Company. The price/ Rates once accepted shall remain firm till completion of lifting by the Successful Bidder. 5.5 For the Online Auction, the bidders shall, through on line auction sale on internet site (“https://auction.metaljunction.com/”) bid prices (excluding taxes, duties, other levies etc), for the lot/lots(as the case may be) comprising of all the items as per FORWARD AUCTION Document. The Company reserves the rights and discretion to withdraw any lot or lots at any time / Re launch the lot even after lot closure, during/after the period of auction without assigning any reason thereof. 5.6. The bidders will sign each and every page of the Forward Auction document (General Terms and Conditions of sale, Special conditions, List of materials etc). The signature on the Forward Auction Tender documents (Letter of Interest & Annexure I, II & III) shall be deemed to be acceptance of all terms and conditions of sale and annexure and other documents forming part of the sale. 5.7. If there is any corrigendum / information to the Tender document regarding description, Quantity, Specification, location or any other detail of the lots, the same shall be hosted on “https://auction.metaljunction.com/” and it is the duty of the bidder / any interested party to update themselves regarding the same. The corrigendum will be binding on the bidder. 5.8. Bidders should satisfy themselves in all respects before the bid for the materials. Offer should quote rate/prices, which should exclude sales tax, excise duty and any other Govt. levies which shall be borne by them extra as applicable. Cost of collection ex location including costs involved in dismantling etc will be to the account of bidder.

Special Terms and Conditions for Internet Auction :

DEFINITION OF KEY TERMS Auction. Auction refers to a forum where the requirement for one/more lots of an item is stated and the participants (bidders) are required to bid the price, to be selected to supply the requirement. Online Auctions. Online auctions refer to those auctions conducted through the Internet with the bidders (from one or more locations) simultaneously bidding to be selected for supplying the item/s on auction. In other words, the venue for the auction is on an Internet website/ platform. The "Service Provider's" website assigned by "Service Provider" would constitute venue for the purpose of the online auction. Award at the Auction.

In a single winner format, only one bidder (normally the bidder who quotes the highest price) is awarded all the units of the item being auctioned. The bidder quoting the highest price is normally allotted the item. However, this is subject to the discretion of the Company. Start Bid Price (SBP) : The SBP sets the starting price of auction for the lot. No one can provide less bid than SBP. SBP in any case should not be treated as the price at which the Client will decide to sell the lot. Client / Company. Client / Company is the individual/business entity who has contracted "Service Provider" to conduct such auction. In case of auction, the purpose would be the genuine intent to sell the selected item/s (Lot) to the bidders desiring to buy these items from the Client / Company. Bidder. Bidder is the individual/business entity participating in the auction, intending to buy the item/s from the Client. To become a Bidder in the auction, a business entity has to provide written assent to the General Rules and Regulations, Annexure-I, II & III. Auction Engine. Auction Engine refers to the software that encapsulates the entire auction environment, processing logic and information flows. "Service Provider" is the sole owner of the auction engine and retains exclusive right over the utilisation of the same. Timings of the Online Bid. All the timings of the Online Bid shall be based on the time indicated by the Server hosting the Auction Engine. It shall be the endeavor of "Service Provider" to ensure that the Server Time reflects as closely as possible the Indian Standard Time (IST) i.e. GMT + 0530 hrs. However, in the event of any deviations between the Server Time and the Indian Standard Time, the functioning of the Auction Engine (launch, operation, and closure) would be guided by the Server Time. Bidders are advised to use auto refresh windows of the Auction Module to check the exact Server Time. Start Time. Start time refers to the time of commencement of the conduct of the online auction. It signals the commencement of the Price Discovery process through competitive bidding. Duration of the Auction. It refers to the tentative length of time the price discovery process is allowed to continue by accepting bids from competing bidders. The duration of the auction would normally be for a pre-specified period of time. However, the bidding rules may state the conditions when the pre-specified duration may be curtailed/ extended. The conditions include: Curtailment of auction duration in the event of no bids for a specified period of time (Inactivity Time) Automatic extension in the event of bids being entered towards the end of the scheduled duration to facilitate the other bidders to view and react to the bid. Extension of the duration of Auction due to the request of the Bidder over the phone, Fax etc. Extension or Curtailment of Time as the Service Provider deemed fit. Terms & Conditions : (1) Bandwidth problems , connectivity problems with the local ISP (Internet Service Provider), slowness to access pages for downloading etc. are beyond the control of the company and Metaljunction. Hence no responsibility lies with the company or Mjunction for the above problems faced, if any, by the bidder before/during the auction. (2) Any bid placed using the bidder’s username and password is unconditionally binding on the bidder to whom such username and password had been allotted and he shall be solely responsible for maintaining the confidentiality of the same and fully responsible for all activities that occur under their username and password. Hence the user is advised to check the username and password before the auction in order to familiarize himself with the same and is advised not to reveal it to anyone else so as to prevent misuse of the same. The bids made by the bidders against their username and password shall be irrevocable.

(3) The bidders are advised to register and pre-qualify for bidding well in advance and place their bids early in order to take care of any unforeseen technical difficulty that might arise at a later stage. (4) Connectivity Issues : (a) The Company / MJunction is not responsible for the inability of any bidder to bid within the time the item on sale through Online forward Auction, is on offer for bidding, over the internet. In such cases, the bidders are requested to please contact the Auction control room at 033 - 66031760-61, 033 - 66031763-72, 033 - 44091760-61, 033 - 44091763-72. It will be endeavoured from the service providers end to assist the bidder. (b) In case the bidder wants Mjunction to bid on his/her behalf, the bidder is requested to Fax a letter, addressed to the Manager, Operations at 033 - 66031760-61, 033 - 66031763-72, 033 - 44091760-61, 033 - 44091763-72, on his company letter head, with sign and stamp, declaring his intention to let Mjunction bid on his behalf. He should indicate the same over phone at 033 - 66031760-61, 033 - 66031763-72, 033 - 44091760-61, 033 - 44091763-72 or the other connections indicated and dial the desired extension. He should indicate in very clear term the limit to which he wants the service provider to Bid on his behalf, and beyond which the service provider will place a bid on receiving the next faxed confirmation from the party. The auction time will be increased by the Service provider , to enable the bidder to Fax the communication. (c) Late bids in Forward Auctions will not be accepted by the Company / Service Provider. Bidders are advised to put their best price at least 1 minute before the closing time, so that the bids are secured. In case multiple lots are open at the same time, bidders are advised to plan their time in advance. Unsolicited offers : Bidders must be careful to deliver a bonafide online bid. After submitting the bid in the Forward Auction he is legally bound to stand by the bid submitted. The bidders will not be allowed to give a bid lower than the one already submitted by him/them or modify any terms and conditions thereof, without being asked to do so. Should the bidder fail to observe the foregoing stipulations, the offer of the bidder will also be rejected. ROLE OF “SERVICE PROVIDER” (a) “Service Provider’ is the agency (operator) primarily providing the service of the Forward auction to the “client”. (b) Enhancing bidder awareness of and comfort with the auction mechanism and bidding rules. Input of the Auction items and defining the bidding rule in the auction engine. ( c ) Enlarging the customer base by introducing new bidders. (d) Collection of Letter of Interest etc. from the willing bidders and forwarding the same to the Client. (e) Providing access to the approved bidders to participate in the Auction. (f) Summarising the Auction proceedings and communicate the outcome to the Client / Company. ROLE OF BIDDER The role of the bidder is outlined below: (a)The bidder would participate in the auction with the aim of bidding to secure the auctioned item in the auction. (b)The bidder would be provided access to the Auction through a “User ID” protected by a “Password”. The bidder needs to ensure that the “User ID” and “Password” is not revealed to unauthorized persons. Bidders are also requested to change the password allocated to them by the “Service Provider” to keep their confidentiality. However it would be bidder’s sole responsibility to ensure the security and privacy of the same and he/they would not hold the “Client” / “Service Provider” responsible in any manner whatsoever for any misuse of these user IDs and/or Password. Access to the auction mechanism shall be provided to all the approved bidders subsequent to obtaining their written consent to the General Rules & Regulations, Special Terms and conditions of Internet Auction and List of materials vide Annexure I, II & III, and the Letter of Interest.

Bidders hereby confirm that they shall commit to fulfill the payment schedule as mentioned in the General and special terms and conditions of the FORWARD AUCTION document, at the price entered by them in the auction engine AND at the terms and conditions specified herein by the Client. All Prices entered shall be legally binding on the bidders. Bidders are strongly advised to exercise due diligence while placing bids. Failure to honour the bids placed during online bidding shall render the bidders liable for penal action as deemed fit by “Client” / “Service Provider”. In the event of winning an allotment in the auction mechanism, the bidder shall commit to fulfill outlined obligations under the contract. The bidders shall bid on the terms specified by the client & place their bid in the auction engine in the manner specified by “Service Provider”. The bidders shall not stipulate any conditions on their own unless the terms of the client (the client’s terms & conditions) expressly permit such conditions being stipulated by the bidder. Bids entered with conditions attached shall be considered Conditional bids & “service provider” retains the right of rejecting these bids even without intimating the client. BIDDING RULES a) The Bidding Rules refer to the information and terms defined specifically for a particular auction. The purpose of the Bidding rules is to provide approved bidders with the information and terms specific to the auction in which they are bidding. This would include: Any extension of the duration of the auction in the event of bids being received towards the end of the pre-specified duration Start Bid Price Specified Unit for Bidding Price Increments and any reduction in the price increment in the auction in the event of inactivity Other attributes (informational/non-negotiable in nature) (b)While it shall be the endeavor of the “Service Provider” to specify these rules at the earliest for each online auction, the “ Service Provider” shall retain the right to delay the announcement of these biddings rules or modify rules specified earlier at the time of the online bidding. These details would be available to the bidders on the Auction Engine at the time of bidding. (c)Participation in the auction process presumes complete awareness and understanding of the bidding rules. CONDUCT OF THE AUCTION: (a)Only those bidders who have handed over stamped and manually signed the Tender documents governing conduct of online auction along with Letter of Interest and other necessary documents to the “Client”/ “Service Provider” prior to the start of online auction will be given “Login ID” and “PASSWORD” to enable them to view and participate in online auction. The Auction shall be conducted on a pre-specified date. The Key Terms pertaining to the conduct of Auction such as “ START TIME”, “DURATION”, “END TIME” AND “AUTO EXTENSION FACILITY” defined in this document. (b) “Service provider” retains the right to cancel or reschedule the auction, on any of the following reasons : The scheduled date of Auction is a holiday, or the office of MJunction, from where the Auction was to be conducted, is not open / active for conducting the Auction. The number of confirmed bidders is deemed insufficient to conduct the auction Some of the confirmed bidders are unable to access the module due to infrastructure problems such as sustained power failure or telecommunication breakdown. There are no bids, which are equal to or above Start Bid Price. Any other reason which in the opinion of “Service Provider” / “Client” requires such action to be initiated. (c) The duration of auction may also vary from the pre-specified period of time either on account of termination of the auction by “Service Provider” or on the advice of the Client

OR- In case of situations where it is felt that continuance of the auction proceedings is prejudicial to the smooth conduct and / or the integrity of the auction process OR due to Auto Extension during the Auction, duration may increase from specified period. OR due to a request from the bidder over phone or Fax OR due to any other event in which the Service provider feels that it is necessary to extend the time of the Auction . (d)In the event of any problems being faced in the smooth conduct of the auction, “Service Provider” with the approval of the Competent Authority of the Client, shall have the right to undertake one or more of the following steps: Cancellation/ premature termination of the auction with/ without a subsequent rerun of the auction on a mutually decided date Cancellation of a bid Locking / deactivate a bidder’s account (suspension of operations in the account), etc. In case of failure of net connection, bidder will give his best price to the “Service Provider”. “Service Provider” will bid on behalf of the bidder with the minimum increment until the bid price reaches the best price offered by the bidder, by proxy bidding mechanism. (e)The best price communicated by the bidder will have to be authenticated by written confirmation or fax to the “Service Provider”. Bidder will be bound by the price offered. LIABILITY OF “SERVICE PROVIDER” (a) “Service Provider” shall not be liable to the client/ bidders participating in the auction or any other person(s) for: Any breach of contract by any of the parties in the fulfillment of the underlying contract. Any delays in initiating the online auction or postponement / cancellation of the online auction proceedings due to any problem with the hardware / software / infrastructure facilities or any other shortcomings. (b)While, reasonable care and diligence will be taken by “Service Provider” in discharge of its responsibilities such as design of the online bid, communication of bid details and rules, guidance to client/ bidders in accessing the Auction Engine and placing bids, etc. the bidders shall specifically indemnify “Service Provider” from all liabilities for any shortcomings on these aspects. It is clearly understood that these activities are undertaken by “Service Provider” to assist the bidders in participation but the ultimate responsibility on all these counts lies totally with the bidders. RIGHT OF THE CLIENT: The Client reserves the right to partially or totally accept or reject any / all bids placed in the Online Auction without assigning any reason whatsoever. The decision of the client would be final and binding on the bidder in any such case. In addition to the above, the following conditions apply to all materials listed in this document

Material will be sold on LOT/MT basis as per material list. No catalogues and test certificates to be provided by IL&FS ENGINEERING AND CONSTRUCTION

COMPANY LIMITED. As the sale is on NO COMPLAINT Basis. Safety norms of IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED should be strictly

adhered to. All workers contract labours engaged by the successful bidder shall have to wear safety shoes,

helmets and other mandatory safety gear as outlined in the policy of IL&FS ENGINEERING AND CONSTRUCTION COMPANY LIMITED.

Handling ,Loading and transportation should be at the bidders own cost and risk. The crane deployed by bidder should have a valid load test certificate.
