REQUEST FOR PROPOSALS CITY OF INGLEWOOD INVITATION TO SUBMIT PROPOSAL (Specifications and Conditions Governing Award) The City of Inglewood invites and will receive proposals duly filed as provided herein for the furnishing of qualified “Inglewood Growing Artists’ Projects” as specified in this document.

Each proposal shall be submitted and completed in all particulars and must be enclosed in a sealed envelope addressed to the City of Inglewood, Purchasing and Contract Services Division, Inglewood City Hall 8th Floor, with the designation of the project "Inglewood Growing Artists’ Projects” appearing thereon. The City Council reserves the right to waive any irregularities in any proposals, and to take proposals under advisement for a period not to exceed sixty (60) days from and after the date proposals are opened and announced.

The following conditions and terms apply:

1) The City Council reserves the right to reject any or all proposals.

2) Attached are detailed specifications and conditions for proposal submission.

3) You must execute your contract within ten (10) days after the City mails it. If the contract is not executed within ten (10) days, the City reserves the unilateral right to cancel it.

4) If any provisions of the contract are violated, the City, after suitable notice, may cancel the contract and make arrangements to have the products and or services supplied by others. Any extra cost to the City will be paid by the vendor.

5) The Request for Proposals may be obtained from the Purchasing Division located on the 8th floor of City Hall, or call (310) 412-5266.

6) All proposals must be for specific amount of $10,000, $15,000 or $25,000. Any attempt to qualify prices with an ‘escalation clause’ or any other method of making a price variable, is unacceptable. Proposal shall be valid for ninety (90) calendar days from receipt of proposal.

7) The City reserves the right to add or subtract quantities and/or services based on the unit prices/unit lump sums so indicated as its budgetary needs may require.

REQUEST FOR PROPOSALS INTRODUCTION

The City of Inglewood is a full-service city that encompasses nine square miles and has a residential population of approximately 120,000. The City provides a full range of first-class municipal services that are delivered by dedicated City employees. The City employs approximately 800 full-time employees and has a Council City-Manager form of government. The City provides a full range of services normally associated with a municipality, including administration, police and fire protection services, engineering, public works, parks, recreation, library, planning, building, various maintenance services, water, wastewater and solid waste utility services. BACKGROUND

The mission of the City of Inglewood’s Cultural Arts Master Plan is to improve the quality of life in Inglewood through developing residents’ awareness, understanding, appreciation and participation in the arts and to infuse arts into all facets of Inglewood society, including: public agencies, social services, education, business and community groups, recreational and organized sports and entertainment. Use of this Plan is the principal tool by which this mission is achieved. The Cultural Arts Master Plan represents a summary of research, planning, findings and recommendations made by a community volunteer Task Force, with input from all segments of the community. Twenty-six (26) focus groups were conducted with over 250 residents, representing all ages, ethnicities and a variety of community interests and backgrounds. The themes that emerged from the focus groups and demographic data provided the principal material for the Task Force to consider in their recommendations. The following major themes were identified through the focus groups:

• City government to provide leadership • Arts and education • Create venues for the arts • Support professional artists • Acquire funding and resources • Inglewood’s image to include arts and culture

THE I-GAP FUND

I-GAP funds are drawn from the City’s private Percent for Art Program Fees collected to enhance Inglewood cultural life. Since 2004 developers of certain types of commercial projects building in Inglewood have been required to participate in community culture through the Percent for Art Program. Developers choose to either display art in public places of their properties or to contribute to a designated fund for artwork. The Inglewood Arts Commission is charged with the oversight of the fund. They recommend projects and expenditures to the City Council.

ABOUT Inglewood Growing Artists’ Projects 2013

This is the second year of the I-GAP program.

In 2013 contracts were awarded for these proposed projects: $10,000: Inglewood Poetry Project:

Artist J. Malaika Beckford, for free writing workshops, for poems inspired by Inglewood; with poems to be edited and printed in an anthology. Ms. Beckford will also write her own poems, set to original commissioned music, and produce a vinyl record. The anthology and record will debut at a community event. $15,000: Duck Truck Residency Project:

Artist Heidi Duckler and her Heidi Duckler Dance Theatre group, for a month-long residency with LEAP program students at Inglewood’s Warren Lane Elementary School for site-specific dance workshops. The project culminated in a free, 2-part performance by the elementary school troupe, and by company members. The Duck Truck, a small streamlined trailer, was the site and support for the month-long training and performances. $25,000: Inglewood Stories:

Artist Michael Massenburg, for a permanent, site-specific mural proposed for the Inglewood Public Library atrium. The 30 x 30’ mural will be based on historic photographs and interviews of Inglewood arts and culture communities. Massenburg will engage four youth as paid mentees in the design development process. The 2013 application review panel for I-GAP program was comprised of:

PROPOSED SCOPE OF WORK

The City of Inglewood is requesting Proposals from qualified vendors to create original artistic projects to provide a cultural and civic benefit to the City. The City is looking for three (3) projects. THE CITY MAY WISH TO INCORPORATE BY REFERENCE, INTO THE CONTRACT, THE COMPLETE PROPOSAL, OR A PORTION THEREOF, SUBMITTED BY THE SUCCESSFUL FIRM. THEREFORE, PROPOSALS SHOULD BE PREPARED IN A MANNER THAT WOULD ALLOW SUCH INCORPORATION. The proposal shall state the total cost of all services that will be provided in this project. INGLEWOOD GROWING ARTISTS’ PROJECTS

Professional artists are invited to apply for Inglewood Growing Artists’ Projects (I-GAP) funds to assist in the creation and/or completion of an original artistic project to provide a cultural benefit to the City of Inglewood. This funding may be used for the entire project or completion of an existing project. The project must be completed within 12 months of contract execution. Artists working in any media may apply, including but not limited to:

• Visual Art • Prose or Poetry • Graphic novels • Still photography • Time-based work • Video, film and animation • Musical Performance – voice, instrument or combination • Theatrical Performance – including performance art, drama, opera, dance, comedy • Spectacles - including projections, billboards or light shows • Or any combination of these media subjects.

WORK SAMPLES

Submit work samples appropriate to your application proposal on a CD. Applicants must label their CD with full name of applicant and contact information (phone or email). Visual artists: 10 jpgs, less than 1M each; 72 dpi on a CD. Verbal/prose artists: up to 5 pages of texts in MS Word documents or PDFs. Music, sound, and spoken word artists: 5 minutes of audio files, no more than 3 pieces for a total of 5 minutes (PC compatible format). Theatre, performance, dance: up to 5 minutes of video files; no more than 3 pieces for a total of 5 minutes.

Submission Deadline: June 11, 2014 at 11 a.m. Selection Panel: Late June / Early July 2014 Inglewood Arts Commission Review: July 2014 Award of Contract: September 2014 Project Completion Date: One year after contracting or by Dec. 30, 2015 Amount of Project Contracts:

Three contracts for artists’ services will be made: one at $25,000, one at $15,000 and one at $10,000. Artists may apply to only one level of contract. This year, the $10,000 contract is paired with access to the 55-seat black box Playhouse, the municipal theatre in Edward Vincent Park, 700 Warren Lane, Inglewood. Artists will be able to access the theatre for studio, workshop or performance space for up to 8 consecutive weeks in 2015 to complete their project.

Multiple applications for the same project will not be accepted. That is, an artist or artist team may not apply for two or more funding levels with the identical project. If artists are collaborating, a lead artist must be identified to manage the Artist’s Project, receive and report on the funds. Eligibility

Professional artists must be able to enter into a contract (18 years of age or older), show proof of ability to work in the U.S. On contracting, a city business license must be obtained and carry liability insurances as required for the presentation of the public benefit. Institutions are not eligible to apply. Artists with a studio or residence in Inglewood, CA are highly encouraged to apply. Artist previously awarded the I-GAP contract are not eligible to apply. Public Benefit A requirement of this program is the creation of a cultural public benefit, such as a permanent or temporary artwork in a public site, free lecture, performance, exhibition, or studio tour. The public benefit should be planned and included as part of the proposal; it will be finalized with the artist during contract negotiations. The benefit must be described and accepted before final payment. Eligible Project Expenses

Expenses must be directly related to the project. Eligible expenses may include: • Artists’ fees or honorarium; • Studio or facility rental for the completion of the contract • Materials, supplies or services • Equipment needed for the project • Shipping or travel directly related to the Artist’s Project

Ineligible expenses include housing rent or mortgage costs; fees to agents or representatives; licenses or copyright payments; classes or training for credit; and educational costs for others. Contracted Award will be paid in two or three installments based on the services performed or delivered to be negotiated at time of contracting. A final report documenting the work completed, public presentations, outreach and itemized expenses must be received for payment of final installment. All taxes, licenses, fees and insurances are responsibility of the artist.

All changes to instructions to this RFP will be done through written addendum and posted on the City’s website. It is the proposer’s responsibility to check the City’s website for any addendums.

Written responses to the RFP must be prepared as specified above as to form, content, and sequence. Respondents should follow the checklist to ensure that all requirements are met. No changes to responses may be made after the submittal deadline.

• The response shall be signed by an officer, or officers, authorized to execute legal documents on behalf of the respondent and submitted to:

The City reserves the right to waive informalities in any proposal, to reject any or all proposals, to reject one part of a proposal and accept the other, except to the extent that proposals are qualified by specific limitations, and to make awards to the proposer whose proposal is most beneficial to the needs of the City. Each firm is responsible for the timely delivery of any response. Additionally, the City will not be responsible for the delivery of any proposal to the wrong address or City department. Each firm assumes all risks and/or consequences of an incorrect delivery or an untimely delivery of a proposal. RFP SELECTION PROCESS AND CRITERIA

Eligible applications will be reviewed by a five-member panel of knowledgeable professionals including:

• Two (2) California contemporary art professionals (artist, curator or art administrator) • One (1) at-large community member residing in Inglewood • One (1) representative of Inglewood developer community • One (1) representative from City (Staff)

The panel will recommend three projects and three alternates to the Inglewood Arts Commission for review and contract negotiations specific to each project. Three contracts will be recommended to the City Council for review and approval. Proposals will be evaluated on a point system weighted for these factors: Artistic Excellence of project proposal 50% Fiscal feasibility: Assessment of budget expenses 20% Innovation: Project will be significant in the applicant’s career 25% Inglewood Residency: 5% TOTAL 100% WAIVER AND RIGHTS OF THE CITY

After a review of the qualification submittals, the City, in its sole discretion, may rate all submittals and identify a short list of 2 to 3 best qualified firms. There is no guarantee that the City will decide to move forward with any proposer based on the RFP submittals. The City reserves the right to reject any or all submittals and proposals. The Consultant waives all rights to seek compensation and/or legal remedies regarding any aspects of the RFP and the City’s selection process, upon the submittal of a response to the RFP.

After a review of the price submittals, the City, in its sole discretion, may invite one or more respondents for interviews, or may choose not to proceed with the interview. There is no guarantee that the City will decide to move forward with any proposal based on the RFP submittals. The City reserves the right to reject any or all proposals. The Consultant waives all rights to seek compensation and/or legal remedies regarding any aspects of the RFP and the City’s selection process, upon the submittal of a response to the RFP.

REQUEST FOR PROPOSALS

GENERAL PROVISIONS

The City of Inglewood, California, hereby extends an invitation to submit a proposal, in accordance with this Request for Proposal (RFP), to provide labor and or and materials for the designated service. Furthermore the City makes no representation that any agreement will be awarded to any firm responding to this request. There are no expressed or implied obligations for the City to reimburse responding firms for any expense incurred in preparing a proposal in response to this request. All information submitted to the City of Inglewood shall become property of the City and will be returned to the proposer at the City’s option. Section 1. PRICES

The proposal shall state the total cost for the service as specified in this document. Section 2. PAYMENT TERMS

Standard payment shall be made by City check. Section 3. INGLEWOOD BUSINESS TAX CERTICATE

The vendor agrees to at all times during the performance of the agreement, obtain and maintain an Inglewood City Business Tax Certificate. The purchase of said Certificate must be made prior to the purchase of product or rendering services and a copy said Certificate must be forwarded to the Purchasing Division. Section 4. SALES TAX

The City of Inglewood is subject to the payment of sales tax. All suppliers will be required to include in your proposal/price quote the City of Inglewood sales tax rate of 9.5%. If a proposer fails to include the City’s sales tax rate in their proposal, the City will add the 9.5% amount to the proposal for evaluation purposes. Section 5. INSURANCE REQUIREMENTS

When a contractor does work under a City purchase order, the managing Department must have on file valid certificates of insurance and the required endorsements. The Department must submit the required certificates and endorsements to the City Clerk, who will then forward the documents to the City Attorney’s Office for review.

Required Insurance Coverages The contractor shall obtain and maintain at its expense, until completion of performance and acceptance by City, the following insurance placed with an insurer admitted to write insurance in the state of California or a non-admitted insurer on State of California’s List of Eligible Surplus Lines Insurers (LESLI) and the non-admitted insurer must have a rating of, or equivalent to, A:VIII by A.M. Best Company:

a. Commercial General Liability

Commercial General Liability not less than $1,000,000 each occurrence. Combined Single Limit for Bodily Injury and Property Damage, including Contractual Liability, Personal Injury, Products and Completed Operations. The “City of Inglewood, its officials, employees, and agents” must be separately endorsed to the policy as additional insureds on an endorsement equivalent to insurance Services Office, Inc. (ISO) forms CG 20 10 11 85 of CG 20 26 11 85.

b. Automobile Liability If Artists is an individual, Personal Liability Insurance with limits not less than $100,000/$300,000 each occurrence. If Artists is a corporation or other legal entity, Automobile Liability (equivalent in coverage scope to ISO form CA 00 01 060 92) in an amount not less than $1,500,000 combined single limit per accident for bodily injury and property damage covering Auto Symbol 1 (Any Auto). If an automobile is not used in connection with the services provided by the contractor, the contractor should provide you with a written request for a waiver of this requirement.

c. Workers’ Compensation and Employer’s Liability Worker’s Compensation as required by the California Labor Code and Employer’s Liability in an amount not less than $1,000,000 per accident. To the extent Artists warrants, in writing, that Artists is not an employer and has no employees as defined by California Labor Section 3351-3351.1, Artists need not provide to the City proof of Worker’s Compensation Insurance.

d. Professional Liability or Errors and Omissions If, in the opinion of the City, a design professional (such as architects, landscape architects

or engineers) is used or required by the Artist’s Project, applicable to contractors profession, who provide Artist with signed stamped drawings or calculations. Such insurance shall have limits not less than $1,000,000 each claim with respect to negligent acts, errors and omissions, Artist or Artist’s subcontractors shall obtain such insurance when Artist subcontracts for any work from such a design professional, and prior to the submittal of Construction Documents. Any design professional required to obtain professional liability insurance shall maintain such insurance, and proof thereof, for the term of this agreement.

e. Fine Arts Insurance Artist is required to obtain and provide City with Fine Arts Insurance or other insurance

against loss in amount equal to the total payment specified under COMPENSATION section of the contract. Artist shall obtain such insurance prior to commencing fabrication of the Artwork (required on a case by case basis).

f. Transportation and /or Installation Coverage

As necessary and appropriate.

Required Insurance Documentation

a. Certificate of Insurance The contractor must provide you with a Certificate of Insurance evidencing the required

insurance set forth above. The Certificate Holder must be the "City of Inglewood," and the Certificate Holder's address must be the address of the City of Inglewood.

b. Endorsements In addition to the Certificate of Insurance, the contractor must provide the following

endorsements:

Cancellation Notice Endorsements. Each policy must be endorsed to provide that the policy shall not be cancelled or non-renewed by either party or reduced in coverage or limits (except by paid claims) unless the insurer has provided the City with written notice thirty (30) days prior to cancellation or ten (10) days written notice for cancellation due to nonpayment of premium.

Primary and Non-contributory Coverage Endorsements.

The general liability and (if required) professional liability policies must be endorsed to provide that each policy shall apply on a primary and non-contributing basis in relation to any insurance or self-insurance, primary or excess, maintained by or available to the City or its officials, employees and agents.

Waiver or Modification of the Insurance Requirements Any waiver or modification of the insurance requirements can only be made by the City Attorney. All waivers or modifications request are reviewed on a case-by-case basis.

Section 6. INDEMNIFICATION

Vendor shall indemnify and hold harmless the City and its officers, employees, and volunteers from and against all claims, damages, losses and expenses including attorney fees arising out of the performance of the work described herein, caused in whole or in part by any negligent act or omission of the vendor, anyone directly or indirectly employed by any of them or anyone for whose acts may be liable, except where caused by the active, sole negligence, or willful misconduct of the City.

All insurance must be written by a surety, licensed to do business in the state of California, and rated ‘A’ or better by A.M. Best Company’s rating guide. The City is to be named (where appropriate) as an additional insured on the endorsement forms.

If any action or proceeding is brought against Indemnities by reason of any act of the matters against which consultant has agreed to indemnify Indemnities as provided above, vendor, upon notice from City, shall defend Indemnities at vendor’s expense by counsel acceptable to City, such acceptance not to be unreasonably withheld.

Section 7. NON-DISCRIMINATION California State Labor Code §1735: Discrimination in Employment Because of Race, Color, etc.

No discrimination shall be made in the employment of persons working on behalf of or as an agent for the City of Inglewood because of the race, religious creed, color, national origin, or ancestry, physical disability, medical condition, marital status, or sex of such persons except as provided in Section 12940 of the Government Code, and every vendor for the City of Inglewood violating this section is subject to all the penalties imposed for a violation of this chapter. Section 8. AWARD OF CONTRACT

Evaluations will be based on the criteria listed on page 14 of this document under “RFP SELECTION PROCESS AND CRITERIA.”

The City may select a limited number of consultants for in-person interviews before awarding a contract to the successful proposer. Section 9. EXECUTION OF AGREEMENT

A proposer to whom award is made shall furnish all goods and/or services in accordance with the provisions hereof and within the time stated in the proposal. If a proposer to whom an award is made fails or refuses to enter into the contract as herein provided or to conform to any of the stipulated requirements in connection therewith, an award may be made to the proposer whose proposal is next most acceptable to the City. Such proposer shall fulfill every stipulation embraced herein as if he/she were the party to whom the first award was made. A corporation to which an award is made will be required, before the contract is finally executed, to furnish evidence of its corporate existence and of its rights to conduct business in the state of California. Section 10. TERMINATION OF AGREEMENT

The City may terminate the contract at its own discretion or when conditions encountered make it impossible or impracticable to proceed, or when the City is prevented from proceeding with the contract by law, or by official action of a public authority. Section 11. RIGHT OF CITY TO WITHHOLD PAYMENT

The City may withhold or nullify the whole or any part of any payment due the vendor to such extent as may reasonably be necessary to protect the City from loss as a result of:

1) Defective materials not remedied in accordance with provisions of specifications;

2) Claims or liens filed or reasonable evidence indicating probable filing of claims or liens;

3) Whenever the City shall, in accordance herewith, withhold any monies otherwise due the vendor, written notice of the amount withheld and the reasons therefore shall be given the vendor, and, when the vendor shall remove the grounds for such withholding, the City will pay to the vendor, within 35 calendar days, the amount so withheld.

Section 12. COST OF PROPOSAL

The proposer must present a concise list of the scope of services and the work products that your firm proposes to provide. Given your proposed scope of services and work products, discuss your proposed fee arrangement based on the hourly rate compensation.

Expenses such as travel, postage, reproduction and related costs necessarily incurred by proposer are to be reflected. Such expenses will not be eligible for reimbursement unless approved by the City in advance. Any costs incurred by Consultant which are not specifically provided for herein shall be the sole expense of the Consultant. Any omissions or ambiguities will be construed most favorable to the City. Section 13. DURATION OF AGREEMENT

The projects from this agreement must be completed within one (1) year of contract execution. Section 14. CHOICE OF LAW/VENUE

This agreement shall be interpreted, construed and governed according to the laws of the State of California. In the event of litigation between the parties, venue in state trial courts shall lie exclusively in the County of Los Angeles, Superior Court, Southwest District, located at 825 Maple Avenue, Torrance California 90503-5058. In the event of litigation in the United States District Court, venue shall lie exclusively in the Central District of California, in Los Angeles, California.
