RFP-0072 CITY OF INGLEWOOD INVITATION TO SUBMIT PROPOSALS

(Specifications and Conditions Governing Award) Project for proposal: INGLEWOOD GROWING ARTISTS’ PROJECTS. The City of Inglewood invites and will receive proposals duly filed as provided herein for the above-designated project. Each proposal shall be submitted and completed in all particulars and must be enclosed in a sealed envelope as

described in the “Submission of Proposal” section contained in the General Provisions of this document.

Proposals must be received on or before Wednesday, June 26, 2013, at 5:00 PM. Specifications and other proposal documents for the above items are on file in the Purchasing Department, and may be obtained upon request.

The City Council reserves the right to waive any irregularities in any proposal, and to take Proposals under advisement for a period not to exceed sixty days from and after the date proposals are opened and announced. RFP: INGLEWOOD GROWING ARTISTS’ PROJECTS The following conditions and terms apply: 1) The City Council reserves the right to reject any or all proposals. 2) Attached are detailed specifications and conditions for proposal submission. 3) You must execute your contract within ten (10) days after the City mails it. If the

contract is not executed within ten (10) days, the City reserves the unilateral right to cancel it.

4) If any provisions of the contract are violated, the City, after suitable notice, may cancel the contract and make arrangements to have the products and or services supplied by others. Any extra cost to the City will be paid by the vendor.

RFP-0072 SCOPE OF SERVICES

INGLEWOOD GROWING ARTISTS’ PROJECTS The City of Inglewood is requesting Proposals from qualified vendors to assist in the creation and/or completion of original artistic projects to provide a cultural benefit to the City of Inglewood. The City is looking for three (3) projects. THE CITY MAY WISH TO INCORPORATE BY REFERENCE, INTO THE CONTRACT, THE COMPLETE PROPOSAL, OR A PORTION THEREOF, SUBMITTED BY THE SUCCESSFUL FIRM. THEREFORE, PROPOSALS SHOULD BE PREPARED IN A MANNER THAT WOULD ALLOW SUCH INCORPORATION. The proposal shall state the total cost of all services that will be provided in this project.

The mission of the City of Inglewood's Background

Cultural Arts Master Plan is to improve the quality of life in Inglewood through developing residents' awareness, understanding, appreciation and participation in the arts and to infuse arts into all facets of Inglewood society, including: public agencies, social services, education, business and community groups, recreational and organized sports and entertainment. Use of this Plan is the principal tool by which this mission is achieved. The Cultural Arts Master Plan represents a summary of research, planning, findings and recommendations made by a community volunteer Task Force, with input from all segments of the community. Twenty-six (26) focus groups were conducted with over 250 residents, representing all ages, ethnicities and a variety of community interests and backgrounds. The themes that emerged from the focus groups and demographic data provided the principal material for the Task Force to consider in their recommendations.

The following major themes were identified through the focus groups:

• City government to provide leadership

• Arts and education

• Create venues for the arts

• Support professional artists

• Acquire funding and resources

• Inglewood's image to include arts and culture

Inglewood Growing Artist Projects (I-GAP) Professional artists are invited to apply for Inglewood Growing Artists Projects (I-GAP) funds to assist in the creation and/or completion of an original artistic project to provide a cultural benefit to the City of Inglewood. This funding may be used for the entire project or completion of an existing project. The project must be completed within 12 months of contract signing. (Anticipated to start: August 2013; complete by August 2014 or before). Artists working in any media may apply, including but not limited to: Visual Art Prose or Poetry Graphic novels Still photography Time-based work Video, film and animation Musical Performance – voice, instrument or combination Theatrical Performance – including performance art, drama, opera, dance, comedy Spectacles - including projections, billboards or light shows Or any combination of these media subjects.

Three contracts for services will be made: one at $25,000, one at $15,000 and one at $10,000. Artists may apply to any or all funding levels, but only one contract will be made to an artist. If artists are collaborating, a lead artist must be identified to manage the Artist’s Project, receive and report on the funds.

Amount of Project Contracts:

Professional artists must be able to enter into a contract (18 years of age or older), show proof of ability to work in the U.S. On contracting, a city business license must be obtained and carry liability insurances as required for the presentation of the public benefit. Institutions are not eligible to apply.

Eligibility

Artists with a studio or residence in Inglewood, CA are highly encouraged to apply. Artists providing proof of an Inglewood address/Inglewood residency will receive points during jury evaluation.

A requirement of this program is the creation of a public benefit, such as a permanent or temporary artwork in a public site, free lecture, performance, exhibition, or studio tour. The public benefit should be planned and included as part of the proposal; it will be finalized with the artist during contract negotiations. The benefit must be offered and accepted before final payment.

• Artists’ fees or honorarium;

Eligible Project Expenses Expenses must be directly related to the project. Eligible expenses may include:

• Studio or facility rental for the completion of the contract • Materials, supplies or services • Equipment needed for the project • Shipping or travel directly related to the Artist’s Project

Ineligible expenses include housing rent or mortgage costs; fees to agents or representatives; licenses or copyright payments; classes or training for credit; and educational costs for others. Award to be paid in two installments: 60% on signing; 40% on acceptance of contract benefit (completion of project). All taxes, licenses, fees and insurances are responsibility of the artist.

• Two (2) California contemporary art professionals (artist, curator or art administrator)

Process Eligible applications will be reviewed by a five-member panel of knowledgeable professionals including:

• One (1) at-large community member residing in Inglewood • One (1) representative of Inglewood developer community • One (1) representative from City (Staff)

The panel will recommend three projects and three alternates to the Inglewood Arts Commission for review and contract negotiations specific to each project. Three contracts will be recommended to the City Council for review and approval. Evaluation Criteria Proposals will be evaluated on a point system weighted for these factors: Artistic Excellence of project proposal 50% Fiscal feasibility: Assessment of budget expenses 20% Innovation: Project will be significant in the applicant’s career 20% Inglewood residency (with proof) 10% TOTAL 100% WORK SAMPLES Submit work samples appropriate to your application proposal on a CD. Applicants must label their CD with full name of applicant and contact information (phone or email). Visual artists: 10 jpgs, less than 1M each; 72 dpi on a CD.

The City of Inglewood, California hereby extends an invitation to submit a proposal in accordance with this document, to assist in the creation and/or completion of an original artistic project to provide a cultural benefit to the City of Inglewood.

GENERAL PROVISIONS

Furthermore the City makes no representation that any agreement will be awarded to any firm responding to this request. There is no expressed or implied obligations for the City to reimburse responding firms for any expense incurred in preparing a proposal in response to this request. All information submitted to the City of Inglewood shall become property of the City and will be returned to the proposal at the City’s option.

The proposal shall state the total cost for the service as specified in this document

Section 1. PRICES

Section 2. SUBMISSION OF PROPOSAL Proposals shall be submitted on the PROPOSAL FORMS provided by the City and shall be enclosed in a sealed envelope, marked and addressed as directed. If the proposal is made by an individual, it shall be signed and his full name and address shall be given; if it is made by a firm, it shall be signed with the co-partnership name by a member of the firm who shall also sign his/her own name and the name and address of each member shall be given; if it is made by a corporation, the name of the corporation shall be signed by its duly authorized officer or officers, attested by the corporate seal, and the names and titles of all officers of the corporation shall be given. No telegraphic proposal or telegraphic modification of the proposal will be considered. Blank spaces in the proposal shall be properly filled. The phraseology of the proposal must not be changed and no additions shall be made to the items mentioned therein. Unauthorized conditions, limitations, or provisions attached to a proposal may cause its rejection. Alterations by erasure or interlineation must be explained or noted in the proposal over the signature of the proposal. Alternative Proposals will not be considered unless specifically provided for in this document. A proposal may withdraw their proposal before the hour fixed for opening proposals without prejudice to themselves by submitting a written request to the Purchasing Manager for its withdrawal and the proposal will be returned to him/her unopened when reached in the procedure of opening proposals. and address of the proposal and bear the words “Proposal For”… followed by the name of the worky. The City reserves the right to waive informalities in any proposal, to reject any or all Proposals, to reject one part of a proposal and accept the other, except to the extent that proposals are qualified by specific limitations, and to make awards to the lowest responsible proposal as the interest of the City may require. Each firm is responsible for the timely delivery of any response. Additionally, the City will not be responsible for the delivery of any proposal to the wrong address or City department. Each firm assumes all risks and/or consequences of an incorrect delivery or an untimely proposal of a proposal. Please submit three (3) copies of your proposals

Section 3. REQUEST FOR INFORMATION

Firms shall include all information and documents to describe the vendor’s qualifications and experience (this information will count significantly towards the award of contract).

Section 4. INGLEWOOD BUSINESS TAX CERTICATE The vendor agrees to at all times during the performance of the agreement, obtain and maintain an Inglewood City Business Tax Certificate. The purchase of said Certificate must be made prior to the completion of the contract finalization and a copy forwarded to the Purchasing Division. Section 5. INSURANCE REQUIREMENTS When a contractor does work under a City purchase order, the Department must have on file valid certificates of insurance and the required endorsements. The Department must submit the required certificates and endorsements to the City Clerk who will then forward the documents to the City Attorney’s Office for review. REQUIRED INSURANCE COVERAGES The contractor shall obtain and maintain at its expense, until completion of performance and acceptance by City, the following insurance placed with an insurer admitted to write insurance in California or a non-admitted insurer on California’s List of Eligible Surplus Lines Insurers (LESLI) and having a rating of or equivalent to A:VIII by A.M. Best Company: a. General Liability Not less than $1,000,000 each occurrence Combined Single Limit for Bodily Injury

and Property Damage, including Contractual Liability, Personal Injury, Products and Completed Operations. Artists shall obtain such insurance prior to commencing the fabrication of the artwork and shall maintain through the transportation and installation of the Work at the Site.

b. Automobile Liability If Artist is an individual, Personal Automobile Liability Insurance with limits not less

than $100,000/$300,000 each occurrence. If Artist is a corporation or other legal entity, Commercial Automobile Insurance with

limits not less than $1,000,000 each occurrence Combined Single Limit for Bodily Injury and Property Damage.

c. Workers' Compensation and Employer's Liability Statutory amounts with Employer’s Liability Limits not less than $1,000,000 each

accident, injury or illness. To the extent Artist warrants, in writing, that Artist is not an employer and has no employees as defined by the California Labor Code Section 3351-3351.1, Artist need not provide to the City proof of workers Compensation Insurance.

d. Professional Liability or Errors and Omissions If, in the opinion of the City, a design professional (such as architects, landscape architects or engineers) is used or required by the Artist’s Project,

applicable to contractors profession, who provide Artist with signed stamped drawings or calculations. Such insurance shall have limits not less than $1,000,000 each claim with respect to negligent acts, errors and omissions, Artist or Artist’s subcontractors shall obtain such insurance when Artist subcontracts for any work from such a design professional, and prior to the submittal of Construction Documents. Any design professional required to obtain professional liability insurance shall maintain such insurance, and proof thereof, for the term of this agreement.

e. Fine Arts Insurance Artist is required to obtain and provide City with Fine Arts Insurance or other

insurance against loss in amount equal to the total payment specified under COMPENSATION section of the contract. Artist shall obtain such insurance prior to commencing fabrication of the Artwork.

f. Transportation and /or Installation Coverage. As necessary and appropriate. REQUIRED INSURANCE DOCUMENTATION a. Certificate of Insurance The contractor must provide you with a Certificate of Insurance evidencing the

required insurance set forth above. The Certificate Holder must be the "City of Inglewood," and the Certificate Holder's address must be the address of your Department.

b. Endorsements In addition to the Certificate of Insurance, the contractor must provide the following

endorsements:

1) Additional insured endorsements to the general liability and auto liability* insurance policies. The "City of Inglewood, its officials, employees and agents" must be endorsed to the contractor’s general liability policy as well as the auto liability policy as additional insureds on an endorsement equivalent to ISO forms CG 20 10 11 85 or CG 20 26 11 85

2) Cancellation notice endorsements. Each policy must be endorsed to provide

that the policy shall not be cancelled or nonrenewed by either party or reduced in coverage or limits (except by paid claims) unless the insurer has provided the City with thirty (30) days prior written notice of cancellation (ten (10) days for cancellation due to nonpayment of premium is acceptable).

3) Primary and noncontributory coverage endorsements. The general liability and (if required) professional liability policies must be endorsed to provide that each policy shall apply on a primary and noncontributing basis in relation to any insurance or self- insurance, primary or excess, maintained by or available to the City or its officials, employees and agents. WAIVER OR MODIFICATION OF THE INSURANCE REQUIREMENTS Any waiver or modification of the insurance requirements can only be made by the City Attorney’s Office. All waiver or modification requests are reviewed on a case-by-case basis. *Depending on the scope of services Section 6. INDEMNIFICATION

Vendor shall indemnify and hold harmless the City and its officers, employees and volunteers from and against all claims, damages, losses and expenses including attorney fees arising out of the performance of the work described herein, caused in whole or part by any negligent act or omission of the vendor, anyone directly or indirectly employed by any of them or anyone for whose acts may be liable, except where caused by the active, sole negligence, or willful misconduct of the City. If any action or proceeding is brought against Indemnities by reason of any act of the matters against which consultant has agreed to indemnify Indemnities as provided above, vendor, upon notice from City, shall defend Indemnities at vendor’s expense by counsel acceptable to City, such acceptance not to be unreasonably withheld.

Section 7 NON-DISCRIMINATION Labor Code 1735: Discrimination in employment because of race, color, etc. No discrimination shall be made in the employment of persons at the City of Inglewood because of the race, religious creed, color, national origin, or ancestry, physical disability, medical condition, marital status, or sex of such persons except as provided in Section 12940 of the Government Code, and every vendor for the City of Inglewood violating this section is subject to all the penalties imposed for a violation of this chapter.

Section 8. EXECUTION OF AGREEMENT A proposal to whom award is made shall furnish all goods and or services all in accordance with the provisions here.. If a proposal to whom an award is made fails or refuses to enter into the contract as herein provided or to conform to any of the stipulated requirements in connection therewith, an award may be made to the proposal whose proposal is next most acceptable to the City. Such proposal shall fulfill every stipulation embraced herein as if he/she were the party to whom the first award was made. A corporation to which an award is made will be required, before the contract is finally executed, to furnish evidence of its corporate existence, of its rights to do business in California.

Section 9. TERMINATION OF AGREEMENT The City may terminate the contract at its own discretion or when conditions encountered make it impossible or impracticable to proceed, or when the City is prevented from proceeding with the contract by law, or by official action of a public authority.

Section 10. RIGHT OF THE CITY TO WITHHOLD PAYMENT The City may withhold or nullify the whole or any part of any payment due the vendor to such extent as may reasonably be necessary to protect the City from loss as a result of: A. Defective materials not remedied in accordance with provisions of specifications; B. Claims or liens filed or reasonable evidence indicating probable filing of claims or

liens; Whenever the City shall, in accordance herewith, withhold any monies otherwise due the vendor, written notice of the amount withheld and the reasons therefore shall be given the vendor, and, when the vendor shall remove the grounds for such withholding, the City will pay to the vendor, within 35 calendar days, the amount so withheld.

Section 11. CHOICE OF LAW/VENUE This agreement shall be interpreted, construed and governed according to the laws of the State of California. In the event of litigation between the parties, venue in state trial courts shall lie exclusively in the County of Los Angeles, Superior Court, Southwest District, located at 825 Maple Avenue, Torrance California 90503-5058. In the event of litigation in the United States District Court, venue shall lie exclusively in the Central District of California, in Los Angeles. Section 12. PROPOSAL EVALUATION AND AWARD CRITERIA Evaluation Criteria Proposals will be evaluated on a point system weighted for these factors: Artistic Excellence of project proposal 50% Fiscal feasibility: Assessment of budget expenses 20% Innovation: Project will be significant in the applicant’s career 20% Inglewood residency (with proof) 10% TOTAL 100% Section 13.
