Optically Engineered Miro®

The Miro reflective material we use in our products is recognizedthroughout the industry for its excellent reflective properties. In truth,you may find other companies boasting of Miro in their literature.They, however, cannot boast of Holophane’s expertise in opticalengineering. Our engineers take the same Miro material, applyHolophane optical solutions and measurably increase the luminaire’sphotometric performance. Same reflective material, better use of it.

Holophane LensesHolophane lenses have been carefully engineered around either thepatented McPhail prism or Refractive Grid® optical train to correct theinherent flaws in uncontrolled light; namely random distribution, highlamp and reflector brightness and direct and reflected glare.

Holophane’s McPhail prism is injection molded to the only angle thatredirects light back into the fixture for another chance to get out asuseful light. It also spreads the light evenly to minimize reflected glare.Holophane lenses made with McPhail conical prisms direct more lightto the 0-60 degree zone while substantially reducing direct glare.

Holophane’s Refractive Grid lenses, utilizing a refracting hemisphericalprism and technology similar to the light piping of fiber optics, providean ideal balance of vertical and horizontal illumination while yieldinghigher maintained illumination and less dirt depreciation than louveredfixtures.

It is the combination and appropriate application of how we use Miroand the unsurpassed efficiency and effectiveness of our lenses thatmakes Optically Engineered Fluorescents by Holophane a better choicefor our fluorescent solutions.

P.O.L.A.R.stands for Passively Optimized Lumen output with Automated Regulation. TandemConfigurations

Tandem groups of luminaires aredescribed by adding a number in frontof the code normally used to describethe luminaire. Thus 2, 3, 4 indicatesthe number of luminaires involved inthe combination.“1” represents the single luminaireand is therefore omitted for simplicity.

Terms of Payment Invoices dated from the 11th through the 25th of the monthare due net on the 10th of the following month. Invoicesdated from the 26th through the 10th of the followingmonth are due net on the 25th of the same month.

A service charge of 1 1/2% per month (or if such rateexceeds the maximum lawful rate, then such maximum law-ful rate) shall be assessed on all past due payments and shallbe payable on demand.

Freight FREIGHT IS PREPAID AND ALLOWED ON ALL SHIPMENTS OFPRODUCTS FOR ORDERS OVER $1,500.00 TO ALL POINTSIN THE CONTINENTAL UNITED STATES AND CANADA. Allfreight charges are the responsibility of the purchaser.Holophane reserves the right to use its discretion in routingall shipments; however, special instructions will be followedif the purchaser will assume any additional transportationcharges. Cartage or accessorial charges and detention ordemurrage charges are not allowed.

All goods are shipped F.O.B. shipping point at the purchaser’srisk. Holophane’s responsibility for safe delivery ceases whenthe goods have been turned over to the transportation com-pany. All claims for damage or shortage in transit are to behandled by the purchaser. Shipments should be inspected bythe purchaser immediately upon receipt for transportationloss or damage and any necessary claim entered promptlywith the carrier.

Delivery Holophane shall not be liable for any delay or default in deliv-ering products where occasioned by any cause of any kind orextent beyond the control of Holophane, including withoutlimitation armed conflict or economic dislocation resultingthere from embargoes; shortages of labor, raw materials,fuel, energy, production facilities or transportation; labor dif-ficulties; civil disorders of any kind; action of civil or militaryauthorities (including priorities and allocations); fires; floods;and accidents. No liability shall be sustained by Holophane byreason of its not filling any order or portion thereof due toany of these or similar occurrences.

Packing No charge will be made for domestic packing. Some prod-ucts are shipped palletized for the purchaser’s convenience.Where it is impractical for the purchaser to handle heavy pal-lets, the purchaser should specify “No Pallet” on the order.

Taxes The purchaser shall pay when due all sales, use, grossreceipts, excise and other taxes (together with interest andpenalties if any, thereon) now or hereafter imposed by anygovernmental agency upon Holophane, the purchaser, theproducts or the use thereof.

Proper Product Application Products should be stored, installed, used and maintained inaccordance with applicable Holophane instructions andspecifications. Copies of instructions and specifications canbe obtained from: Holophane Customer ServiceDepartment, PO Box 3004, Newark, Ohio 43055.Holophane is not responsible, under its limited warrantydescribed below or otherwise, for any product modified oraltered without prior written authorization from Holophane.

Limited WarrantySubject to all limitations set forth below, Holophane warrantsto the purchaser that Holophane products will be free fromdefects in material and workmanship for two (2) years fromthe date of manufacture.

Notwithstanding the preceding paragraphs, Holophanemakes no warranties regarding lamps and fluorescent bal-lasts. All lamps and fluorescent ballasts, purchased andshipped by Holophane are subject to the applicable warran-ty (if any) of the company that manufactures such products.For purposes of this limited warranty, the term “purchaser”means a purchaser for resale or for use in business.Holophane makes no warranties to those defined as con-sumers in the Magnuson-Moss Federal Trade CommissionImprovement Act.

If any of Holophane’s products fail to meet the applicablewarranty described above Holophane shall correct the defectby shipping to the purchaser either (at Holophane’s option)the necessary repaired or replacement parts F.O.B.Holophane factory with freight allowed to destination with-in the Continental United States, Alaska, and Hawaii; provid-ed that the purchaser promptly gives Holophane writtennotice of any product defect within thirty (30) days after dis-covery of the defect and, if requested by Holophane,promptly arranges to make the product available toHolophane for investigation and correction NO PRODUCTSMAY BE RETURNED UNTIL THE PURCHASER HAS CONTACT-ED HOLOPHANE AND RECEIVED A RETURN AUTHORIZA-TION. The warranty set forth in this section is VOID IF theproducts have not been properly stored, installed, used ormaintained or if the purchaser fails to comply with any appli-cable recommendations of Holophane. Holophane shall notbe responsible for any failure of its products which is a resultof external causes; natural catastrophe; power surges or fail-ure; improper power supply; fault or negligence of the pur-chaser or user; improper or unauthorized use, installation,handling, storage, alteration or service; or any cause otherthan a defect in the material or workmanship of the productitself.

THE FOREGOING WARRANTY IS EXCLUSIVE AND IN LIEU OFALL OTHER WARRANTIES. EXCEPT AS SPECIFICALLY SETFORTH ABOVE, HOLOPHANE MAKES NO REPRESENTA-TIONS OR WARRANTIES, AND EXPRESSLY DISCLAIMS ALLREPRESENTATIONS AND WARRANTIES, EXPRESS ORIMPLIED, RELATING DIRECTLY OR INDIRECTLY TO ANYPRODUCTS MANUFACTURED OR SOLD BY HOLOPHANE,WHETHER ORAL, WRITTEN, OR ARISING BY COURSE OFDEALING OR USAGE OF TRADE INCLUDING WITHOUT LIM-ITATION ANY WARRANTIES OF MERCHANTABILITY OR FIT-NESS FOR A PARTICULAR PURPOSE. THIS LIMITED WARRAN-TY MAY BE MODIFIED OR AMENDED ONLY BY A WRITTENINSTRUMENT SIGNED BY A DULY AUTHORIZED REPRESEN-TATIVE OF HOLOPHANE. WITHOUT AN EXPRESS, WRITTENAUTHORIZATION FROM HOLOPHANE, NO DISTRIBUTOR ORSUPPLIER OF HOLOPHANE PRODUCTS HAS THE AUTHORI-TY TO MODIFY OR AMEND THIS LIMITED WARRANTY

Limitation of Liability The foregoing limited warranty provides the purchaser’s soleand exclusive remedy relating to Holophane’s products. Thetotal liability of Holophane on any and all claims of any kind,whether in contract, warranty, tort (including negligence),strict liability or otherwise, arising out of or in connectionwith, or resulting from, Holophane performance or breach ofthe foregoing limited warranty or from Holophane’s sale,delivery resale, repair, or replacement or use of any productsor the furnishing of any services, shall in no event exceed thepurchase price allocable to the specific product which gives

rise to the claim, and any and all such liability shall terminateupon the expiration of the limited warranty specified above.If Holophane furnishes advice or other assistance which con-cerns any product, or any system or equipment in which anyproduct may be installed, the furnishing of such advice orassistance shall not subject Holophane to any liability,whether in contract, warranty, tort (including negligence), orotherwise.

IN NO EVENT SHALL HOLOPHANE BE LIABLE FOR ANY INDI-RECT SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLA-RY, OR PUNITIVE DAMAGES, EVEN IF INFORMED OF THEPOSSIBILITY OF SUCH DAMAGES, WHETHER AS A RESULTOF BREACH OF CONTRACT, WARRANTY, TORT (INCLUDINGNEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY,INCLUDING WITHOUT LIMITATION LABOR CHARGES, LOSSOF TIME, PROFITS OR REVENUES, LACK OR LOSS OF PRO-DUCTIVITY, INTEREST CHARGES OR COST OF CAPITAL,COST OF SUBSTITUTE EQUIPMENT, SYSTEMS SERVICES ORPRODUCTS COST OF PURCHASED OR REPLACEMENTPOWER, DOWNTIME COSTS, DAMAGE TO OR LOSS OF USEOF PRODUCTS OR ANY RELATED EQUIPMENT, SYSTEM ORFACILITY, OR ANY PROPERTY TO WHICH ANY PRODUCT ISAFFIXED, OR ANY INCONVENIENCE ARISING OUT OF ANYBREACH OF THE FOREGOING LIMITED WARRANTY OROBLIGATIONS UNDER SUCH LIMITED WARRANTY

Holophane reserves the right to change or improve thedesign of any of its products without assuming any obliga-tion to modify any product previously manufactured.

Return GoodsRequests to return materials must be made within four (4)months from date of shipment. No products will be accept-ed for return unless in original packages and accompanied by“re turn authorization number” which can be obtained onlyfrom Holophane’s Customer Service Department, Newark,Ohio.

Return shipment must be made F.O.B. Holophane’s factory asspecified on Holophane’s return authorization form. Forproducts accepted for return, a credit will be issued at theprices prevailing at the time of shipment or at the time ofreturn, whichever is lower, from which will be deducted arefreight charges previously allowed, and a minimum servicecharge of 40% of the invoice price to cover part of the costof handling, unpacking, repacking and placing the productsin salable condition. The actual service charge will be deter-mined from the condition of the units as received atHolophane’s factory. Such charge is payable by the purchas-er on demand. Products specifically modified to customerrequirements are noncancelable after release and are nonre-turnable. Products returned for errors in shipments will beaccepted at full credit and without service charge.Transportation must be prepaid on all returned merchandise.

CancellationsIf the purchaser, after acceptance of an order by Holophane,desires to cancel the order, and Holophane accepts such can-cellation in writing, the cancellation charge shall be 10% ofthe total price of the order, or, if greater, the actual costsincurred by Holophane with respect to the order as of thetime of cancellation. Such charges are payable by the pur-chaser on demand.

Construction of AgreementsThese terms and conditions and all agreements betweenHolophane and the purchaser shall be governed by and con-strued in accordance with the laws of Ohio, including with-out limitation the Uniform Commercial Code as adopted inOhio. As used herein, the term “Holophane” shall meanHolophane, a division of National Service Industries, Inc., aGeorgia Corporation.
