The Global Reporting Initiative (GRI) governance structure is comprisedof:• The Board of Directors (Board) – responsible for GRI’s overall
management• The Stakeholder Council (SC) – the strategic advisory body to the
Board• The Technical Advisory Committee (TAC) – the technical advisory
body to the Board
GRI is staffed by a permanent Secretariat, predominantly based in Amsterdam.

GRI Board of Directors

The GRI’s Board of Directors has the ultimate fiduciary, financial and legal responsibility for the GRI, including final decision-making authority on GRI Guidelines revisions, organizational strategy, and work plans. The Board also provides direct oversight to the Chief Executive.
In their capacity as Board members, these individuals can represent GRI on public platforms, provide strategic advice, or assist in fundraising and network-building efforts. Official spokespeople of GRI are the Chairman of the Board and the Chief Executive.

Technical Advisory Committee
The Technical Advisory Committee (TAC) provides high-level technical advice and expertise to the Board of Directors.
Their role involves ensuring GRI’s due process is followed in the ongoing development of the GRI Sustainability Reporting Framework, including the Guidelines, Sector Supplements and National Annexes.

Stakeholder Council
The Stakeholder Council (SC) is GRI’s formal multi-stakeholder advisory body, which debates and deliberates key strategic and policy issues with a view towards providing advice to the GRI Board.
The SC meets annually and comprises a balance of stakeholder and geographic constituencies.

Advisory Group
Advisory Groups are established from time to time on an ad hoc basis to provide specific advice to GRI’s governance bodies.
At present, the Governmental Advisory Group (GovGroup) is the only established advisory group. It is an informal advisory body to the GRI Board and Chief Executive.
Members are representatives of governments and public authorities with an interest in environmental, social and governance disclosure. The GovGroup provides the GRI Board and the Executive team with a direct source of advice from governments.
