ABOUT NAA The National Apartment Association (NAA), based in Arlington, VA., is America’s leading advocate for quality rental housing. NAA is a network representing 170 state and local affiliates comprised of more than 69,000 members responsible for more than 8 .1 million apartment homes throughout the United States and Canada. It is the largest broad-based organization dedicated solely to rental housing. ABOUT NAA EDUCATION INSTITUTE The NAA Education Institute (NAAEI) is the education arm of NAA and is responsible for the development and delivery of apartment industry designations programs: NALP, CAM, ANSI-accredited CAMT, CAS and CAPS and continuing education programs, including the education sessions at the NAA Education Conference. These programs positively impact employee retention, resident retention, net operating income and onsite team performance. NAAEI is also responsible for the development of apartment career outreach and promotion programs rpm careers website designed for high school and college students involved in career exploration, and view apartment career videos, download apartment career brochures and visit our Career Center.

2016 AFFILIATE DUES
Industry Affiliated Members pay 47 cents per unit managed or owned and Associates (suppliers) pay $30 per Member. Industry Members or Associate Members (Direct Members) who are not located within the geographic area of an existing State or Local Affiliate will pay directly to NAA an annual fee of $125 per member and 75 cents per rental housing unit, owned or managed. Supplier members pay directly to NAA an annual fee of $125 per member.
NAA LEASE REVENUE SHARE
The revenue share for the NAA Lease in 2016 will be 55 percent to the Affiliate and 45 percent to NAA.

NAA and NMHC created a website to promote the industry: www.WeAreApartments.org. The site features an interactive map that allows you to view the economic impact of apartments in all 50 states plus 40 metro areas, which you can download and print.
In addition, the website features ACE, the Apartment Community Estimator, which allows users to enter the number of apartment homes of an existing or proposed community to determine the potential economic impact within a particular state.

GOVERNANCE STRUCTURE
ASSEMBLY OF DELEGATES
NAA is organized in 10 regional entities. Each state is allocated delegates based upon its percentage of national dues billed and received by NAA in the previous year. The delegates are chosen by the various states. The delegates within each Region select Regional Vice Presidents to sit on NAA’s Board of Directors.
The Assembly of Delegates must meet once a year in the Fall, but may also convene at NAA’s other national meetings. All
NAA members are invited to attend this meeting. The Assembly of Delegates:
Elects the NAA Officers Approves the NAA Operating Budget
Amends the NAA By-lawsThe Assembly of Delegates is updated on NAA activities and policies at each convened meeting.
BOARD OF DIRECTORS
NAA is governed by its Board of Directors. The Board receives and evaluates reports of the Committees, Councils, Task
Forces, the NAA staff, and the Executive Committee. It sets the policies and approves the important initiatives for the
National Apartment Association.
The Board of Directors includes the NAA Officers, the two Past NAA Chairmen, the Regional Vice Presidentsappointed by NAA’s ten regions (17 Voting Members and 10 Non-voting Members), four Board members at large and theNSC Chairperson. Nonvoting members of the Board of Directors include: AEC President, NAA President, NAAEI President, Chairs from the Conference, Independent Rental Owners, Legislative, and Membership committees and others as approved by the voting Board members. Committee and Task Force chairs are appointed by the NAA Chairman of theBoard for a term of one year. The AEC and the NSC elect their President/Chairman. The Assembly of Delegates, at its annual meeting in the fall, elects the NAA officers. The Board meetings at NAA’s national meetings are open to anyone interested in attending.

Much of NAA’s work is conducted through its Committees, Councils, and Task Forces.
These posted meetings are open to any interested person, but voting is restricted to the persons serving on that Committee, Council, or Task Force. Typically the meeting is run by a volunteer chair, assisted by a member of the NAA staff. A list of the committee meetings is included on NAA’s Web site for each national meeting. Committee members serve one year and are appointed/elected by the Regional Vice President and are also appointed by the NAA Chairman according to NAA Bylaws. Liaisons from various groups serve as non-voting members on Committees/Councils/Task Forces. Committee meetings that are posted at the national meetings are open to anyone interested in attending.

ASSEMBLY OF DELEGATES
The National Apartment Association is organized into ten regional entities. States in each region are allocated delegates and alternates based upon the percentage of NAA’s national affiliate dues billed for the previous May 1 through April 30 period, and received prior to the end of that twelve month time period ending (April 30) for the following year. All dues paid by an affiliate will be attributed to the state in which the affiliate is chartered. International members will not receive any delegates, and as such, dues paid by international members will not be used in the calculation of delegates. The delegates and alternates are chosen by each state, and elect Regional Vice Presidents to sit on NAA’s Board of Directors. The Assembly of Delegates must meet once a year in the Fall, to elect the NAA officers for the following year, and to approve the NAA operating budget. The Assembly also meets at the Capitol and Education Conferences to receive reports from the committees.
Questions & Answers
How does one get to serve as a NAA delegate/alternate? Each year in May, NAA determines delegate allocation, based on the dues paid to NAA the
previous year as set forth in the NAA Policies and Procedures, and reports the number of
delegates to each state. The state is responsible to elect/appoint delegates to serve a one-
year term from January 1 – December 31. States may appoint one alternate for each
delegate.
What are my responsibilities as a delegate?
A delegate is authorized to act as a representative of the state from which they were appointed
to vote on action items that come before the Assembly. The Assembly of Delegates meets at
least annually in November to elect the NAA officers and to approve the operating budget for the
following year. Typically, the Assembly also meets at the other two NAA meetings in March
during the Capitol Conference and in June during the Education Conference & Exposition to
be updated on NAA activities and policies. The Assembly of Delegates must also approve any
changes to the NAA Bylaws. Delegates should act in good faith and in accordance with what
they believe to be in the best interest of the association. Delegates ultimately determine the
direction of the association by virtue of those they elect as NAA officers and RVPs to
represent them on the NAA Board of Directors.
What are my responsibilities as an alternate?
An alternate will serve as a voting delegate in the absence of a delegate. The alternate should
keep abreast with all the activities that normally come before the Assembly of Delegates. Any
materials sent to delegates will also be shared with alternates so they will be prepared if they
must serve as the delegate.
How much time would I have to commit to serve as a delegate? You are requested to attend three Assembly meetings a year. These meetings coincide with
NAA’s three annual meetings held in March at the NAA Capitol Conference, in June at the NAA
Education Conference and Exposition, and in November at the NAA Assembly of Delegates.
VOLUNTEER SERVICE
The National Apartment Association is governed by a volunteer Board of Directors. Board members must make a determined effort to approach every issue fairly, with an open mind, and always in the best interests of the National Apartment Association. Committees/Task Forces and other groups are established to assist in this governance. Committees represent, involve and serve members, while providing a framework for educating future leaders of the association. They promote member participation in problem solving and provide a forum for the many interests within the association, utilizing the experience, knowledge and skills of our members. As a member of a NAA committee, you play a vital role in the functions and accomplishments of NAA. Your participation as a Board or Committee member is critical to the association’s ability to carry out its mission and goals.
Questions & Answers
How does one get to serve on the NAA Board or on NAA Committees? Most NAA volunteer leaders started their involvement at their local and state apartment associations. Since much of the work at the national level is implemented at the local and state level, a thorough knowledge of how local and state associations operate and deliver programs and member benefits is critical.
If you have experience serving on local and state committees and boards, NAA
wants you! The path to NAA volunteer leadership usually starts by serving on a NAA committee or council. Please see Committees, Councils, and Boards for NAA’s standing committees and councils.
Committee members are appointed by each NAA region and by the NAA Chairman. Committee Chairs are appointed by the NAA Chairman of the Board.
When you decide to get involved, express your desire to serve nationally to your local or state association executive (AE). You may want to call your NAA Regional Vice President (RVP) and let him or her know that you’d like to serve. If you do not know who your RVP is, ask your AE or call NAA at 703/518-6141 (extension 107) and speak with the Senior Manager, Governance.

Prior to each meeting, you will receive an agenda outlining the purpose of the meeting.
What is the time commitment when one is appointed a committee chair, elected a Regional Vice President, or appointed to the Board? In addition to the three meetings listed above, committee chairs, RVPs, and other Board members are expected to attend two additional Board meetings: - January Board Meeting – 2 days
- September/October Board Meeting – 2 days
What is my responsibility as a committee chair? Most national volunteers are surprised to find that their role as a chair is to advise and direct the work that staff executes, not to actually do the work. This involves a few phone calls a month in addition to attending committee meetings. The committee chair is responsible for reporting the activities of the committee and to bring any action items for consideration from the committee to the board at each Board of Directors meeting. How does one get elected as a Regional Vice President? Typically, RVPs, who must be either a builder, owner, or manager of rental housing, have been involved in NAA, serving on committees, prior to being elected RVP. However, this is not a requirement. Contact your RVP(s) and let him/her know that you are interested in serving. Usually at the June Education Conference, NAA’s ten regions hold Regional Meetings and elect their RVPs for the following year. RVPs are elected to serve a two-year term. It is advised that you indicate your desire to serve as a RVP three to four months before the June meeting. What other responsibilities does a NAA RVP have? NAA RVPs are expected to visit each affiliate in their region at least once during the two-year term. In addition, RVPs may be called upon to assist affiliates in their region who are having problems. The Senior Manager of Governance at 703/518-6141 (extension 107) will be happy to answer any questions you may have and provide you with further information about the role of the NAA RVP.
Why should I commit the time and money that is required to serve as a NAA committee member, committee chair, delegate, regional vice president or NAA officer? The rewards for being a volunteer leader are many. Besides the stature you will enjoy among your peers for being an active volunteer at the national level, you will enjoy the satisfaction of giving something back to your industry. Volunteering at the national level allows you to expand your professional network. Most members who have been active nationally report that the biggest benefit is the friends they’ve made for life!
How does one get considered to be a NAA officer? Most candidates for NAA office bring a resume with local, state and national volunteer service, and must be either an owner, developer, builder, operator or manager of rental housing communities. Because NAA officers are stewards of the association, a strong financial background is considered an asset. The following is the timetable followed by the nominating committee:

How much time would I need to commit to be a NAA officer? In addition to the responsibilities of any Board member, NAA officers participate in approximately eight in-person meetings annually as well as four or more conference calls. The commitment in entering the nomination process is for one year. Once an officer of the association, the commitment may be for up to 5 years, should the officer remain active and seek the Chairmanship.
ARTICLE I - NAME
Section 1. The name or title by which this Association shall be known is the National Apartment Association, or in short form, “NAA.”
ARTICLE II - PURPOSE AND OBJECTIVES
Section 1. To foster, promote, encourage and develop the best interests of members in the rental
housing industry.
Section 2. To represent members in political and economic areas.
Section 3. To develop and provide members with educational opportunities that relate to the conduct
of their business and to the rental housing industry.
Section 4. To promote and support local and state affiliated apartment associations.
Section 5. To research, develop, publish, and disseminate information and data on the rental housing
industry to NAA’s membership and the general public.
Section 6. To encourage within the rental housing industry an appreciation of the objectives and
responsibilities of its members providing adequate housing.
Section 7. To promote the enactment and enforcement of local, state, and federal laws and
regulations beneficial to the rental housing industry.
Section 8. To advocate high professional standards and sound business practices among members
for the best interests of the rental housing industry and the public.

ARTICLE III – MEMBERSHIP
Section 1. Affiliate Member. An affiliate member is any owner, developer, builder, operator or manager of rental housing who is a member in good standing of an Affiliated Local Association in the defined geographic area where the affiliate member's apartment units are located, or supplier who is a member in good standing of an Affiliated Local Association, who provides services or products to such rental housing providers.
Section 2. Direct Member. A direct member is any owner, developer, builder, operator or manager that in the normal conduct of business, provides rental housing to the general public or a provider of services or products to such rental housing providers. A direct member must be located within a geographic area, which is not served by either an Affiliated Local Association, Affiliated State Association or Affiliated International Association.
Section 3. International Member. An international member is any owner, developer, builder, operator or manager, that in the normal conduct of business, provides rental housing to the general public or a provider of services or products to such rental housing providers, or an association which represents those interests, located outside the United States.
ARTICLE IV – AFFILIATED ASSOCIATIONS
Section 1. Local Affiliated Associations. The Board of Directors of the Association may vote to grant a charter to any local association, owned or controlled by its members, that complies with these Bylaws and NAA Policies & Procedures.
Section 2. State Affiliated Associations. The Board of Directors of the Association may vote to grant a charter to a State Association, owned or controlled by its members that complies with these Bylaws and NAA Policies & Procedures. A State Association shall provide that all of the local affiliated associations in such state must be and continue to be affiliated with the chartered state association and NAA.
Section 3. International Affiliated Associations. The Board of Directors of the Association may vote to grant a charter to any association outside the United States, owned or controlled by its members that complies with these Bylaws and NAA Policies & Procedures.
Section 4. Membership. No Affiliated Association shall apply any limitation on membership nor adopt any rule, regulation, practice, or policy inconsistent with or contrary to any policy by NAA.
Section 5. Membership Lists. Each Affiliated Association must submit to NAA a membership list that includes all members of any category for which the affiliate collects dues.
Section 6. Revocation of Charter. NAA may terminate the charter of any affiliated association for any reason including violations of these Bylaws. Except for termination pursuant to Article V Section 3, the termination shall become effective upon a two-thirds (2/3) vote of the Board of Directors, after due process, provided however, that the holder of the terminated charter may note an appeal to the Assembly of Delegates within 10 days of the Board’s action. The Appeal shall be considered at the next meeting of the Assembly of Delegates.

Section 7. Violations. Upon discovery that an affiliated association has operated in violation of the Association's Bylaws and/or Policies & Procedures, the NAA President and the Executive Committee shall communicate with the affiliate to attempt to bring the affiliate into compliance. If that effort is unsuccessful, the matter will be referred to the NAA Board of Directors for action.
ARTICLE V - DUES AND ASSESSMENTS
Section 1. Assessment. The amount of dues and/or other assessments owing NAA and provisions
for payment thereof, shall be determined by the Board of Directors with approval from the
Assembly of Delegates.
Section 2. Collection. Unless otherwise directed by the Board of Directors, each Affiliated Association shall be responsible for the collection and payment of NAA dues, educational fees, and any other sums due NAA, from its members and shall report and remit such dues, educational fees, and any other sums due NAA as collected.
Section 3. Delinquency. Upon failure to pay all sums due NAA, within sixty (60) days after the same shall become due, all member and affiliated association services and privileges shall, upon written notice, be suspended. Failure to remit sums due to NAA, within ninety (90) days after the same shall become due will result in charter termination upon written notice thereof without the procedures set forth in Article IV – Affiliated Association, Section 6 of these Bylaws. The Board of Directors, by majority vote, may waive the termination of membership for up to two (2) additional consecutive ninety (90) day periods.
Section 4. Membership Records. The Board of Directors of the NAA shall have the authority and right to audit records of Affiliated Associations to ascertain whether they are accurately reporting all of the respective required information, and are operating in compliance with NAA Bylaws and Policies & Procedures.
ARTICLE VI - REGIONS & REGIONAL VICE PRESIDENTS
Section 1. Regions. The Affiliated Local and State Associations of NAA shall be divided into regions. These regions may be changed to fit changing patterns of membership. Any regional change must be approved by two-thirds (2/3) vote of the Assembly of Delegates. International Affiliates shall be assigned a region based on proximity at the time of charter approval.
Section 2. Regional Vice Presidents. Each region shall elect one Regional Vice President (RVP). Each region may also elect one additional non-voting Regional Vice President (RVP) who may act and vote at a NAA Board meeting in the absence of the voting RVP. In addition, the delegates in Regions paying the first and second highest percentage of national dues, as outlined in the Policies & Procedures, shall elect two additional Regional Vice Presidents. The regions paying the third, fourth, and fifth highest percentages of national dues shall each elect one additional Regional Vice President. Each Regional Vice President must be either an owner, developer, builder, operator or manager of rental housing who is employed by or a representative of a member in good standing. Regional Vice Presidents (RVP) will be elected in a manner established by the Board of Directors.

Section 3. Regional Vice Presidents’ Term of Office. Each Regional Vice President shall serve a term of two (2) years. If, during their term of office, the member employing the Regional Vice President is no longer in good standing or the Regional Vice President is not employed by a member in good standing, the Regional Vice President will be automatically terminated from such office unless, within one hundred twenty (120) days, such Regional Vice President becomes a member or is employed by an owner/operator member in good standing. If the Regional Vice President relocates outside the Region, they will be automatically terminated from such office. If a vacancy should occur on the Board due to the loss of a Regional Vice President, such region shall elect another representative to fill the unexpired term in a manner established by the Board of Directors.
Section 4. Effective with elections that are held on or after January 1, 2017, no Regional Vice President (Voting or Non-Voting) shall be eligible for election as a Regional Vice President after serving eight (8) consecutive years with the following exception:
A. Regional Vice Presidents may be elected to serve one additional term of2 years if they are nominated as NAA officer while serving their eighth(8th) consecutive year as Regional Vice President.
ARTICLE VII - ASSEMBLY OF DELEGATES, ANNUAL AND
SPECIAL MEETINGS
Section 1. Delegates. Delegates shall be members or staff of Affiliated Associations in good standing. The Assembly of Delegates shall be the governing body of the Association and will be composed of up to two hundred and fifty (250) delegates. Each represented state, shall be allocated Delegates based upon the following:
A. One delegate per state and the District of Columbia, and the balance of one hundredand ninety–nine (199) delegates to be allocated based on the following formula:
B. Each state and the District of Columbia will be allocated a number of delegates basedupon the percentage of NAA’s national dues received as outlined in the Policies &Procedures. The allocation of delegates will be rounded off on a “whole-person” basisand there will be no fractional delegates. Any dispute relating to the rounding off of thenumber of delegates allocated to a particular state will be resolved by a majority voteof the Board of Directors. Each represented state may appoint one (1) alternate foreach of its delegates. International members are not eligible to serve as a delegate.
Section 2. Appointment of Delegates. Delegates and alternates shall be selected and reported annually in a manner established by the Board of Directors.
Section 3. Term of Delegates. Each Delegate shall serve a term of one (1) year beginning on January 1st of the calendar year.
Section 4. Meetings. The Assembly of Delegates shall hold a minimum of one annual meeting per year for the purpose of reviewing business transactions. Notice of an additional meeting shall be mailed at least thirty (30) days before the time appointed for the meeting to Officers, members of the Board, Delegates and Alternates.

Section 5. Election of Officers. The Assembly of Delegates, at its annual meeting, shall elect by majority vote, the following Officers who will serve a term of one (1) year: Chairman-Elect; Vice Chairman; Secretary, and Treasurer.
Section 6. Special Meetings. Special meetings of the Assembly of Delegates may be called by the Chairman of the Board, one-third (1/3) of the members of the Board of Directors, or shall be called upon written request of not less than one-third (1/3) of the delegates. The Chairman of the Board shall set the time and place of such special meeting within fourteen (14) days of such action. Notice of a special meeting shall be mailed at least thirty (30) days before the time appointed for the meeting with a statement of time and place and information as to the subject to be considered; provided, however, that such thirty (30) day period may be waived by a determination of the Chairman of the Board that an emergency exists.
Section 7. Quorum. A quorum at any meeting of the Assembly of Delegates shall exist when at least seventy-five (75) delegates are present. No business shall be transacted without a quorum. Upon achieving a quorum, a majority of the authorized votes cast by those present shall govern any action, except where these Bylaws specifically require a two-thirds (2/3) vote.
Section 8. Voting. At any meeting of the Assembly of Delegates, each state association, or affiliated association if there is no state association, shall be entitled to the number of delegates and votes as determined by Article VII, Section 1 of these Bylaws. The affiliated association shall provide credentials for one (1) or more persons to attend the meeting as a delegate or alternate empowered to vote. An individual may be a delegate for only one (1) association. Delegates may cast only one (1) vote on any one issue. The NAA staff, under the direction of the Secretary, shall inspect credentials and determine the total number of votes entitled to be cast on any question to be voted upon and preside over voting procedures. Any disputes regarding voting rights will be resolved by an ad hoc committee. This committee will include the Secretary and two members of the Board of Directors appointed by the Chairman of the Board.
Section 9. Bylaw Amendments. These Bylaws may be amended by a two-thirds (2/3) vote of the Assembly of Delegates. Copies of any proposed amendment shall be submitted in writing to the Secretary not less than forty-five (45) days prior to the annual meeting, or called meeting of the Assembly and submitted to the delegates thirty (30) days prior to the meeting.
ARTICLE VIII - BOARD OF DIRECTORS
Section 1. Members A. Voting Members: The voting members of the Board of Directors shall consist of:
1. The Regional Vice Presidents;
2. Past Chairmen serving on the Executive Committee;
3. The Chairman of the Board, Chairman-Elect, Vice Chairman, Treasurer;
and Secretary;
4. The NSC Chairperson; and
5. No more than four (4) at-large individuals selected by the Chairman of the
Board and approved by the Executive Committee.
B. Non- Voting Members: The following shall serve as non-voting members of theBoard of Directors:1. Association Executive Council President;

2. NAAEI President;
3. NAA President;
4. Legislative Chairperson;
5. Education Conference Committee Chairperson;
6. Membership Committee Chairperson;
7. Independent Rental Owners Committee Chairperson; and
8. Others as approved by voting Board members.
Section 2. Voting. Each voting member of the Board shall be entitled to one (1) vote. The member of the Board must be present to vote. No proxies or alternates will be allowed.
Section 3. Term of Office. Each Regional Vice President shall serve a term of two (2) years. The Officers, Directors, and NSC Chairperson shall serve a term of one (1) year beginning January 1 and ending December 31 or until a qualified successor is elected or appointed. In the event of the Immediate Past Chairman's resignation, removal, or inability to serve, no successor shall be named and the Chairman of the Board shall appoint a Chairperson of the Nominating Committee subject to the ratification by the Board.
Section 4. Vacancies. If, during their term of office, the members employing the Board Member is no longer in good standing, or the Board Member is not employed by a member in good standing, the Board Member will be automatically terminated from such office unless, within one hundred twenty (120) days, such Board Member becomes a member or is employed by a member of the same membership classification held by the member represented by the Board Member at the time the Board Member was elected.
In the event of a Past Chairman's resignation, removal, or inability to serve, a successor
shall be named by the Chairman of the Board. In the event of the Immediate Past Chairman's resignation, removal, or inability to serve, the Chairman of the Board shall appoint another Past Chairman to all committees chaired by the Immediate Past Chairman subject to the ratification by the Board.
Section 5. Meetings. The Board of Directors shall meet not less than three (3) times a year at a time and place designated by the Chairman of the Board upon at least thirty (30) days prior notice in writing. Special meetings of the Board may be called at any time by the Chairman, or by notice signed by a majority of the Board and mailed to members of the Board not less than ten (10) days preceding the scheduled time of the meeting.
Section 6. Quorum. A quorum at any Board Meeting shall exist when the number of Board members present at a meeting equal at least fifty-one percent (51%) of the total number of Directors.
Section 7. Special Ballot. When, in the judgment of the Chairman or the Board of Directors, any question shall arise which it believes should be put to a vote of the Board and where it deems it inexpedient to call a special meeting for such purpose, the Chairman or Directors may authorize a vote by mail, email, other electronic means or telephone. The question thus presented shall be determined according to a majority of the votes received as outlined in the Policies & Procedures after such submission to the Board; provided that in each case, votes of at least fifty-one percent (51%) of the number of Board members shall be received.
Section 8. Authority. Subject to the limitation of the Articles of Incorporation, and these Bylaws, the Board of Directors shall exercise all corporate powers and shall direct and control the business and affairs of the NAA including approval of the Policies & Procedures.

Section 9. Removal. The Board of Directors, by two-thirds (2/3) vote, may remove any Director.
Section 10. Revocation of Membership. The Board of Directors may terminate membership for any category of membership previously approved by the Board for any reason including violations of these Bylaws. The termination shall become effective upon a two-thirds (2/3) vote of the Board of Directors, after due process, provided however, that the holder of the terminated membership may note an appeal to the Assembly of Delegates within 10 days of the Board’s action. The Appeal shall be considered at the next meeting of the Assembly of Delegates.
Section 11. Compensation. Officers and Directors shall serve without compensation.
Section 12. Expenses. Necessary expenses may be reimbursed in the amounts actually incurred in connection with business of the NAA as authorized by the Board of Directors.
Section 13. Ineligible Board Members. No paid staff employee of NAA or any affiliated association, may serve as a voting Director or Officer of this Association.
ARTICLE IX - EXECUTIVE COMMITTEE
Section 1. Members. The Executive Committee shall consist of the officers and the two (2) most recent Past Chairmen of the Association willing and able to serve. The NAA President shall be a nonvoting member of the Executive Committee.
Section 2. Responsibility. The Executive Committee shall be responsible for the coordination and management of the affairs of the Association between meetings of the Board of Directors and Assembly of Delegates. The actions of the Executive Committee shall at all times be consistent with the Policies & Procedures of the Association and are subject to review and approval by the Board of Directors.
ARTICLE X - OFFICERS
Section 1. Officers. The officers shall be the Chairman of the Board, Chairman-Elect, Vice Chairman, Treasurer, and Secretary. Each officer must be either an owner, developer, builder, operator or manager of rental housing properties who is employed by or a representative of a member in good standing.
Section 2. Nomination and Election. The Nomination of Officers shall be in accordance with these Bylaws and the NAA Policies & Procedures. The Nominating Committee will include the Immediate Past Chairman who shall serve as the Chairperson; three (3) Past Chairman of the NAA Board of Directors, and one (1) Member from each Region. This Committee shall nominate candidates for the offices of Chairman-Elect, Vice Chairman, Secretary, and Treasurer, and report the nominees to the Delegates. The Election of Officers shall be in accordance with Article VII Section 5. Any Delegate may nominate a candidate, who meets the qualifications of an officer, for any office in NAA except the Chairman of the Board, after the slate of officers has been reported to the Delegates, by submitting a petition in writing signed by at least ten (10) voting Delegates to the Chairmen at least 10 days prior to the annual meeting, as outlined in the NAA Policies & Procedures.

Section 3. Term of Office. The term of office shall begin on the first day of January following the annual meeting at which the officer has been elected. The office shall serve one (1) year or until a successor is duly chosen and has assumed office. In no event, shall an officer serve more than two (2) consecutive terms in the same office.
Section 4. Vacancy. If, during their term of office, the member employing the Officer is no longer in good standing, or the Officer is not employed by an owner/operator member in good standing, the Officer will be automatically terminated from such office unless, within one hundred twenty (120) days, such Officer becomes an owner/operator member or is employed by an owner/operator member in good standing. In the event of the resignation, removal, or inability to serve of any Officer of NAA, the Chairman of the Board may appoint a replacement selected from the Board of Directors, subject to ratification by the Board of Directors.
Section 5. Chairman of the Board. The Chairman of the Board shall be the chief elected Officer of NAA and shall preside at its meetings, those of the Board of Directors and Assembly of Delegates, between the meetings of which, the Chairman shall represent the NAA and act in its name, subject to its declared policies. The Chairman may create ad hoc Committees, shall be an ex-officio member of all Committees except the Nominating Committee, and shall perform all other duties usual to such office and as provided elsewhere herein. The Chairman of the Board shall assume that office upon completion of a term as Chairman-Elect.
Section 6. Chairman-Elect. The Chairman-Elect shall perform all the duties of the Chairman of the
Board in the event of absence or disability, and shall perform such other duties as may be requested by the Board of Directors. The Chairman-Elect shall assume the office of Chairman of the Board for the year following his/her term as Chairman-Elect. In the event that the Chairman-Elect is unwilling or unable to assume the duties of the Chairman of the Board, the Board of Directors shall appoint the Vice Chairman to serve as Chairman of the Board until the next election conducted by the Assembly of Delegates.
Section 7. Vice Chairman. The Vice Chairman shall perform the duties of the Chairman-Elect in the
event of absence or disability, and shall perform such other duties as requested by the Board of Directors.
Section 8. Treasurer. The Treasurer shall oversee the finances, supervise the custody and the
disbursement of NAA funds and other assets, shall be the custodian of the financial records of NAA, and shall have charge of the investment of the NAA’s funds, subject to the direction or approval of the Board of Directors. The Treasurer will chair the Budget and Finance Committee. The Treasurer shall provide to the Board and the Assembly of Delegates at their regularly scheduled meetings an accounting of the financial condition of NAA and arrange for an independent financial audit at the close of NAA’s fiscal year.
Section 9. Secretary. The Secretary shall keep the corporate records and seal of NAA and perform
such other duties as are customary to the office, including acting as Secretary for the Board of Directors.

ARTICLE XI - STAFF
Section 1. President. The Board of Directors shall employ a salaried Chief Administrative Officer who shall be titled President and whose terms and conditions of employment shall be specified by the Board of Directors.
Section 2. Responsibility. The President shall be responsible for the management of the Association in accordance with the budget, programs, and Policies & Procedures established by the Board of Directors. The President shall employ all staff members and direct the activities of the staff and shall perform such other duties as directed by the Board of Directors.
ARTICLE XII - COMMITTEES
Section 1. Standing Committees. The Association shall have the following Standing Committees: Legislative Committee, Nominating Committee, Membership Committee, Budget and Finance Committee, Education Conference Committee, and Independent Rental Owners Committee.
Section 2. Appointments. The NAA Chairman of the Board shall appoint the Chairperson and Vice Chairperson of each committee. No paid staff employee of NAA or any affiliated association may serve as a Chairperson of any committee. Committee members will be appointed in accordance with Policies and Procedures.
Section 3. Other Committees. The Chairman of the Board or the Board of Directors may establish additional committees and task forces to address the needs of the Association.
Section 4. Special Meetings. When, in the judgment of any Committee, unfinished business needs to be concluded or a question shall arise which it believes should be put to a vote, and where it deems it inexpedient to call a special meeting for such purpose, the Committee may authorize a vote by mail, email, other electronic means or telephone. The question thus presented shall be determined according to a majority of the votes received as outlined in the Policies & Procedures after such submission to the Committee; provided that in each case, votes of at least fifty-one percent (51%) of the number of Committee members shall be received.
ARTICLE XIII - COUNCILS
Section 1. Creation. Councils, Institutes, Boards, Societies, and Foundations, or any other such entities, may be established only by majority vote of the Assembly of Delegates. These entities must provide appropriate policies and bylaws, which are subject to the approval of a majority of the Board of Directors of NAA.
Section 2. National Suppliers Council (NSC). There shall be a class of membership composed of individuals or business firms who service, supply, or otherwise deal with rental housing and other businesses or institutions who are interested in the promotion of the rental housing industry. Members of the NSC shall pay dues to NAA as established by the Assembly of Delegates. NCS membership is open to all supplier members of NAA. NSC members must be a member of at least one (1) Affiliated Association. If there is no affiliated association in their area, then they must join NAA as a direct member. Membership to the NSC is subject to the approval of a majority vote of the Board of Directors.

Section 3. Association Executive Council (AEC). All association staff of affiliated associations and the President of the NAA shall have an opportunity to become a member of this Council, as outlined in the AEC Bylaws. It shall be the duty of the Association Executive Council to meet to exchange ideas and to promote those ideas to the Board of Directors.
ARTICLE XIV - INDEMNIFICATION
Section 1. Action Against Party Because of Association Position. The Association shall indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending, or completed claim, action, suit or proceeding, whether civil, criminal, administrative or investigative by reason of the fact that the representative is or was a director, officer, employee, or agent of the Association, against expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by the representative in connection with such claim, action, suit or proceeding if the representative acted in good faith and in a manner the representative reasonably believed to be in or not opposed to the best interests of the Association, and with respect to any criminal action or proceeding, had no reasonable cause to believe the representative’s conduct unlawful.
Section 2. Insurance. The Association shall have the power to purchase and maintain insurance on behalf of any person who is or was a director, officer, employee or agent of the Association, against any liability asserted against that person because of an affiliation with NAA.
ARTICLE XV - DISSOLUTION
Section 1. By two-thirds (2/3) vote of the Assembly of Delegates, the Association may be dissolved. In such event, the assets of the Association shall be applied by the Board of Directors, or if not by the Board of Directors, by an order of the proper court, after payment of all obligations to any organization or organizations whose purposes and objectives are as near as possible to those of this Association as stated in these bylaws. In no event shall assets of the Association be distributed to or inure to the benefit of any affiliate.

Affiliated Associations Apartment associations submitting a local or state charter application after November 2004 must report ALL units without regard to local caps, minimums or other limits and submit the dues rate for each unit owned or managed.
Membership Reporting
1. All rental housing units owned or managed by an owner, developer or property manager (Industry Members), that are members of an Affiliate, will be reported to the National Apartment Association and dues will be paid on all such units without regard to local affiliate dues caps.
2. All communities owned or managed by Industry Members that employ on-site administrative staff will be reported to the National Apartment Association. Affiliates will report the name of the property, address, phone, fax and email information to the extent known. This information will be utilized in order to provide a copy of Units magazine and other NAA information to each of these locations.
3. The owner, property management-company, key personnel, and regional manager for rental housing units for which dues have been paid to NAA will all be members of the NAA with regard to services provided to such units. Affiliates should report the name, address, phone, fax and email information to the extent known. This information will be utilized in order to provide a copy of Units magazine and other NAA information to each of these individuals.
4. All Associate Members (suppliers), who are members of a State or Local Affiliate, will be reported to the National Apartment Association.
Dues Structure US Dues Structure
1. Dues payment by State and Local Affiliates paid to NAA for owners, developers and property managers (“Industry Members”) will be paid on all rental-housing units that are owned or managed by that member. There will be no per member fee paid in concert with the per unit fee. The per unit fee for Industry Members will be $0.47 per rental housing unit.
2. Dues payment by all State and Local Affiliates paid to NAA for Associate Members (suppliers) will be an annual member fee of $30 per Associate Member.
3. Dues payment by Industry Members or Associate Members who are not located within the geographic area of an existing State or Local Affiliate (“Direct Members”), will continue to pay an annual membership fee directly to NAA of $125.00 per member and $0.75 per rental housing unit, owned or managed.
CHARTER - LOCAL
To qualify for charter status, a local association shall submit the necessary fees and a formal written application to the NAA, signed by the president of the applying association, and attested to by the secretary of such applying local association as having been approved by its local Board of Directors, and certifying:

1. That the jurisdiction requested by such association does not conflict with the jurisdiction of an existing chartered local association or state association;
2. That the applying association will submit to NAA, a membership list including all members of any category for which the local affiliate will remit dues to NAA. Such lists shall be submitted to NAA semiannually. Revisions shall be submitted on a monthly basis. Membership lists shall include each member's contact name, management-company and property name, as appropriate, address, telephone and fax number, email address, number of units owned or managed, and classification of membership. Such membership lists shall not be used by the NAA, its staff, officers, or contractors in any way other than official mailings of NAA unless otherwise authorized by a two-thirds (2/3) vote by the Board of Directors;
3. That such local association represents the rental housing industry in the jurisdiction applied for, and is comprised of not fewer than twenty (20) members in good standing of which at least ten (10) shall be owners, builders, or developers of rental housing property, or companies that manage rental housing property;
4. That an opportunity be given to all present members of the NAA within the requested
Jurisdiction to become members of such local association, provided such members meet the membership requirements of such local association;
5. That the bylaws of the applying association do not conflict with the aims and purposes of NAA. Copies of the applying local association’s bylaws shall be forwarded to NAA for its prior approval;
6. That the applying local association is a member of a chartered state association, if one exists, or will become a member within one (1) year after the chartering of the appropriate state association by the NAA;
7. That a completed application and corresponding materials are received from the applying association, in addition to a non-refundable $250 charter application fee.
8. That the local affiliate will comply with the terms of the NAA Member Service Pledge.
9. That such local association agrees to promote NAA goods and services to members and encourage member participation in NAA.
The territory assigned to any chartered Local Affiliate may be revised by the chartered State Association at any time. The chartered State Association may request the NAA Board of Directors to conduct this revision or to review its decision.
Increases or reductions in the area of jurisdictional rights regarding membership in NAA, approved by a majority vote of the Board of Directors of NAA, shall be binding upon the chartered local association provided a minimum of at least thirty (30) days-notice of the proposed change has been given the chartered local association and said association has had an opportunity to comment or protest the pending action before the NAA Board of Directors.
Communications.
Each Affiliate, where feasible, shall distribute to members for whom they pay dues, communications sent to the association by the NAA.
Education Courses.
Each Affiliate that conducts educational courses must promote NAAEI education courses, but may use additional noncompetitive educational courses. No educational material will be made available if there is an outstanding delinquent balance on the account of any Affiliated Association.
Membership Lists.

Member Lists shall be submitted to NAA semi-annually. Revisions shall be submitted on a monthly basis. Member Service Pledge and Compliance Checklist. State and local associations affiliated with the National Apartment Association are required to submit the Member Service Pledge and Compliance Checklist form on an annual basis. NAA agrees to also submit the Compliance Checklist on an annual basis and provide it to its affiliated associations. (Pledge and Compliance Checklist included).
Roster Reporting Form.
Twice per year, NAA affiliates are required to submit a roster reporting form, identifying the number and classification of members.
Failure to comply with submitting the semi-annual affiliate roster will be handled in the same manner as failure to pay dues in Article V Section 3 of the NAA Bylaws.
NAA reserves the right to audit the membership roster at any time to ascertain whether the Affiliate is accurately reporting all of the respective required information, and that the Affiliate is operating in compliance with the NAA Bylaws and Policies & Procedures.
Publications.
The publications and other suitable printed materials, i.e. letterhead, membership certificates, etc., of each Affiliated Local Association shall designate membership in NAA using the style and format established and provided by NAA and place the NAA logo on their publications and mailing materials, if appropriate.
CHARTER - STATE
To qualify for charter, the state association shall submit to NAA a formal written application, together with charter fees and other applicable fees, signed by the president and secretary of the applying association, and certifying:
1. That the state association’s board of directors has approved the application.
2. That the bylaws of the applying state association do not conflict with the Bylaws of NAA.
3. Copies of the applying state association’s bylaws shall be forwarded to NAA for its prior approval.
4. That the State Affiliate must be incorporated or registered with the state.
5. That existing NAA Affiliates within the state either already are or will become members of the new state association within one year, as evidenced by a letter written by the existing Affiliate’s Board of Directors.
6. That the state association would meet at least once each year either in person or telephonically.
7. That the state affiliate will comply with the terms of the NAA Member Service Pledge.
8. That the state association agrees to promote NAA goods and services to members and encourage member participation in NAA.
A new Affiliate cannot apply for a state charter during the first year of membership with NAA.

Other associations may be accepted in an area or any portion thereof upon submission to the NAA of an instrument in writing signed by the president and secretary and approved by the board of directors of the existing chartered state or local association in the area specifically waiving their exclusive jurisdiction over that area or any portion thereof with regard to a specific applicant association. All such applications must have the approval of a majority of the Board of Directors of the NAA.
Communications.
Each chartered state association, where feasible, shall distribute to members for whom they pay dues communications sent to it by the NAA.
Education Courses.
Each chartered state association that conducts educational courses must promote NAAEI education courses, but may use additional noncompetitive educational courses. No educational material will be made available if there is an outstanding delinquent balance on the account of any Affiliated Association.
Membership Lists.
In the case where any member is only a member of the State Affiliate, the state association shall include such members on a membership list and shall be submitted to NAA semiannually. All directives required by Affiliates are also required of state affiliates with members who are not represented by local Affiliates.
Such membership lists shall not be used by the NAA, its staff, officers, or contractors in any way other than official mailings of NAA unless authorized by a two-thirds (2/3) vote by the Board of Directors.
Member Service Pledge and Compliance Checklist. State and local associations affiliated with the National Apartment Association are required to submit the Member Service Pledge and Compliance Checklist form on an annual basis. NAA agrees to also submit the Compliance Checklist on an annual basis and provide it to its affiliated associations. (Pledge and Compliance Checklist included).
Publications.
The publications and other suitable printed materials, i.e., letterhead, membership certificates, etc., of each chartered state association shall designate membership in NAA using the style and format established and provided by NAA and place the NAA logo on their publication and mailing material, if appropriate.
CHARTER - INTERNATIONAL To qualify for charter, the international association shall submit to NAA a formal written application, together with charter fees and other applicable fees as outlined below:
1. International Associations representing rental housing companies can join NAA as an “International Affiliate” and pay an application fee of $250 U.S.
1. The applying association must submit all of the required documentation outlined on the Affiliate Charter Application.
2. The International Affiliate must pay the base dues rate, as established by the Assembly of Delegates, for management company, property, supplier/vendor or other member. There is no per unit fee charged, but the total number of units represented must be reported by the association.
4. International Affiliates will be assigned a region by the Membership Committee at the time the charter is approved. The Affiliate will not be assigned a delegate, and will not have representation at the Assembly of Delegates, beyond that of the Regional Vice President.

Communications
Logos.
State and local affiliates may use the NAA Logo on their letterhead, envelopes, business cards, magazine,
applications, brochures, newsletters, trade show booths and display materials.
Any member in good standing may use NAA’s trademark logo on their business stationery, cards, or other business material indicating their membership in NAA (e.g. “Proud Member of NAA or “Member NAA”). Provided that no member shall use NAA’s mark in any way that would imply NAA’s endorsement of the member or its products or services.
Any abuse or violation of this policy will result in revocation of this license.
Financial Management Audit.
The financial statements of the Association shall be audited not less than annually by a certified public
accountant that shall be appointed by the Board of Directors and who shall provide an audited financial
statement to the Board of Directors.
Budget.
The Board of Directors shall adopt in advance of the next fiscal year, annual operating and capital budgets.
The annual budgets are subject to approval of the Assembly of Delegates at the annual meeting.
Collection.
No products or services will be made available if there is an outstanding delinquent balance on the account of any Affiliated Association.
Expense.
Overhead and indirect costs are not an allowable expense for outsourced research projects conducted by, but not limited to, universities.
Fiscal Period.
The fiscal period of the Association shall be January 1st through December 31st.
Assistance Funds The NAA Board of Directors authorized funding of the Association Management Software (AMS) Assistance Fund, as well as assistance funds for affiliates that wanted to participate, but had financial
limitations.
AMS Assistance Fund
Fund Purpose: The AMS Fund is intended to help offset costs associated with the initial
setup of the AMS Platform for participating affiliates. Affiliates that are awarded funding
are not eligible for future subsidies from this fund. The maximum award is $6,500 per

affiliate (this will provide initial funding for implementation of the standard AMS and
website package for most affiliates). Initial value of the Fund is $536,000.
Computer Assistance Fund:
Fund Purpose: The Computer Assistance Fund is intended for affiliates that intend to
participate on the AMS Platform, but lack a reliable computer from which to work on the
Platform. Affiliates that are awarded funding are not eligible for future subsidies from
this Fund. The maximum award is one computer. Initial value of the Fund is $100,000.
Association Management Software (AMS) Assistance Fund:
Fund Purpose: To aid in underwriting of initial first year startup costs for NAA affiliates
that want to be part of the AMS platform. This one-time fund is limited to help offset
initial data conversion, system setup (within baseline parameters), and base website
setup only. The maximum award amount per affiliate is $6,500. Costs associated with
hardware and network infrastructure are not part of this Fund’s scope.
Governance
ASSEMBLY OF DELEGATES Allocation.
Delegates will be allocated based upon the percentage of NAA’s national affiliate dues billed for the May 1 through April 30th period, and received prior to the end of that twelve month time period ending (April 30). All dues paid by an affiliate will be attributed to the state in which the affiliate is chartered. International members will not receive any delegates, and as such, dues paid by international members will not be used in the calculation of delegates.
Delegates should be reported to NAA by November 1st of each year for the following year but no later than January 1.
BOARD OF DIRECTORS Attendance.
Absence at any regular Board meeting by a Board member must be preceded by written notice to the Secretary of the Association stating the reason for such absence. Such notice may be reviewed by the Board of Directors. Any Board member who fails to attend two consecutive regular Board meetings without approval may be removed from the Board.
Election of Regional Vice Presidents.
Odd numbered regions will elect their Vice Presidents to serve a two-year term beginning in odd calendar years. Even numbered regions will elect their Vice President to serve a two-year term beginning in even calendar years.
Additional Regional Vice Presidents will be based upon the percentage of NAA’s national affiliate dues billed for the May 1 through April 30 period, and received prior to the end of that twelve month time period (April 30). All dues paid by an affiliate will be attributed to the region in which the affiliate is chartered.
Each May, prior to June Education Conference, the status of additional Regional Vice Presidents will be reviewed based upon the previous year’s dues paid (billed and received) by Affiliates in the region ending April 30th. Regional Vice Presidents may be elected during the June Education Conference but no later than September 1. Regional Vice Presidents will be installed during the Assembly of Delegates in November for the following year.

Effective in 2016, the following procedures have been established to assist in the election process of Regional Vice Presidents.
a. Members may nominate RVPs. b. Each region shall appoint a nominating committee to review qualifications and forward those candidates to NAA.
c. The nominating committee shall select one AE from the region to act as the Affiliate Representative.
d. The delegates in each Region shall elect RVPs in the order of votes received. e. Voting shall occur during the June Education Conference. f. Absentee voting at a regional meeting is not allowed.
Should a change become necessary due to one region surpassing another in national dues paid, regions involved will be notified and the addition or deletion of a Regional Vice President will become effective beginning in January regardless of the initial term elected.
Dues received from international members will not be used in the calculation to determine regional vice presidential positions. Regional Vice Presidents are responsible, however, for serving the all of the members within their region.
At the time of charter approval the Board of Directors will determine how members and units will be allocated for purposes of RVP and delegate distribution if the affiliate's approved territory crosses regional lines.
Removal.
If in the judgment of two-thirds of the Board of Directors present and voting, due cause is found for the removal of a board member, such member shall be advised in writing by the Secretary, the basis for such decision. Within fourteen (14) days of receipt of notice from the Secretary, the board member must give written notice to the Secretary of the intention to appeal to the Assembly of Delegates at the next regular meeting and shall retain full rights as a Board member until the appeal is acted upon and removal is sustained by a two-thirds (2/3) majority vote cast. The subject Board member shall not be present when the vote is taken.
Minutes.
Minutes of any Board of Directors’ meeting will be sent to the affiliated associations by the Secretary of NAA no later than thirty (30) days after the Board of Directors’ meeting.
Special Ballot. The Board of Directors may authorize a vote by mail, email or telephone. The question thus presented shall be determined according to a majority of the votes received within fifteen (15) days after such submission to the Board, or within a specific time frame as determined by the Chairman of the Board; provided that in each case votes of at least fifty-one percent (51%) of the number of Board members shall be received.
COMMITTEES
Committee Appointments. Standing committee appointments should be reported each year by November 1st from the Chairman of the Board and Regional Vice Presidents for terms of service beginning the following year but no later than January 1.
Regional Vice Presidents may appoint one “alternate” member for each regular committee member. (Regions with more than one voting Regional Vice President may appoint one additional representative). In the absence of an appointed committee member, an alternate may vote. The Chairman of the Board may appoint regular or alternate members to committees if the region has not submitted appointments when due.
Budget and Finance Committee.
The Budget and Finance Committee will be composed of regional representatives with one (1) representative from each region; up to two (2) appointees of the Chairman of the Board; and the Treasurer,

who will serve as Chairperson of this Committee. Regions with more than one Regional Vice President may appoint one additional representative.
The Budget and Finance Committee shall prepare budgets and monitor expenditures of NAA. Said budgets are to be submitted to the Board of Directors at least thirty (30) days prior to the annual meeting for the subsequent fiscal year.
Education Conference Committee.
The Education Conference Committee Chairperson will be appointed by the Chairman-Elect to serve a term of one (1) year. The Chairperson shall have complete discretion to determine the number of members of this committee and to appoint those members.
The Education Conference Committee shall organize and promote a specific Education Conference to be held during that person's term as President, as authorized by the Board of Directors. Their term shall begin with his/her appointment and end after the specific conference for which he/she was appointed to chair.
Independent Rental Owners Committee.
Independent Rental Owners' Committee (IROC) shall be composed of regional representatives with one (1) representative from each region and two (2) appointees of the Chairman of the Board. Regions with more than one Regional Vice President may appoint one additional representative. The Chairman of the Board shall appoint the Chairperson of the IROC to serve a term of one (1) year.
The IROC shall be the advocate for all independent owners to the Board of Directors and Assembly of Delegates.
Legislative Committee.
The Legislative Committee will be composed of regional representatives with one (1) representative from each region, Immediate Past Chairperson of the Legislative Committee, National Issues Subcommittee Chair, State and Local Issues Subcommittee Chair, NAA Political Action Committee Board of Trustees (NAAPAC) Chair, the NAA President (as Treasurer of the NAA PAC) and up to two (2) appointees of the Chairman of the Board.
Regions with more than one Regional Vice President may appoint one additional representative. The Chairman of the Board shall appoint the Chairperson of the Legislative Committee to serve a term of one (1) year.
The Legislative Committee shall propose the legislative agenda and promote this legislation in the manner prescribed by the Board of Directors and/or Assembly of Delegates. The Legislative Committee shall also approve all disbursements from the (NAA PAC).
The Legislative Committee will consist of two subcommittees: National Issues and State and Local Issues. The NAA Chairman of the Board shall appoint the chairpersons of each subcommittee.
The Legislative Committee will act as a legislative communications liaison at all NAA national meetings. The NAA staff will act at all other times as the communications liaison to the Joint Committee with the National Multi Housing Council, the Board, and the NAA membership.
The NAA representatives to the NAA/NMHC Joint Legislative Committee shall be appointed by the NAA Chairman of the Board. The Co-Chair of the NAA/NMHC Joint Legislative Committee will be a voting member of the NAA Legislative Committee.
NAA may establish and maintain a Political Action Committee pursuant to the Federal Election Campaign Act of 1971 as amended. The President of NAA shall be the Treasurer of any such Committee or fund.

NAAPAC Board of Trustees
The affairs of the NAAPAC shall be under the general direction of the Board of Trustees of NAA (NAAPAC Board of Trustees). The Board of Trustees shall consist of 21 voting members. These 21 voting members shall include the following:
The NAAPAC Chairman, NAAPAC Past Chairman, NAA Chairman Elect, and the NAA Legislative Committee Chairman; and 17 Members of the Board of Trustees to be appointed by the Regional Vice Presidents of the NAA Board based on regional distribution. Members of the Board of Trustees shall be either an owner or manager. Regional Representatives shall serve on the Board of Trustees for a two-year term. Terms shall be staggered to provide continuity in the Trustees and over election cycles.
PAC Ambassadors
PAC Ambassadors shall be nonvoting members of the NAAPAC Board of Trustees. PAC Ambassadors shall serve as an advocate for the NAAPAC by promoting the NAAPAC events at the three NAA meetings; Capitol Conference, Education Conference and the Assembly of Delegates. PAC Ambassadors shall also promote fundraising for NAAPAC to the local affiliates and will be responsible for assisting their region in making their Fair Share Goal.
Membership Committee.
The Membership Committee will be composed of regional representatives with one (l) representative from each region, and up to two (2) appointees of the Chairman of the Board. Regions with more than one Regional Vice President may appoint one additional representative. The Chairman of the Board shall appoint the Chairperson of the Membership Committee to serve a term of one (1) year.
The Membership Committee shall determine eligibility or ongoing eligibility of membership for any state, local, or direct member after the NAA staff has provided sufficient documentation on which to make such determination.
Reports will be made to the Board of Directors by the Membership Committee Chairperson regarding membership counts, eligibility, and other related action items during each of the regularly scheduled Board of Directors meetings.
Nominating Committee.
Nominating committee appointments are submitted each year by January 1st from each Region. The Chairman of the Nominating Committee will appoint three (3) Past Chairman of the Board to serve on the Nominating Committee.
Members serving on the Committee from each region must be an owner/manager with a minimum of 3 years national volunteer experience with the National Apartment Association preferably having served on the NAA Board or the Assembly of Delegates.
The members of the Nominating Committee will be announced to the Board during the January Board meeting and will have its first scheduled meeting no later than the Capitol Conference each year.
Members of the Committee are expected to attend each meeting and participate in the interview and nomination process. Candidates selected must have 10 committee votes to be appointed to the slate of officers. No proxy votes will be allowed.
No member of the Nominating Committee may be a nominee.
The Committee will decide via conference call who they will interview prior to their scheduled meeting.
An extensive interview process will be conducted by the Committee during the Fall Board of Directors Meeting.
Committee will vote by ballot and tally results. Nominee must receive 10 committee member votes to secure a nomination.
Slate of proposed Officers by the Nominating Committee will be announced during the Fall Board of Directors meeting.

In order to be nominated for Chairman-Elect, an individual must have served on the Board of Directors for at least two (2) years and shall have served as a Regional Vice President or National Committee Chairperson of the Legislative Committee, Education Conference Committee, Budget & Finance Committee, Membership Committee or Independent Rentals Owners Committee. The Chairman-Elect automatically becomes Chairman of the Board the following year. No nominations will be accepted for Chairman of the Board.
Nominations must be received by July 31st of each year for all available officer positions. Delegates will be notified of nominees no later than August 31st of each year.
The Nominating Committee will report to the Board of Directors and the Assembly of Delegates the slate of officers to be submitted for election at least thirty (30) days prior to the Assembly of Delegates meeting. No nominations will be accepted from the floor.
Past Chairmen’s Committee.
Past Chairmen’s Committee shall be composed of all NAA Past Chairmen. The Chairperson shall be the Immediate Past Chairman of NAA. Their purpose shall be to consult and advise the current Officers. They will have one scheduled meeting each year. Other meetings may be scheduled at the discretion of the Chairperson.
Privatized Military Housing Committee
The Privatized Military Housing Committee focuses on this specific segment of rental housing. The Chairman of the Board appoints the chair of the Privatized Military Housing Committee who selects committee members that are, in turn, approved by the Chairman of the Board.
Student Housing Committee.
The Student Housing Committee explores opportunities in the unique student housing market. It also plans and hosts an industry-wide, national student housing conference each year for this segment of the multifamily housing market. The committee chair is appointed by the incoming Chairman of the Board. Appointments to the committee are made by the committee chair and approved by the NAA Chairman of the Board.
Education Institute. The National Apartment Association Education Institute (NAAEI) is the education and research arm of the National Apartment Association.
It will be the preeminent national provider of education and apartment career development programs for the apartment industry; and the sponsor of industry research, benefiting apartment operators, their associates, supplier partners and apartment residents.
The mission of the NAA Education Institute is to provide broad-based education, training and recruitment programs that attract, nurture and retain high-quality professionals and develop tomorrow’s apartment industry leaders; and to conduct research that benefits the apartment industry and its residents.
The NAA Board of Directors approves all members of the Institute Board. The NAAEI President is elected by its own Board of Directors. Members of the various Institute committees are approved by the Institute Board. There is an application that must be completed for review by the Institute Board for all committee members. Data Use and Sharing Policy
Data Uses The data collected by NAA is to be used to augment communications efforts with the industry. This would include current, past and potential members. Additionally, the information obtained would be used to aid in the development of industry best practices as well as research. Communication with Current Members NAA will use membership data to aid in targeting members to insure messages are going out to the appropriate audience, as opposed to the membership. Targeting our marketing programs regarding industry information, grassroots mobilization, product/services promotion, etc. will allow us to create a personalized membership experience based on the unique needs of the member. Communications with Past and Potential Members NAA will use industry data to maintain communications with past and potential members. The goal will be to communicate the value of membership. The goal would be to convert them to become members or non-member customers of NAA products and services. Best Practices Information collected that would contribute to the development of potential best practices will be used to create materials that would allow our members to operate their properties as efficiently and effectively as possible. Industry Research Access to internal and external data sources will aid in the development industry research as well as research tools. The work product would be used to add to the value membership, promote industry knowledge, aid in public policy discussions, and increase the prominence of the industry with members of the media. i. The use of the name and any and all trademarks or service marks, which NAA owns to
assist the affiliated association’s representation of our members.
II. What our members can expect from Affiliated Associations.
a. Development and delivery of valuable products and services to meet the needs of local
members.

b. The Affiliated Association shall take all appropriate action to sustain and promote
membership growth.
c. The Affiliated Association shall develop procedures to ensure that the interests of its
members are represented.
d. Delivery of NAA/NAAEI products and services, as well as other locally administered
continuing education programs.
e. Compliance with NAA’s Bylaws and Policies & Procedures.
f. Collection of member dues and accurate reporting to NAA according to the NAA dues
formula.
g. Provide basic monitoring and advocacy on government activities in their jurisdictions to
the extent possible.
h. Encourage member involvement in the political process on behalf of the industry.
i. The Affiliated Association shall regularly share with NAA, state and local government
activities to the extent possible.
III. What our members can expect from NAA and [Affiliated Association’s Name]
a. An organizational structure that facilitates delivery of goods and services.
b. Financial Integrity, maintenance of books and records available for inspection by our
members.
c. Insurance policies designed to protect our members and the assets of our respective

IV. Relationship of the Parties
a. The Affiliated Association shall remain in good standing and in compliance with NAA
Bylaws and Policies & Procedures.
b. NAA and the Affiliated Association are not and shall not be considered joint ventures,
partners, legal representatives, or agents of each other. At no time shall either party
represent itself to be acting in any of these capacities. Except as provided in this Pledge,
the Affiliated Association shall conduct its business and activities according to its sole
judgment and discretion.

c. Neither NAA nor the Affiliated Association shall have the right to obligate the other party
in any manner and shall not make, or represent that is has the power to make any
agreement, express or implied on behalf of the other.
d. Neither NAA nor the Affiliated Association shall be liable for any act or omission, or for
any debt or other liability of the other.
V. Association Obligations a. To ensure that each National, State, and Local organization is meeting its obligations to
our members, NAA and the [Affiliated Association’s Name] agree to certify annually that it
continues to operate in compliance with NAA’s Bylaws and Policies & Procedures.
b. Upon failure to submit an annual compliance checklist or if the responses are incomplete,

National Apartment Association 2016 Affiliate Compliance Report
State and local associations chartered by the National Apartment Association are required to submit the Affiliate Compliance Report (ACR) and its related documents each January. The primary purpose of the ACR is to identify affiliate challenges as well as assist affiliates with basic services expected by association membership.
This self-assessment tool will be reviewed by NAA staff as well as its Regional Vice Presidents with clarifications, additional requests and follow-up discussions as necessary. All report submissions including demonstrated inabilities to comply with ACR requirement in a complete and timely manner will be reported to NAA’s Board of Directors and Membership Committee for additional action in June at NAA’s Education Conference & Exposition.
Local associations affiliated with a state association with a similar ACR program, please contact NAA for guidance before submitting the NAA ACR.
Please click on the attached link to complete and submit the Affiliate Compliance Report to NAA by January 31, 2016. Direct related questions to Donna Motley, NAA’s Director of Membership & Affiliate Services.
Below is the information affiliates will be requested to submit via an online form. Association Executives will provide signatures electronically. The affiliate’s President should sign this document, which may be uploaded via the online form, in order to have their signature on file.
Affiliate Compliance Report Requirements
1. Leadership Information – AEs will be asked to provide contact information via the online form, in addition to Submission Document A.
Submission Document A: A copy of your most recent leadership contact list will be requested, including names, mailing addresses, phone numbers and email addresses for each of your officers, directors, committee chairs and staff.
2. Bylaws – Leadership agrees the association’s bylaws were last reviewed on (date) and to the best of our knowledge are in compliance with the governing documents of NAA as well as our state affiliate (if applicable). Submission Document B will be requested.
Submission Document B: A copy recent copy of your bylaws will be requested. If and/or when changes are made, please submit a revised bylaws document.
3. Organizational Management – Leadership agrees the association maintains and has recently reviewed (date) the following basic organizational documents:
a. Articles of Incorporation; b. Mission Statement; c. Policy Manual; and d. Organization Chart.
4. Board Minutes – Leadership agrees the association maintains and regularly reviews meeting minutes adopted during each board of director’s meeting. Minutes should be kept at least 7 – 10 years or based on

your state’s recommended minimum requirements. Check with your legal counsel or CPA for additional recommendations.
5. Programs – Leadership agrees the association is managing basic membership programs annually including: a. Membership Development; b. Professional Education; c. Advocacy; and d. Membership Networking.
Submission Document C will be requested: Please upload a list and brief description of your affiliate’s 2015 education classes and annual schedule of events and programs.
6. Insurance – Leadership agrees their affiliate is responsible for maintaining the insurance coverage necessary to protect the association, directors, officers and staff, as appropriate.
7. Financial Management – Leadership agrees their affiliate is maintaining its fiscal resources in a responsible manner by meeting one of the following guidelines:
a. The association’s board of directors has completed an audit or a financial review has been conducted by an outside CPA within the past 2-years or
b. The affiliate is keeping and approving the following financial documents: i. Copies of bank account signature cards with appropriate restrictions or other
documentation as directed by their governing body; ii. Monthly checking, investment and other bank account reconciliations;
iii. Quarterly reviews of check registers and financial statements (balance sheets and statements of operation) recorded in board minutes;
iv. Copies of verifications (bank statements, maturity notices for CDs or money market funds); and
v. Most recent IRS form 990 or comparable forms on file.
8. NAA Responsibilities and Relationships – Leadership agrees the association is working to provide services annually that benefit our members:
a. Report true unit counts per member. Remit all required membership dues to NAA in a timely manner and by the established payment dates;
b. Encourage association members to attend NAA meetings and conferences; c. Promote NAA’s Click & Lease program; d. Support the NAA Education Institute by hosting and promoting its programs; e. Educate and promoting active participation in NAAPAC; and f. Provide an NAA overview to your board and membership informing them of the NAA benefits and
services available.
9. Approval – On behalf of the association’s board of directors, we agree the association is in compliance with each of these ACR requirements and submits this report to the NAA board of directors.

Confidentiality clause

Conflict of interest
A situation in which the personal or professional concerns of a board member or a staff member affect his or her ability
to put the welfare of the organization before personal benefit
Consent agenda
A component of the meeting agenda that groups routine items and resolutions as one agenda item
Constitution This usually refers to the organizational documents of an organization
Consultant An expert providing professional advice or services

Corporate foundation
A foundation whose funds are provided by a specific corporation; representatives of the corporation supervise disbursement of funds.
Corporate name search
A state or national search of corporate names; should be performed as a part of the creation of the organization to ensure that the name of the nonprofit is unique
Corporate sponsorship
A relationship between a nonprofit and a company where the nonprofit receives monetary support, goods, or services
in exchange for public recognition of the company
Corporation
A legal entity that exists to perpetuity until it is dissolved; a ‘fictitious person,' separate from its managers or governors,
usually given the same rights and obligations as natural persons
D D&O (Directors’ and Officers’) insurance
Insurance that protects board members and top staff personnel from liability created by board decisions or actions
Determination letter
An official notification by the IRS stating that a nonprofit is recognized as a tax-exempt organization
Development
A term used to describe all methods of obtaining funding or support for an organization
Direct marketing A fundraising method relying on a one-to-one form of communication
Disclosure form
A form on which board members annually detail personal and professional connections that could create a potential
conflict of interest
Disclosure requirement
Regulations requiring nonprofits to share financial or other information with the public, defining IRS form 990 as a public
document
Dissolution of nonprofits
The formal procedure by which a nonprofit ceases to operate or exist; involves filing with the state and distribution of
assets
Diversity
Inclusivity; equal opportunity; collective mixture of participants
Domestic Corporation
A corporation is considered domestic in the state where it has filed its articles of incorporation; it is foreign in any other
state
Donor-advised funds
Donations given to an entity in which the donor retains some control over how the funds are spent
Due diligence
An expectation that a board member exercises reasonable care and follows the business judgment rule when making
decisions
Duty of care
An expectation that a board member exercises reasonable care when making decisions
Duty of loyalty
An expectation that a board member remains faithful and loyal to the organization
Duty of obedience
An expectation that a board member remains obedient to the central purposes of the organization and respects all
laws and legal regulations
E EIN (Employee Identification Number)
A number issued by the IRS to all corporations

An honorific title usually given to a former board member who is invited to stay on board as a nonvoting member in an
advisory capacity
Endowment A fund or collection of assets whose investment earnings support an organization or a specific project
Estate tax
A federal tax on inheritances over a specific amount; planned giving can provide a way to avoid paying some or all of this
tax
Ex officio "by reason of their office"; a person serving on a board due to his or her position rather than through elections
Excess benefit transaction
A transaction in which an economic benefit is provided by a nonprofit, directly or indirectly, to a disqualified person, and
the value of the economic benefit provided by the organization exceeds the value of the consideration (including the
performance of services) received by the organization
Excise tax A tax issued by the IRS on nonprofits that violate specific regulations
Executive committee
A committee that has specific powers, outlined in the bylaws, which allow it to act on the board’s behalf when a full
board meeting is not possible or necessary
Executive session A meeting of a board in which no staff are present
F FASB
The Financial Accounting Standards Board; organization that develops concepts and standards for financial accounting and
reporting for organizations and businesses; these standards are recognized as authoritative by the Securities Exchange
Commission and the American Institute of Certified Public Accountants
Feasibility study
A first step for a capital campaign to determine whether adequate support exists to launch the campaign
Federated organization
An organizational structure composed of a national umbrella organization and smaller local chapters
Fiduciary duty
A responsibility of board members and the nonprofit board as a whole to ensure that financial resources of an
organization are sufficient and handled properly
Fiscal agent
An organization or a legal entity managing the funds for a nonprofit organization
Fiscal sponsor
An arrangement where an established nonprofit provides financial support for a project that may be independent or
which has yet to obtain its own tax-exempt status
Foreign corporation A corporation that is incorporated in another state than where it carries out business
Form 1023 An application form for nonprofits that want to be recognized as a 501(c)(3) organization
Form 1024
An application form for nonprofits that seek tax-exempt recognition as any other type of 501(c) organization than a

Founderitis
A situation in which the founder of an organization is resistant to changes proposed by the board
Fund accounting
A nonprofit accounting method that separates various restricted assets in different fund categories
Fund balance An organization’s claim to its assets; the net worth of the organization
Fundraiser A special event or activity organized to raise funds for a nonprofit
Fundraising A wide variety of activities that help generate donations for an organization
G Governance
The legal authority of a board to establish policies that will affect the life and work of the organization while holding the board accountable for the outcome of such decisions
Governance committee A committee responsible for recruiting, orienting, and training of board members
Grant Funding provided to an organization through a foundation or government source
Grassroots lobbying
Influencing legislation indirectly by attempting to mold the general public’s opinion on an issue
Group exemption
IRS tax-exempt recognition of all organizations under an already recognized 501(c)(3)
I In-kind donation
A donation of products or services instead of money to a nonprofit by a company or individual
Incorporation
A legal process in which a group is created and recognized by the state as an entity separate from the individuals
who manage or govern it
Incorporator A person or group who signs and delivers the articles of incorporation to the appropriate state agency
Indemnification
A guarantee by an organization to rely on its own resources to pay board members' legal costs for claims that result
from board service
Independent contractor An individual who is contracted to perform a specific project or service for a specified amount
Insider
A board, staff, or family member of a board or staff member who has influence on the decisions made by the
organization
Intermediate sanctions IRS regulations creating penalties for nonprofit board members and staff who receive or authorize an excessive benefit

Involuntary dissolution
A mandate from the state requiring a nonprofit to cease all operations and distribute all assets

Mentoring

Merger Combining two organizations into one nonprofit
Micromanagement
This usually refers to a manager who is paying too much attention to details and is not focusing on the big picture
Minutes
A legal written record of what occurred during a meeting
Mission
The fundamental purpose and reason to exist for an organization
Mission statement

MSO (Management Support Organization) An organization providing management assistance services for other nonprofits
