PAYMENT TERMS

In the event payment is not make in strict compliance with the payment terms set orthin this agreement, the entire unpaid balance shall become due and payable at the optiono GFTA. In such event, interest shall accrue on the unpaid balance at the maximum legalrate. The prevailing party in any action to collect the unpaid balance shall also be entitledto recover its cost and reasonable attorneys ees. GFTA reserves the right to produce, useand distribute the above publication without inclusion o the advertising called or inthis agreement i the balance, due by Advertiser, is not paid in ull. It is specically agreedthat the deposit is not reundable. Dishonored checks will be subject to an additional $45charge or each such check. Further, GFTA will exercise all rights available to it pursu-ant to Civil Code Section 1719, including the right to treble damages. Advertiser will beassessed all costs o collection, or any amounts, unpaid ater they are due. I a collectionagency is utilized, Advertiser agrees to pay any collection ees charged to GFTA, in addi-tion to the amounts due under this agreement. The undersigned personally guarantees thepayments due to GFTA rom the Advertiser above. I any payment is made by a credit card,the Advertiser authorizes GFTA to charge all payments to a credit card.

ADDITIONAL TERMS AND CONDITIONS

The above advertisement shall be printed in black and white or colors as specied aboveand shall be included in the next GFTA edition. Artwork is due 15 days ater signing theagreement unless other arrangements are made with GFTA representative. In the eventthat artwork is not supplied in the agreed time rame, GFTA will create a generic art-work including business name, address and phone number, or use last years ad at GFTAdiscretion. The quality o the layout shall be similar to the sample shown. Dierence inadvertisement size up to one eighth o an inch will be permitted. Final acceptance othe Agreement and art work may be made only by a corporate ocer o GFTA. GFTAreserves the right to cancel this Agreement and return all monies received up to 90 daysrom receipt o nal payment. I a severe error or change (by ault o GFTA) was made tothe ad ater its approval by the client, GFTA will correctly reproduce and print the ad inits next issue at no cost to the Advertiser. It is understood that in such events the Advertiseragrees to remain liable or payment as it is stated in the contract.

The Advertiser assumes ull and complete responsibility and liability or the content oall advertising copy submitted, printed, and published pursuant to the Agreement, and shallindemniy and hold GFTA harmless against any demands, claims, or liability, arising there-ore. The Advertiser shall reimburse GFTA in settlement o claims or in satisaction ojudgments obtained by reason o publicat ion o advertising copy, and or all expenses in-curred in that regard, including but not limited to, attorneys ees and costs o litigation.GFTA reserves the right to print an ad according to a design layout produced by theAdvertiser without supplying a proo beore print. I a proo was supplied and approvedby the Advertiser, the Advertiser is obligated to all payments regardless o any mistakesthat may have been overlooked. GFTA Shall not is responsible or liable or any damagesto the Advertiser by reason or ailure to publish any advertisements provided or herein

because o any transportation delay, labor dispute, strike, war, riot, insurrection, civi

commotion, re, food, accident, storm, or any act o God, or any other cause beyondthe control o GFTA. In such an event, the Advertiser shall have the option o havinthe advertisement inserted in the uture issue o the GFTA on the terms and conditionsherein or o having no charge made by GFTA or the advertisement not inserted. Fail-ure o GFTA to publish any advertisement or any reason other than as set orth aboveshall entitle the Advertiser to a ull reund o their monies already paid or a particularadvertisement. GFTA shall in no event be liable or special or consequential damagesGFTA makes no warranty as to year to year inclusion o any particular perorming artorganization; however, GFTA will make every eort to maintain the circulation o thpublication. Special requests by the Advertiser or a specic placement, colors, or anyother tem or condition are only acceptable to GFTA i contracted or in this Agreement, and approved by a corporate ocer in accordance with Paragraph B5 hereo. ThiAgreement in non-cancelable by Advertiser during the contract period and Advertiseurther acknowledges ull and complete understanding o the terms herein, and Advertiser herby acknowledges receipt o carbon cop o the agreement. This writing containthe entire agreement o the parties. No representation other than those expressly seorth in this Agreement were made or relied upon by either party. No agent, employeor representative o either party is empowered to alter any o the terms o his Agreemenunless done in writing and signed by a corporate ocer o GFTA. The parties to thiAgreement agree to jurisdiction and venue or adjudication o any dispute shall be in acourt o competent jur isdiction, located within Bos ton, Massachusetts. This Agreemenshall be constructed in accordance with the laws o the State o Massachusetts.

I any word, term, or provision o the Agreement is ound by any court o competentjurisdiction to be void, invalid or unenorceable, the remaining words, terms, and provisionshall continue in ull orce and eect. In the event that charges or artwork are not includedin the contract but artwork is created by GFTA, additional ees or set-up will be billed.
