materials should completely comply with the necessary specifications and properties. As well, both the quantity and quality should conform to the relevant Contractor's offer.-A provisional receipt of goods will be made respecting quantity and number in the presence or absence of the contractor. Then the goods will be sent to applicant's warehouses, since receipt committees composed for this purpose provided to include a specialized technical member will finally receive the goods after ascertaining conformity with technical specifications and release final receipt reports thereof and send them to GFTO in order to pay the remaining due amounts of contractor accordingly .-If the public party decide receiving with or without a reservation then receipt will be considered valid from date of notifying administration by contractor that goods are ready for delivery .

Article 11– Guarantee Period :-Contractor undertakes to submit supplies according to technical specifications/properties and data on which contract was concluded .This guarantee covers all contractual goods against any defect or shortage in design or manufacturing. -As well, Contractor guarantees the goods quality and conformity with contractual terms and technical specifications and no hidden defect will be appeared in future such as improper printing at high Terrage or others.

Article 12– Inspection Of Quality:

-The buyer will nominate the inspection company on his own account.-GFTO has full right to delegate any persons and local or international expert houses to supervise and control the contractual materials and works during their stages of production, preparation and assembling. Those delegates have the right to access freely to the work sites during working hours inquiring the contractor and workers about those materials and works in order to get the correct verbal or written information as they would like and also to carry out all analyses and laboratory trials necessary for every work and the tests they deem necessary, in the laboratory they opt to develop a full conviction .Expenses of all analysis, tests & trials will be on the contractor's account. The contractor should provide all the necessary facilities to the delegates whose travel and stay expenses, compensations and fares will be on the account of GFTO. but provided GFTO delegate )s( attendance does not release at all the contractor from his own obligations stipulated in the relevant contract

concluded with him, namely those resulting from any shortage, defect and bad manufacture.-Goods should be of new production of no more than two months before date of shipment.-Quality is final at destination port by means of analysis certificate issued by the Syrian competent laboratories, and in applicant's warehouses against a final receipt report.-A certificate of quality, quantity, weight, packing and specifications at loading port issued by international inspection company nominated by buyers at his own account must be submitted with shipping documents, but this will not release sellers/ suppliers from further claim by buyers and sellers will remain responsible for the goods quality and packing of goods after arrival to destination.-In case of rejecting goods, sellers will be notified in order to take the necessary procedures on his full responsibility and account and to settle all charges and expenses due or paid in Syria on said consignment before and after its rejection , in additional to Article No. 16 of decree 450 of 2004.

Article13–Mistaken & Contradictory Instructions1-The contractor , before commencing execution of any contractual part, has to check and make sure of the correctness of the technical booklet, the price list, the quantities list and other provisions. He should request G.F.T.O to correct any contradictions, difference, shortage or mistake he finds out in the technical specifications, inventories or instructions given to him )whether they are written, drawn, attached to the contract or given to him later on during the execution(. In such cases the contractor should keep fully restricted to the final written instructions G.F.T.O requests him to follow during the execution.2-If the contractor not reverting in writing to G.F.T.O for any differential or contradictory technical specifications, and after having the works partly or entirely executed, any unacceptable or irretrievable default appears in one of the works indicated as a whole or in detail in the contract, He will be fully responsible for all the results of correcting this default. The contractor has to remove the results of the default on his own expense whatever costs may be.

ARTICLE 15- Concession of Contract & Subcontracts :-The contractor has no right to concede any work or partial works under the contract; nor can he refer them all or in part to other people as subcontractors unless he obtains a written consent from GFTO, provided such consent never obliges GFTO whatever it may be the case to take part into any relation with subcontractors and never releases the contractor from his obligations and responsibilities )technical, administrative, legal and penal( towards GFTO as per the provisions of the contract concluded with him. The public companies will be prevented from concluding any annexed contracts or subcontracts with someone other than the public sector to execute the contractual works, no matter what the subcontracts percentage may be out of the original contract value, under pains of penalty !.

Article 19- Execution Period:-Bidder should abide by execution during the supply period required by the receivers. Opening and advising of the L/C to the seller for each quantity should be within a maximum period /90/ days from the required date of supply.

-The original documents including Bs/L should reach us before the arrival of the goods to the Syrian ports or before the expiry of the container demurrage free period - namely /30/ days from the date of the goods arrival to the Syrian ports.

-The seller should directly send us an original copy of the B/L by express courier, provided this original B/L should be acceptable to the private shipping agencies, so that the containers will be received and delivered after being unloaded within the demurrage free period which should not be less than /30/ days.-The seller should undertake that the maritime line /shipping company will allow us to receive the goods directly and immediately upon the vessel arrival to the Syrian ports without letting them enter the warehouses- against an undertaking by us to submit the original B/L later.-In case the maritime line/shipping company refrains from delivering the goods to us accordingly, the seller will be held fully responsible for all results due such as damages, expenses, the financial penalties, and disadvantages ….etc.-The seller should undertake to instruct the shipper to deliver the goods to us against: -Either copies of the B/L received from the seller.-Or an undertaking by G.F.T.O. to submit the original B/L later-soon after drawing the documents from the bank.-Unless the seller acts accordingly he will bear all charges, costs, damages and consequences arising out

Article 20- Carrying Vessels:1-The container- carrying vessels should not be more than 15 years old and not more than 30 years old if they are regular liners.2-All other vessels should not be more than 15 years old and not more than 25 years old if they are regular liners.3-Otherwise )if the shipment is effected by means of vessels not complying with the above stipulations( the seller will bear the overage premium due on those vessels.4-The transshipment is allowed for one time only for the goods shipped in containers provided the following stipulations should be available:a-Non change of the shipping line.b-Continuing the transport contract and consequently the carrier responsibility will continue from the loading port to the destination port.c-Never opening the containers and keeping them sealed till arrival to the final destination. 5-Shipping on vessel deck is not allowed. In case of acting contrary to, Seller will bear the due premium.-Upon any contract concluding with GFTO, the suppliers should request carrying companies to give the delivery permits to GFTO against an undertaking to be settled within one month.-In case the carrying company refrains from meeting that same request, the supplier company will bear all delay penalties arising from the delay of original documents arrival and drawing them from the concerned bank. GFTO will never be held liable for any results and disadvantages may arise from the delay in discharging the goods from the container.

Article 24- Final Confirmation And L/C Opening:-Final confirmation & L/C opening are subject to the approval of Syrian concerned authorities and to availability of exchange. Buyers have the right to open a partial letter of credit -L/C to be opened at first class foreign correspondent bank to be nominated by Commercial Bank Of Syria or any licensed private banks according to his available banking facilities. -Date of opening L/C for total or partial quantity of contract is G.F.T.O. Option.-Any insertion by sellers in the proforma invoice or in other executive matters of terms/conditions or requirements not stipulated in the contract and its complements shall be considered as null/void and non-applicable since the contract already determined all matters.
