The Directors are pleased to announce the results of the Company for the nine monthsended March 31, 2010.

OverviewThe Pakistan cement industry concluded the nine months of current financial year endedMarch 31, 2010 with a handsome overall volumetric growth of 12.4% both in local andexport sales with overall volume of 25.3 million tons as compared to 22.5 million tonssold during same period last year. The overall sales volume increased by 2.8 million tonsmainly on the back of cement demand in local markets.

The industry witnessed local sales volumetric growth of 17% during nine months ofcurrent financial year with sales volume of 17.5 million tons as compared to 14.9 milliontons sold during the same period last year. The export sales volume of the industryincreased by 3.5% with volume of 7.9 million tons as compared to 7.6 million tons soldduring the same period last year.

By the grace of Almighty Allah, your Company managed to continue its journey ofvolumetric growth and achieved 17.1 % overall growth during the nine months endedMarch 31, 2010 with sales volume of 4.86 million tons as compared to 4.15 million tonssold during the same period last year. The local sales registered a hefty growthof 24% whereas export sales volume witnessed 12% growth. During the quarter underreview, the local sales volume of your Company increased by 46% which enhanced thelocal market share of your Company to 13.8% from 13% previously.

The Government of Pakistan has recently granted an Inland Freight Subsidy of 35% onexport of cement through sea route from March 25, 2010 to June 30, 2010. The KarachiProject of your Company was initially disqualified due to 100 km distance limit whichwas challenged by your Company in Sindh High Court, Karachi due to discrimination.The Honorable Court has recently directed to pay Freight Subsidy on export of cementfrom our Karachi Plant also.

(b) Financial Performance(i) Sales Performance

The prices of cement were remained under pressure in the domestic market during theperiod under review due to stiff competition. The export prices were also slightly reducedduring the quarter. The net sales revenue of your Company during the nine months wasdecreased by 5.7% as compared to same period last year because of decline in the cement prices both in local and export markets. The local prices were decreased by 27.53% whereasthe export prices were decreased by 12.90%. The ratio of sales revenue from exports was61% whereas the local sales accounted for 39% during the nine months of current year.

(ii) Cost of Sales

The cost of production of the industry has increased substantially due to rising energy priceswith double digit inflationary trend in the country. However, because of various timelymeasures taken by the management of your Company, the cost of production of yourcompany was kept under tight control. The Cost of sales in term of absolute value decreasedby 2.2% whereas cost per ton of cement decreased by 16.5% as compared to same periodlast year. The prices of coal in the international markets have shown increasing trend butyour Company managed to procure coal at comparatively lower prices due to advancequantity booking well ahead of price increase.

(iii) Gross Profit

Your Company achieved a gross profit rate of 35% for the nine months ended March 31, 2010as compared to 37.2% gross profit rate achieved during the same period last year.

(iv) Finance and Other Costs

The finance cost of your Company for the period under review was decreased to Rs.418.309million from Rs.998.032 million during the same period last year. In order to reduce thefinancing cost, your Company has early repaid its long term loans carrying high markups andresorted to export re-finance facility carrying lower markup on the back of export sales.

(v) Distribution Costs

The distribution cost for the period under review was increased because of increase in exportvolume, Inland and Ocean freights.

(vi) Deferred Taxation

During the nine months under review, your Company provided a deferred tax provision ofRs.172.127 million making the total provision of Rs.1.650 billion in the balance sheet.

(vii) Net Profit

Your Company was able to earn net profit after tax of Rs.2.56 billion, as compared toRs.3.07 billion earned during the same period last year. The earnings per share for this quarterwas Rs.2.02 whereas on cumulative nine months basis the earnings per share was Rs.7.92.

Progress on Expansion ProjectsAl Hamdulillah, the Waste Heat Recovery Project of Karachi plant has successfullycommenced operation during this quarter and your Company has started getting the benefitof cheap electricity without the use of fuel from this project.

The Waste Heat Recovery Project of Pezu Plant is under erection and commissioning andit is expected that the power generation from this plant would be started by end of thisfinancial year.

Future OutlookDuring the nine months period under review, the demand of cement in the local market haswitnessed a hefty growth of 17% without Government spending through Public SectorDevelopment Programme. Based on the local sales of last two months, it is anticipated thatthe demand of cement in the domestic market may further improve in the coming monthsand the total sales of the industry for this financial year in the domestic market may endup close to 23.5 million tons against the last year sales of 19.39 million tons.

The recent Inland Freight Subsidy for boosting the cement export from the country through sea route may help to increase the volume of cement export. In view of this subsidy, it isanticipated that during the remaining months of this financial year the cement export from thecountry may end up close to 10.5 million tons.

Concrete Progress

1. THE COMPANY AND ITS OPERATION

Lucky Cement Limited (the Company) was incorporated in Pakistan on September 18, 1993under the Companies Ordinance, 1984 (the Ordinance). The shares of the Company arequoted on all the three stock exchanges in Pakistan. The Company has also issued GDRswhich are listed and traded on the Professional Securities Market of the London StockExchange. The principal activity of the Company is manufacturing and marketing of cement.The registered office of the Company is located at Pezu, District Lakki Marwat in KhyberPukhtoonkhwa. The Company has two production facilities at Pezu, District Lakki Marwat inKhyber Pukhtoonkhwa and at Main Super Highway in Karachi, Sindh.

2. BASIS OF PREPARATION

These interim condensed financial statements are un-audited and are presented to theshareholders under section 245 of the Ordinance and have been prepared in a condensedform in accordance with the requirements of the International Accounting Standard (IAS) -34 "Interim Financial Reporting" as applicable in Pakistan. These interim condensedfinancial statements do not include all the information and disclosures required in the annualfinancial statements, and should be read in conjunction with the Company’s annual financialstatements for the year ended June 30, 2009.

3. SIGNIFICANT ACCOUNTING POLICIES

The Accounting policies adopted in the preparation of these interim condensed financialstatements are consistent with those followed in the preparation of the Company's annualfinancial statements for the year ended June 30, 2009, except adoption of revised IAS 1 asnoted below:

IAS 1 (Revised), ‘Presentation of financial statements’ (effective from January 1, 2009), wasissued in September 2007. The revised standard prohibits the presentation of items ofincome and expenses (that is, ‘non-owner changes in equity’) in the statement of changesin equity, requiring ‘non-owner changes in equity’ to be presented separately from ownerchanges in equity. All non-owner changes in equity are required to be shown in a performancestatement, but entities can choose whether to present one performance statement (thestatement of comprehensive income) or two statements (the income statement and thestatement of comprehensive income).

The Company has chosen to present all non-owner changes in equity in one performancestatement – statement of comprehensive income (profit and loss account). The Companydoes not have any items of income and expenses representing other comprehensive income.Accordingly, the adoption of the above standard does not have any significant impact on thepresentation of the Company’s financial statements and does not require the restatement orreclassification of comparative information.

7. CONTINGENCIES AND COMMITMENTS

7.1. CONTINGENCIES

7.1.1. The Competition Commission of Pakistan has passed a single order onAugust 27, 2009 against all the cement manufacturers of the Country onthe alleged ground of formation of cartel for marketing arrangement and thereby imposed upon a penalty @ 7.5% on total turnover of each companyconsisting of both local and export sales. The amount of penalty imposed onthe Company is Rs. 1,271,840,925/- which has been challenged in the Courtof Law. The Company's legal council is confident that the Company has agood case and there are reasonable chances of success to avoid the penalty,hence, no provision for the above has been made in the interim condensedfinancial statements.

7.1.2. The Supreme Court of Pakistan while disposing off an appeal of the Collectorof Customs, Karachi has issued a judgement on July 28, 2009 whereby it hasset aside the earlier order of the Peshawar High Court decided in favour of theCompany on the issue of plant & machinery imported under SRO 484(I)/92dated May 14, 1992 after obtaining approvals from the concerned Ministries.The Company has filed a review petition against the referred order which ispending before the Supreme Court of Pakistan. The amount of disputedliabilities is not ascertainable at this stage as no order was earlier framed bythe Collector of Customs.

7.1.3. The Company was entitled to sales tax exemption on cement produced by itfrom the date of commissioning to June 30, 2001 vide SROs 580(1)/91 and561(1)/94 dated 27-06-1991 and 09-06-1994 respectively. In June 1997, theFederal Government withdrew the sales tax from the entire cement industryand deprived the Company from the advantage of its sales tax exemption.Being aggrieved by the denial of the benefit of sales tax exemption, theCompany had filed a writ petition in the Peshawar High Court. Subsequently,the sales tax exemption was restored on September 5, 2000. The writ petitionwas therefore withdrawn on legal advice but at the same time a suit was filedfor compensation. During the period, civil judge Peshawar has granted theex-parte decree in favor of the Company amounting to Rs. 1,693.61 millionalong with 14% per annum until the said amount is actually paid. The abovewould be recorded at the appropriate time in accordance with the requirementsof International Accounting Standard-37.

7.1.4. There are no other major changes in the status of contingencies as reportedin the annual financial statements for the year ended June 30, 2009.
