    DATE: September 18, 2015 FROM: Paul Kozachenko, District Counsel TO: Board of Directors Washington Township Health Care District CC: Nancy Farber, Chief Executive Officer Ed Fayen, Senior Associate Administrator RE: Right of Way Agreement between the District and the City of Fremont In 2014, the City of Fremont approached the District about the acquisition of non-exclusive easements on District property at 39101 Civic Center Drive and 2500-2780 Mowry Avenue in connection with the Fremont City Center Multi-Modal Improvement Phase II Project (the “Project”). This Project is part of the ongoing implementation of the Fremont Downtown Community Plan. Specifically, the City wants to acquire: 1. Pedestrian Pathway Easement over 2,623 square feet of real property; 2. Two Pedestrian and Bicycle Pathway Easements over a total of 9,811 square feet of real

    property; and 3. A Temporary Construction Easement over a total of 8,429 square feet of real property. The location of the easements is shown on Exhibit 1 to this memorandum (see detail for Area 2 and Area 3). The City requires the easements, which are not now appropriated to a public use, for its Project. The City maintains that the City can acquire the easements through the exercise of the power of eminent domain. Both the District and the City recognize the expense, time, effort and risk to both the District and the City in resolving a potential dispute over compensation for the easements by eminent domain litigation. Therefore, the parties are contemplating entering into an agreement, which will be referred to as a Right of Way Agreement, whereby the City pays $107,000 for the easements (“Purchase Price”). Previously, the District obtained an appraisal which supports the Purchase Price.

    In addition, the City proposes to pay a one-time payment of $5,000 as a contribution to maintaining the sidewalks and the asphalt. The easements will allow for construction of certain improvements, including ADA compliant widening of sidewalks, new asphalt, striping for bike lanes, installation of directional signs and installation of lighting. The easements are non-exclusive over existing pedestrian and vehicle access ways and will not impair access to the District or to any of the Tenants who lease property from the District at Washington West Retail Shops. Under the terms of the contemplated Right of Way Agreement, the City will maintain and provide power for the new lights. In addition, the City will maintain newly installed signs and bike racks. The District will maintain the sidewalks and asphalt—which is essentially consistent with its current practice. If the District decides to proceed, I recommend adoption of the following motion: In accordance with District Law, Policies and Procedures, the Board of Directors authorizes the Chief Executive Officer to execute a Right of Way Agreement (including grants of easements referred to in the Right of Way Agreement), between the District and the City of Fremont in a form substantially as described in this Memorandum to the Board of Directors; in addition, the Chief Executive Officer is authorized to take any and all further actions as necessary, which in the determination of the Chief Executive Officer, incorporate the substantive intent of this Motion.

    5. THE CONTRACTOR SHALL PROVIDE ALL LIGHTS, SIGNS, BARRICADES, FLAGMEN OR OTHER DEVICES NECESSARY TO PROVIDE FOR PUBLIC SAFETY.

    6. IT SHALL BE THE RESPONSIBILITY OF THE CONTRACTOR TO COORDINATE ALL NECESSARY UTILITY RELOCATIONS WITH THE APPROPRIATE UTILITY COMPANY.

    7. THE EXACT EXTENT OF NEW PAVEMENT SHALL BE DETERMINED BY THE CITY ENGINEER UPON COMPLETION OF THE ROADWAY EXCAVATION. NEW PAVEMENT SHALL CONFORM TO EXISTING SOUND STRUCTURAL SECTION.

    8. REFER TO OTHER SHEETS FOR ADDITIONAL NOTES AND LEGENDS PERTAINING TO SPECIFIC ITEMS OF WORK.
