    LEASE AGREEMENT

    The Lease Agreement (this Agreement) made and entered at NewDelhi on ____________ Day of ________________, 2009, in between,

    _______________________S/O__________________________, residing at _ _____________________________________ hereinafter called the Lessor(which expression shall wherever the context permits, mean andinclude his heirs, successors, assigns, executors and administrators) ofthe ONE PART.

    AND

    adidas India Marketing Pvt. Ltd., a company incorporated underthe Companies Act, 1956, and having its registered office at C-2, AnsalVilla, Satbari, New Delhi110 074 and corporate office at Plot No.93,Sector- 32, Institutional Area, Gurgaon 122 001 represented hereinby Andreas Gellner, Managing Director and Tushar Goculdas, Directorhereinafter called Lessee (which expression shall unless it berepugnant to the subject or context thereof be deemed to include itssuccessors and permitted assigns) of the OTHER PART.

    WHEREAS the Lessor is the exclusive and lawful owner of andabsolutely seized and possessed of or otherwise well and sufficientlyentitled to the property situated at _________________________________.(hereinafter referred to as the said premises).

    AND WHEREAS The Lessee has requested and the Lessor have agreedto allow the Lessees officer Mr._____________________, employed as_____________________ (the Occupant), to occupy and use the saidpremises on lease for a period of ___________________ for the residentialpurposes of the Occupant and his family members only, on the termsand conditions as detailed hereunder.

    NOW THEREFORE THIS AGREEMENT WITNESSETH AND IT IS HEREBYAGREED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:

    1. The Lessor hereby at the request of the Lessee, allow theLessee and his family members and domestic servants touse and occupy the said premises for a period of 11monthsand the lease of the said premises shall commencefrom ________________ on the terms and conditionshereinafter mentioned. The term of the lease can berenewed, with mutual consent between both the parties

    2. The said premises shall be exclusively used only for theresidence of the Occupant and his family members and forno other person / persons or purpose whatsoever. In theevent of the transfer of the Occupant to any other locationoutside NCR or termination of employment with thecompany, the lease stands automatically terminated.

    3. The Lessee shall pay to the Lessor rent ofRs._______________/-(Rupees ______________________ Only) per month subjectto deduction of TDS as per I.T rules, for the use of the said

    premises. The rent shall be paid to the Lessor in advanceon or before _7th of every month.

    4. The Lessee agrees to pay a sum ofRs.__________________/-(Rupees ______________________ Only) to the Lessor beinginterest free security deposit being refundable to theLessee at the earlier termination or expiry of the Leaseagreement.

    5. The Occupant shall remove himself and his familymembers and their belongings and effects entirely from

    the said premises on the expiry or earlier termination ofthis Agreement, leaving the premises in reasonable goodcondition as it was at the time of the Agreement allowingscope only for regular wear & tear.

    6. The Occupant shall be at liberty to fix or install or bring allfurniture, fittings, including air conditioners, etc., into thesaid premises required for such residence withresponsibility to remove the same on expiry or terminationof this Agreement without causing any damage to the saidpremises, expecting regular wear & tear.

    The Occupant shall not make any structural alterations ofany kind whatsoever and also not erect, build, in the saidpremises and not cause any damage to the said premisesor to the fittings therein.

    8. The Occupant shall not carry out any willful acts as wouldbe construed as breach of standard rules, regulations ofsociety, Bye - Laws or indulge in any activities which areobnoxious, antisocial, illegal or prejudicial to the norms ofdecency or etiquette or which cause a nuisance to theother members of the society in the building.

    9. The Lessee shall be entitled or permitted to use the saidpremises for residential purpose for the Occupant only andshall not use or permit the use of the said premises for anyunlawful purposes.

    10.The Lessee shall not be entitled or permitted to assign, underletor sublet the said premises or any part thereof to anybodywhatsoever.

    11. The Lessor or their appropriate agent or representative can

    inspect the said premises by giving two days notice inwriting to the Lessee.

    12. Either party shall have the right to terminate thisagreement without assigning any reason by giving ONEMONTHS NOTICE.

    13. The Lessor shall be liable for Society Maintenance,Municipal and Property Tax in respect of the said premisesall throughout & before the tenure of the Agreement. TheOccupant alone shall pay charges for car parking and

    charges for cable, Internet, electricity, Mahanagar Gas &telephone (if installed) and maintain a file of bills behanded over to the Lessor at the end of the term.

    14. In the event of the Lessor being unable to pay the interest freeSecurity Deposit to the Lessee on expiry of this agreementor on earlier termination thereof, the Lessee shall have theright to occupy the said premises till such time the Lessorrefunds the Security Deposit to the Lessee. The Lesseeshall not be liable to pay the License fee for the period ofoccupation of the said premises by reason of non refund

    of the Security Deposit by the Lessor to the Lessee. Inaddition the Lessor shall also be liable to pay interest onthe security deposit for the period of such delay (i.e. periodbetween the date of the expiry of the License period or onthe prior termination of the agreement and the date of therefund) which shall be calculated at the rate of 18% perannum.

    15. Any notice to be served to the Lessee hereunder shall bedeemed to have been properly and sufficiently served ifserved by registered post / courier C at the address first

    given above and upon the Lessor by registered post or

    courier at their address first hereinabove mentioned.

    16. Before handing over possession, maintenance charges billselectricity bills & telephone bills shall be cleared upto dateby the Occupant and proof thereof furnished to the Lessor.

    17. The jurisdiction of this Agreement shall be New DelhiCourts Only.
