RECEIVERSHIP PROCESS

On December 15, 2017, MNP Ltd. was appointed the Receiver of 2481043 Ontario Inc. pursuant to Order (the “Appointment Order”) of Madam Justice Conway of the Ontario Superior Court of Justice (Commercial List) (the “Court”). 2481043 Ontario Inc. owns 1450 Don Mills Road, Toronto, Ontario (the “Property”).

The Appointment Order authorized MNP to market the Property and sell the Property with the approval of the Court, and further authorized the Receiver to engage CBRE Limited (“CBRE”) as the listing agent for the Property to market and sell 2481043 Ontario Inc.’s interest in the Property in accordance with the Sale Process detailed herein.

REVIEW PROCESS

Parties who have executed the Confidentiality Agreement provided by CBRE will be given access to a data room site containing relevant materials on the Property. Site inspections may be arranged with CBRE. Any additional questions or requests are to be submitted to CBRE.

OFFERING PROCESS

Based on information contained in this brochure and other information that may be made available upon request, interested parties are invited to submit a proposal that addresses the requirements outlined under “Submission Guidelines”. Prospective purchasers will be provided with the Vendor’s Standard Purchase and Sale Agreement, however, initial submissions are to be in ‘Letter of Intent’ format.

The Property is being offered without an asking price.

SUBMISSION GUIDELINES

Proposals will be evaluated primarily on the consideration offered, the method of payment of the consideration, the prospective purchaser’s ability to complete the transaction, and the proposed date and conditions of closing.

A proposal should outline the terms for the purchase of the Property, and should include, at a minimum, the following information and items:

1. Purchase price;2. Name of the ultimate beneficial owners of the purchaser;3. Evidence of the purchaser’s financial ability to complete the transaction, including the method of financing the purchase;4. Terms and conditions of closing, including a schedule of timing and events to complete the transaction.5. The Receiver’s ‘Schedule B’ as provided by CBRE via the data room.

Once the Vendor has received initial submissions, a short list of parties will be invited for a second round of bidding.

Prospective purchasers should note that the Vendor is under no obligation to respond to or accept any proposal. The Vendor reserves the right to remove the Offering from the market and to alter the offering process described above and timing thereof, at its sole discretion.
