    JOB DESCRIPTION

    A. JOB PROFILE

    The incumbent shall be the part of the senior management team reporting

    to CEO and will assume a key role in instituting an efficient financial

    management, corporate planning & control systems.

    .

    B. JOB DUTIES & RESPONSIBILITIES:

    Collaborate with companys Board of Directors to define & articulate

    the organizations vision and develop strategies for achieving it.

    Direct co planning and policy making committees.

    Arrange Board meetings and record minutes thereof.

    Follow-up implementation of Boards decisions.

    Maintain companys statuary books & records and review activity

    reports & financial statements Present co reports at AGM & Board

    meetings.

    File applicable Returns with corporate authorities.

    Ensure compliance with all applicable laws & legal requirements

    including CCG.

    Coordinate with Stock Exchange, CDC, SECP, FBR & Registrars of

    Companies.

    Review all important legal documents/ agreements before the

    approval by the CEO/ Board. Ensure protection of copyrights & Trademarks of the Company.

    Institute & defend legal suits on behalf of the company.

    Sign power of Attorney and other legal documents as per Bard

    directions.

    Develop & revise management policies and procedures.

    Develop & maintain MIS- Management Information System for the

    Board.

    Provide regular update to the Board of Directors on all important

    matters.

    Initiate management audit to ensure adherence to the approved

    policies & procedures and report exception to the board audit

    Committee (BAC).

    Supervise Internal Audit Function of the Company and submit

    regular reports to BAC.

    Represent co at different corporate forums, meeting seminars and

    at other formal functions.

    Promote company to local national and international constituencies

    and build a network closely with all relevant authorities to ensure

    that corporate best practices are utilized for special events and

    foundation support.

    Any other task assigned by the Board.

    JOB SPECIFICATIONA. QUALIFICATION & COMPETENCIES:

    Fellow Chartered Accountant/ Management Accountant, Law

    graduate or a member of Chartered Institute of Pakistan with 5-10

    years experience in a senior management position governing

    corporate affairs preferably in similar industry.

    Well versed with international & local financial & corporate issues.

    Expertise in formulating, devising & executing financial strategies,

    managing business planning and strong forte in systemdevelopment.

    Ability to manage multiple competing priorities in a fast paced

    environment.

    Strong organizational skills with keen attention to detail, accuracy

    and follow-through coupled with sense of energy.

    Demonstrated entrepreneurship skills with knowledge of

    contracting, negotiating and public & corporate relation principles &

    practices.

    High level of integrity, energy, commitment & professional zeal. Ability to represent & promote company and communicate &

    interact with officials at all levels.

    A. SKILLS AND PROFICIENCIES:

    Computer proficiencies and financial modeling skills with ERP
