Perkins Coie LLP (the “Applicant” or “Perkins”), counsel to Advance Science
Technologies, Inc. (“AST”) and FS-IP LLC (“FS-IP”), as debtors and debtors-in-
possession (collectively, the “Debtors”), pursuant to Sections 330 and 331 of Title 11 of the
United States Code (the “Bankruptcy Code”) and Rule 2016 of the Federal Rules of Bankruptcy
Procedure (the “Bankruptcy Rules”), hereby submits its First and Final Application (“Fee
Application”) for (i) final approval and allowance of its final fees and expenses incurred during
the period of December 29, 2017 through February 7, 2018 (“Fee Application Period”) for legal
services in the amount of $431,170.50 and reimbursement of expenses in the amount of
$4,745.04, less a voluntary reduction in the amount of $30,000.00, for a total of $405,915.54, for
services rendered as counsel to the Debtors during the Fee Application Period, and respectfully
represents as follows:

OVERVIEW OF SERVICES PROVIDED TO DEBTORS
1. As counsel to the Debtors, Perkins Coie represented the Debtors in all aspects of
these Chapter 11 cases, which culminated in confirmation of a Second Amended Joint
Prepackaged Chapter 11 Plan of Reorganization [Dkt. 59] (the “Plan”), as confirmed by
Findings of Fact, Conclusions of Law, and Order (I) Approving Debtors’ (A) Disclosure
Statement, (B) Solicitation of Votes and Voting Procedures, and (C) Form of Ballots, and (II)
Confirming Amended Joint Prepackaged Chapter 11 Plan of Reorganization, entered February 8,
2018 [Dkt. 60], as clarified by Order Clarifying Confirmation Order entered February 14, 2018
[Dkt. 65] (collectively, the “Confirmation Order”). It is respectfully submitted that the services
of Perkins Coie provided substantial benefits to the Debtors, their creditors, and their affiliates in
guiding the Debtors through this process.
RELIEF REQUESTED
2. By this Fee Application, Perkins Coie, as counsel to the Debtors, seeks final
allowance of (i) compensation for legal services rendered to and on behalf of the Debtors during
the Fee Application Period in the amount of $431,170.50, together with expense reimbursement
in the amount of $4,745.04, less a voluntary reduction of $30,000.00, for a net total of
$405,915.54. This Fee Application has been prepared in accordance with the Amended
Guidelines for Fees and Disbursements for Professionals in the Southern District of New York
Bankruptcy Cases, dated June 17, 2013, and the United States Trustee Guidelines for Reviewing
Applications for Compensation and Reimbursement of Expenses filed under 11 U.S.C. § 330,
adopted on January 30, 1996.
3. Perkins Coie is a law firm employing more than 1,000 lawyers in 19 offices
worldwide. Perkins Coie has a financial restructuring and bankruptcy group with extensive and
diverse experience in the areas of bankruptcy, insolvency, and debtor and creditor rights.
Perkins Coie’s bankruptcy attorneys often represent debtors in cases such as these.

4. It is respectfully submitted that the services of Perkins Coie have been beneficial
to the Debtors and their creditors, as well as to the Debtors’ affiliates who were involved in the
Plan, including without limitation Fortior Solutions, LLC (“Fortior”).
5. As a result of the broad range and years of experience of Perkins Coie’s attorneys,
as well as Perkins Coie’s familiarity with the Debtors’ and their affiliates businesses through the
firm’s representation of Fortior, Perkins Coie’s services were rendered in an expeditious and
efficient manner. Perkins Coie submits that if other attorneys with less experience in this type of
Chapter 11 case and/or less familiarity with the Debtors’ corporate family had been retained by
the Debtors, the time and effort necessary for such attorneys to become adequately familiar with
the law and various issues involved in cases such as these would have caused a substantial
increase in the fees requested by Debtors. More importantly, however, the results achieved
herein could not have been achieved by counsel with less such experience and familiarity.
JURISDICTION
6. This Court has jurisdiction over this Application pursuant to 28 U.S.C. § 157.
This is a core proceeding under 28 U.S.C. § 157(a) and (b). The statutory predicates for the
relief sought herein are Sections 330 and 331 of the Bankruptcy Code, as supplemented by
Bankruptcy Rule 2016.
BACKGROUND
The Debtors and Their Businesses
7. On December 29, 2017 AST and FS-IP (the “Debtors”) filed voluntary petitions
for relief under Chapter 11 of the Bankruptcy Code in the Bankruptcy Court for the Southern
District of New York (the “Court”). The Chapter 11 cases were consolidated for procedural
purposes only and were jointly administered.
8. AST was incorporated in August 2017, originally with the name SID-GB, Inc.,
initially for the purpose of holding the government contracting business of SureID, Inc. FS-IP
was formed in July 2017, originally with the name SID-IP LLC, initially for the purpose of
holding certain intellectual property assets of SureID, Inc. Both were originally wholly-owned

direct subsidiaries of SureID, Inc. Through a series of corporate transactions, described in detail
in the Plan and accompanying Disclosure Statement [Dkt. 10], SureID, Inc. is now Fortior
Solutions, LLC (“Fortior”) ; FS-IP was merged into AST; AST now owns and operates a portion
of the business previously conducted by SureID, Inc.; AST now owns, indirectly, 25% of Fortior;
and the original Fortior shareholders now own, indirectly, the remainder of Fortior subject to
rights of certain employees and others pursuant to a Long Term Incentive Plan.
Retention of Perkins Coie
9. On December 29, 2018, Perkins Coie filed an application for its employment as
counsel to the Debtors. On January 30, 2018, this Court entered an order approving Perkins
Coie’s employment as counsel for the Debtors, nunc pro tunc to the petition date. [Dkt. 44.]
SUMMARY OF SERVICES RENDERED
10. This Application briefly summarizes the services rendered by Perkins Coie on
behalf of the Debtors during the Fee Application Period. While it is not possible or practical to
restate each and every activity undertaken by Perkins Coie, Perkins Coie has maintained
contemporaneous time records which include a detailed chronology of the daily services
rendered describing the precise nature of the work, the specific tasks performed and the time
expended by each attorney and paraprofessional. Copies of the time records for the Fee
Application Period are annexed hereto collectively as Exhibit C. A breakdown of the hours and
fees by category of services, selected in accordance with Guidelines of the Office of United
States Trustee, as adapted for this case, is annexed hereto as Exhibit A. A breakdown of the
hours and fees by attorney and paraprofessional is annexed hereto as Exhibit B.
11. Perkins Coie has incurred out-of-pocket disbursements during the Fee Application
Period, as described in the first invoice included within Exhibit C and summarized by category
in Exhibit D. Each charge incurred by Perkins Coie was necessary and was incurred as a direct
result of Perkins Coie’s involvement in this case.
12. All the services performed by Perkins Coie for which compensation is requested
during the Fee Application Period were performed for or on behalf of the Debtors, and by

leading to the confirmed Plan, benefited the Debtors, their creditors, and their affiliates.
Summaries of the primary services rendered by Perkins Coie specifically during the Fee
Application Period are grouped into the categories set forth below.
Preliminary Statement
13. Despite the difficult circumstances the Debtors and their non-debtor affiliates
faced, through the confirmed Plan – and through the services performed by Perkins Coie – they
were able to effectuate a fully consensual restructuring that allows the Debtors and their affiliates
to maintain operating businesses; allows the original Fortior shareholders to maintain their
control of Fortior and maintain that long term upside; and allows Goldman to preserve a
significant portion of the value of the enterprise through use of the NOLs. None of that would
have been possible without the Plan and without Perkins Coie’s efforts in this case.
14. In a case of this magnitude, many of the tasks accomplished could rationally be
recorded within more than one category. While an effort has been made to ensure consistency,
that is not always possible; the firm recognizes some of the time entries in different categories
cover some similar services. But the time entries all reflect separate efforts and do not reflect
any duplication in that regard.
Case Administration
15. As with almost any Chapter 11 case of any complexity, there are a number of
tasks that must be accomplished in order to ensure that the case runs smoothly. In this case, that
time included considerable effort in establishing and maintaining a webpage available to all
parties in interest, including Fortior shareholders, with copies of all pleadings filed in the case;
completion of certain logistical tasks such as delivery of pleadings to chambers and to the U.S.
Trustee; preparation of internal task and priority lists and other organizational tasks; and
preparation and maintenance of several different service lists required for different purposes in
this case, including some with Fortior shareholders.
16. Perkins Coie incurred 73.0 hours and $30,517.50 in fees in this category.

First Day Motions
17. Prior to and at the outset of these cases, Perkins Coie worked with Debtors to
ensure a smooth transition into Chapter 11, including addressing operational issues, concerns
raised by third parties and other issues as needed to ensure continuity of the Debtors’ and their
affiliates’ business operations. Perkins Coie worked with Debtor’s Chief Financial Officer Sean
Sullivan to prepare a detailed declaration regarding Debtors’ business, operations, and history, as
well as a detailed description of each of the First Day Motions. Perkins Coie prepared the
following substantive and administrative First Day Motions: (1) Motion for Order Directing Joint
Administration of Related Chapter 11 Cases; (2) Motion for Order Authorizing the Debtors to
Assume Restructuring Support Agreement (the “RSA Motion”); (3) Motion for Interim and Final
Orders Authorizing Use of Cash Collateral (the “Cash Collateral Motion”); (4) Motion for
Interim and Final Orders Establishing Notice and Hearing Procedures for Trading of the
Beneficial Ownership of Related Party Equity Securities (the “Stock Transfer Motion”); and
(5) Motion for Order Establishing Confirmation Schedule (the “Scheduling Motion” and, with
the others, collectively, the “First Day Motions”).
18. Perkins Coie then diligently prosecuted the First Day Motions. The First Day
Motions were critical to the success of these cases. In particular, the Stock Transfer Motion was
the subject of considerable effort, as it was central to the structure of the Debtors’ Plan. One of
the Debtors’ and their affiliates’ most significant assets was the prepetition net operating losses
(“NOLs”) incurred over the years. Preservation of the NOLs was absolutely crucial to the
success of the Plan, as without the NOLs the Debtors’ senior secured lenders (“Goldman”)
would not have supported or consummated the Plan. The Stock Transfer Motion engendered the
Court’s concerns at the January 5 first day hearing, as well as concern on the part of the U.S.
Trustee’s office. There were thus a number of conferences with U.S. Trustee representatives, as
well as innumerable discussions with Goldman and its representatives, over the various aspects
of the Stock Transfer Motion, including the scope of the relief to be requested in the short term,
the scope of the relief to be requested in the longer term, and the risks associated with the various

alternatives. The great majority of the effort required to prosecute the Stock Transfer Motion
was not anticipated at the outset of the case.
19. Perkins Coie incurred 174.6 hours and $159,013.50 in fees in this category.
Communication with Creditors
20. In any bankruptcy case, one of the debtor’s counsel’s jobs is to communicate with
creditors and other parties in interest who have both procedural and substantive questions about
the bankruptcy. That was true in this case as well. In addition, the time in this category
included time spent considering and responding to certain inaccurate newspaper articles
regarding the bankruptcy cases.
21. Perkins Coie incurred 8.9 hours and $7,316.50 in fees in this category.
Retention and Fee Applications (Perkins)
22. It is, of course, a requirement in the Bankruptcy Code and the Bankruptcy Rules
that Perkins Coie obtain an order approving its employment as counsel for the Debtors. Efforts
to that end, including discussions with U.S. Trustee representatives and letters to chambers, are
included in this category.
23. Perkins Coie incurred 13.0 hours and $11,872.50 in fees in this category.
24. The time for which compensation is requested in this category includes only time
relating to Perkins Coie’s retention and the pro hac vice application of Alan D. Smith, a
Washington and California (but not New York) licensed attorney. No compensation is being
requested for the efforts relating to this fee application.
Business Operations
25. From time to time, miscellaneous questions arose relating to the effect of
bankruptcy on various aspects of a Debtor’s business.
26. Perkins Coie incurred 1.9 hours and $1,813.50 in fees in this category.
Schedules and Statements of Affairs
27. In the Scheduling Motion, one of the First Day Motions, the Debtors requested
that the Court postpone (and, if the case progressed as anticipated, ultimately waive) the

requirement that the Debtors file schedules and statements of affairs for this prepackaged case.
The U.S. Trustee’s office opposed the request for a waiver and the Court declined to approve
such a waiver. Accordingly, Perkins Coie worked with the Debtors and their affiliates to prepare
the schedules and statements of affairs.
28. Perkins Coie incurred 29.2 hours and $13,947.50 in fees in this category.
Plan and Disclosure Statement
29. The Plan and accompanying Confirmation Order are, of course, the ultimate and
critical documents in a Chapter 11 case. This case was no exception, and this was the largest
billing category in this case.
30. The Plan and Disclosure Statement were drafted prepetition, but throughout the
case, Perkins Coie was engaged in a near-continual effort to progress toward the confirmation
hearing, including preparation of the confirmation memorandum and the proposed confirmation
order, findings, and conclusions.
31. The majority of Perkins Coie’s time in this category was spent in documenting the
mergers and other corporate transactions required to consummate the Plan. Where possible, the
firm separately categorized time addressing corporate governance issues (see the next category
below), but the great majority of effort was expended in preparing and negotiating the numerous
corporate and business documents required under the Plan itself.
32. This was a difficult and complex process. Many of the issues were directly
adverse to Goldman, necessitating extensive negotiations with a very sophisticated lender and its
very sophisticated advisors.2
33. In addition, at the first day hearing the Court expressed concern over certain
aspects of the Plan, including the release language and effects on third parties. The U.S.
Trustee’s office was concerned with many of the same issues. Perkins Coie, to some extent

working with (but in many instances negotiating against) Goldman and its sophisticated advisors,
expended considerable effort in order to clarify the Plan and ensure the U.S. Trustee’s and the
Court’s concerns had been addressed.
34. Many of these services, while billed under the Debtors’ names in this category as
part of these bankruptcy cases, were designed to and did benefit the Debtors’ affiliates,
particularly Fortior. The end result of the Plan was a restructuring of the entire corporate family,
resulting in AST as a new operating entity with a business and the NOLs, and Fortior as a
continuing operating entity with a restructured balance sheet - with each of various mergers and
other transactions directed to those companion goals. Accordingly, to the extent Perkins Coie’s
fees exceed the assets available in the bankruptcy estates,3 the firm intends to seek
reimbursement of a portion of any unpaid fees from Fortior. See below.
35. Perkins Coie incurred 262.2 hours and $204,152.00 in fees in this category.
Corporate Governance and Securities
36. The Debtors’ Plan involved a number of complex corporate transactions,
including mergers and other transactions, all of which require legal time in documenting and
closing the transactions. Perkins Coie attempted to separate certain of the corporate activities
engaged in on behalf of the Debtors from those incurred strictly on behalf of Fortior, invoicing
the Debtors for corporate activities in this category. As noted above, many of the activities
recorded in the Plan and Disclosure Statement category were “corporate” services related to the
mergers and other corporate transactions necessary to consummate the Plan. Those activities
were included there and not in this category.
37. Perkins Coie incurred 2.9 hours and $2,537.50 in fees in this category.
Voluntary Writedown and Sources of Payment
38. Perkins Coie believes its services were necessary and appropriate in the context of
these Chapter 11 cases, and that the services were performed efficiently and effectively.

Nonetheless, as an accommodation to its clients and in recognition of the limited resources
available to these estates, Perkins Coie is voluntarily discounting its fee request by $30,000, or
about seven percent.
39. Further, the Reorganized Debtors (now simply Reorganized AST as a result of the
merger of FS-IP into AST) are now under the control of Goldman. Prior to filing these cases,
Goldman was adamant that it would fund only $210,000.00 toward the bankruptcy process.
Although Perkins Coie believed that amount was insufficient to fund the cases, Perkins Coie
went along with that figure because there really was very little choice at the time. That amount
was put into an account owned by FS-IP and was the subject of the Cash Collateral Motion. Of
that amount, $200,000 was allocated toward attorneys’ fees and $10,000 was allocated toward
U.S. Trustee fees. In addition to that $210,000, Perkins Coie continues to hold the remainder of
its prepetition retainer in the amount of $4,534.70, so there is a total of $214,534.70 available for
all purposes. To date, the minimum of $325.00 has been paid to the Office of the United States
Trustee on account of the fourth quarter of 2017. Perkins Coie believes the minimum of $325.00
will be due for the first quarter of 2018, as no distributions were made from the bankruptcy
estates during the quarter. In the second quarter of 2018, which should be the last quarter, the
estate will distribute the remainder of its cash (roughly $214,000), which will mean the U.S.
Trustee fee will be $1,625.00.
40. Accordingly, Perkins Coie recognizes that the Debtors’ estates are not in a
position to fund more than about $212,000 in professional fees, leaving a shortfall of
approximately $190,000 if all of the requested fees are allowed. Other than the U.S. Trustee
fees, which will be paid prior to or concurrently with payment of Perkins Coie fees, there should
be no other competing claimants against that cash. If there is for some reason a higher than
anticipated U.S. Trustee fee, the firm acknowledges there will be less cash than anticipated to
pay its fees and the firm will write off for all purposes the additional U.S. Trustee fees, as well as
the $30,000 referenced above.

41. Perkins Coie wishes to make clear one aspect of this process. The firm does
not intend to write off the entirety of that $190,000 shortfall. As noted above in the Plan and
Disclosure Statement section, Perkins Coie’s efforts through this case have benefited not only the
Debtors; they have benefited Fortior as well. That is without question true for the fees included
within the Plan and Disclosure Statement category and, because the Debtors could not have
confirmed the Plan without Perkins Coie’s other services, it is true for virtually all of the fees
incurred in these cases. Except with respect to certain matters that were without question the
exclusive responsibility of Fortior,4 Perkins Coie did not attempt to prorate individual time
entries between the Debtors and nondebtor affiliates. Such a prorated allocation would be highly
artificial because virtually all of the efforts benefited both Debtors and Fortior at the same time.
42. Accordingly, Perkins Coie has discussed with Fortior payment of a portion of the
approximately $190,000 that will remain unpaid from the Debtors’ estates, and Perkins Coie has
agreed to accept a heavily discounted portion of that amount. Perkins Coie is not requesting any
findings from the Court respecting any such amounts, or any findings respecting any benefits
Fortior may or may not have received from those services. As the firm’s services relate to these
Debtors, there is no doubt: the fees benefited the Debtors, enabled the Debtors to go into and get
out of Chapter 11 in an efficient and timely manner, and provided the Debtors both with an
operating business and a significant value of NOLs. Perkins Coie does not believe that this
Court need be bothered by any issues respecting the remaining fees relating to Fortior, a
nondebtor, or respecting what if anything Fortior should pay of those remaining amounts.5
REASONABLENESS OF FEES
43. Perkins Coie believes that its billing rates in the Chapter 11 case, which reflect
Perkins Coie’s customary billing rates, are “reasonable billing rates” for purposes of this Court’s

determination of the “reasonableness” of the fees for services rendered. Perkins Coie’s
customary billing rates were disclosed in the retention papers and approved by this Court.
44. The rates charged by Perkins Coie professionals are reasonable and are consistent
with customary rates charged by similar law firms. Indeed, it is submitted that the rates charged
are less than many firms providing similar services. If the case was not a case under the
Bankruptcy Code, Perkins Coie would charge and expect to receive, on a current basis, an
amount at least equal to the amounts requested herein for professional services.
45. Further, as described above, Perkins Coie has voluntarily written down the
amount of fees requested in this Fee Application by $30,000, about seven percent of the lodestar
computation. Perkins Coie submits that its fee request is reasonable even without those
writedowns, and with the writedowns is even more reasonable.
STATUTORY BASIS FOR COMPENSATION
46. The statutory predicates for the relief sought herein are Sections 330 and 331 of
the Bankruptcy Code, as supplemented by Bankruptcy Rule 2016. Perkins Coie seeks
compensation for actual, necessary professional services rendered and reimbursement of
reasonable expenses incurred on behalf of the Debtor during the Fee Application Period.
47. Section 330(a)(3)(A) of the Bankruptcy Code provides that:
[i]n determining the amount of reasonable compensation to be awarded, . . . the court shall consider the nature, the extent, and the value of such services, taking into account all relevant factors, including (A) the time spent on such services; (B) the rates charged for such services; (C) whether the services were necessary to the administration of, or beneficial at the time at which the service was rendered toward the completion of, a case under [Title 11]; (D) whether the services were performed within a reasonable amount of time commensurate with the complexity, importance, and nature of the problem, issue or task addressed; and (F) whether the compensation is reasonable based on the customary compensation charged by comparably skilled practitioners in cases other than cases under this title [11].

48. Congress intended that bankruptcy attorneys be compensated at the market rate
for comparable services in non-bankruptcy cases. See In re Ames Dep’t Stores, Inc., 76 F.3d 66,
71 (2d Cir. 1996) (citing In re UNR Indus., Inc., 986 F.2d 207, 208-09 (7th Cir. 1993)); see also
In re Drexel Burnham Lambert Group, Inc., 133 B.R. 13, 21-22 (Bankr. S.D.N.Y. 1991)
(Conrad, J.). The policy of Section 330 is to ensure that qualified attorneys will “not be deterred
from taking bankruptcy cases due to a failure to pay adequate compensation.” Ames Dep’t
Stores, 76 F.3d at 72 (citing UNR Indus., 986 F.2d at 210).
49. The court’s examination of the reasonableness of services rendered must be
conducted in an “objective manner, based upon what services a reasonable lawyer or legal firm
would have performed . . . .” Ames Dep’t Stores, 76 F.3d at 72 (citing In re Matter of Taxman
Clothing Co., 49 F.3d 310, 315 (7th Cir. 1995)).
50. A Certification of Schuyler G. Carroll in support of this Application attesting to
Perkins Coie’s compliance with the United States Trustee’s Guidelines is annexed hereto as
Exhibit E.
CONCLUSION
51. In accordance with the factors enumerated in Section 331 of the Bankruptcy
Code, the amounts requested herein are fair and reasonable given (a) the complexity of these
cases, (b) the time expended, (c) the nature and extent of the services rendered, (d) the value of
such services, and (e) the costs of comparable services other than in a case under the Bankruptcy
Code.
52. Perkins Coie submits that pursuant to the criteria normally examined in
bankruptcy cases, and based upon the factors considered in accordance with Sections 330 and
331 of the Bankruptcy Code and Bankruptcy Rule 2016, the results achieved provide more than
sufficient justification for approval of the compensation sought by Perkins Coie.
53. As a result of Perkins Coie’s efforts herein, it is respectfully submitted that
Debtors received a substantial benefit from all of Perkins Coie’s efforts.
WHEREFORE, Perkins Coie respectfully requests that the Court enter an order:

Pursuant to Amended Guidelines for Fees and Disbursements for Professionals in the
Southern District of New York Bankruptcy Cases and the United States Trustee Guidelines for
Reviewing Applications for Compensation, dated June 17, 2013, and Reimbursement of
Expenses Filed under 11 U.S.C. Section 330, adopted January 30, 1996, (collectively, the
“Guidelines”), the undersigned, a member of the firm of Perkins Coie LLP (“Perkins Coie”),
hereby certifies with respect to First and Final Application of Perkins Coie LLP as Counsel to the
Debtors, for Allowance of Compensation and for Reimbursement of Expenses for Services
Rendered During the Period from December 29, 2017 to February 7, 2018 (the “Fee Application
Period”), as follows:
1. I am a “Certifying Professional” as defined in the Guidelines.

3. I certify that to the best of my knowledge, information and belief, formed after
reasonable inquiry (i) the Application complies with the Guidelines; (ii) the fees and
disbursements sought (a) fall within the Guidelines, except as specifically noted herein and
described in the Application; and (b) except to the extent prohibited by the Guidelines, are billed
at rates, and in accordance with practices customarily employed by Perkins Coie and generally
accepted by Perkins Coie’s clients; (iii) in providing a reimbursable service, Perkins Coie does
not make a profit on that service, whether the service is performed by the applicant in-house or
through a third party; (iv) in charging for a reimbursable service, Perkins Coie does not include
any amounts for amortization of the cost of any investment, equipment or capital outlay; and
(v) in seeking reimbursement for a service which Perkins Coie justifiably purchased or
contracted from a third party, Perkins Coie has requested reimbursement only for the amount
billed to Perkins Coie by the third-party vendor and paid by Perkins Coie to such vendor.
4. I certify that to the best of my knowledge, information, and belief, formed after
reasonable inquiry, the time records attached to the Application comply with the Guidelines.
5. I certify that to the best of my knowledge, information and belief, formed after
reasonable inquiry, the Application sets forth at the outset, and Exhibits A and B attached to the
Application include, a statement regarding (i) the amount of fees and disbursements sought,
(ii) the time period covered by the Application, and (iii) the total professional and
paraprofessional hours expended. I certify that Exhibit B further includes (i) the name of each
professional and paraprofessional, (ii) the position of each professional and paraprofessional, (iii)
the year that each professional was licensed to practice, (iv) the hours worked by each
professional and paraprofessional, and (v) the hourly rate for each professional and
paraprofessional.
6. The United States Trustee and the Debtors were provided with a copy of the
Application 14 days before the date set for hearing on the Application.
7. I certify that the amounts charged for in-house duplicating was $0.10 per page
(although there are very few duplicating charges).

8. I certify that to the best of my knowledge, information and belief, formed after
reasonable inquiry, no agreement or understanding exists between Perkins Coie and any other
person for a division of compensation received or to be received for services rendered in or in
connection with these Chapter 11 cases, nor shall Perkins Coie share or agree to share the
compensation paid or allowed from the Debtors’ estates for such services with any other person
in violation of law except that Perkins Coie is a professional limited liability partnership, and the
fees and expenses paid hereunder will be shared among the partners (and, in the case of
corporate partners, their shareholders) according to the terms of their professional limited
liability partnership agreement.
9. I certify that to the best of my knowledge, information and belief, formed after
reasonable inquiry, no agreement or understanding prohibited by 18 U.S.C. § 155 has been made
by Perkins Coie.
