TEXAS 75222 Circular No. 70-243 October 19, 1970 NOMINATIONS FOR DIRECTORS To All Member Banks in the Eleventh Federal Reserve District: In accordance with the provisions of Section 4 of the Federal Reserve Act and my circular dated September 14, 1970, in regard to the election of directors of this Bank to succeed Mr. J. V. Kelly, Class A Director, and Mr. Carl D. Newton, Class B Director, whose terms expire December 31, 1970, there are given herein the names of the candidates nominated for such directors and the names of the banks which made the nominations. There is sent herewith to each bank in Group 1 a ballot for use in voting for a Class B Director and to each bank in Group 3 a ballot for use in voting for a Class A Director. An envelope bearing on its face the certificate in regard to the vote and a colored envelope marked “ Ballot— Directors’ Election,” in which the ballot is to be sealed, are also enclosed. The ballot and certificate on the envelope must be executed by an officer who has been authorized to cast the vote. A list of the designated officers, revised to date, forms a part of this circular. In order that the balloting may be secret, the name of the bank and of the voting officer should not be written on the ballot but only on the certificate envelope. If the official signature of the officer casting the ballot has not been filed with this Federal Reserve Bank, such official signature should be filed before the polls close. Please follow carefully the instructions which are printed on the ballot, on the envelopes, and on page 2 of this circular. The following procedure is required in the case of both the Class A and Class B ballots: (1) The preferential ballot should be marked. NOM INATIONS FOR DIRECTORS

To All Mem ber Banks

in the Eleventh Federal Reserve District:

In accordance with the provisions of Section 4 of the Federal Reserve Act and my circular dated September 14, 1970, in regard to the election of directors of this Bank to succeed Mr. J. V. Kelly, Class A Director, and Mr. Carl D. Newton, Class B Director, whose terms expire December 31, 1970, there are given herein the names of the candidates nominated for such directors and the names of the banks which made the nominations.

There is sent herewith to each bank in Group 1 a ballot for use in voting for a Class B Director and to each bank in Group 3 a ballot for use in voting for a Class A Director. An envelope bearing on its face the certificate in regard to the vote and a colored envelope marked “ Ballot— Directors’ Election,” in which the ballot is to be sealed, are also enclosed.

The ballot and certificate on the envelope must be executed by an officer who has been authorized to cast the vote. A list of the designated officers, revised to date, forms a part of this circular. I M P O R T A N T

For your information, there is quoted below an extract from Section 4 of the Federal Reserve Act which sets forth the method of balloting:

“ W ithin fifteen days after receipt of the list of candidates the duly authorized officer of a member bank shall certify to the chairman his first, second, and other choices for director of Class A or Class B, respectively, upon a preferential ballot upon a form furnished by the chairman of the board of direc­tors of the Federal Reserve Bank of the district. Each such officer shall make a cross opposite the name of the first, second, and other choices for a director of Class A and for a director of Class B, but shall not vote more than one choice for any one candidate.”

In the case of the Class A ballots (Group 3), where there are two candidates involved, a member bank, in making its first choice, will be deemed to have indicated the other candidate as its second choice.

CARL D. NEWTON

Chairman of the Board

San Antonio, Texas

Mr. Newton was born in July of 1919, and has spent most of his life in San Antonio, Texas. He attended Alamo Heights High School, the Wharton School of Finance and Commerce at the University of Pennsylvania for two years, and then received his Business Administration degree from Duke University in 1941.

In June 1941 Mr. Newton entered the Navy as an enlisted man, and was discharged as a Lt. Commander in October 1945.

Mr. Newton began his business career in October of 1945 as Assistant Production Manager of The Fox Com­pany's headquarters plant. Later he became Vice President and then President in 1952.

In late 1961, The Fox Company and Stanley Photo Service of St. Louis merged into one company with Mr. Newton as President. Since that time, expansion has been rapid, and the company now operates 26 plants and 55 retail stores throughout the Midwest, Southeast, Southwest, and the West Coast.

In July of 1970, Mr. Newton was elected Chairman of the Board of Fox-Stanley Photo Products, Inc.

Mr. Newton has been active in the Baptist denomination and is a member of Rotary International.

He is married and has three sons.

CANDIDATES FOR CLASS A DIRECTOR

JESSE A. COFFEY

President

The First National Bank of Sanger

Sanger, Texas

Mr. Coffey was born in Dallas, Texas, on December 10, 1927. He was graduated from North Dallas High School and has attended Southern Methodist University and The University of Texas. He holds a Standard Certificate from the American Institute of Banking, is a graduate of the School of Banking of the South at Louisiana State Univer­sity, and has been accepted for the summer sessions of 1970 and 1971 at the Graduate School of Business Admin­istration at Harvard University.

Mr. Coffey began his business career with the Commer­cial Credit Corporation in Dallas in 1949, and served that organization as Adjustor, Unit Manager, Loan Manager, and District Representative until October 1954. He was employed by the Victoria Bank and Trust Company, Vic­toria, Texas, in October 1954 as Assistant Cashier and was later made Assistant Vice President and Head of the Install­ment Loan Department. In April of 1962 he joined The Denton County National Bank of Denton, Texas, as Vice President with the responsibility for commercial and install­ment loans, and served that Bank until December 31, 1966. In January 1967, he was elected Vice President of Con­tinental National Bank of Fort Worth, was promoted to Senior Vice President in 1968, and served in the latter capacity until he resigned in February 1970 to move to Sanger, Texas, to accept the presidency of The First N a­tional Bank of Sanger, the position which he now holds.

Mr. Coffey served in the U. S. Navy in 1945 and 1946.

In each city in which he has lived, he has been active in professional, civic, and religious affairs. Mr. Coffey is also active in the Texas Bankers Association.

He is a Roman Catholic, a member of Immaculate Con­ception Church, and a Third Degree Knight of the Knights of Columbus.

Mr. Coffey is married and has four sons and one daugh­ter.

The Peoples National Bank of Belton

Belton, Texas

Mr. Kelly was born in Rosebud, Texas, on September 13, 1910. He was graduated from Marlin High School, Marlin, Texas, and attended Draughon’s Business College in San Antonio, Tarlton State College in Stephenville, and the San Antonio School of Law.

He began his business career with The Planters National Bank of Rosebud, Texas, in 1929. From 1930 to 1935 he

was employed by The Alamo National Bank of San An­tonio. He served as an Assistant National Bank Examiner from 1935 until 1939, as a State Bank Examiner from 1939 until 1942, and as a Federal Reserve Bank Examiner from 1942 until 1944.

Mr. Kelly joined The Peoples National Bank of Belton in 1944 as Executive Vice President, and has served that organization continuously since that time. In 1949 he was elected President of that bank, the position which he now holds.

He has been active in civic affairs in Belton for many years. Mr. Kelly is presently serving as a member of the Board of Trustees of Mary Hardin-Baylor College and as Vice President of the Belton Development Corporation. He is a former president of the Belton Chamber of Commerce, Belton School Board, Belton Rotary Club, and Belton In­dustrial Board. He is also a former member of the Board of Trustees of the Belton Independent School District, which position he held for 15 years.

Mr. Kelly is a member of the First Baptist Church in Belton.

He is married and has three sons.
