Beyondcreatingacenteroftourismexcellenceandexpertise,wehavealsoestablishedaneconomicdrivingforceforourregion.

Duringthefiscalyear,forexample,ourgroupemployedover14,000Castmembersinover500differentjobs.Furthermore,90%ofthoseemployeesheldpermanentcontracts(arecordfortheFrenchtourismandleisureindustry).allofthismakesourgroupthelargestsingle-siteemployerinthecountry,andthesourceof55,000jobsintotal.

Ourrealestateactivitieshavecontributedtowardsestablishingathrivingtowncenterjustastone’sthrowfromtheresort.Vald’Europenowhasconsiderableassetsofitsown,includingoneofFrance’stopshoppingareasandanenvironmentatharmonywithourtourismactivities.aboveall,Vald’Europeoffersastrongbalancebetweenthenumberofresidents(30,000)andthevolumeofjobs(28,000).

A ChAllEnging ContExt foR thE EntiRE EuRopEAn touRism AnD lEisuRE inDustRy2013 was a difficult year for Europe’s tourism and leisure industry and this was reflected in the theme park attendance and hotel occupancy at Disneyland® Paris. Despite the economic context, however, continued enhancements to resort offerings enabled the group to drive guest satisfaction and increase guest spending in order to help mitigate the impact of reduced theme park attendance and hotel occupancy. The group showed resilience within that context, with total revenues declining only 1% to €1.3 billion in 2013.

Themeparkrevenuesdecreasedbyonly2%to€737.6million(€750.5millionin2012),asaresultofa7%attendancedecreasefromthepreviousyear.Thiswaspartiallyoffsetbya4%increaseinaveragespendingperguestto€48.14.

TheFrenchmarketagaingeneratedthelargestnumberofvisits(51%oftotalattendance),despitetheworseningeconomiccontextthatresultedinan8%attendancedecreaseinthismarket(mainlyduringthesecondsemester).however,thedropinrevenuesfromthismarketwaspartiallyoffsetbyhigherattendancefromothermarkets(primarilytheuk)combinedwiththeincreaseinaveragespendingperguest.

hotelandDisneyVillage®revenuesdecreased2%to€510.2million(from€518.6millionintheprioryear)duetoa4.7percentagepointdecreaseinhoteloccupancyto79.3%thatwaspartlyoffsetbyhigherDisneyVillage®revenuesanda2%increaseinaveragespendingperroom.Thedecreaseinhoteloccupancyresultedfrom105,000fewerroomnightsbeingsoldcomparedtotheprioryearduetofewerguestsvisitingfromFrance,italy,thenetherlandsandSpain,andthiswaspartiallyoffsetbymoreguestsvisitingfromtheunitedkingdom.

Thegroup’smarketingandsalesstrategyoperatesacrossaportfolioofsevenkeyEuropeanmarkets.whileintentionstovisitremainedhighin2013,theeconomiccontextsawfiveofthekeymarketsinrecessionatsomepoint:Belgium,France,thenetherlands,italyandSpain.Growthwasregisteredinthetworemainingmarkets,Germanyandtheuk,andthiscanbepartiallyattributedbothtotheeconomiccontextandtargetedmarketingandsalesoperations.Thishighlightsthegroup'sfocusonbeingwellpositionedtobenefitfromitscurrentinvestmentswhentheeconomydoesimprove.Thegroupalsocontinuestoincreasegrowthinitssmallermarkets,particularlyEasternEuropeandrussia.

rECOrDGuESTSPEnDinGSince2008,thegrouphasmaintaineditsfocusoninvestingtoimproveresortquality.Between2009and2013,around€510millionhavebeeninvestedinthemaintenanceanddevelopmentofthedestination.Theseinvestmentshavehelpedtoimproveguests'perceptionofvalueformoneyaswellastheirsatisfaction.Theseimprovementsinqualityhavealsoallowedthegrouptoincreaseadmissionandroomprices,resultinginrecordspendinglevelsof€48.14inthethemeparks(averageperguest)and€235.01intheDisneyhotels(averageperroom).atDisney’sSequoialodge®,forexample,satisfactionlevelsforroomqualityincreasedby11pointscomparedtothelevelsmeasuredbeforetherefurbishment.inDisneyland®Park,Disney Dreams®!,whichwasintroducedinapril2012,drovesignificantguestsatisfactionlevels(92%)duringthisfiscalyearalso.

Cashusedininvestmentactivitiesforthefiscalyeartotaled€126.1million,comparedto€153.3millionintheprioryear.Thatlevelofinvestmentreflectsthegroup’son-goingstrategyofimprovingtheguestexperience.Thiswasseen,forexample,intheinvestmentsmadeduringfiscalyear2012intheworldofDisneyboutiqueandtheDisney Dreams®!night-timeshow.whileadecreaseinthisareacanbeseen,investmentlevelsremainbothsignificantandrepresentativeofthegroup’seffortstoimprovetheguestexperience.

Thegroup’snetlossamountedto€78.2millionandthiscomparestoanetlossof€100.2millionfortheprioryear.The€22millionreductioninnetlossreflectsthepositiveimpactofthe2012debtrefinancing.Thislossshouldbeconsideredinlightofthegroup’slong-termgrowthstrategywhichinvolvesinvestinginthequalityofDisneyland®Parisinordertoincreaseguests’satisfactionanddriveimprovedguestspending.

Theincreaseinaveragespendingperroomresultedfromhigherdailyroomrates.TheincreaseinDisneyVillage®revenuesreflectedhigherspendingonmerchandisefollowingtheopeningoftheworldofDisneyboutiqueinJuly2012.

revenuesfromthegroup’srealestateactivitiesincreasedby€11.1millionto€20.4million,duetoahighernumberoftransactionsclosed(sixasopposedtothreethepreviousyear).Thenatureofthegroup’srealestatedevelopmentactivitymeansthatthenumberandsizeoftransactionswillvaryfromoneyeartothenext.

COnTrOllinGCOSTS

Thegroupremainedfocusedonlimitingcostgrowth.Operatingcostsgrewby1.2%(inlinewithinflation).laborrateinflation,realestatecostofsalesrelatedtoincreasedactivity,andexpensesrelatedtonewguestofferingswerepartiallyoffsetbylaboroptimizationinitiativesanda€9.3milliontaxcredit(CiCE)introducedbytheFrenchstatewhichoffsetlaborexpenses.

Thegroup’smarketingandsalescostsdecreased3%,reflectingspecificeffortsmadetoreduceexpensesandmediacosts.marketingandsalescostsremainedstableinproportiontorevenues.

netfinancialchargeswerereducedby€53millionin2013.Thisreflectsthereductioninaverageinterestratesmadepossiblethroughthe2012debtrefinancing(seeright)aswellasothernon-recurringfinancialcharges.

The group’s continued strategy of investing in the quality of the destination’s offering and guest experiences resulted in record levels of guest spending.

Theimpactofthegroup’s2012refinancingagreementcanalreadybeseenthroughthefinancialresultsfor2013.Forthisyear,interestchargeswerereducedby€20.4million,therebyhelpingreducethenetloss.asexpected,therefinancingagreementhasbeensignificantforthegroupinseveralimportantways.TheseincludehelpingreducethecostofitsdebtandprovidinggreaterflexibilityforitsoperationsandfutureinvestmentsnecessarytocontinueimprovingqualityattheresortandstrengtheningtheappealofDisneyland®Paris.Theagreementalsoprovidesthegroupwithanewrepaymentschedulethatismorefavorabletoitsfutureactivities.

FOunDaTiOnSFOraPrOmiSinGFuTurE

withinthecurrenteconomiccontext,thegroupremainscautiousyetconfidentthatithaslaidthefoundationsnecessaryforapromisingfuture.itwillcontinueinvestingintop-qualityresortexperiencestodriveguests’satisfactionandspendinggrowth.2014willseetheopeningofauniquenewRatatouille-themedattractionforfamiliesatwaltDisneyStudios®Park(seepage19).renovationofthegroup’shotelinfrastructurewillalsocontinue,with1,100roomsatDisney’snewportBayClub®setforrenovationfrom2014.marketingandsalesinitiativeswillcontinueacrossallmarkets,andparticularlyingrowthareassuchastheunitedkingdomandGermany.CastmemberlearninganddevelopmentwillalsoremainafocusfortargetedinvestmentsdesignedtoensurethatDisneylandParisremainsEurope’sleadingtouristdestination.

THE SUPERVISORY BOARDThe role of the Supervisory Board is to monitor the general affairs and to ensure the management of the group. It acts in the best interests of the group and its shareholders, while monitoring the transparency and quality of the information communicated. The Euro Disney S.C.A. Supervisory Board Members’ Charter sets out the fundamental obligations to which the members of the Board must abide. Two committees have been created withinthe Supervisory Board of Euro Disney S.C.A.:a financial accounts committee (Audit Committee) that was created in 1997, and a Nominations Committee that was created in 2002.

inJune2013changeswereannouncedfortheValdeFrancedistrictofmagny-le-hongre,withthecreationofanewhotelonbehalfoftheB&Bhôtelsgroup.Scheduledforcompletioninlate2015,thenewfamilyhotelwillhaveaninventoryof400roomsandbethelargestpropertyintheportfolioofB&Bhôtels.itwillbesituatedclosetotheDisneythemeparksandofferahostofservicesincludingDisneyExpressluggageassistance,freeshuttlebuses,aDisneyboutique,andparkticketsales.Considerableattentionhasbeenpaidtothecomplex’sarchitectureandlayout,particularlysoforatwo-starhotel,inordertoensurethatitcomplementstheexistingenvironment.

VillagesnaturegrowsfromstrengthtostrengthTherootsofVillagesnaturecontinuedtospreadduring2013.Basedonthequestforharmonybetweenmanandnature,thisuniquenewtouristdestinationisajointprojectbetweenthegroupandPierre&Vacances-CenterParcs.Situatedonasitethatcouldspanupto500hectaresandwouldbedevelopedinseveralphasesoverthenext20years,Villagesnatureplanstoofferaccommodation,leisurefacilities,boutiques,restaurantsandmore.ThedestinationaimstobecomeamajorinnovationinsustainableEuropeantourismforfamilies.Thefirstsectionofphaseoneisexpectedtoopenin2016,subjecttothecompletionofprojectfinancing.ByawardingVillagesnaturebothP.i.G.andO.i.n.status,theFrenchgovernmentrecognizesthatthedestinationisnotonlyaprogramofgeneralinterestbutalsooneofnationalinterest.

2013wasasignificantyearfortheprojectinmanyways,someofwhichinvolvedsecuringauthorizationstomoveaheadindifferentareas.ConstructionpermitsweregivenforPhase1a,forexample,aswasapprovaltobegindrillingforthegeothermalsource.Otherimportantpre-constructionmilestonesreachedduringtheyearincludethecompletionofdetaileddesignsforbothexternalandinternalareas.insummer2013,preliminaryworkbeganonsiteinfrastructure,andthiswascarriedoutbythestatebodyl’Établissement Public d’Aménagement de Marne-la-Vallée(EPaFranCE).inadditiontothis,thenecessaryarchaeologicalstudieswerecompleted.

inaugust2013thegroupbecamethefirstEuropeanthemeparkoperatortoputintoserviceawatertreatmentandrecyclingstation.aswellastreatingandrecyclingthewaterfrombothDisneyland®ParkandwaltDisneyStudios®Park,thisstationalsomanagesthewaterfromtheDisneylandhotel.locatedbackstageintheresort'smaintenancearea,thestationhasthepotentialtoreducethegroup’sdrinkingwaterconsumptionbyaround87milliongallonsperyearwhenfullyoperational.Oncetreatedandrecycled,thewaterisusedtocleanthesidewalksandroads;irrigateGolfDisneyland®andotherlandscaping;andfilltheornamentalbasins.Thestationalsorepresentsauniquetechnicalachievementbecauseofthewaythatitoperatesaroundtheclockwithoutpassers-bybeingawareoftheoperationstakingplaceinside.

Theprocessusedinthenewwastewatertreatmentandrecyclingplantactuallyrepresentsasignificantimprovementontraditionalmethodsinmorewaysthanone,asitproducesaround35%lessCO2gasemissionsthantraditionalmethods.Beyondtheopportunityforthegrouptoreduceitsenvironmentalimpactoverthelongterm,studiescarriedoutpriortoconstructionsuggestedthatthestationalsoprovidesamorecost-effectivewaytotreatwastewater.Byinvestinginthestationandotherinnovativeprojectsaroundtheresort,thegroupshowsitscommitmenttopreservingtheenvironmentbyharnessingthemostefficientandinnovativetechnology.
