1. DeFiNitioNS AND iNterPretAtioN

Agreement means these Exhibitor Terms.

Approval means any certificate, licence, consent, permit, approval or other requirement of any Authority having jurisdiction in connection with the activities contemplated by this Agreement.

ASFA means The Association of Superannuation Funds of Australia Limited, ABN 29 002 786 290.

Australian Consumer law means Schedule 2 of the Competition and Consumer Act 2010 (Cth).

Authority means any government, semi governmental, statutory, administrative, fiscal or judicial body, department, commission, authority, tribunal or other person.

Benefits mean the benefits included with the Booth as described in the section of the Exhibition Prospectus entitled “Booth options and benefits”.

Booking Form means the booking form included in the Prospectus as completed by the Exhibitor.

Booth means the booth (being single or multiple as applicable) allocated by ASFA to the Exhibitor.

Bump-in time is the period specified in the Exhibitors’ Manual for bump-in.

Bump-out time is the period specified in the Exhibitors’ Manual for bump-out.

Cancellation Date means 1 August 2016.

event means 2016 ASFA Conference, to be held on the dates specified in the Prospectus.

exhibitor means the entity on whose behalf the application for a Booth was made.

exhibitor logo means the logo of the Exhibitor to be displayed as part of the Benefits.

event logo means the logo for the Event as supplied by ASFA to the Exhibitor.

Fee means the applicable fee payable.

insolvent means, in relation to a party, the party (i) is insolvent within the meaning of section 95A of the Corporations Act 2001 (Cth); (ii) has stopped paying its debts as and when they fall due; or (iii) is subject to administration under Part 5.3A of the Corporations Act 2001 (Cth).

law includes any law, legislation, ordinance, rule, proclamation, Australian Standard, regulation, by law and subordinate legislation present or future and whether state, federal or otherwise, and any Approval, including any condition or requirement under it.

Prospectus means the Exhibition Prospectus document which describes the Event and the options for exhibitors and includes the Benefits, the Booking Form and this Agreement.

representative means in respect of a party, an officer, director, employee or agent of that party, but the Exhibitor is not a Representative of ASFA and ASFA is not a representative of the Exhibitor.

Super expo Manual means the document provided to the Exhibitor setting out, amongst other things, the rules and regulations for the conduct at the Event as directed by ASFA and the Venue.

Venue is specified in the Prospectus.

Venue owner means the owner or operator of the Venue.

Venue representative means a representative of the Venue Owner but does not include ASFA or any ASFA Representative.

In this Agreement: (i) “includes” (and similar) means includes without limitation; and (ii) no rule of construction will apply to a provision to the disadvantage of a party merely because that party put forward the clause or would otherwise benefit from it.

2. uSe oF tHe BootH AND BeNeFitS

2.1 In consideration of the payment of the Fee by the Exhibitor to ASFA, ASFA agrees to:(a) permit the Exhibitor to use the Booth to market the Exhibitor’s

products and/or services; (b) permit the Exhibitor to refer to its exhibition at the Event and to

display the Event Logo in doing so; and (c) provide the Benefits, on the terms of this Agreement.

2.2 If the Exhibitor also wants to apply to be a partner in relation to the Event, the Exhibitor must also complete the Partnership Booking Form and agree to the Partnership Terms.

3. eXHiBitor loGo, iNStAlliNG, eXHiBitiNG AND DiSMANtliNG

3.1 Within 5 days of ASFA’s written confirmation to the Exhibitor that it has secured the Booth, the Exhibitor must provide to ASFA an image of the Exhibitor Logo in the format required by ASFA. The Exhibitor acknowledges that ASFA may not necessarily always use a colour version of the Exhibitor Logo, in which case ASFA will liaise with the Exhibitor about this.

3.2 At the Exhibitor’s own cost, expense and risk, the Exhibitor will deliver, install and dismantle its exhibit and remove it from the Venue.

3.3 The Exhibitor must install its exhibit during the Bump-In Time. If the Exhibitor fails to occupy the Booth before the Bump-In Time expires, ASFA will have the right to use the Booth as it sees fit, including the right to allocate the Booth to another exhibitor.

3.4 The Exhibitor must not do any of the following (except to the extent specifically arranged in advance with ASFA and confirmed by ASFA in writing):(a) allow its exhibit to extend beyond, or distribute promotional

materials outside, the Booth;(b) take any type of photograph or video within the Event (other than

within the Booth). Unauthorised use of photography or videotape equipment is subject to confiscation by ASFA. Exhibitor agrees that ASFA may take photographs of displays for any promotional use by ASFA or the Venue Owner; or

(c) hold functions or any marketing event for delegates at the same time that other events, functions and/or sessions are being held at the Event,

and must remedy any breach immediately upon request by ASFA.3.5 The Exhibitor must:

(a) comply with ASFA’s brand guidelines and any reasonable directions of ASFA when using the Event Logo;

(b) observe and be bound by all the requirements and obligations contained in the Exhibitors’ Manual;

(c) ensure the Booth is manned at all times during the official refreshment breaks of the Event;

(d) ensure the Booth is clean and tidy at all times. Failing this, ASFA may arrange for the Booth to be cleaned and tidied at the Exhibitor’s cost;

(e) ensure that all of its displays, decorations, demonstrations and activities are not offensive, inappropriate or unduly disruptive to ASFA, other exhibitors or delegates. The Exhibitor will immediately cease any activity or demonstration or remove any display or decoration upon request by ASFA;

(f) keep all noise made by the Exhibitor and its activities at a reasonable level commensurate with the professional image of the Event, not create any disturbance or nuisance at the Event (including those which affect a neighbouring booth) and not, without ASFA’s prior written consent, make use of any microphone or other sound amplification device. The Exhibitor must immediately cease any activity or limit the noise it makes upon request by ASFA;

(g) ensure that its Representatives conduct themselves appropriately and in a manner that is not prejudicial to the Event or its proper management or operation; and

(h) avoid engaging in conduct that is not consistent with the goodwill, reputation and good name of ASFA or the Event or that could otherwise reflect badly on ASFA or the Event.

3.6 If requested by ASFA, the Exhibitor must provide to ASFA, in writing and within the time specified by ASFA, all details regarding its proposed use of the Booth in order to satisfy the Venue Owner’s requirements and the requirements in the Exhibitors’ Manual.

3.7 The Exhibitor must, if requested, make the Booth available for inspection by ASFA or a Venue Representative to ensure compliance with the Exhibitors’ Manual and the rules, regulations, guidelines and instructions referred to in clause 4.2 of this Agreement.

3.8 The Exhibitor must dismantle and remove its exhibit, tools and other materials during the Bump-Out Time, leaving it clean and tidy and free from rubbish and debris. If the Exhibitor fails to do so:(a) it will (in accordance with clause 11.5 of this Agreement) be

responsible for any penalties imposed by the Venue Owner and for any losses suffered by ASFA; and

(b) ASFA may remove and store the exhibit (and any other property or items in or on the Booth) at the Exhibitor’s cost.

4. oBSerVANCe oF lAWS, GuiDeliNeS AND iNStruCtioNS

4.1 The Exhibitor must (and must ensure that its Representatives and all visitors to the Booth) comply with all Laws applicable to the use of the Booth and the conduct of any activities at the Venue, including Laws relating to:(a) occupational health and safety; (b) discrimination, vilification and harassment; (c) the preparation, storage, handling and display of food and

beverages; and(d) the supply or consumption of alcohol.

4.2 Without limiting clauses 3.4(b) or 4.1, the Exhibitor must:(a) comply with all rules, regulations and guidelines applicable to the

Venue issued by ASFA or the Venue Owner;(b) cooperate with, and comply with instructions given by, ASFA or the

Venue Owner; (c) not bring into the Venue or use any devices in or around the Booth

which are dangerous, offensive or objectionable (including smoke machines, musical instruments, pyrotechnics or other special effects devices) except with the prior written consent of both ASFA and a Venue Representative;

(d) not conduct any lottery, raffle, guessing game, game of chance or side show stall, whether entry is gratuitous or not unless it holds all necessary Approvals; and

(e) not provide alcohol at the Booth during official program times (though the Exhibitor is permitted to provide alcohol responsibly during official social networking times when alcohol is being provided by ASFA during the Event).

5. CoNSeQueNCeS oF BreACH BY tHe eXHiBitor

5.1 The Exhibitor and its Representatives, exhibits and display material are admitted to the Event, and shall remain there, solely on the condition of strict compliance with this Agreement. Without limiting any of ASFA’s other rights or remedies, ASFA reserves its rights to take whatever action it considers appropriate against the Exhibitor for any breach of this Agreement, including to cancel the Benefits, prohibit the Exhibitor or its Representatives from participating in the Event or remove Exhibitor or its Representatives from the Venue, without refund.

6. iNtelleCtuAl ProPertY

6.1 The Exhibitor grants to ASFA a non-exclusive, royalty free licence to use the Exhibitor Logo to promote and market the Event and to otherwise allow the Exhibitor to receive the Benefits.

6.2 The Exhibitor must not at any time before, during or after the Event:(a) use any name, logo, trademark, design or other symbol, or any

advertising or commercial symbol, owned, used or licensed by ASFA, or otherwise claim any association with, or hold itself out as being associated with, ASFA except as permitted under clause 2.1(b) or with the prior written consent of ASFA and subject to any conditions notified by ASFA; or

(b) violate or infringe any copyright, other intellectual property or other third party rights with respect to writings, music or other materials used by it at the Event or at any affiliated function, and the Exhibitor assumes sole liability and responsibility for the use and display of all materials at the Booth, and shall obtain any and all necessary licenses for such materials.

7. CHANGeS AND CANCellAtioN

7.1 ASFA may, in its absolute discretion, make modifications to the Event, including altering the Benefits, altering the floor plan, altering or reallocating the Exhibitor’s Booth, altering the hours during which the Event is open, changing Venue or postponing the Event. Any alterations made must be communicated to the Exhibitor within a reasonable time and ASFA will use reasonable endeavours to avoid making changes that are materially detrimental to the Exhibitor.

7.2 If the Event is cancelled for any reason, ASFA may, at its absolute discretion (but is not obliged to) attempt to rearrange the Event, substitute another venue or make any other reasonable arrangement to conduct the Event elsewhere or at another suitable time. If the Event is so

rearranged, this Agreement will continue to be binding except that ASFA will be entitled to make all reasonable changes (including changing or reallocating the Booth) to enable the Event to be rearranged. If the Event cannot be rearranged, ASFA will refund the Fee paid by the Exhibitor.

8. PAYMeNt

8.1 If ASFA notifies the Exhibitor that its application has been successful, ASFA will issue a tax invoice to the Exhibitor and the Fee will be due and payable in accordance with the invoice terms. The Exhibitor will obtain the right to display the Event Logo, use the Booth and receive the Benefits on ASFA’s receipt of the Fee.

8.2 In addition to the expenses referred to in clause 3.2, the Exhibitor is solely responsible for all expenses (other than for the items to be provided by ASFA under the Benefits), including electrical and telephone requirements, carpeting, advertising and promotional costs, insurance, staffing, furnishings, signage, duties and taxes including GST.

9. GSt

9.1 All payments and other amounts of consideration expressed in this Agreement are exclusive of GST unless expressly indicated to the contrary.

9.2 Where a payment or consideration under this Agreement is not expressed to include GST, the Exhibitor must pay, in addition to the payment or consideration expressed, an amount in respect of GST applicable to the supply by ASFA under this Agreement.

9.3 ASFA must issue the Exhibitor with a correctly rendered tax invoice for any amount collected by it on account of GST.

10. iNSurANCe

10.1 The Exhibitor must, at its sole cost and expense, procure and maintain throughout the term of the Event and for the two years following, suitable insurance including public liability insurance with limits of not less than AUD$10,000,000 and workers compensation which is sufficient to cover any common law or statutory liability arising as a result of any accident or injury to any person employed or engaged by the Exhibitor.

10.2 The Exhibitor will provide ASFA with a copy of the certificates of currency evidencing insurances required under clause 10.1 at least 1 month prior to the Event.

11. liABilitY

11.1 The Exhibitor will be responsible for any damage to the walls, floors or other part of the building occupied by the Exhibitor and any other damage caused to or at the Venue by the Exhibitor or the Exhibitor’s Representatives.

11.2 ASFA makes no representations or warranties as to the number of visitors to the Event or the level of commercial activity generated in relation to the Event and the Exhibitor will have no recourse against ASFA or any Representative of ASFA in relation to these matters.

11.3 ASFA is not responsible for any Representative of the Exhibitor and is not liable for any loss or injury suffered by any Representative of the Exhibitor at the Event.

11.4 ASFA is not responsible for, and the Exhibitor releases and indemnifies ASFA, ASFA’s Representatives and the Venue Owner and Venue Representatives from and against, any loss, damage to or theft of any property, materials or items exhibited or brought onto the Venue by the Exhibitor or its Representatives. The Exhibitor will make its own arrangements for the security and insurance of the products, property, materials and other items it displays at or places in the Booth.

11.5 The Exhibitor agrees to indemnify and hold ASFA and ASFA’s Representatives harmless for all actions, claims, losses (including consequential losses), damages, injuries liabilities, penalties, judgments or settlements, whether direct or indirect, suffered by ASFA, ASFA’s Representatives or the Exhibitor or its Representatives including all legal fees, costs and other expenses (Liability), incurred as a result of, or in connection with, any breach of this Agreement by the Exhibitor, any actions or omissions, negligent or otherwise of the Exhibitor or its Representatives or any claim by a third party that the Exhibitor Logo or material displayed at the Booth infringes its intellectual property or other rights.

11.6 The Exhibitor releases and indemnifies ASFA and ASFA’s Representatives from Liability suffered by the Exhibitor:(a) as a result of the actions or omissions, negligent or otherwise, of the

Venue Owner, the Venue Representatives or any persons other than ASFA or ASFA’s Representatives in or around the Venue; or

(b) if the Event is cancelled, delayed or otherwise affected because of a strike, riot, storm, act of God, or any cause beyond the reasonable control of ASFA.

11.7 To the fullest extent permitted by law:(a) except as otherwise provided in this Agreement, all terms,

conditions, warranties, undertakings, inducements or representations whether express, implied, statutory or otherwise relating in any way to the supply of goods or services by ASFA under this Agreement are excluded;

(b) ASFA and its Representatives are not liable, and the Exhibitor releases ASFA and its Representatives from all liability, for any consequential, indirect or special loss, or for any loss of profits, revenue, savings, business opportunity, production or goodwill, suffered by the Exhibitor arising from or in connection this Agreement; and

(c) ASFA’s maximum aggregate liability for all claims under or in connection with this Agreement or the Event are limited to an amount equivalent to the Fees paid by the Exhibitor to ASFA in accordance with this Agreement, regardless of the basis of claim (including fundamental breach, negligence, misrepresentation, or other contract, tort or statute-based claim).

12. AuStrAliAN CoNSuMer lAW

12.1 Nothing in this Agreement excludes, restricts or modifies any right or remedy or any guarantee, warranty or other term or condition, implied or imposed by any law which cannot be lawfully excluded or limited. This may include any consumer law which contains guarantees that protect the purchasers of goods and services in certain circumstances. If any guarantee, term or warranty is implied or imposed in relation to this Agreement under any consumer law or any other applicable law and cannot be excluded then ASFA’s liability for breach of such guarantee, term or warranty (including under the Australian Consumer Law, where applicable) is limited:(a) in the case of goods, to any one of the following as determined by

ASFA: (i) the replacement of the goods or the supply of equivalent goods; (ii) the repair of the goods; (iii) the payment of the cost of replacing the goods or of acquiring equivalent goods; or (iv) the payment of the cost of having the goods repaired; or

(b) in the case of services, to any one of the following as determined by ASFA: (i) the supplying of the services again; or (ii) the payment of the cost of having the services supplied again.

13. terMiNAtioN

13.1 Without limiting any other provision in this Agreement, a party may terminate this Agreement immediately by written notice if the other party; (a) is Insolvent; or(b) is in breach of this Agreement and the breach is incapable of remedy

or, if capable of remedy, does not rectify the breach within 14 days after receiving written notice from the first party to do so.

13.2 On termination of this Agreement, the Exhibitor must immediately cease referring to its exhibition at the Event and withdraw the Event Logo from publication, advertisement or other display.

13.3 Where termination is due to a breach of this Agreement by the Exhibitor or the Exhibitor is Insolvent, ASFA will not refund the Fees paid (and the Exhibitor will pay any unpaid Fees). Otherwise, ASFA will refund the Fees paid to the Exhibitor in accordance with the following arrangements:(a) if this Agreement is terminated before the Cancellation Date, 50%

of the Fees will be refunded to the Exhibitor (or, if the Exhibitor has not paid 50% of the Fees, it will do so); and

(b) if this Agreement is terminated on or after the Cancellation Date, no refund will be made and the Exhibitor will forfeit any right to a refund of the Fees paid or any part thereof (and the Exhibitor will pay any unpaid Fees).

14. otHer

14.1 Assignment The Exhibitor must not assign its rights with respect to the use of the Event Logo or any part of the Booth or Benefits or sub-let the Booth without the written consent of ASFA.

14.2 Relationship Nothing in this Agreement shall constitute a partnership, agency, employer / employee relationship or joint venture arrangement between the parties.

14.3 Whole agreement This Agreement represents the whole agreement between ASFA and the Exhibitor and supersedes all prior agreements between the parties (whether written or oral). The Exhibitor acknowledges that it has not relied on any representations made by ASFA (again, whether written or oral) in relation to the subject matter of this Agreement.

14.4 Governing law This Agreement is governed by and construed in accordance with the laws of New South Wales.

14.5 Confidentiality The Exhibitor must not disclose the terms of this Agreement (including the Fees) to any other person except with ASFA’s prior written consent or as required by Law.
