The evolution of the D&O policy form was often triggeredby significant claim events where coverage was found andlimits paid for events the carriers never intended or evenimagined coverage would be provided. There is great risk tothe long term viability of this product line if we lose track ofthe events that drove the need for policy form changes -many of which were expansions of coverage - and makematerial changes to these provisions, diluting the intent andre-opening the contract to the same unexpectedconsequences of these historical events.

The discussions will focus on the significant coveragechanges, both restrictive and expansive that has occurred inthe D&O product with reference to specific claims /litigation that may have highlighted the need for the changeas well as legislation that may have driven it. Cases such asNordstrom, Seattle Seafirst, Trans-Union, and others will bedrawn on as well as legislation ranging from statesbroadening of indemnification laws in response to the 1986hard market to the PSLRA of 1985, Sarbanes Oxley, ERISAand most recently, Dodd-Frank. This presentation willfocus the history and evolution of the D&O product withpointed reminders to be wary of possible holes in the policyform and the very expensive consequences they cangenerate.
