Botswana Botswana, formally the Republic of Botswana, is a landlocked country situated in Southern Africa. Botswana is

committed to sound fiscal policy, economic freedom and has a stable and a dramatic growth rate. Botswana

doesn’t have foreign exchange controls or restrictions on capital outflows from financial institutions, thereby

facilitating investor activity. Botswana has implemented practices in its legal code for over 40 years to guarantee

investor protection, enabling for a competitive and accessible investor market. The nation is a signatory to the

World Bank’s Multilateral Investment Guarantee Agency (MIGA) and other agreements that assure maximum

security for investors.

Company Incorporation in Botswana

To register the company, the entrepreneur must submit a completed application form, along with the name

reservation certificate and the declaration of compliance of statutory requirements for company registration.

Botswana LLC must have no more than 25 shareholders and a minimum of one shareholder and one

director.

The representative office is 100% foreign owned and controlled, it is not allowed to make direct sales in

Botswana. Such an office will only engage in activities such as promoting the business of the parent company

and market research

Licensing in Botswana:

An industrial license can be obtained from the Industrial Affairs Department, Ministry of Trade and Industry; or

obtain a trade license from the Gaborone City Council
