    Article 5 $n the field of public % private partnership, the #gency&

    a) approves, develops and promotes legislative framewor' for public(private partnership and

    participates in the support of draft legislation in the parliamentary committees and the plenary

    sessions of the Parliament, under the law;

    b) develops and implements strategies, policies and programs in the field of public(private

    partnership;

    c) provides guidance and monitoring to public partners and private investors interested in the wor'

    of organiing and conducting a public(private partnership pro*ect, under the law;d) provides methodological and practical assistance to business units in matters related PPP;

    e) determines the criteria that shall be satisfied by an enterprise in order to be eligible to participate

    in the implementation of the PPP and other development pro*ects;f) forms and chairs the +ommission of negotiation and assessment for the selection of the private

    investor and for negotiation of the public(private partnership contract;

    g) monitors and verifies the promotion and implementation of public(private partnership pro*ects

    and coordinates the necessary actions for their proper implementation;

    h) develops and manages a common information base for implemented PPPs and otherdevelopment programmes.

    e) updates and ensures the maintenance and operation of the system of processing, collection and

    management of information and statistical data on the development of public(private partnership

    contracts, at central and local level;

    f) ensures the promotion of the concept and of the public(private partnership pro*ects;

    g) develops, based on its analysis and verification, synthesis documents relating to the

    performance of public(private partnership pro*ects;

    ') issues recommendations on structuring public(private partnership pro*ects, considering the

    impact on the level of public sector lending and on borrowing limits at national or local level;

    l) carries out measures relating the promotion, mar'eting and advertisement in the country and

    abroad to attract and implement foreign direct investment, as well in the field of public(private

    partnership;

    m) engages, in due order, experts and other specialists from the country and abroad for the

    carrying out of its tas's and functions deriving from legislation and these regulations;

    Article 15% $n the subordination of the #gency can be organied and operated, according to the

    law, pro*ect management units and pro*ects implementation units, led by a pro*ect manager to

    ensure a consistent framewor' for the management and implementation of the pro*ects funded by

    refundable or nonrefundable foreign loans.

    Article 17 - "he organiational structure, number of employees and rules of organiation and

    operation of the units mentioned in art. - and will be determined by an order of the eneral

    /irector.

    Article 18 "he eneral /irector shall appoint the staff of units referred to in art. - and and

    sets the competence for the pro*ect manager with the compliance of legal provisions in force.

    ') proposes and approves the investment program of the #gency;

    l) develops, endorses and promotes draft laws;

    Article 20 Duties and responsibilities of the Deputy General Director:

    "he /eputy eneral /irector helps the /irector eneral in the management of the agency. "he

    responsibilities and duties of the State /eputy eneral /irector are established by the /irector

    eneral, who may delegate a part of its responsibilities.

    Article 22 Duties and responsibilities of the !oard:

    ) implementation of general supervision over the #gency activities

    -) monitoring the achievement of the priorities and strategies of implementation of PPP

    partnership by the agency;

    ) monitoring the activity of PPP departments within the #gency, to ensure the principles oftransparency and efficiency;

    0) monitoring the progress of the implementation of PPP pro*ects and actions necessary for

    their proper implementation;1) performance assessment of PPP pro*ects;

    2) participating as an observer at all stages of development of a PPP pro*ect;

    3) agency4s policy assessment in the field of PPP, promotion and development of

    recommendations in view of improving it;5) issuance of recommendations on structuring of PPP pro*ects, considering the impact on the

    level of public sector lending and on borrowing limits at national or local level;

    6) contribution to a favorable climate for the mobiliation of private investment and their

    attraction in PPP pro*ects of national interest;7) facilitating interinstitutional cooperation in the field of PPP;

    ) submitting recommendations and proposals on the elaboration of laws and regulations,

    aimed at establishing and promoting priorities in the field.

    Article 2" Duties and responsibilities of the Depart#ent:

    8) Each department is headed by a director, directly subordinated to the eneral /irector.

    8-) Each department, in different fields of competence, has the following responsibilities&

    ) plans, prepares, implements and monitors the implementation of PPP contracts.

    -) regularly reports to the /irector eneral and PPP 9oard on promotion and implementation

    of PPP pro*ects;) establishes and promotes procedures of identification and implementation of PPP pro*ects

    and provides support for all public partners in the preparation and implementation of PPP;0) ensures the promotion of the concept and of the PPP pro*ects;1) participates in the +ommission of negotiation and assessment for the selection of the

    private investor and for negotiation of the PPP contract;

    2) provides guidance and monitoring to public partners and private investors interested in the

    wor' of organiing and conducting a PPP pro*ect, under the law;3) constitutes and manages the integrated public database of all PPP pro*ects;

    5) updates and ensures the maintenance and operation of the system of processing, collection

    and management of information and statistical data on the development of PPP contracts,

    at central and local level;6) develops, based on its analysis and verification, synthesis documents relating to the

    performance of PPP pro*ects;

    7) identifies and ensure national dissemination of best practices in the field of PPP;

    ) establishes contacts and 'eeps in touch on topics of investment through PPP pro*ects with

    governmental and nongovernmental organiations, as well with foreign and local

    investors;

    -) provides specialied assistance to public partners and investors interested at all stages of

    development of a PPP pro*ect.

    Article 2$ Duties and responsibilities of the Director%s &ffice:

    8) "he management of /irector(eneral +abinet is provided by the +hief of the +abinet, and in his

    absence, within the mandate given by the +hief of the +abinet, by the designee, usually one of

    personal advisers of State Secretary.

    8-) +hief of +abinet is the person who liaises the /irector eneral with any of the functional

    units of the #gency and has the following responsibilities&

    a) manages training and verification activities of all documents to be submitted to the /irector

    eneral;

    b) verifies compliance with the endorsement of documents submitted for approval to the /irector

    eneral of internal documents of approval;

    d) ensures the management of the daily program of eneral /irector,

    e) ensures and is responsible for the selection, prioritiation and indication of the relevant themesof informative documents and those from correspondence map of the /irector eneral;

    f) is responsible for the operational management of informative documents with special character

    designed for the eneral /irector;

    g) ensures advice to the /irector eneral on specific issues, directly or through personal

    advisers;

    h) /irector eneral4s personal advisers operate on basis of the tas's assigned by him;

    i) personal advisers perform and : or participate, within the mandate given by the /irector

    eneral, at carrying out complex analysis of activities in the fields of activity of the #gency,

    following the wor' to highlight specific items reuested by /irector eneral;

    *) in carrying out their tas's and duties, personal advisers are entitled to reuest from the #gency

    units, documents, data and information, and authoried support from specialists of departments.

    Article 25 Duties and responsibilities of the 'o##unication and ublic (elation di)ision:

    a) Ensures the relationship with the media;

    b) Ensures the development of public relations activities of the #gency;

    d) Participates in the #gency

    - #pproves documents with character of rules and regulations, governing the activity of the

    Agency;

    - Participates in the development and approval of regulations issued by the Agency;

    - Participates in drafting laws on the organiation and operation of the Agency;

    - =ulfills, based on the given mandate, the uality of representative of the institution in the

    process of court;

    - Performs correspondence with other authorities in the area of competence;

    - #pproves and countersigns legal documents under the law;

    - >erifies the legality of legal and administrative acts, received for approval;

    - Performs other instructions of the /irector eneral, concerning its competences.

    Article 27 Duties and responsibilities of the Ad#inistrati)e di)ision:

    #dministrative division is in direct subordination to the eneral /irector.

    #dministrative division has 2 sections as provided by art. of this ?egulation. Each section is

    headed by a @ead of section, appointed by order of the /irector eneral.-3. =inance section has the following duties&

    8) ?egarding the financial activity&

    a) Substantiates and develops the draft of incomes and expenditures budget, considering the

    centralied proposals from #gency4s units;

    b) !onitors the budget execution and prepares periodic reports relating to it;

    c) Establishes and maintains records of all committed, validated, authoried for payment and

    paid financial transactions;

    d) Aeeps trac' of legal and budgetary commitments and execute authoried payments, to honor

    all obligations underta'en by the #gency in relation to third parties;

    e) ?euests monthly the opening of necessary budget appropriations;

    f) !onitors strict classification of expenditure in limits set by the budget and the consumption of

    funds on intended use;

    g) Performs in time and in the amount established by law, payments to the state budget and state

    social insurance budget;

    h) Performs operations of receipts and payments through cashier and transfer of the articles and

    budget paragraphs, ta'ing into account existing availability for each activity based on supporting

    documents approved by the authoriing officer;

    i) +ompiles financial documents correctly, according to legislation;

    *) /aily verifies and processes account statements in national and foreign currency for all the

    activities of the Agency;

    ') /aily verifies cash report, inventories cash balance;

    l) >erify the liuidations accounts for domestic and foreign travel, prepares payment :

    encashment documents for the rights of liuidation accounts owners;

    m) Brganies preventive financial control;

    n) Ciaises with the institution with "reasury of eorgia, draws up the balances of cash

    availability and performs the score with the treasury.

    8-) ?egarding the accounting activity&

    a) ?ecords, in chronological and systematic order, patrimonial operations in synthetic and

    analytical accounting records on expenses and non(financial assets, according to budget

    classification subdivisions;

    b) +ompiles accounting notes for patrimonial operations and synthetic and analytic chec'

    balances;

    c) +ompiles accounting balance and the situation on 'ey economic and financial indicators for

    reporting, as well as various monthly reports, according to legal provisions in force;

    d) !onitors the reflection in accounting of debits created and derived from personal rights,

    goods and services, non(financial assets;

    e) Brganies patrimony inventory, evaluating the results of the operation and completes

    inventory register according to accounting balance sheet items;f) Brganies the archive with accounting documents, relating to implementation of the budget,

    classifies, files and stores, according to the law, all supporting documents on payments;

    g) Brganies and performs the control for the compliance with cash discipline and the

    management and transport of cash;

    8) ?egarding the salary&

    a) Substantiates the salary fund related to gross monthly employment allowances, to basic

    salaries, and the wage bill for the reference year;

    b) +ompiles payrolls for granting wages rights for all categories of staff within the #gency and

    the necessary monthly funds to cover the wages;c) /etermines and retains individual contributions, and those incurred by the employer at the

    general consolidated budget;

    -3.- $nternal #udit section&

    8) $nternal Public #udit section is responsible for internal audit activity, independent and

    ob*ective functional activity, which gives assurance and advice to the administration on a good

    management of public revenues and expenditures, perfecting the activities within the #gencyand

    helps the structures within the entity to achieve its ob*ectives through a systematic and

    methodical approach, which evaluates and improves the efficiency and effectiveness of the

    administration system based on ris' management and control of administration processes.

    8-) Public $nternal #udit supports the /irector eneral in identifying and assessing significant

    ris's. "hrough regular evaluation of the efficiency and effectiveness of internal control system,

    internal public audit helps the agency to maintain an adeuate internal control system.

    (3) $nternal #udit Section carries out the following types of audit&

    a) Systems audit which is a depth evaluation of management systems and internal control, in

    order to determine whether they operate economically, efficiently and effectively, to identify

    wea'nesses and ma'e recommendations to correct them;

    b) Performance audit, examining whether criteria established for the implementation of

    ob*ectives and tas's are accurate, concrete and coherent for the evaluation of results and

    determines whether the results are consistent with the ob*ectives;

    c) Regularity audit, representing the examination of the actions financial effects on public funds

    or public patrimony, in terms of compliance with set of principles, procedural and

    methodological rules, according to legal norms.

    80) $n this respect, $nternal #udit section audits, at least once every years, but not limited to, the

    following&

    a) financial activities or with financial implications carried out within the #gency, from the

    moment of establishment of commitments till the using of the funds by the final beneficiaries,

    including funds from foreign funds;b) payments made by budgetary and legal commitments, including foreign funds;

    c) patrimony management and sale, pledge, assignment or lease of public property of the

    Agency;

    d) public revenues, respectively the way of authoriation and establishment of debt instruments

    and the incentives provided at their receipt;

    e) allocation of budget appropriations;

    f) accounting system and its reliability;

    g) decision(ma'ing system;

    h) management and control system and the ris's associated with such systems;

    i) information systems.

    (5) $n carrying out audit missions, internal auditors operate based on an order issued by /irector

    eneral.

    () $nternal auditors may conduct ad hoc audits or internal audit missions of exceptional

    character, not included in the internal audit plan, owned by /irector eneral.

    (!) "nternal Audit sectionhas the following duties&

    b) develops the draft annual $nternal Public #udit plan;

    c) develops the program for uality assurance and improvement in all aspects of $nternal Public

    #udit;

    d) performs internal public audit activities according to approved plans, within the #gency, to

    assess whether the financial management and internal control systems of the #gency are

    transparent and in accordance with the rules of legality, regularity, economy, efficiency and

    effectiveness;

    e) if possible irregularities or damages are identified, immediately reports to the /irector eneral

    within three days;

    f) develops the annual report of the internal public audit activity;

    g) monitors the way of implementation of the tas's and recommendations referred in the audit

    reports and reports on them to the /irector eneral;

    (#) $n conducting internal public audit missions, other specialists may be involved or other

    ualified person, inside or outside the institution, as reuired by law.

    ($) $n case of identifying ma*or irregularities, internal auditors continue the mission or suspend

    it, with the consent of the eneral /irector, if the preliminary results of the audit estimates that

    its continuation will not achieve the established ob*ectives 8limited access, insufficient

    information etc.).

    -3. @uman resources section has in its field of activity the implementation of legislation onhuman resources management, regarding&

    - Staff recruitment and selection;

    - !anagement of employees professional career;

    - Staff performance appraisal;

    - /etermination of the salary rights of employees;

    - /evelopment of policies and strategies for staff motivation;

    - Brganiation of activities in conditions of legality of #gency structures;

    - Professional training and development of human resources within the #gency;

    - !onitoring activities in the field of occupational health and safety;

    - ?epresentation of the #gency in interinstitutional committees.

    - #ssurance, at the reuest of the /irector eneral, of documentation regarding the

    modification : updating of #gency organigram, of the total number of posts, the rules of

    organiation and functioning and of the status of functions;

    - /evelopment of internal order regulation of the #gency; compartments units of *ob

    description for the positions in the organiational structure of the #gency and assurance of

    their management according to law;

    - !anagement of the implementation process of evaluation and development of reports :

    evaluation sheets of individual professional performances of the staff;

    -Establishment and updating, according to legal regulations, salaries and additionalemoluments for the staff of the #gency;

    - /evelopment of documentation for the annual awards for the staff of the #gency, under the

    law;

    - >erifies the accuracy of monthly timesheets of all staff of the agency, in terms of fair record

    of holidays, based on monthly timesheets submitted by heads of units, centralies, submits

    for approval to the /irector eneral and transmits them to =inance section;

    - +arrying out the formalities for granting holidays with : without pay, according to law, and

    'eeping records of;

    - Ensuring the preparation and submission of periodic reports and documentation reuested by

    relevant institutions, in accordance with the legal provisions;

    - Establishment of the basic salaries of contractual staff as a result of the annual evaluation of

    individual professional performances;

    - Ensuring the establishment of formalities concerning the organiation of contests for vacant

    positions, according to the law;

    - Ensuring the secretariat of the competition : examination commission, for vacant posts and

    draw up wor' on the employment of successful candidates on the basis of the minutes of the

    commission of examination : competition, and in accordance with the legal provisions;

    - Performing wor's concerning the conclusion, modification, suspension and termination of

    individual employment contract and : or service report, and awarding all rights provided by

    the labor legislation for agency staff;

    - Establishment and management of employees personal dossier, according to the law;- $ntroduction into the database the information on staff and updating the database with data

    for new employees;

    - $ssues and stamps identity cards, attesting the status of an employee in the agency and

    monitors their ta'e over on the termination of labor or service report;

    - +alculates the seniority in specialty and the length of employment and establishes the

    graduation corresponding to the seniority;

    - $ssues, on reuest, certificates attesting the status of an employee, certifying the wor'

    experience or salary rights 8employment salary, bonuses, etc.

    - /evelops draft orders of the /irector eneral regarding the sanctioning of the staff, under the

    law;

    - Ensures the application of legal provisions on retirement at the reuest for old age or

    disability, for agency staff;

    - $n the area of ensuring occupational health and safety, activity will be done through

    outsourcing services.

    - Ensures the establishment of formalities for internships for students who reuest it and issues

    certificates in this respect;

    - ?euests from the staff preparation and : or updating of asset declarations and declarations of

    interest and ensures the recording, transmission to be posted on the website, sending copies

    of statements to the relevant institutions and management of these documents under thelegislation in force;

    - +arries out any other wor' referred by the Cabor +ode;

    - "ransmits to =inance section all the modification regarding the salaries right and bonuses

    granted to employees, after approval of /irector eneral.

    Article "1% =inancial resources, which come from the state budget and which have not been

    valoried by the #gency under fixed budget lines, flows bac' into the state budget until the

    adoption of a new state budget.

    Article $* % $nternal circuit of the documents, issued or received for settlement by the #gency,

    the internal circuit of the draft order of the /irector eneral and /eputy /irector eneral and the

    internal and external circuit for the issuance and approval of draft laws, are established by the

    /irector eneral.

    Article $7( (%) Fithin -7 days after the date of receipt of this ?egulation, the heads of the

    Agency draw up for each post 8management or execution post) G*ob descriptionG including

    duties, powers, responsibilities and wor' relationships.

    (&) "he *ob description is approved by the /irector eneral or the person appointed by order by

    the /irector eneral.

    Article $8( (%) "he staff of the #gency is obliged to 'now and apply the provisions of this

    ?egulation, of the internal ?egulation and of the *ob description that each one occupy.

    (&) "he provisions of this ?egulation and the *ob description will be disclosed to employees

    through the hierarchical leader.

    (3) "hese Regulation on Organization and Operation is displayed on the website of the

    institution.

    Article $ ( #ll employees of the Agencyare responsible for the 'nowledge and enforcement of

    the law in force, specific to the field of activity.

    Article 50 ( (%) #ll the units of the #gency are obliged to ma'e available to the other units in the

    organiational structure of #gency information and : or documents reuired for them to fulfill the

    tas's set out in this ?egulation.

    (&) #ll the units of the agency have an obligation to provide to the administration of the #gency,

    under the law, public information on specific field of activity.

    Article 51 ( "he units in the organiational structure of the Agency, carrying out duties that

    involve wor'ing with individuals and legal entities are obliged to hold hearings and wor'

    programs, under the law.

    Article 52 % "he ?egulation on Brganiation and Bperation is adopted, amended and

    supplemented, under the legislation in force.

    Article 5" ( =ailure to comply with this regulation will result in disciplinary actions of

    employees.

    Article 5$% Upon entry into force, any provisions contrary to this ?egulation shall cease to

    apply.
