Prospective purchasers will not use or permit this CIM to be used in any manner detrimental to the interests of the Vendor, the Advisor or their respective affiliates or for any other purpose than a proposed purchase of the Portfolio. The recipient of this CIM agrees to provide the Advisor with a list of those persons to whom this CIM or any information contained herein is provided. The terms and conditions in this Section with respect to confidentiality and the disclaimer contained under the heading “Memorandum Contents” relate to all Sections of the CIM as if stated independently therein. Submissions should be directed to ‘Kingshill Estate Inc’. Submission Guidelines Proposals on a Portfolio basis will be evaluated primarily on the consideration offered, the method of payment of the consideration, the prospective purchaser’s ability to complete the transaction, and the proposed date and conditions of closing. A proposal should outline the terms for the purchase of the Portfolio and should include, at a minimum, the following information and items: 1. Purchase price on an individual Property basis; 2. Name of the ultimate beneficial owners of the Properties; 3. Evidence of the purchaser’s financial ability to complete the transaction, including the method of financing the purchase; 4. Terms and conditions of closing, including a schedule of timing and events to complete the transaction.

Prospective purchasers should note that the Vendor is under no obligation to respond to or accept any proposal. SUBJECT PROPERTY Estate Lots, King, Ontario The subject property consists of total of 21 fully serviced lot ranging size from 2 to 3 acre estate lots. The subject site received its approval before the Oak Ridges Moraine Act. Currently there are 14 lots available for sale. The subject property is strategically located just South of Lloydtown Aurora Rd Forest Drive. The subject site is probably one of the last remaining sites that such a Sub-division can be built. As the area develops, the project will have a positive impact on the local economy and boost excitement in this community. The subject site is approximately 12 km from the town of Aurora and about 15 min drive. About 22 km from City of Vaughan and 19 min drive.
