After you review this information, and if you’re !nancially quali!ed and in an open area, John Seely DID’s founder and principal stockholder, will "y out to meet you to share the con!dential !nancial and operating information with you in person before you decide whether to join us.

If you decide to go forward after meeting with John and sign the agreement, John will cover enough of your review while he’s there to get you ready for our Director of Operational Reviews, Ed Huddle, to come to you to complete it.

Then, if you wish, as a part of your review, Ed will make as many restaurant presentations with you

as possible in the 5 days you’ll be together.

He’s made hundreds of these presentations around the country, and we’ve found that in-person presentations to restaurant owners

are the best way to show you how to handle any questions.

Also, at the point you complete our review, we will make you an Area Developer at no cost to you.

That segment is the delivery of restaurant meals to customers in their homes or of!ces.

Though the restaurant meal delivery business is in its embryonic stage according to Meal Delivery Digest, there was over $3 Billion of pizza delivered by just Domino’s in 2010. The opportunity is quite substantial when you consider that a study done for for the National Association of Restaurants reported that 78% of US Households make at least one carryout or delivery purchase in a typical month.

In fact, the same study showed that 75% of people would order from their favorite restaurant if delivery were available, but only 6% can.

How The Business Works

You will have a “menu guide” printed, like the sample on this site, which is a magazine-like booklet that has menus inside from the participating restaurants. A typical operation will start with 6 – 20 different restaurants representing all kind of food.

These menu guides are distributed by various means such as direct mail, hanging them on doorknobs, putting them in hotels and the participating restaurants, and so on. As you get the menu guides distributed, people call and order food. Many people are only familiar with home delivery of pizza, so when they see they can order from dozens of national and local restaurants and have the food delivered quickly, and hot, they will tend to order again and again.

When they call, fax or order online, you or your dispatcher takes down the information and calls the restaurant to order the food. Then a driver is called and told where to pick it up and where to deliver it.

The drivers can be independent contractors – like some of Domino’s Pizza drivers – they supply their own cars and gas. They are not employees and we have a number of alternative contracts you may choose from to use to make sure your drivers are not employees.

No selling is involved. Put out menu guides, and the more you put out, the more orders you get.

When your drivers check back in at the end of the evening, they turn in the money or credit card receipts they collected from customers. You will be paying the restaurants for the food from the payments you have already received.

Depending on your interest and area, you might choose to be open for lunch and/or dinner. If only open for dinner then your business is open from say, 5 – 9 PM. You have your daytime hours off!

We will show you how to explain to the restaurateur that they will actually make two times the pro!t on food that goes out the back door compared to meals served in their dining room.

It’s a true win/win. The restaurant makes a much better margin on food sold out the back door than on meals served on their premises. You make money on their food consumed in your customers’ homes or of!ces.

Cost for Dine-In Delivery’s Review

On-Site Review

The comprehensive business review costs $17,500. See the “What is Covered in the Business Review” for details on what is included in the review. Note that you will see on the page labeled “What Licensed Dine-In Delivery Licensees Say” that even people who have been in the restaurant business have found the review’s information to be invaluable in getting started in the food delivery business.

Start up costs range from $2,500 and up depending on how you choose to operate and how fast you want to expand.

If you choose to open a second operation, you need not pay the $17,500 again, only the start up costs and the name license fee, which again may be !nanced.

As a part of your business review, we send an experienced corporate representative to go over all the nuts & bolts and to make as many presentations as possible with you to restaurant owners and managers within the 5 days he is in your area.

Cost to Use Dine-In Delivery’s Name

A s a L i c e n s e eWith your operator review complete, you will decide what area you’d like to operate in using the Dine-In Delivery federally registered name. With that decision made, you call us to !nd out the price to use our name in that area. We will quote a price to be paid over a number of years without any interest charges.

If we cannot agree on a price, you can, of course, get in the business under any name you choose.

Some of the benefits of licensing the name are:

The Dine-In Delivery name is federally registered and protected. Your business will bene!t more and more from our name’s recognition as more Dine-In Delivery’s begin operations. (We intend to have 2,000+).

Dine-In Delivery licensees are already known by several national chains like Quizno’s, Chili’s, Subway, Fazoli’s, Hacienda, Bennigan’s, On the Border, and Macaroni Grill. These restaurants will no doubt want to be included in any new areas where we open up where they have a restaurant.

Dine-In Delivery licensees are also doing business with hotels like , Courtyard by Marriott, and Fair!eld Inns who recognize the bene!t of having menu guides in their lobbies or rooms since they do not have restaurants on site.

The logo and design of a menu guide is done for you. If you use your own name, you will need a designer to design the menu guide for you.

You get an existing licensee’s "ip chart book for signing up restaurants, which of course, uses the Dine-In Delivery name. If you opt to use your own name, you will have to prepare your own book from the one we give you and get your business name registered and protected.

Lastly, you have no risk! Though the total license may be !nanced over a number of years, you can cancel the name license at any time by just stopping your payments. So if you at any time choose to go your own way with your own name you can without any penalties or further obligation to us.

H o w d o I m a k e m o n e y ?The normal structure is for your drivers to be independent contractors and get paid by getting the delivery charge and their tips. Because the average order is larger than pizza orders, your drivers will probably do a lot better than the pizza delivery drivers.

Your pro!t comes from the substantial discount you get from the restaurant on the food itself. While we do not disclose the exact discount percentage in our literature, you will be told that and all other !nancial details before you decide whether or not to join us.

H o w m u c h c a n I m a k e ?We do not make any earnings claims because the business is dependent upon the time and talents of the individuals involved and receptiveness of a particular market to the service you offer. We do have some !nancial information from typical food delivery operations that we share with you in our review.

How do I find out if my area is available?Give us a call and let us know what area you are interested in. Note that if you purchase a review and want to operate under your own name, all areas are always available as we do not dictate territories. If you want to license the Dine-In Delivery name, then you need to contact us to !nd out what areas are available.

Why can’t I just do this business on my own without the benefit of your “review”?You can, but it will cost you far more than the cost of our operator review to learn everything you need to know (see what’s covered in our operator review sheet). Why is Dine-In Delivery licensing the use of its name instead of franchising?Franchises dictate your operating procedures to you and they need to be the same everywhere. We believe your best success will be by taking into account the peculiarities of your area and operating accordingly under a federally registered name that will become nationally known. You might want to operate very differently in an exclusive suburb than in the inner city of a large metro area.

I have a concern about the difficulty in signing up restaurants to be in my menu guide because I don’t have any sales experience – how can you help me?Signing up restaurants is not selling because you are not trying to get them to buy anything from you. You are giving the restaurants the opportunity to have you as their largest customer! The review gives you the details of how to explain and document this to them. DID Review Agreement

DID will disclose to Reviewee, upon receipt of the fee of $17,500, its knowledge of the restaurant food delivery business. Speci!cally, DID will disclose and review the business from promotion through operation.

DID represents that such knowledge or expertise is not unique or exclusive to it. DID is not selling a training program, franchise, stock or security, but is outlining its knowledge of the restaurant food delivery business. DID makes no representations or warranties regarding the amount of pro!ts realizable as a direct or indirect result of using DlD's knowledge of the restaurant food delivery business.

Reviewee is under no obligation to become associated with DID and may in fact use the knowledge disclosed to go into business alone, independent of or as a competitor of DID by reselling the information acquired to others interested in the business.

Reviewee hereby agrees to the terms and conditions herein outlined and understands that the Systems used by non-preparer restaurant meal delivery !rms will be disclosed by DID in on . The fee to be paid to DID covers: a review of the business procedures required to create a restaurant food delivery business. This fee of $17,500 is due in cash or certi!ed check at the beginning of the disclosure review.

In the event that any dispute arises between the parties related to or arising out of this Agreement, it shall be !nally determined by arbitration in Colorado pursuant to the rules of the American Arbitration Association for commercial arbitration as then in force. Except to obtain or enforce arbitration or an award, neither party shall resort to any legal action relating in any way to this Agreement.

This Agreement contains the entire understanding between the parties and no claims may be made by either party against the other as a result of discussions revolving around future projections for the business in any city and/or past results of the business in any area, it being recognized that the business is dependent upon the time and talents of the individuals involved and the receptiveness of a particular market to any offering. This Agreement shall be interpreted under the laws of the State of Colorado.

DID Licensing Agreement

This instrument contains the entire Agreement regarding the subject matter hereof between the parties hereto and supersedes and cancels all previous negotiations, agreements, commitments, and writings in regard to the subject matter hereof, and may not be released, discharged, abandoned, changed or modi!ed in any manner, orally or otherwise, except by an instrument in writing signed by duly authorized of!cers or representatives of the parties hereto.
