Incorporated in 1883, Riverside is a Charter City with a unique
blend of historic charm and modern city features. While rich in

Riverside has seen tremendous investment over the last 10 years resulting
in an increasingly affluent and educated population and diversified
industry clusters; all vital qualities for economic stability and long-term
prosperity. As an important financial and professional center, Riverside
offers the support of many legal, accounting, brokerage, architectural,
engineering and technology firms as well as banking institutions.
Riverside is home to four internationally recognized universities and
colleges which support an estimated 50,000+ students. The University of

Riverside offers a variety of unique arts and cultural attractions. Walk
around Downtown Riverside, you will see the famous Fox Performing Arts
Center, where the movie “Gone with the Wind” premiered, and the Riv-
erside Municipal Auditorium, where special events and live performances
are drawing sold-out attention. Music enthusiasts can enjoy one of the
premier orchestras at the Riverside County Philharmonic while art lovers
can visit the UCR’s Sweeney Art Gallery, the California Museum of Pho-
tography, the Riverside Art Museum, or the Riverside Metropolitan Muse-
um. As the Fox Performing Arts Center becomes one of the premier per-
forming arts venues in Southern California, Riverside will play a more
prominent role for the arts.

Downtown Riverside
Downtown Riverside is the location of multiple attractions oriented to-
ward arts and culture, including the Historic Mission Inn Hotel and Spa,
Mission Inn Museum, the Riverside Metropolitan and Art Museums, the Uni-
versity of California – Riverside Arts Block, Culver Center for the Arts, the
recently renovated Fox Performing Arts Center, Main Street Riverside, and
the Municipal Auditorium. Special events in downtown include the annu-
al Festival of Lights, which includes holiday decorations with more than
three million lights along Mission Inn Avenue, attractions, ice skating,
horse-drawn carriage rides, and live entertainment. The Festival of Lights
runs from late November through early January and draws an estimated
475,000 people to the downtown. Other popular downtown events in-
clude, but are not limited to, the Lunar Festival, Mission Inn Run, Black His-
tory Month Parade, Dickens Festival, and Show n’ Go.
The downtown area was transformed by new projects and investment as
part of the Riverside Renaissance initiative, a $1.57 billion program im-
proving infrastructure and quality of life in Riverside. This public investment
has served as a catalyst for private investment, which resulted in over
$600 million in projects underway at this time. Riverside continues to be
an attractive location for new job, retail, and entertainment opportuni-
ties, all of which enhance the wealth of the community and ensures Riv-
erside’s position as the economic, governmental and cultural capital of
the Inland Southern California region.
The most recent projects in downtown include a 132,136 square foot of-
fice building (Citrus Tower), a 125 room hotel (Hyatt Place Hotel), over 600
residential units (Imperial Hardware Lofts, Stalder Plaza, Mission Lofts, Cul-
ver Center Lofts, and CenterPoint), an 88,862 square foot Riverside Com-
munity College District Office and Culinary Arts Academy, a new 30,000
square foot Downtown Fire Station, a 29,000 square foot expansion of the
Riverside Convention Center, renovation of the Fox Performing Arts Cen-
ter, Municipal Auditorium and Metropolitan Museum, and the 26,000
square foot Fox Entertainment Plaza.

The Fox Entertainment Plaza
The City completed construction of the multi-purpose Fox Entertainment
Plaza in 2012, which now includes a 12,000 square foot restaurant/retail
space with an outdoor plaza area dining option that is currently under
construction, 10,000 square feet of exhibit space for the Riverside Metro-
politan Museum (“Showcase”), a 4,000-square-foot black box theater
(“Box”), and a 400 space parking garage, as shown on Exhibit “A”.
The restaurant/retail space will be transformed into Riverside Food Lab –
an urban food and beverage market (celebrating Riverside’s food cul-
ture). It will include a vibrant mix of small independent restaurants, spe-
cialty food businesses, and entertainment. The Riverside Food Lab is an-
ticipated to be open in early February 2018.
The Fox Entertainment Plaza is immediately adjacent to and integrally in-
corporated into the recently renovated Fox Performing Arts Center, one
of the City’s most revered landmarks and a state-of-the-art performing
arts theater for the greater Riverside area. The Center boasts a 1,642-seat
performing arts theater that captures the original grandeur of the 1929
building, with updated amenities for patron enjoyment and comfort.
The Fox Entertainment Plaza is conveniently located within walking dis-
tance of the Mission Inn Hotel and Spa, Riverside Marriott, Hyatt Place Ho-
tel, Riverside Convention Center, City Hall, Main Street Riverside, and
County, State and Federal courthouses.

THE OPPORTUNITY
The City is pleased to offer an exciting opportunity for a well-qualified business entity to develop, operate and manage the 4,000 square foot Box, at the City-owned Fox Entertainment Plaza, located at 3635 Market Street, Riverside, California, which is next door to the Fox Performing Arts Theater in downtown, as a comedy club. The intent of the Request for Qualifications (“RFQ”) is to identify qualified parties interested in leasing, developing, operating and maintaining a comedy club within the Fox Entertainment Plaza. Qualified proposals must have demonstrated experience, and knowledge of comedy club operations—including financing, marketing, design, leasing, event pro-motion and program, management, and oversight. It is further expected that proposals will be based on a thorough understanding of existing and future comedy market conditions and trends and that final proposals will contain realistic financial projections on operations of the comedy club. The Proposer shall perform the general and specific tasks as described in the Scope of Work section of this RFQ. The City intends to select the most qualified Proposer for the Project. The Selection Committee shall evaluate proposals based on professional expertise in development, manage-ment, and operations of comedy clubs. YOU ARE HEREBY INVITED TO SUBMIT A PROPOSAL ON OR BEFORE OCTO-BER 12, 2017, AT 4:00 P.M., BASED UPON THE REQUIREMENTS AND CONDI-TIONS SET FORTH IN THIS RFQ.
The City of Riverside (“City”) is seeking an experienced, respon-
sible and professional vendor (“Proposer”) with proven experi-
ence in development, management and operation to turn the
Box at the Fox Entertainment Plaza into a comedy club and pro-
vide a variety of national and regional comedy performances
(“Project”).

Prior to submitting a proposal, proposers are invited to attend an on-site
pre-proposal meeting. Even though this meeting is non-mandatory, all
prospective proposers are encouraged to attend.
The meeting will be held at 11:00 a.m. on September 5, 2017, at the Fox
Entertainment Plaza, located at 3635 Market Street, Riverside, CA 92501.
Please meet at the archways along Market Street of the Fox Entertain-
ment Plaza. During this meeting, the City will allow limited supervised ex-
amination of the facility and surrounding area. The intent of the meeting
is to provide your organization an opportunity to examine the Project site.
We expect that this meeting will last approximately two hours, including
time for questions and answers.
A sign-in sheet will be provided and all represented proposers will be re-
quired to sign in at the beginning of the meeting.

The goals and objectives of this RFQ is to award a long-term Lease Agreement, at fair market rent, to an operator who will accomplish the following:
Provide a destination comedy club and entertainment related retail operation with a distinctive menu and experience that will cater to visitors of the Fox Performing Arts Center and draw people to the area for a memorable experience;
Maximize attendance through featured menu items, service, ambiance, and special events marketing;
Assess, provide, and install all necessary kitchen equipment and furnishings in order to create an attractive and inviting entertainment destination;
Implement quality marketing and advertising campaign; and
Work in unison with the City during the normal course of business to ensure an optimum experience for those going to the Fox Performing Arts Center, the Fox Entertainment Plaza, the surrounding community, the adjacent restaurant and the Box.
The successful Proposer will promote the comedy club for public enjoyment, provide job opportunities for local residents, and complement the downtown environment. The proposed comedy club is consistent with the City Council approved Seizing Our Destiny initiative, which is the City’s roadmap to enhancing the community’s quality of life, fueling intelligent growth, encouraging innovation, positioning Riverside as the location of choice for diverse and dynamic people, and attracting desirable businesses and jobs to the region.
Interested parties are encouraged to submit written proposals that contain the essential elements described in this RFQ.

The City expects the successful Proposer to do the following:
Be an economic driver and demonstrate community leadership.
Provide national and regional comedy performances.
Establish office space and equipment, in addition to hiring necessary administrative, production, and janitorial staff.
Demonstrate knowledge of the Inland Empire entertainment market.
Demonstrate financial capacity to manage and operate the Box without financial contribution from the City.
Provide public economic benefit to the community as a whole.
Pay the required minimum-security deposit of $10,000 upon execution of a Lease Agreement.
Pay a monthly base rent, plus a percentage of monthly gross revenue.
Comply with all zoning, planning and building laws, regulations, and procedures.
Obtain all required permits to buildout and operate the Box as a Comedy Club.

The successful Proposer will demonstrate the ability and capacity to develop, manage, and operate the existing Box as a Comedy Club by providing a variety of national and regional comedy performances consistent with the City’s vision. A Lease Agreement, if awarded, will be for a long-term contract and all services shall be performed in accordance with, but not be limited, to the following scope of work:
Design and buildout of the existing Box space as a comedy club.
Provide and install all necessary kitchen equipment and furnishing to create an attractive, inviting and comfortable environment.
Develop staffing plan that includes an organizational chart showing key management personnel and identification of on-site management personnel.
Develop standard operating procedures.
Provide a box office and ticket sales plan, including responsibilities for group and subscription season sales.
Facilitate a utilization and marketing plan addressing various productions and events.
Provide financial accountability and reporting on the fiscal operations.
Provide a proposal for revenue structure.
Develop and manage a Pro-forma for the length of the Lease Agreement.
Develop a transition plan for the assumption of booking and management duties from the current vacant space.
Produce marketing materials.
Create promotional packages for presentation to producers, agents, managers, and artists.

Operate and manage all concessions, including the sale of food, beverages, alcohol, merchandise and other products and services at performances, events, and operations.
Prepare an Operations Cost Analysis and provide monthly expenditure and management reports.
Submit audited financials on an annual basis.
Maintain, keep, and preserve the entertainment venue in good order and condition and perform all repairs necessary to keep venues, improvements, fixtures, furniture, furnishings and equipment situated or used in connection with the venue.

The City requires each Proposer to submit a proposal clearly
addressing all of the requirements outlined in this RFQ. The proposal
shall be limited to 20 pages and must include a minimum of five (5)
recent or current client references, which include the address, and
telephone number of each reference. Resumes and company
qualification brochure data may be added to the 20-page
proposal, provided they are located in an Appendix at the back of
the proposal.
Should the Proposer have concerns about meeting any
requirements of this RFQ, the Proposer shall include a clearly labeled
subsection with individual statements specifically identifying the
concerns and exceptions.
Though the Proposer may submit a proposal organized according to
his/her preference, it must be clear and concise. The Proposal must
contain information covering the following topics:
The cover letter shall:
Confirm that all elements of this RFQ have been reviewed
and understood;
Include a summary of the Proposer's qualifications and
experience of similar projects;
Identify a single person for contact during the review
process; and
Include a timeline, with completion dates.
The cover letter shall be limited to three (3) pages.
PROPOSAL CONTENT

Company Information: The Proposer shall include relevant Proposer's information, including the address and telephone number of the Pro-poser's main office and any branch offices that will be participating in this Project.
Proposer shall identify the type of organizational entity (corporation, sole proprietorship, partnership, joint venture, etc.). Members of the Proposer's professional team (managers, contact person, etc.) should be identified by name and title, and should include contact phone numbers. Major sub-contractors (if any) and their degree of involve-ment should be included.
Key Personnel: Proposer shall identify and include resumes of key indi-viduals that would be assigned to the Project and other staff personnel available to support the Project. The agreement will provide that any substitution of these key personnel be subject to written approval of the City; and if not approved, the agreement may be terminated. Re-sumes must include:
Name and title;
Description of education;
General experience, including total years in specialty experience with developing, managing and operating comedy clubs, includ-ing food and beverage, and any associated merchandise being pro-posed;
Years of employment in field and with Proposer;
Specialized education and training related to specialty area, in-cluding food and beverage handling;
Any prior public agency experience; and
Any certifications, professional designations, or other information that will assist in evaluating qualifications.

Qualifications & Experience
Proposals will be rated based upon the following criteria:
1. Qualifications and Experience of Comedy Clubs: The Proposer shall
provide a detailed list of services previously performed on the
development, operation, and management of comedy clubs,
including services provided for the City, if any. The Proposer shall
describe a brief history of the proposer entity, and note any changes
in the proposer’s name and ownership structure and any other dba’s
under which the proposer has been doing business.
Development: Provide sufficient information to allow the City to
evaluate experience on design and buildout of previous projects.
Operational: Submit sufficient information to allow the City to
evaluate the management structure and operating program of the
proposed comedy club concept.
Comedy Club Operations: Describe current comedy club
operations. City staff may elect to perform a site visit to review and
confirm current business conditions.
Minimum Qualifications: Provide evidence that the Proposer has
experience in the comedy club business and be able to show
progressive quality management of similar types of businesses for
the past five (5) years. Additionally, list any lawsuit or litigation and
the result of that action resulting from (a) any public project
undertaken by the developer or by its subcontractors where
litigation is still pending or has occurred within the last five years or
(b) any type of project where claims or settlements were paid by
the developer or its insurers within the last five years.
References: Provide references to evidence the minimum
experience requirements, including the name of the operation,
address, contact person, telephone number, and annual gross sales
generated.

Qualifications & Experience—Cont.
Proposals will be rated based upon the following criteria:
Management Structure: Describe the management structure to be
employed in the operation of the proposed comedy club. Please include
a job description for the on-site manager, include the number of
employees and a proposed daily schedule to deliver good customer
service during the proposed hours of operation.
Proposed Rent: Provide the proposed rent structure including base rent,
annual rate increases, and term.
Insurance Coverage: Provide evidence that the Proposer has the ability
to obtain the necessary insurance required for the operation of the
proposed comedy club. Acceptable evidence includes letters from the
Proposer’s insurance company dated no earlier than two weeks before
the submittal deadline date and signed by an officer of the insurance
and security provider.

2. Proposed Project: The Proposer shall describe the proposed project that
includes the following items:
Conceptual: Proposer shall describe in detail the comedy club concept
being proposed and how it will fit into the Fox Entertainment Plaza and
compliment the culture and quality of life. Proposer shall provide
preliminary plans, sections, diagrams and elevations in sufficient detail
showing the manner in which proposer plans to develop the premises as
follows:
Floor plans of space showing proposed uses, layout, circulation and
utilities.
Proposed integration with Fox Performing Arts Center and Fox
Entertainment Plaza.
Architectural rendering of the comedy club indicating layout of
space, general color scheme, style of furniture, fixtures, materials to
be used for flooring, walls and lighting. For all products, please
include quality grade, brand names and anticipated costs.
Marketing and Customer Service: Proposer shall describe the marketing
plan proposed for use in operations, with an emphasis on measures
designed to obtain maximum patronage during peak and non-peak
periods. Please note: The City will market the Fox Entertainment Plaza (as
a whole) and will include the comedy club in said marketing. Proposer
shall also describe customer service objectives for the comedy club,
specifically employee training and retention programs to support and
meet goals and objectives of the comedy club.
Menu: Proposer shall include a copy of the proposed menu for the
comedy club, including food and beverage, and any associated
merchandise being proposed, which includes non-alcoholic and
alcoholic beverages indicating as applicable portion size, suggested
price, and name brands.
Hours: Proposer shall provide proposed days and hours of operation for
the proposed comedy club.

3. Capital Investment: Proposer shall provide the cost for interior
construction, finishes, furnishings, fixtures, trade equipment, and
architectural and engineering fees and the proposed method of
financing anticipated to be paid by the Proposer.
4. Financial Capacity: Proposer shall include the following financial
documents (enclose in a separate envelope marked “confidential
information”):
Financial statements, including an audited balance sheet and
income statement prepared by an independent Certified Public
Accountant in accordance with generally accepted accounting
principles (or tax documents for a sole proprietorship) for the
previous two (2) complete fiscal years, including disclosure and
cash flow statements.
If the Proposer intends to operate the business as a sole
proprietorship, Proposer must submit a personal financial statement
not older than ninety (90) days and his/her most recent personal tax
returns.
If Proposer is a corporation, partnership, limited liability corporation,
or joint venture, and has been in business for less than one (1) year,
Proposer needs to provide personal financial information for
ownership which could include shareholders, partners, members of
a limited liability company, or joint venture partners.
5. Lease Rate: The proposal shall include an expected lease rate to rent
the Box space from the City and percentage rent, if applicable.
6. Project Schedule: The proposal shall include an expected delivery
schedule for all deliverable components of this Project.

All submittals in response to this RFQ become public property and under
the Public Records Act (Government Code § 6250 et. seq.) are public
records. As such, all proposals may be subject to public review at least
ten (10) days before selection and award. If a proposer claims a privilege
against public disclosure for trade secret or other proprietary information,
such information must be clearly identified. Personal information should
be labeled as confidential and will remain so. Please note that under
California law, price proposals to a public agency is not a trade secret.
The City will conduct the Selection Process and is the final deci-
sion-maker regarding this selection. The City reserves the right
to reject any or all proposals at any time, as well as the right to
request clarification or additional information from individual
proposers and request some or all proposers to make presenta-
tions to City staff, community groups, or others.
SELECTION PROCESS

Proposal Evaluation
Proposals should provide a straightforward and concise presentation ad-
equate to satisfy the requirements of this RFQ. The Proposer’s proposal
should emphasize a clear understanding of the Project and the neces-
sary resources to perform the intended services. Responsiveness to the
RFQ will be the principal basis for evaluation.
The City intends to engage the most qualified Proposer available for this
Project. It is imperative that the Proposer’s proposal fully addresses all as-
pects of this RFQ. It must clearly express the Proposer’s understanding of
the City’s specific requirements and indicate the Proposer’s qualifications
to conduct this Project in a thorough and efficient manner.
The primary basis for the City’s consideration of responses to this RFQ will
be the contents of the Proposer’s proposal, as outlined in this RFQ, and
the results of the City’s due diligence and reference checks.
The comedy club operator will be selected based upon the following:
Strength of the Proposer’s team and management approach;
Demonstration of relevant project experience;
Financial strength and capability with further consideration given
to proposals with none or minimal financial contributions required
from the City;
Understanding of the proposed comedy development goals;
Quality of the proposed comedy club development;
Benefit that the comedy club development provides the City
and its constituents;
Financial feasibility of the comedy club development proposal;
and
Proposed lease rental rate.

The City reserves the right to amend, extend, withdraw, and cancel this
RFQ. The City reserves the right, without qualification, to reject any or all
submittals to this RFQ at any time prior to contract execution. The City re-
serves the right to request or obtain additional information about all sub-
mittals. All submittals become the property of the City.
The following is an outline of the procedures the City will use in the selec-
tion process:
A Selection Committee (“Committee”) will evaluate the proposals
submitted by the prospective Proposers.
The Committee will select proposals that qualify based on the fol-
lowing factors:
Qualifications and Experience of Proposer;
Proposed Comedy Club Concept;
Capital Investment and Financial Capacity;

Proposed Schedule.
The Committee may select a reasonable number of Proposers to be
invited for an interview to discuss their proposals. Said interviews, if
held, will take place on a date and time to be determined post RFQ
submittal date.
The Committee will rank the Proposers and recommend the Propos-
er to be selected for the Project, if viable.
The City is not committed to any financial contribution to the devel-
opment, management and operation of the project.
Proposal Selection

The City intends to select the most qualified Proposer. The suc-
cessful Proposer shall be awarded a lease agreement to turn
the Box at the Fox Entertainment Plaza into a comedy club.
Contractual terms applicable to Proposer and all sub-proposers may in-clude but are not limited to the following:
Not-to-exceed price for the services involved in the development, operation and management of a comedy club.
Business Tax Registration and City Business License requirements.
Liability insurance requirements.
Errors and Omissions liability insurance requirements.
Workers Compensation insurance requirements.
Scope of Work.
All required permits and issuance of a Certificate of Occupancy.
Lease amount.
Identification of personnel, Proposer and all sub-proposers.
No substitution of key personnel without prior written approval.
Compensation will be in accordance with terms and conditions of a suc-cessfully negotiated lease agreement for the services involved in the de-velopment, operation and management of a comedy club. The lease agreement, if awarded, will include the Scope of Work and a rental lease amount as negotiated with the selected Proposer.

All requests for clarifications, changes, exceptions, deviations
to the terms and conditions set forth in this RFQ should be
submitted in writing to:

To ensure fairness and avoid misunderstandings, all communications
must be in written format and addressed only to the individual set forth
above. Any verbal communications will not be considered or
responded to. Written communications should be submitted via e- mail
to the address provided above. All questions received by the due date
will be logged and reviewed and if required, a response will be
provided via an addendum to the RFQ. Any communications, whether written or verbal (specifically to this RFQ), with any City Councilmember
or City staff other than the individual indicated above, prior to award of
a contract by City Council, is strictly prohibited and the Proposer shall
be disqualified from consideration.
Please note: We shall not be liable for any expenses, which may
include, but are not limited to, preparation of the proposals or related
information in response to this RFQ; negotiations with us on any matter
related to this RFQ; and costs associated with interviews, meetings,
travel or presentations incurred by any developer in relation to the
preparation or submittal of the proposal. Additionally, we shall not be
liable for expenses incurred as a result of our rejection of any submittals
made in response to this RFQ.

All proposals are due by or before 5:00 P.M. on October 12,
2017. This time and date is fixed and extensions may not be
granted. We do not recognize the U.S. Postal Service, its
postmarks or any other organization as its agent for
purposes of dating the proposals. All proposals received
after the deadline shown will be rejected, returned to
sender and will not receive further consideration.

Please note: We reserve the right to amend, extend withdraw or
cancel this RFQ. We also reserve the right to reject all responses to
this RFQ at any time prior to execution of an
Agreement. Furthermore, we reserve the right to request or obtain
additional information about any and all submittals.
