1

The name of the Society shall be the Indian Institute of MassCommunication Society (hereinafter referred to as the Society).2. The office of the Society shall be situated in the Union territory ofDelhi.3. The objects for which the Society is established are:-

(1) to establish and carry on the administration andmanagement of the Indian Institute of Mass Communication whosefunctions shall be:(a) to organise training and research in the use and

development of media of mass communication, withspecial reference to the requirements of socio-economicgrowth in the country;

(b) to provide training to the information and publicitypersonnel of Central and State Governments; to makeavailable facilities for training and research to meet theinformation and publicity needs of the public andprivate sector industries;

(c) to arrange lectures, seminars and symposia on problemsconnected with mass communication, information andpublicity in collaboration with universities,educational and research institutions as well as tradeand industry;

(d) to organise refresher courses, summer schools and thelike and to invite mass communication experts andresearch scholars from within the country and abroadfor delivering lectures and/or developing research andto pay them such remuneration as may be appropriate;

(e) to print, publish and exhibit any magazine, periodical,monograph or poster that may be considered desirablefor the promotion of the objects of the Society;

(f) to assist and associate itself with efforts of otheracademic bodies, Governmental or non-Governmentalfor the furtherance of the objects of the Society;

(g) to institute and award scholarships, fellowships,monetary assistance and prizes with a view to promotinginterest in studies and research in mass communication;

(h) to fix and recover fees and other charges and to establish,maintain and manage halls and hostels for the residence,of scholars and officers and members of the staff of theSociety;

(2) to take over with the prior approval of CentralGovernment any other institution and to collaborate

with any other association, having objects wholly orin parts similar to those of the institute;

(3) to create teaching, administrative, technical, ministerialand such other posts as may be necessary for thepurposes of the Society and to make appointmentsthereto;

(3) a provided that this is done in accordance with theexisting instructions of Government of India on thesubject and in consultation with the Ministry ofInformation & Broadcsting;

(4) to make rules and bye-laws for the conduct of the Societyand to add, to amend, very or rescind them from time totime;

(5) to obtain or accept grants, subscriptions, donations,gifts, bequests from any Government, Corporation,Trust or person for the purposes of the Society, providedno conditions or obligations opposed to the objects ofthe Society are attached thereto and, in the case of grantsand gifts from foreign Government, organisations orinternational organisations, prior approval of theCentral Government is obtained;

(6) to maintain a fund to which shall be credited:(a) all moneys provided by the Central Government;(b) all fees and other charges received by the Society;(c) all moneys received by the Society by way of grants,gifts, donations, benefactions, bequests or transfers; and(d) all moneys received by the Society in any othermanner or from any other source.

(7) to deposit all moneys credited to the Fund in such amanner as the Society may, with the approval of theCentral Government decide;

(8) to draw, make, accept, endorse and discount cheques,notes or other negotiable instruments, and for thispurpose to sign, execute and deliver such assurancesand deeds as may be necessary for purposes of theSociety;

(9) to pay out of the funds belonging to the Society or outof any particular part of such funds, the expenses incurredby the Society from time to time for the managementand administration of the affairs of the Society,including all expenses including to the formation of

the Society, all rent, rates, taxes, outgoings and thesalaries of the employees;

(10 (a) to give pensions, gratuities or charitable aid to theteachers, staff and other employees or ex-employees ofthe Society or their wives, widows, children or otherdependents. (b) to make payments towards insurance and to form and

contribute to provident and benefits funds for thebenefit of any person employed by the Society or ofthe wives, widows, children or other dependents ofsuch persons;

(c) to acquire, hold and dispose of property in any mannerwhatsoever for the purposes of the Society, providedthat the prior approval of the Central Government isobtained in the case of acquisition or disposal ofimmovable property;

(d) to deal with any property belonging to the Society insuch manner as the Society may deem fit for advancingits objects;

(e) to borrow and raise moneys with the prior approval ofthe Central Government, with or without security, oron the security of any mortgage, charge ofhypothecation or pledge over all or any of theimmovable properties beloging to the Society or inany other manner whatever for the purposes of theSociety;

(f) to build, construct and maintain houses, hostels,schools or other buildings, and alter, extend, improve,repair, enlarge or modify the same including anyexisting buildings and to provide and equip the samewith light, water, drainage, furniture, fittings,instruments, apparatus and appliances for the use ofsuch buildings in connection with the objects ofSociety;

(g) to construct or otherwise acquire, lay out, repair extend,alter, enlarge and improve any land, recreation orplaygrounds, parks and any other immovable propertybelonging to or held by the Society.

(11) to constitute committees or sub-committees as it maydeem fit to carry out the objects of the Society;

(12) to delegate any or all its powers to the Executive Councilor to any of the Committees or sub-Committees

constituted by it;(13) to do all such lawful acts and things whether incidental

to the powers aforesaid or not, as may be requisite inorder to further the objects of the Society as a Centre ofresearch and training.

4. The Central Government may appoint one or more persons to reviewthe work and progress of the Society and its institutions and to holdenquiries into the affairs thereof and to report thereon, in such manneras the Central Government may direct Upon receipt of any suchdoccomm generated by an Aldus application report, the CentralGovernment may take such action and issue such directions as theyconsider necessary in respect of any of the matters dealt with in thereport and the Society shall be bound to comply with such directions.5. The Central Government may issue directions to the Society asthey may consider necessary for the furtherance of the objects of theSociety and for ensuring its proper and effective functioning.6. The income and property of the Society, howsoever derived, shallbe applied towards the promotion of the objects thereof as set forth inthe Memorandum of Associations, subject to such conditions orlimitation as the Central Government may, from time to time, impose.No part of the income and property of the Society shall be paid ortransferred, directly, or indirectly by way of dividends, bonus orotherwise howsoever by way of profit, to the persons who are or at anytime have been members of the Society or Executive Council or to anyof them or to any persons claiming through them or any of them providedthat nothing herein contained shall prevent, the payment, in good faithof remuneration of any member thereof or other person in return for anyservices rendered to the Society or for travelling allowance, halting, orother similar charges.

AMENDED RULES AND REGULATIONS OFTHE INDIAN INSTITUTE OF MASS

COMMUNICATION SOCIETY

1. SHORT TITLE

These Rules and Regulations shall be called “Rules of theIndian doccomm generated by an Aldus applicationInstitute ofMass Communication Society”.

2. DEFINITIONS

In these Rules, unless the context otherwise requires:

i) “The Society” shall mean the Indian Institute of MassCommunication Society.

ii) “The Institute” shall mean the Indian Institute of MassCommunication.

iii) “The Director”shall mean the Director of the saidIndian Institute of Mass Communication.

iv) “ The Executive Council shall mean the body whichis constituted as such under Rule 18 as the ExecutiveCouncil of the Society.

v) “The President” shall mean the President of the Societyand Chairman of the Executive Council.

3. MEMBERS OF THE SOCIETY

a) The Society shall consist of the following members:1) Representatives of social science organisations

to be nominated by the Central Government. Four (4)

2) Representatives of Universities, edu-cational institutions and departments ofjournalism and mass communication, tobe nominated by the Central Government. Four (4)

3) Representatives of six professional bodies namely:

i) National School of Drama, New Delhi.

ii) Advertising Agencies Association of India.

iii) Public Relations Society of India.

iv) Film and Television Institute of India,Poona.

v) Press Institute of India, New Delhi.

Total : 50b) The President of the Society shall be nominated by

the Central Government from amongst the membersof the Society. He shall also be the Chairman of theExecutive Council.

4. ROLE OF MEMBERS

The Society shall keep a roll of members of the Society and everymember shall sign the roll and state therein his name, occupationand address. No person shall be deemed to be a member or be entitledto exercise any of the rights and privileges of a member unless he hassigned the Roll as aforesaid.

5. If a member of the Society changes his address, he shall notify hisnew address within 14 days to the Director who shall thereupon enterhis new address in the Roll of Members. But if he fails to notify new

address, the address existing in the Roll of Members shall be deemedto be his address.

6. DURATION OF MEMBERSHIP

(a) The Society shall be reconstituted once every two years in themonth of March, starting from March 1978. Nomination for thereconstituted Society shall be completed before the end of thetwo-year period to ensure the continuity of functioning of theSociety.

(b)Members who have been nominated to the Society by virtue ofthe office or appointment held by them in a Ministry/Department/Organisation shall continue to be members for the duration ofthe term of the Society or as long as they hold the office orappointment as the case may be. In the event of a Member ceasingto hold the office or appointment or in the event of the Ministry/Department/Organisation withdrawing his nomination in favourof another the new member nominated in his place shall serve onthe Society till the Society is reconstituted next.

(c) Members who have been nominated from professional bodies orother organisation or as eminent individuals shall serve for thefull two-year term provided that where a vacancy is caused forany reason, the concerned nominating authority shall nominateits next representative within a month from the date of thevacancy, for the rest of the period.

(d)Should any member of the Society other than one who is appointedas such, under Rule 3 (a) 9 be prevented from attending anymeeting of the Society or of any of its bodies or committees, heshall be at liberty to appoint and authorise a representative totake his place at that meeting and such representative shall haveall the rights and privileges of a member of the Society includingthe right to speak and vote at that meeting.

7. All outgoing members shall be eligible for re-appointment.

8. A member of the Society shall cease to be such member if:(a) he resigns, becomes of unsound mind, becomes insolvent or is

convicted of a criminal offence involving moral turpitude; or

(b)he, other than the Director, accepts a full time appointment in theInstitute.

9. (a) A resignation of membership of the Society shall be tendered tothe President and shall not take effect until it has been acceptedon behalf of the Society by the President.

(b)The President may resign the office by a letter addressed to theCentral Government and his resignation shall take effect fromthe date of acceptance thereof by the Central Government.

10. (i) The Society shall function notwithstanding any vacancy thereinand notwithstanding any defect in the appointment or nominationof any of its members, and no act or proceedings of the Societyshall be invalid merely by the reason of the existence of anyvacancy therein or of any defect in the appointment or nominationof its members.

(ii) The studies and other programmes conducted by the Societyshall be open to persons of either sex and of whatever race,religion, creed, caste or class and no test or condition shall beimposed as to religious belief or profession in admitting orappointing members, scholars, teachers or workers in any connecton whatsoever.

PROCEEDINGS OF THE SOCIETY

11. MEETINGS

i) The Annual General Meeting of the Society shall beheld at such time, date and place as may be determinedby the President. The society will normally meet oncea year.

ii) The President may convene a special meeting of theSociety whenever he thinks fit, provided that thePresident shall also call a meeting of the Society upona written requisition of not less than fifteen membersspecifying the object for which the meeting is to becalled.

iii) The President may invite any person or persons toattend any meeting of the Society and to participate

in the deliberations provided that no such personsshall have right to vote on any matter at any meeting.

12. Except as otherwise provided in these rules, all meetings of theSociety shall be called by notice under the signature of the Member-Secretary.

13. (i) Every notice calling a meeting of the Society shallstate the date, timeand place at which such meetingwill be held and shall be served upon every memberof the Society not less than twenty-one clear daysbefore the day appointed for the meeting.

(ii) The President may for reasons to be recorded call aspecial meeting on such shorter notice as he may thinkfit.

(iii) The accidental ommission of giving any notice or thenon-receipt of notice of any meeting by any member,shall not invalidate the proceedings at the saidmeeting.

14. In the absence of the President a meeting of the Society shall bepresided over by a member chosen by the members present on theoccasion.

15. One third of the members of the Society present in person or byproxy as provided in Rule 6 (b) shall form a quorum at every meeting ofthe Society.

16. All disputed questions at meetings of the Society shall bedetermined by vote. Every member of the Society including the memberpresiding, shall have one vote and if there be an equality of votes onany question to be determined by the Society, the member presidingshall have and additional or casting vote.

17. The member-Secretary shall keep a record of the proceedings ofthe Society and a copy thereof shall be sent to the Central Government.

EXECUTIVE COUNCIL

18. a) The general superintendence, direction, control and

administration of the affairs of the Society and itsproperty and its income shall vest in the ExecutiveCouncil of the Society which shall exercise all thepowers of the Society including, without prejudice tothe generally of the foregoing, the power to acquireand sell property, the power to raise loan againstsecurity or otherwise, to advance money and to makeappointments.

b) The Executive Council of the Society shall consist ofthe President and the following members:

i) Secretary of the Ministry of Information andBroadcasting of Central Government and anotherrepresentative of the Ministry Two (2)

ii) Representative of the Ministry of Finance of theCentral Government. One (1)

iii) Representative of Department of Education of theCentral Government One (1)

iv) Representative of Ministry of External Affairs ofthe Central Government One (1)

v) Two representatives of Universities andeducational institutions, and departments ofJournalism and mass communication to benominated by the Central Government Two (2)

vi) Persons to be nominated by the CentralGovernment from amongst those eminent inpublic life, journalism and other mass media ofcommunication, the theatre and traditional media,management, art and letters Four (4)

vii) Representatives of IIMC Faculty (one Professor,one Reader and one Lecturer) Three (3)

viii) Director, IIMC Ex-Officio Member Secretary One (1)

19. i) The Executive Council shall be reconstituted once

every two years starting from March 1978.Nomination for the reconstituted Executive Councilshall be completed before the end of the two-yearperiod to ensure the continuity of functioning of theSociety.

ii) Members who have been nominated to the ExecutiveCouncil by virtue of the office or appointment heldby them in a Ministry/Department/Organisation shallcontinue to be members for the duration of the two-year term of the Executive Council or as long as theyhold the office or appointment as the case may be. Inthe event of a member ceasing to hold the office orappointment or in the event of the Ministry/Department/Organisation withdrawing hisnomination in favour of another, the new membernominated in place shall serve on the ExecutiveCouncil till the Executive council is reconstitutednext.

20. A member of the Executive Council shall cease to be such memberif :

a) he resigns, becomes of unsound mind, becomesinsolvent or is convicted of a criminal offenceinvolving moral turpitude;

b) he does not attend three consecutive meetings of theExecutive Council without proper leave of theChairman; or

c) being a member of the Society ceases to be itsmember.

21. A resignation of the membership of the Executive Councilshall be rendered to the Chairman and shall not take effectuntill it has been accepted by the Chairman.

22. Members who have been nominated from professional or otherbodies or as eminent individual shall continue for the full twoyear term of the Executive Council provided that where avacancy is caused for any reason, the concerned nominatingauthority shall nominate its next representative within a month

from the date of the vacancy, for the rest of the period.

23. The Executive Council shall function not withstanding thatany person who is entitled to be a member by virtue of hisoffice is not invited as a member of the Executive Council forthe time being and notwithstanding any other vacancy in itsbody whether by the non-appointment by the authority entitledto make the appointment or otherwise and no act or proceedingsof the Executive Council shall be invalid merely by reason ofthe happening of any of the above mentioned events or of anydefect in the appointment of any of its members.

PROCEEDINGS OF THE EXECUTIVE COUNCIL

24. Every meeting of the Executive Council shall be presided overby the Chairman and in his absence by a member chosen bythe members present at the meeting to preside for the occasion.

25. Five members of the Executive Council present in person shallconstitute a quorum at any meeting of the Executive Council.

26. No less than 10 clear days notice of every meeting of theExecutive Council shall be given to each member of theExecutive Council provided that the Chairman may for reasonto be recorded call a meeting on such shorter notice as he maythink fit.

27. i) Every notice calling a meeting of the ExecutiveCouncil shall state the date, time and place at whichsuch meeting will be held and shall, except asotherwise provided in these Rules, be under thesignature of the Member-Secretary.

ii) The accidental ommission to give notice to or thenon-receipt of notice of any meeting by any membershall not invalidate the proceedings at the meeting.

iii) The Chairman may invite any person or persons toattend any meeting of the Executive council and toparticipate in the deliberations of the Councilprovided that no such person shall have a right tovote on any matter at any meeting.

28. The Executive Council shall hold at least four meetings in ayear and not more than four months shall elapse between anytwo meetings of the Council.

29. Each member of the Executive Council shall have one voteand if there shall be an equality of votes on any question to bedecided by the Executive Council, the person presiding overthe meeting shall in addition, have a casting vote.

30. Any business which it may be necessary for the ExecutiveCouncil to perform may be carried out by circulation amongstall the members in India and any resolution circulated andapproved by a majority of the members signing shall be aseffectual and binding as if such resolution had been passed ata meeting of the Executive Council duly called and held.

31. i) Subject as hereinafter mentioned, in case of differenceof opinion amongst the members of the ExecutiveCouncil, the opinion of the majority shall prevail.

ii) The Chairman may refer any question, which in hisopinion is of sufficient importance to justify such areference, for the decision of the Central Governmentand such decision shall be binding on the Societyand its Executive Council.

iii) For disposal of all matters connected with the runningof the Institute, the Chairman may constitute aStanding Committee of not more than four members,including the Director, IIMC as Member-Secretary.The Standing Committee shall meet at often asnecesary and its decisions shall be reported forinformation at the next meeting of the ExecutiveCouncil.

iv) In the event of disagreement between the memberrepresenting the Finance Wing of the Ministry of I &B and other members/Chairman of the ExecutiveCouncil on any financial matter beyond the delegatedpowers of the Ministry, the matter shall be referred tothe Minister of I & B and the Minister of Finance fora decision.

32. BYE-LAWS

i) The Executive Council shall have power to frame bye-laws not inconsistent with these Rules andRegulations for the administration and managementof the affairs of the Society and to alter, amend, rescindand replace the same from time to time;

ii) Without prejudice to the generality of the foregoingprovision, such bye-laws may provide for thefollowing matters:

a) the preparation and sanction of budgetestimates, the sanctioning of expenditure, makingexecution of contracts, the investment of the fundsof the Society and the sale or alteration of suchinvestment, the accounts and adult;

b) powers, functions and conduct of business byAdvisory Boards or Committees as may beconstituted from time to time and the term of theoffice of their members;

c) procedure for appointment of the officers and thestaff of the Society, the Institute and thedepartments established and maintained by theSociety;

d) the terms and tenure of appointments,emoluments, allowances, rules of discipline andother conditions of service of the officers and staffof the Society;

e) the terms and conditions governing scholarshipsand fellowships, refresher courses, summerschools, research schemes and projects andestablishment of a library, workshop or alaboratory;

f) such other matters as may be necessary for theobjectives and the proper administration of theaffairs of the Society.

33. Subject to these Rules and Regulations, and Executive Councilor any person or body whom the Executive Council mayauthorise in this behalf shall have the power to appoint allcategories of officers and staff for conducting the affairs of theSociety and to fix this amount of their remuneration, subject tobudget provision and also to define their duties.

34. The Chairman may appoint any Committee or sub-committeebesides the Standing Committee to help in the discharge ofsuch functions as he may determine.

35. *The appointment of Director will be by the Executive Councilon recommendations of the Search & Selection Committeeconstituted by the Ministry and approved by DOPT on suchterms and conditions as may be approved by the CentralGovernment, vide minutes of the 112th Meeting of ExecutiveCouncil held on November 20, 2008. The Director of theInstitute shall be appointed by the Executive Council with theprior approval of the Central Government on such terms andconditions as may be approved by the Central Government.

POWERS OF THE CHAIRMAN OF THEEXECUTIVE COUNCIL

36. The Executive Council may by resolution, delegate to itsChairman such of its powers for the conduct of business as itmay deem fit with authority to him to sub-delegate any one ormore of the said powers to any of the other members of theExecutive Council or any other officer of the Society subjectto the condition that the action taken by the Chairman underthe powers delegated under these Rules or taken by the memberor Officer to whom the Chairman has sub-delegated any of thepowers shall be reported for information at the next meeting ofthe Executive Council.

37. The Chairman may, in writing, delegate such of his powers asmay be necessary to any of the other members of the ExecutiveCouncil or any other officer of the Society subject to thecondition that such member or officer shall report to theChairman any action taken by him.

38. The Executive Council may delegate to the Director or any ofits members or any other officer of the Society suchadministrative and financial powers and impose such dutiesupon him or them as it deems proper and also prescribelimitations within which such powers and duties are to beexercised or discharged.

39. a) Under direction and guidance of the Exective Councileither directly or through the Standing Committeethe Director shall look after and be responsible for theproper administration of the affairs of the Society andthe Institutes and departments to be set up by theSociety.

b) The Director shall keep or cause to be kept properrecords and minutes of the proceedings of theMeetings of the Society and of the Executive Counciland send copies there of to the Central Government.The Director will do everything necessary to giveeffect to the resolutions passed by the GeneralMeetings of the Society as also to those passed by theExecutive Council and any committee or sub-committee. The Director shall keep or cause to bekept all records of the Society at its office or at anyother place to be determined by the ExecutiveCouncil.

c) The Director shall or any member of the Executive ifso authorised by a resolution passed in that behalf bythe Executive Council may, execute all contracts,deeds and other instruments on behalf of the Societyand members of the Executive Council.

d) For the purpose of Section of the SocietiesRegistration Act (21 of 1860), the director shall beconsidered the Principal Secretary of the Society andthe Society may sue or be sued in the name of theDirector of the Society.

e) The Director may with the concurrence of theExecutive Council delegate any of his powers andfunctions to any other officer or authority appointed

or established under these rules provided that theDirector shall, in all matters under his charge, beanswerable to the Executive Council in the exerciseof powers and discharge of duties either by himdirectly or by the officer or authority to whom he hasdelegated such powers and functions.

f) The Director shall prescribe the duties of all the officersand of the staff of the Society and shall exercise suchsupervision and disciplinary control as may benecessary subject to these Rules and Regulations andthe bye-laws that may be framed.

g) It shall be the duty of the Director to coordinate andexercise general supervision over all resaerch, training,refresher courses, seminars, summer schools and otheractivities carried or held under or by the Society.

40. The Bankers of the Society shall be the State Bank of India andor any nationalised bank. All funds shall be paid into theSociety’s account with the State Bank of India and/or anynationalised bank and shall not be withdrawn except througha cheque signed and countersigned by such officers as may beduly empowered in this behalf by the Executive Council.

ACCOUNTS AND AUDIT

41. i) The Society shall maintain proper accounts and otherrelevant records and prepare an annual statement ofaccounts including the balance sheet in such form asmay be prescribed by the Central Government.

ii) The accounts of the Society shall be audited annuallyin such manner as the Central Government may directand any expenditure incurred in connection with theaudit the accounts of the Society shall be payable bythe Society.

iii) The accounts of the Society as certified by theAuditors together with the Audit report thereon shallbe forwarded annually to the Central Government.

ANNUAL REPORT

42. An annual report of the work of the Society shall be preparedby the Director and placed before the Executive Council andthe Society for approval. It will be forwarded for informationto the Central Government and members of the Society. Theannual report and the yearly accounts of the Society shall beplaced before the Society at the Annual General meeting for itsconsideration and approval.

AMENDMENT OF RULES AND REGULATIONS

43. Subject to the provision of the Societies Registration Act (21of 1860), the Society may alter or extend the purpose forwhich it is established with previous concurrence of the CentralGovernment.

44. The Rules and Regulations of the Society may be altered atany time with the sanction of the Central Government by aresolution passed by a majority of the members of the Societypresent at any meeting of the Society duly is convened andheld for the purpose.

45. The Society may be dissolved in accordance with theprovisions of Section 13 of the Societies Registration Act (21of 1860) after obtaining the previous concent of the CentralGovernment in that behalf.

46. If upon the dissolution of the Society there shall remain, afterthe satisfaction of all its debts and liabilities any propertywhatsoever the same shall not be paid to or distributed amongthe members of the Society but it shall be lawful for the membersto determine by majority of the votes of the members present atthe time of dissolution of the Society that such property shallbe given to the Central Government to be utilised for any ofthe purposes referred to in Section I of the Societies RegistrationAct (21 of 1860).
