Hague court cites 2014 poll promiseto overturn Cairn retro tax demandPRESS TRUST OF INDIANewDelhi,27December

A three-member tribunal at thePermanent Court of ArbitrationinTheHague cited statements by

PrimeMinister NarendraModi and otherministers, pledging not to use retrospec-tive taxation, tooverturn the ~10,247-croretaxdemandonBritishoil andgas compa-ny Cairn Energy.

Thetribunal, ina582-page judgmentonDecember21,orderedthereturnof theval-ue of shares that the Income TaxDepartment had sold, as well as the divi-dend it had seized and tax refunds it hadwithheld, to recover the taxdemandleviedfollowing the 2012 amendment to theIncome Tax Act, which gave authoritiespowers to seek taxes onpast deals.

It ruled that the2006reorganisationofCairn Energy’s India business prior to itslisting on local bourseswasnot “unlawfultax avoidance”, and ordered the authori-ties to drop the tax demand.

In the order, the tribunal, which con-sisted of one member appointed by theCentre, said that the Bharatiya JanataParty’s (BJP’s) 2014 “election manifestocriticised the preceding government forhaving unleashed ‘tax terrorism’ and‘uncertainty’,which ‘negatively impact[ed]’the investmentclimate”. Inhis firstBudgetspeech inJuly2014, thenFinanceMinister

ArunJaitleyproposed that aCBDT-super-vised ‘High Level Committee’ be imple-mented to scrutinise fresh cases that hadarisen following the 2012Amendments.

After stating that “[t]his governmentwill not ordinarilybringabout anychangeretrospectively that creates a fresh liabili-ty”, he announced that “henceforth, allfresh cases arising out of the retrospectiveamendments of 2012 in respect of indirecttransfers and coming to the notice of theAssessing Officers will be scrutinised by aHigh Level Committee to be constituted

by theCBDT, before anyaction is initiatedin such cases,” the order said.

OnNovember7, 2014,Jaitley,accordingto the order, insisted that his governmenthad taken a “policy decision that as far asthis government was concerned […] eventhough there is a sovereign power of ret-rospective taxation, we are not going toexercise that power”.

OnJanuary 13, 2015, Jaitleywasquotedas saying that the 2012 Amendment had“scaredawayinvestorsfromIndia”andthat“thegovernmenthadnointentionofusing

the retrospective taxprovision”.“This view was confirmed by Prime

Minister Narendra Modi on February 14,2016.ThePrimeMinisterwasquotedintheFinancialTimes as saying that the govern-ment “will not resort to retrospective taxa-tion; we are making our tax regime trans-parent,stableandpredictable”, thetribunalsaid. The I-T Department had, in 2015,slapped a ~10,247-crore tax demand onCairnforallegedcapitalgainsmadeduringthe 2006business reorganisation.

Cairn denied the scheme, avoided anytax prevalent on that date, and challengedthedemand througharbitration.

During thependencyofarbitration, thegovernment sold Cairn’s near-5 per centholding in Vedanta, seized dividendstotalling ~1,140 crore due to it from thoseshareholdings, and set off a ~1,590-croretax refundagainst thedemand.

The tribunal ordered the governmentto return the value of shares it had sold,dividends seized, and tax refunds with-held, to recover the taxdemandalongwithinterest. Further , it was asked to reim-burse the cost of arbitration. This totalled$1.25 billion, plus interest.

The government, in response to thearbitrationaward,hadstated that itwouldstudy the order and “consider all optionsand take a decision on the further courseof action, including legal remedies beforeappropriate fora”.

CAG asks for banks’status post-recap

It had pointed to the deferment of theimplementationofthelast trancheofthecapital conservation buffer of 0.625 percent to 2.5 per cent by 2019-20. This hadgiven banks an additional headroom of~37,000 crore in capital, on the back ofwhich they could have buoyed lendingby ~3.5 trillion. The RBI deferred this to2020-21.

Between 2015-16 and 2019-20, theCentrehadpumped in ~3.56 trillion intostate-run banks — through direct sub-scription of equity shares (standalone),and recap-bonds—wherein the Centresubscribes to a state-run bank’s prefer-ential capital, and the proceeds areinvestedby thebank in interest-bearingbonds in a cash-neutral transaction.

Themarket capitalisation (m-cap) ofthese banks stood at ~4.11 trillion as onDecember 24, 2020, or 13.48 per centmore than the sum infused during thepast five years. “This (m-cap) was wellbelowwhatwas infusedformuchof thisperiod. It’s gone up recently due to therally on the bourses,” said anothersource.

There’s also anothermatter of detail:the stated net profit of state-run banksfalls after adjusting for the interestincome on recap-bonds — an issuewhichwas flaggedby theRBI in itsT&P:1997-98. In its letter to the RBI, the CAGreferred to its audit of these banks afterthe recap, whichwas submitted on July28, 2017.

TheaudithadsaidtheCentre infused~1.19 trillion into state-run banksbetween2008-09and2016-17. Inthesec-ond phase of the fund infusion in 2010-11, ~6,423 crorewaspumped in solely onthe basis of information received fromstate-runbanks,“withoutanyindepend-ent verification by the Department ofFinancial Services (DFS)”. It said,more-over, the CAG’s audit “could not verifywhether theassessmentsregardingcap-ital requirementsmadeby theDFSwerein line with the ICAAP (Internal CapitalAdequacy and Assessment Processunder the Basel-II Accord) and theAnnual Financial Inspection reports ofthebanks (by theRBI).”

For instance, state-run banks signedmemoranda of understanding (MoU)with the DFS in early 2012 for perform-ance-linkedcapital infusionduring2011-12 to 2014-15. But the achievementagainst MoU targets were not linked tothe actual capital infusion. Thebasis forworking out parameters for it werechangedbetweenactualandtheestimat-ed values, and often within differenttranches inthesameyear (2010-11, 2015-16 and 2016-17). In 2014-15, there was ashift to“performance-basedcapital infu-sion from need-based”, with return onassets being the criteria for the same.

It’s pertinent to note that in its T&P2018-19, the RBI had for the first timehighlighted the sharp fall in both theincremental and outstanding credit ofstate-run banks. In 2016-17, the share ofprivate banks in incremental credit wasalmost 100 per cent. This was the sameyearwhenadozenstate-runbankswereput under its prompt corrective actionframework for slippinguponkey finan-cial parameters, including capital ade-quacy. This is seen with concern goingahead too.

Dhanlaxmi Bank is planning toappoint J K Shivan managingdirector (MD) and chief execu-tive officer (CEO).

OnSeptember 30, sharehold-ers of theKerala-basedbankvot-ed against MD and CEO SunilGurbaxani,whohadalleged that

thedirectorshadputpressureonhim to quit after he raised cer-tain governance issues.

The board recommended apanel of candidates to the RBIfor appointment asMDandCEO.TheRBIhasdirected thebank tosubmit a proposal, once the

appointment of Shivan as MDandCEOgets approval by share-holders, according to bank'snotification to the BSE.

Shivan has over 37 yearsexperience in SBI andworked inthe functional areas like com-mercial banking.

He headed corporate bank-ing, international and forexoperations andwasalso involvedin retail advances and agricul-ture credit. He retired as chiefgeneral manager of the stressedassets resolution group at SBI.

Hewas retail branchhead for6 years in Kerala at rural andurban centres of SBI. He headedgeographic areas of Central

India, stretching fromGujarat tothe North-East.

Later, he headed sectoralteams, handling stressedaccounts in infrastructure andcommercial real estate. Also, helooked after areas like airlines,telecom, trading, gems & jew-ellery, food processing and edi-ble oil processing, amongothers.
