II. PRODUCT AND SERVICE

1. Debt trading

a. Content:

Debt trading is the business activity in which DATC purchase debts from creditors, then

collect the debt on the basis of inheriting the rights of creditors.

b. Scope of business:

DATC can purchase debts from creditors as organizations and individuals of all

economic sectors. DATC prefer to use minimum 70% total investment capital sources to

buy the debts and outstanding assets in cases debtors are enterprises with 100% state

capital attached to the implementation of debtors ownership transfer.

c. Selection criteria

DATC based on the following criteria for consideration and decision on the purchase of

debt:

Having adequate records and documents to prove the legal rights of creditors fordebts

The debt is secured by collateral assets that must have sufficient legal documentand not be in dispute.

Debtors exist and operate on the territory of Vietnam;

The plan to buy debt guaranteed for DATC economic efficiency on the basis ofpreserving and developing the capital.

d. Type of debt trading

DATC can apply the following type of purchasing debts from creditors

Buying on the basis of direct negotiation with creditors under market principles. Buying on the basis ofparticipation in the creditors auction Buy as designated by the Government.

e. Principles for determining the purchase price of debt

The financial situation of the debtors and the current ability to repay Actual situation of collateral assets and the capability of handling collateral for

debt collection

f. The process for debt recovery

After the purchase of debt, the DATC implement the capital recovery process :

To collect the debts directly from debtors, including discount collection. To put on sale of the collateral asset for debt collection under the law; To swap debt for asset or get debt swaps with the third parties To convert debt into equity capital in the enterprises of debtors; To restructure corporate debtors; To sell debt to other organizations and individuals;

2. Corperate restructuring

a. Content

Restructuring debtor enterprise through debt trading is the activity in which DATCpurchase debts from creditors, then help the debtor to handle the shortcomings in

business activities, thereby creating source of repayment to creditors.

b. Financial restructuring

Financial restructuring was accomplished through the following measures:

DATC reduce some debt repayment obligations to the enterprise; DATC convert debts into capital at the debtor enterprise; DATC adjust payment plans to suit the actual financial ability of the debtor; DATC to help the debtor unfreeze credit relations with banks and other partners.

c. operating restructuring:

Operating restructuring include the following basic operations:

To invest new machinery and equipment to improve productivity, productquality, expansion of business activities.

d. Restructuring the organizational structure and managerial structure

Establish the new organizational structure in accordance with the orientation for thedevelopment of business activities, ensuring lightweight, non-overlapping structure.

Apply process system, new internal regulation more positively, ensuring clearlydefined authority and responsibilities of each department or individual within

the enterprise, while improving the sense of responsibility, the initiative,

creativity in the work of each department or individual.
