completed by the Vendor within One day of receipt of
settlement files, Cash Balance Report, CBS Report and
Switch Transaction Log. The Daily Report for the same
should be submitted to the Bank’s team.
The settlement of claims should be done within the
stipulated time frame as per
directive of RBI / NPCI and other settlement agencies from
time to time.

debited in failed ATM transactions within T+12 days

is to provide EFT / ATM Switching
services to Tamilnadu DCCBs
under Sub-membership model
(through ASP). While ATM driving
services are undertaken by the
EFT Switching services provider,
the rest of the scope of ATM
services including deployment,
commissioning, installation at the
site, cash replenishment services,
etc are typically undertaken by
the standalone MSP services
firms and are not under the
scope of the EFT Switching
Solution provider. We request

55 2 Cash services The Successful Bidder(s) shall ensure
that no ATM goes non-available to the customers
due to want of cash

observed that cash out situation arises two or more
times in a particular ATM in a month, the penalty will

RFP; and/or e. any or all Deliverables or Services
infringing any patent, trademarks, copyrights or such
other Intellectual Property Rights; and/or f. breach of
confidentiality obligations of the Bidder contained in
this RFP; and/or g. Gross Negligence or wilful

own cost and expenses defend or settle any claim
against the Bank that the deliverables and services
delivered or provided under this RFP infringe a
patent, utility model, industrial design, copyright,
trade secret, mask work or trade mark in the country
where the Deliverables and Services are used, sold or
received, provided the Bank: a. Notifies the Bidder;
and b. Cooperates with the Bidder in the defence
and settlement of the claims. The Bidder shall
compensate the Bank for such financial loss, suffered

any parts of the same so that it becomes non-

11.3.1 The Bidder commits a breach of the terms and
conditions of the RFP/Contract and fails to remedy
such breach for a period of 30 Business Days,
following receipt of written notice from Bank
specifying the breach or breaches set out below:
a. Failure to furnish the performance guarantee
within 21 days after the execution of the Service
Level Agreement. b. Delay or deficiency in the
completion or implementation of the Project or any
activity contemplated under this RFP and subsequent
Contract within the applicable time schedules. c. Non
conformity of the Deliverables or Services with the
terms and Specifications of the RFP as observed
during post-delivery audit or otherwise. d. Serious
discrepancy in the quality of
service/hardware/software expected during the
implementation, rollout and subsequent
maintenance process. e. An Insolvency Event occurs
in relation to the Bidder or it ceases to carry on its
business or substantially the whole of its business; or
..." " 11.3.2 The Bank also reserves the right to cancel
the part or all services and terminate the respective
agreements for the same, if the Services provided by
the Bidder are not satisfactory and recover any
payment made by the Bank for the provision of
maintenance, not rendered to the Bank. In the event
of any deficiency, defect or inadequacy of the
Deliverables or Services, provided by Bidder to the
Bank, the Bank reserves the right to procure the
same or similar Deliverables or Services, from
cause accompanied with a cure
period of 90 days for the
rectification of such breach
failing which the non-defaulting
party can terminate the
agreement.

clarify that termination
assistance services can be availed
from the BIDDER based on
mutually agreeable charges,

alternative sources at the risk, cost and responsibility
of the Bidder. 11.3.3 In the event that Bidder does
not perform satisfactorily or there is a delay in the
performance of its obligations under the bid, the
RFP, the Bank reserves the right to source the
remainder of the Deliverables and Services from
another entity of its choice by giving three months’
notice of the same to Bidder. In the event of a
termination of the contract by Bidder in accordance
with the above terms, Bidder shall fully compensate
the Bank for any expenditure incurred by the Bank in
executing or obtaining the execution of the
remainder of the Project. 11.3.4 In the event of a
termination of the Contract by the Bank, the Bidder
shall do all such acts or deeds as may be required to
fully compensate the Bank for all expenditure
incurred by the Bank in executing or obtaining the
execution of the Project, till such time of termination
and for any removal and/or relocation that may be
required by the Bank following such termination. The
Bank shall not bear any liability in this regard. 11.3.5
In the event of the Bank communicating its intention
to terminate the Contract, Bidder shall continue to
render such Services as it is required to under this
RFP/bid and subsequent Contract, including but not
limited to Facilities Management, support and
maintenance for the Deliverables for a period up to
12 months following notice of intention to
termination, until such time that the Bank indicates
that it has been able to make alternative

All Bidder records with respect to any matters
covered by this tender shall be made available to the
Bank or its designees at any time during normal
business hours, as often as the Bank deems
necessary, to audit, examine, and make excerpts or
transcripts of all relevant data. Said records are
subject to examination. Bank would execute
confidentiality agreement with the Bidder, provided
that the auditors would be permitted to submit their
findings to the Bank, which would be used by the
Bank.
The cost of the audit will be borne by the Bank. The

to the requirements of statutory and regulatory

69 11.10. 92 "11.10 Solicitation of Employees
During the term of the Contract and for a period of
two years after any expiration of the contract
period/termination or cancellation of the Contract,
both the parties agree not to hire, solicit, or accept
solicitation (either directly, indirectly, or through a
third party) for their employees directly involved in
this contract during the period of the contract and
two year thereafter, except as the parties may agree
on a case-by-case basis. The parties agree that for
the period of the contract and two year thereafter,
neither party will cause or permit any of its directors
or employees who have knowledge of the agreement
to directly or indirectly solicit for employment the
key personnel working on the project contemplated
in this proposal except with the written consent of
the other party. The above restriction would not
apply to either party for hiring such key personnel

employment without any direct or indirect

"11.4 Ownership and retention of documents: The
Bank shall own the documents, prepared by or for
the selected Bidder arising out of or in connection
with the Contract. Forthwith upon expiry or earlier

The Bank / Purchaser and all documents produced by
