Secured Party neither grants, nor imples, nor otherwise gwes consent for anyunauthorized use of PATRICK LEWIS SANDERS, and all such unauthorized use is strictly prohibited. SecuredParty is not now, nor has Secured Party ever been, an accommodation party, nor a surety, for the purported debtor,i.e. "PATRICK LEWIS SANDERS" nor for any derivative of, nor for any variation in the spelling of, said name,no r for any other juristic person, and is so-idemnified an d held harmless by Debtor, i.e.'PATRICK LEWISSANDERS" in Hold-harmless an d Indemnity Agreement No. PLS-062Q69-HHIA dated the Twentyth Day ofthe Sixth Month in the Year of Our Lord One T hou sand Nine Hundred sixty-nine against any and al l claims,legal actions, orders, warrants , judgments , demands, l iabil it ies, losses, deposit ions, summonses, lawsuits,costs , f ines, l iens, lev ies , penal t ies, d a ma g e s , in terests, an d expen ses whatsoever, both absolute an dcontingent, as are due and as might become due, no w exist ing and as might hereafter arise, and as mightbe suf fered by , imposed on, and incurred by Debtor for any and every reason, purpose, an d cause wh atsoever.Self-executing C o n t r a c t / S e c u r i t v Aqreement in Event of Unauthorized use: By th is Copyright Notice,both the juristic person and the agent of said jurist ic person, hereinafter jointly an d severally "User," consentand agree that any use of PATRICK LEWIS SANDE RS other than authorized use as set forth aboveconstitutes unauthorized use, counterfeiting, of Secured Party's common-law copyrighted property,contractually binds User, renders this Copyright Notice a Security Agreement wherein User is debtor andPatrick Lewis Sanders is Secured Party, an d signifies tha t User: (1 ) grants Secured Party a securityinterest in all of Users assets, land an d personal property, and all of User's interest in assets, land, an dpersonal property, in the sum certain amount of $500,000.00 per each occurrence of use of any of thecommon-law-copyrighted trade-name/trade-mark PATRICK LEWIS SANDERS, as well as for each andevery occurrence of use of any and all derivatives of, and varia tions in the spelling of, PATRICK LEW ISSANDERS, plus costs, plus triple damages; (2 ) authenticates this Security Agreement wherein User is debtorand Patrick Lewis Sanders is Secured Party, an d wherein User pledges all of User's property; i.e. al l assets ,land, consumer goods fa rm products , inven tory, equip me nt, money, investm ent property, commercial tortclaims, letters of credit, letter-of-credit r ights, chattel paper, instrum ents, deposit accounts, accounts, documents,and general intangibles, and all User's interest in all such foregoing property, now owned and hereafteracquired, now existing and hereafter aris ing, and wherever located, as col lateral for securing User'scontractual obligation in favor of Secured Party for Users unauthorized use of Secured Party's common-lawcopyrighted property; (3) consents and agrees with Secured Party's filing of a UC C Financing Statement in theUCC filing office, as well as in any county recorder's office, wherein User is debtor and Patrick Lewis Sanders isSecured Party; (4) consents and agrees that said UCC Financing Statement described above in paragraph'(3)" is a continuing f inancing statement, and further consents and agrees with Secured Party's fling of anycontinuation statement necessary for maintaining Secured Party's perfected security interest in all of User'sproperty an d interest property, pledged as collateral in this Security Agreement and described above inparagraph "(2)," unti l User's contractual obligation theretofore incurred has been fully sat isf ied; (5 ) consentsan d agrees wi th Secured Party 's f il ing of any UCC Financing Statement, as described above in paragraphs"(3)" and "(4)," as well as the filing of any Security Agreement, as described above in paragraph "(2)," in the UC Cfiling office, as well as in an y county recorders office; (6) consents an d agrees that any and all such filingsdescribed in paragraphs "(4)" an d "(5)" above ar e not, and may not be considered, bogus, and that User wil l no tclaim that an y such f i l ing is bogus; (7 ) waives al l defenses; and (8) appoints Secured Party as AuthorizedRepresentative for User, effective upon User's default re User's contractual obligations in favor of SecuredParty as set forth below under "Payment Terms" and "Default Terms," granting Secured Party full authorizationand power for engaging in any and all actions on behalf of User, as Secured Party, in Secured Party's solediscretion, deems appropriate, and User further consents and agrees that this appointment of Secured Partyas Authorized Representative for User, effective upon User's default, is irrevocable and coupled with asecuri ty in teres t . User further consents and agrees with all of the following additional terms of Self-executing Contract/Securitv Aqreement in Event of Unauthorized Use: Pavmeni Terms: Inaccordance with feesfor unauthorized use of PATRICK LEWIS SANDERS as set forth above, User hereby consents and agrees thatUser shall pay Secured Party all unauthorized-use fees in full within ten (10) days of the date User is sent SecuredParty's invo'ce, hereinafter "invoice," itemizing said fees. Default Terms: In event of non-payment in full of allunauthorized us e fees by User within ten (10) days of date invoice is sent. User shall be deemed in default and:(a) all of User's property and interest in property pledged as collateral by User, as described above inparagraph "(2)," immediately becomes, i.e. is property of Secured Party; (b) Secured Party is appointed User'sAuthorized Representative as set forth above in paragraph "(8)"; an d (C) User consents an d agrees thatSecured Party may take possession of, as well as otherwise dispose of in any manner that Secured Party, inSecured Party's sole discretion, deem s a ppropriate, including, but not l imited by , sale at auction, at any t imefol lowing User's default, an d without further notice, any and al l of User's former property an d interest inproperty, as described above in paragraph "(2)," formerly pledged as col lateral by User, now property ofired Party, in respect of this "Self-executing Contract/Security Agreement in Event of Unauthorized Use,"Secured Party, again in Secured Party's sole discretion, deems appropriate. Terms for Cur ing Default:Upon event of default, as set forth above under "Default Terms," irrespective of any and all of User's formerproperty and interest in property, in the possession of, as well as disposed of by, Secured Party, as authorizedabove under "Default Terms," User may cure User's default re only the remainder of User's former property andinterest in property forme rly pledged as collateral that is neither in the possess ion of, nor otherwise disposedof by, Secured Party within twenty (20) days of date of User's default only by payment in full. Terms of Str ictForeclosure: Users non-payment in full of all unauthorized-use fees itemized in Invoice with in said twen ty-(20)da y period fo r cur ing default as set forth above under "Terms fo r Curing Default" authorizes Secured Party'simmediate non-judicial strict foreclosure on any and all remaining property an d interest in property formerlypledged as collateral by User , no w property of Secured Party, which is not in the possession of, noro therwise disposed of by, Secured Party upon expiration of said twenty- (20) da y default-curing period.Ownership subject to comm on-law copyright and UCC Financing Statement and Security A greement filed withth e UCC fi l ing off ice.
