Languages: Official languages are Finnish (spoken by 89.3%) and Swedish (5.34%). Sámi is the mother tongue of about 1 800 people, members of the indigenous Sámi people of northern Lapland

Religion: Christianity; 75.3 % Lutheran and about 1.1% Orthodox. In practice society is fairly secularized.

State & Government

Legal system: based on the Constitution of 1919, updated in 2000

Form of government: Republic, parliamenta-ry democracy

Parliament: 200 members in one chamber, elected every 4 years in a direct vote (next elections in 2015)

Cabinet: Multiparty coalition cabinet.Head of State: The head of state is the Presi-dent of the Republic. President is elected for a six-year term by direct popular vote. Last elections were held in February 2012, and the current President is Mr. Sauli Niinistö.

National Legislature: Finland has a uni-cameral parliament with 200 members, each elected for a four year term by direct popular vote under a system of proportional rep-resentation. The President of the Republic has the power to dissolve the Parliament.

Finland in the International Community: Among others, Finland is currently a member of EU, UN, OECD and WTO.

Climate: The climate of Finland is marked by distinctive seasonal variations. Winter season is cold and summers are relatively warm. In the summer season the temperature often rises to +20 Celsius, but can rise as high as +30 Celsius in southern Finland. In winter the temperature can drop to –25 Celsius. The mean temperature in Helsinki in July is +17 Celsius and in February –5.7 Celsius. Tempera-tures in northern Finland are colder.

Information about Finland BanksAll banks are open Mon-Fri 9:00–16:30 (office hours may vary regionally) and closed on weekends. Foreign currency and travellers’ cheques can also be exchanged at the cur-rency exchange offices at the Helsinki Central Railway Station, open Mon-Fri 8:00–20:00 Sat-Sun 9:00-19:00, and Helsinki-Vantaa Air-port, open daily 5:30–21:00. There are also exchange offices in the largest cities.

CurrencyThe Finnish currency unit is the euro (EUR) divided into 100 cents (cent). The coins in use are: 5, 10, 20, 50 cents, and 1 and 2 euros. The notes are: 5, 10, 20, 50, 100, 200 and 500 euros.

Traveller’s ChequesTraveller’s cheques are accepted at all banks, travel agencies and hotels as well as in some major shops. The Eurocheques are accepted in banks and some shops.

International credit cardsMost international credit cards (Visa, Euro-card, Access, Mastercard, Diner’s Club, Amer-ican Express) are accepted in most Finnish hotels, restaurants, car rentals, department stores, gas stations, and many more. Check first at the cash registry.

Electrical appliancesThe electricity current in Finland is 220 volts (230 volts) and 50 Hz. The plugs are two-pin continental sizes.

EmergenciesDial 112 for an emergency. Other emergen-cy numbers and instructions can be found in telephone books and directories or by asking your hotel porter.

Helsinki CardThe Helsinki Card is a bonus card for tourists with unlimited travel on Helsinki public trans-portation (bus, tram, train and metro), free sightseeing , and free entry to major muse-ums and sights in and around Helsinki, plus a guide book with maps in five languages. The Helsinki Card can be bought online, at sev-eral sales points in the city centre of Helsinki or from the Helsinki-Vantaa Airport (Airpro Travel Services 24H). Lost and foundIn Helsinki lost property is delivered to the Pasila police station, address Pasilanraitio 13, telephone 0295 417 912, open Mon-Fri 9.00–11.00 or the Lost Property Service (löytötavaratoimisto), telephone +358-600-41006 (EUR 1.98/ min + local net charge). Elsewhere in the country missing items are best inquired for at the local police station.

Medical servicesMedicines are sold only at pharmacies (ap- teekki). Note that the chemists sell only cos-metics. Many pharmacies have long opening hours and the pharmacy at Mannerheimintie 96 in Helsinki has 24-hour service, tel. +358-300 20200 (0,49 €/min. + local net charge). All hospitals have doctors on duty around the clock. There is an increasing number of private practices and hospitals, which also provide for most dental care.

Passports and visa requirementsWhen arriving in Finland, a non-Finnish cit-izen must carry a passport. They will also need a visa unless they are exempt from the visa obligation under EU regulations. Finland is a Schengen member state. The Schengen member states have jointly agreed about the rules concerning the movement of third-country nationals in their territories and decided which countries’ citizens are re-quired to present a visa. Schengen member states are Austria, Belgium, Czech Republic, Denmark, Estonia, Finland, France, Germa-ny, Greece, Hungary, Iceland, Italy, Latvia, Liechtenstein, Lithuania, Luxembourg, Malta,

Netherlands, Norway, Poland, Portugal, Slova-kia, Slovenia, Spain, Sweden and Switzerland. Post offices and mailThe post offices are open Mon-Fri 9:00–18:00 Stamped mail can be posted in the yellow (economy) or blue (Priority) mailboxes for collection. Stamps are available at the post offices, most bookstores, paper shops, kiosks, and railway and bus stations.

Public transportationMajor cities have public transportation servic-es. Helsinki has bus, tram and metro lines andsingle tickets cost EUR 3.00 (2015) Cost per ticket when purchased in advance is EUR 2.50. There are also tourist tickets availa-ble, with prices of e.g. EUR 8.00 per one day (2015). Passenger train services connect the major cities and the trains are clean and com-fortable. Coach services in Finland form an in-tegrated system and cover more than 90% of all public roads. Coach timetables are usually adapted to rail, air and sea connections.

Sauna and swimmingThere is one sauna for every three people in Finland and visitors will find them every-where – in hotels, private homes, on board ships, and holiday villages.

ShoppingThe Finnish specialties are handicrafts, jew-ellery, hand-woven “ryijy” rugs, furniture, glassware, porcelain, ceramics, furs and tex-tiles. Shops are open Monday through Friday 7:00/9:00–17:00/18:00 or until 21:00 and Sat-urdays 9:00–14:00/15:00 or even until 18:00. Additionally, some shops are open Sundays 12:00–18:00.

Tax-free shoppingAnyone permanently residing outside the EU and Norway can shop tax-free in Finland, thus saving up to 17% on purchases over EUR 40. Stores with Tax-Free Shopping signs will pro-vide the customer with a Tax Free Form. Upon leaving EU territory, travellers can claim VAT that varies according to product. Tax-free pur-chases must be taken out of Finland and may not be used before leaving the country.

SpiritsAlko Inc. is a trading chain specializing in al-coholic beverages. Alko has a monopoly over retail sales of all beverages containing over 4.7% of alcohol by volume. Alko shops are open Mon-Fri 9:00/10:00–18:00/20:00 and Sat 9:00–18:00.

TaxisTaxis can be obtained by phone, picked up at taxi stations or flagged down on the move. All taxis have an illuminated yellow sign “taksi” or “taxi”. The taxi is vacant when the sign is lit. If 1-2 persons traveling in daytime, a 5-kilo-metre trip costs about EUR 14, and a 10 km trip about EUR 21.

Time differenceThe time in Finland is 2 hours ahead of Green-wich Mean Time (GMT). The time difference between Eastern US Standard Time and Finn-ish Standard Time is 7 hours. Then Finland is 3 hours ahead of GMT. The 24-hours timetable is followed.

TippingService is basically included in all prices. However, it is all right to reward exceptionally good service by giving a tip. The usual 10-15% of the charge will do fine. Also it is cus-tomary to tip hotel and restaurant doormen and porters.

Business culture in brief

Prior appointments are necessary for all busi-ness and Government visits. Appointments can be made by E-mail or by phone. Note that the Finnish telephone etiquette requires giving your full name both when calling and answering the phone. Most Finns introduce themselves officially and state their first name and last name as they shake hands. The visitor should also follow suit. Business meetings and negotiations are usually to the point and begin usually on time with rather little small talk. Negotiations are mainly held in offices, not restaurants. Finns are well prepared for negotiations, and as for presentations, Finns prefer modesty without sacrificing credibil-ity and hearing technical details rather than sales talk. Seniority is held in high esteem in conservative business branches and govern-mental positions. More and more younger people of both sexes hold executive positions today and the number of women in manage-rial positions is quite high. Women and men are treated as equals in workplaces.

Entertaining

Visitors are normally taken to restaurants or company lodges. There is no strict dress code, but a jacket and tie is recommended for business class restaurants. In business life, long lunches are a rarity and the trend is to-wards milder alcohol drinks and less volume. Law prohibits smoking in offices and public places. Even at home, smokers seldom smoke inside. In many cultures, an offhand invitation to visit or call should not be taken literally. However, an invitation by a Finn, to visit for example their home, should be taken literally and accepted. When visiting flowers, wine or products from your country are usual pre-sents. Finns sometimes invite their gueststo the sauna (men and women go separately) and it is polite to accept the invitation, but it is not a must.

Communication styles and culture

Finns tend to speak directly and clearly. Yes means “yes” and no means “no”. Finns also be-have informally, and if they use names, it will probably be your first name. This might give a false impression of their familiarity. Finns are also very punctual and stick to schedules and also expect it from others. Visitors and guests should arrive at the time stated, whether formal or informal situation. Finns are not em-barrassed by long silences as some cultures would be. There is hardly conversation for conversation’s sake or a need to fill an empty void. Being silent in Finland means being po-lite and interested in what the speaker is say-ing. Although Finns are not always smooth in small talk, safe small talk topics are weather, sports, travelling and hobbies. Avoid speak-ing about very personal matters or asking di-rect questions on salaries, taxes, and religion.

Securities Market Association

In December 2006, the Finland Chamber of Com-merce, the Confederation of Finnish Industries EK, and OMX Nordic Exchange Helsinki Oy established a cooperation body, the Securities Market Associa-tion (www.cgfinland.fi). The goal of the association is to ensure, through more efficient self regulation, that companies operating in the securities market observe uniform and transparent operating princi-ples and rules. The mission of the association is to promote good corporate governance.

The Finnish Corporate Governance Code 2010

The current Finnish Corporate Governance Code was issued by the Securities Market Association on 15 June 2010 and became effective on 1 October 2010.

The purpose of the Code is to encourage Finnish listed companies to apply corporate governance practices that are of a high international stand-ard. The Code harmonises the practices of listed companies as well as the information given to shareholders and other investors. It also improves the transparency Corporate Governance in Finland of administrative bodies, management remuner-ation and remuneration systems. The Code also provides an overall picture of the main principles of the corporate governance system of Finnish listed companies.

The Code defines the general goals of remuner-ation schemes and emphasizes transparency on remuneration practices. Thus listed companies can take into consideration the company situation and development stage in their remuneration schemes in the best possible manner. Transparency and the presentation of information in a unified manner

further improves the opportunities of investors to assess the appropriateness of the remuneration schemes of listed companies and the relationship between remuneration and the reaching of goals. Open access to information on remuneration also facilitates the comparison of remuneration practic-es between different listed companies.

History

The first Corporate Governance Recommendation in Finland was issued in 1997 by the Finland Cham-ber of Commerce and the Confederation of Finnish Industry and Employers (nowadays the Confeder-ation of Finnish Industries EK). The Corporate Gov-ernance Recommendation for Listed Companies was issued by the Finland Chamber of Commerce, Hex Plc (nowadays OMX Nordic Exchange Group Oy) and the Confederation of Finnish Industry and Employers in 2003. The recommendations were updated by Securities Market Association in 2008, when they issued the Finnish Corporate Govern-ance Code. The latest edition of Finnish Corporate Governance Code is from 2010.

Corporate Governance in the Nordic Countries

In April 2009 self-regulatory bodies of the Nordic Countries published a presentation called Corpo-rate Governance in the Nordic Countries. Its aim is to inform international investors and other market participants of the key elements of the Nordic Corporate Governance, and thereby to increase knowledge of and confidence on the Nordic corpo-rate governance models. Corporate Governance of Unlisted Companies

The Board of Directors of the Finland Chamber of Commerce issued in January 2006 an Agenda for Improving Corporate Governance of Unlisted Companies. The Agenda is aimed at the companies which are not considered able to implement orpo-rate Governance recommendations for listed com-panies, but which nevertheless desire to improve their operations in conformity with good corporate governance principles. Implementation of the agenda is fully voluntary. The agenda is available in Finnish, Swedish, English and Russian. More infor-mation can be found at www.chamber.fi.

Helsinki Takeover Code

The Securities Market Association has also issued Helsinki Takeover Code that entered into force on 1.1.2014. Helsinki Takeover Code contains recom-mendations on the procedures to be complied with in public takeover bids. The recommendations are based on the Securities Market Act and need to be complied with on a comply or explain -basis.

The purpose of the Helsinki Takeover Code is to promote the development of good securities mar-kets practice and to provide direction for the pro-cedures to be complied with in takeover bids. The objective of the Takeover Code is to standardise the procedures to be complied with in public takeover bids in Finland and in this way promote the legal protection of the parties in a takeover bid. Setting up a business in Finland

Do you want to start a business in Finland? The setting up process is relatively smooth and painless, but requires some Finnish or Swedish skills.

Forms of businessThe most popular forms of business are Tmi (sole trader/private enterprise; the easiest option) and Oy (limited company). Oth-er options are partnerships, Co-operative, and a foreign branch organisation. Citizens from EEA can operate their own firm as sole traders in Finland, but generally businesses and branches have to register and submit a declaration of foundation to the Finnish Trade Register at Finnish Patent and Registrations Office PRH.

Before registering any type of company it is worth browsing Finnish Trade Register’s Virre Information Service to check whether your planned business name is already taken.

RegistrationOther important aspects in the registration process are tax and employment matters. Finnish Trade Register and Finnish Central Tax Administration have a joint business informa-tion system, where registering for VAT liability or Register of Employers can be done when submitting the declaration of foundation. En-rolling in the VAT register can be done volun-tarily, but is mandatory if the accounting pe-riod sales exceed EUR 8500. Registering as an employer has to be done if the company has two or more permanent or six or more tem-porary employees during the calendar year.

Depending on the type of company, registra-tion fees in 2014 were between EUR 110 for a sole trader and EUR 380 for limited compa-ny and branch. This registration will provide you with a business ID number. For a private enterprise, one form (Y-3) and a personal data form are enough; establishing a limited

company naturally requires more paperwork. For a private limited company the minimum share capital in 2014 was EUR 2 500.

Although most forms are available in Eng-lish, they must be filed either in Finnish or in Swedish. This may require some local assis-tance at the registration office.

Mandatory insurancesThere are also a number of mandatory social and pension insurances in Finland that have to be taken into account depending on the type of company; an entrepreneur has to have an entrepreneurs’ pension insurance, and salaried employees need employees’ pension insurance, health insurance, and un-employment insurance.

Financing and grantsGenerally commercial banks in Finland re-quire that 20% of the finance provided comes from entrepreneur’s own assets; in addition to standard commercial loans, some new businesses may be eligible for special loans, business subsidies, and start-up grants. State owned financing company Finnvera and Re-gional ELY centres (Centres for Economic De-velopment, Transport and the Environment) can give advice on the available options and requirements.

Investing in FinlandGovernment agency Invest in Finland pro-motes foreign investments into Finland. They assist international companies in finding business opportunities and provide relevant information and guidance required to estab-lishing a business in Finland. The Arbitration Institute of the Finland Chamber of Commerce (FAI)

FAI administers domestic and international arbi-trations governed by its Rules. Further, it appoints arbitrators in ad hoc cases when the arbitration agreement so provides, and acts as appointing authority under the UNCITRAL Arbitration Rules. Established in 1911, FAI is one of the world’s oldest arbitration institutes. Since 1919 it has operated in connection with the Finland Chamber of Com-merce. However, being an autonomous and impar-tial arbitration body, it carries out its functions in-dependently of the Finland Chamber of Commerce.

FAI has adopted its own Arbitration Rules and Rules for Expedited Arbitration. Both sets of rules were revised in 2013. Fully consistent with the best international norms and practices, the new Rules seek to promote the classic virtues of arbitration as an expeditious, cost-efficient and confidential method of resolving commercial disputes.

In cross-border disputes, FAI administers the ar-bitral proceedings with the assistance of its Board including both Finnish and non-Finnish nation-als. FAI has longstanding experience in attracting reputable arbitrators from various jurisdictions to arbitrate its cases.

Arbitration – an alternative to litigation

Arbitration is an alternative dispute resolution method to litigation in state courts. It is generally considered as the most effective means of resolv-ing The Arbitration Institute of the Finland Cham-ber of Commerce (FAI) both domestic and interna-tional commercial disputes. Any dispute that can be settled by agreement between the parties may be referred to arbitration for final decision.

Arbitration has many advantagesover litigation in state courts:

Speed. Arbitration is faster than litigation.

Flexibility. Arbitration is based on party autonomy.Parties may choose their arbitral tribunal. Further,they are free to tailor the arbitral proceedings tobest suit their individual needs.

Expertise. Parties and FAI may select arbitratorswith optimal expertise, experience and other quali-fications to resolve a specific dispute.

Confidentiality.Contrary to court litigation, arbitration is a confi-dential method of settling businessdisputes.

Finality and enforceability of the award. An arbitral award constitutes a legally enforceable decision. It is binding on the parties to the arbitration, and can-not be appealed on its merits. Pursuant to the New York Convention of 1958, arbitral awards are recog-nized and enforced in most countries in the world.

Parties may agree to submit to arbitrationby inserting an arbitration clause in their main contract, or by entering into a separate arbitration agreement. In addition, an arbitration clause may be included in the bylaws of a limited liability com-pany or other corporate entity.
